Rouse Avenue, Bozeman, Montana, until 2 p.m., Wednesday, February 25, 2009, and then at said office publicly opened and read aloud. Each BID must be submitted in a sealed envelope, addressed to the City Clerk, City of Bozeman at 121 N. Rouse Avenue. Mailed BIDS must be mailed to P. O. Box 1230, Bozeman, MT 59771-1230 and arrive by the appointed BID opening time. Each sealed envelope containing a BID must be plainly marked on the outside as BID for Snow-Removal/Sanding Services for the City of Bozeman, and the envelope should bear on the outside the name of the BIDDER, his/her address and his/her license number if applicable. If forwarded by mail, the sealed envelope containing the BID must be enclosed in another envelope addressed to the City Clerk, City of Bozeman at P. O. Box 1230, Bozeman, MT 59771-1230. All BIDS must be made on the required BID form. All blank spaces for BID prices must be filled in, in ink or typewritten, and the BID form must be fully completed and executed when submitted. Only one copy of the BID form is required. The OWNER may waive any informalities or minor defects or reject any and all BIDS. Any BID may be withdrawn prior to the above scheduled time for the opening of BIDS or authorized postponement thereof. Any BID received after the time and date specified shall not be considered. No BIDDER may withdraw a BID within 30 days after the actual date of the opening thereof. Should there be reasons why the contract cannot be awarded within the specified period, the time may be extended by mutual agreement between the OWNER and the BIDDER. The BID documents contain specifications of the equipment to be furnished. Information obtained from an officer, agent, or employee of the OWNER or any other person shall not affect the risks or obligations assumed by the BIDDER or relieve him from fulfilling any of the conditions of the agreement. Each BID must be accompanied by either (1) lawful money of the United States; (2) cashier’s check, certified check, bank money order, or bank draft, in any case drawn and issued by a National Banking Association located in the State of Montana; or by any banking corporation incorporated under the laws of the State of Montana; or (3) a BID bond or bond executed by a Surety Company authorized to do business in the State of Montana, and made payable to the City of Bozeman, Montana, in the amount of ten percent of the BID. Such check shall be given as a guarantee that the BIDDER will execute the agreement included in these documents after notification of the award to the BIDDER, and if the BIDDER fails to do so, the security so deposited shall be forfeited as provided in the Montana Code Annotated, Section 18-1-201, et seq. As soon as the BID prices have been compared, the OWNER will return the bonds of all except the three lowest responsible BIDS. When the Agreement is executed, the remaining bonds will be returned. A certified check may be used in lieu of a BID bond. INF - Page 2 of 2 Attorneys-in-fact who sign BID bonds must file with each bond a certified and effective dated copy of their power of attorney. The party to whom award is made will be required to execute the agreement within ten calendar days from the date when notice of award is delivered to the BIDDER. The notice of award shall be accompanied by the necessary agreement. In case of failure of the BIDDER to execute the agreement, the OWNER may at their option consider the BIDDER in default, in which case the BID bond accompanying the proposal shall become the property of the OWNER. The OWNER within ten days of receipt of the agreement signed by the party to whom the agreement was awarded shall sign the agreement and return to such an executed duplicate of the agreement. Should the OWNER not execute the Agreement within such period, the BIDDER may by written notice withdraw his signed agreement. Such notice of withdrawal shall be effective upon receipt of the notice of the OWNER. The notice to proceed shall be issued within ten days of the execution of the agreement by the OWNER. Should there be reasons why the notice to proceed cannot be issued within such period, the time may be extended by mutual agreement between the OWNER and the BIDDER. If the notice to proceed has not been issued within the ten-day period or within the period mutually agreed upon, the BIDDER may terminate the agreement without further liability on the part of either party. The OWNER may make such investigations as he deems necessary to determine the ability of the BIDDER to perform the work, and the BIDDER shall furnish to the OWNER all such information and data for this purpose as the OWNER may request. The OWNER reserves the right to reject any BID if the evidence submitted by, or investigation of, such BIDDER fails to satisfy the OWNER that such BIDDER is properly qualified to carry out the obligations of the agreement and to complete the work contemplated therein. A conditional or qualified BID will not be accepted. Award will be made to the lowest responsive and responsible BIDDER. A reference check will be conducted prior to the BID award. All applicable laws, ordinances, and the rules and regulations of all authorities having jurisdiction over suppliers of equipment shall apply to the agreement throughout. Upon notice of award of the BID, the BIDDER agrees to provide a current list of all employees that will be assigned to clean City buildings so that the City can conduct criminal background checks for offices with special security or safety needs. CITY OF BOZEMAN, MONTANA BID SPECIFICATIONS SNOW-REMOVAL SERVICES FOR BRIDGER PARK DOWNTOWN SIDEWALKS and ROOFTOP All work required under these specifications shall be in compliance with and meet industry standards. Product manufacturers’ instructions shall be followed, and only the proper product will be used for the task. The Owner, at its option, may review the techniques employed by the Contractor, and require alternative methods if determined necessary. All tools and equipment used by the Contractor will be regularly maintained in good operating condition. The Contractor will be notified of any errors or omissions when identified by the Owner. The Contractor will remedy the problem in a timely fashion. Periodic meetings will be scheduled to review the performance of the Contractor and to resolve any items of concern to either party. Bidders must bid on all locations. All bidders must visit the site to assure that accurate bids are submitted. The City of Bozeman reserves the right to award the bid it feels is most advantageous to the City. General Requirements: • The contractor shall have adequate equipment and staff to complete the job in a timely manner. • Contractor and employees shall have prior experience providing this service and shall perform work in a professional manner. Work shall be performed in compliance with all applicable federal, state, and local codes. • Contractor shall correct any substandard work without additional cost to the City. Areas: • Bridger Park rooftop: 24,371 square feet • Tracy Avenue sidewalk, plaza and stairwell access: 4,698 square feet • Black Avenue sidewalk and approach: 1,470 square feet • Mendenhall Street sidewalk and approach: 6,144 square feet • Streamline Bus lane: 2,210 square feet • Pedestrian island: 1,350 square feet • Dumpster bays: 270 square feet Hours: Plowing shall be done immediately upon cessation of snowfalls of 2 inches or more, per City ordinance. Plowing shall be completed between midnight and 6 a.m., daily, although daytime plowing may be requested if a heavy snowfall occurs during a workday. In the event of scheduling conflicts caused by heavy workload, the City shall receive priority service from the contractor. AGREEMENT THIS AGREEMENT, made on this ______ day of ___________, 2009, by and between the City of Bozeman, a municipal corporation of the State of Montana, with offices at 121 North Rouse Avenue, Bozeman, Montana 59771-0640, hereinafter referred to as “City” and ____________________________, a ______________________________, of ______________________, hereinafter referred to as “Contractor.” IN CONSIDERATION of the mutual covenants and agreements herein contained, the parties hereto agree as follows: 1. Work to be performed. This contract shall constitute the basic agreement between the parties for removal of snow and ice from public areas on and near the City of Bozeman’s downtown parking facility, known hereafter as Bridger Park Downtown. The conditions set forth herein shall apply to all work performed by the Contractor on behalf of City. Contractor will perform all work in a good and workmanlike manner, using that degree of skill and care ordinarily exercised in and consistent with standards for such work. 2. Specifications. The contractor shall use equipment no wider than the area which is being cleaned. Equipment shall be of a weight that will not damage the sidewalk or adjacent property. The contractor shall maintain his operation within the public right of way. Snow and ice must be completely removed from the sidewalks before payment will be made to the contractor. Only salt-free sand will be used on driving areas and sidewalks. When removing snow and ice from the rooftop of Bridger Park Downtown, only rubber or polyurethane cutting edges may be used on the concrete parking deck. 3. Timeliness. All work must be done in accordance with current City regulations and standards. The Contractor may be required to work on any day of the week, including holidays. Sidewalks: The Contractor shall commence snow-removal/sanding operations when accumulations reach 1 inch from sidewalks, including Streamline Bus pedestrian island. Bridger Park Downtown: The Contractor shall commence snow-removal/sanding operations when accumulations reach 2 inches from the rooftop and driveways. Streamline Bus Driving Lane: The Contractor shall commence snow-removal operations when accumulations reach 2 inches from the Streamline Bus Driving Lane. Dumpster Bays: The Contractor will remove snow from Dumpster bays on south side of Bridger Park Downtown when accumulations reach 4 inches. Removal: There are no on-site storage accommodations at Bridger Park Downtown; all snow accumulations must be removed from site. 4. Materials, Equipment, and Labor. The Contractor undertakes and agrees to furnish and pay for all work equipment, tools, materials, labor, transportation and supervision necessary to perform the work herein described. 5. Independent Contractor. It is agreed that in the performance of the work herein specified, the Contractor is an independent contractor, responsible to the City only as to the results to be obtained in the work herein specified, and to the extent that the work shall be done in accordance with the terms, plans, and specifications furnished by the City. 6. Liability. The Contractor agrees to indemnify and save harmless the City, its officers, agents and employees against and from any and all actions, suits, claims, demands or liability of any character whatsoever, brought or asserted for injuries to or death of any person or persons, or damages to property arising out of, resulting from or occurring in connection with the work herein specified. The Contractor assumes all responsibility and agrees to reimburse the City for any damage to property of the City, including the sidewalk surrounding and rooftop of Bridger Park Downtown, caused by or occurring in connection with doing any work hereunder. The Contractor shall take all necessary precautions in performing the work hereunder to prevent injury to persons or damage to property. The contractor shall be responsible for damage to curbs, curb stops, sidewalks, vehicles, etc. caused by the plowing operation; the contractor shall notify City of damage within one day of occurrence. A certificate of insurance will be required from the successful bidder(s) prior to bid award. 7. Insurance. The Contractor will provide and maintain, whenever the work is being performed, insurance coverage naming the City as an additional insured under this contract. Prior to beginning work, the Contractor shall furnish to the City a certificate of general liability insurance from an A-rated insurance company in an amount no less than $1,500,000 per accident for bodily injury and property damage (single and combined). The certificate shall name the City of Bozeman and the Downtown Commercial Mendenhall Marketplace Condominiums as additional insured. It is understood and agreed that none of the policies provided for this contract will be cancelled, changed, or reduced in coverage without at least 30 days advance written notice to the City of Bozeman and the Downtown Commercial Mendenhall Marketplace Condominiums. In addition, the Contractor shall furnish evidence of workers’ compensation coverage or proof that the Contractor is not required to carry such coverage. 8. Terms and Termination. This agreement will terminate at the end of the 2008-2009 snow season unless both parties agree in writing to extend the term of the agreement. The City reserves the right to terminate this agreement upon written notice to the Contractor at any time. The contract will be for one snow season, with options to renew for up to five additional one-season terms. These are not automatic extensions. Contracts will be reviewed by the City before a decision is made. 9. Payments. Payments shall be made by the City upon the Contractor furnishing satisfactory evidence of the work performed. Payment shall be made at the: • per-event rate of ____________ for sidewalks, Streamline Bus pedestrian island, and Dumpster bays cleaned of snow and ice; • per-event rate of ____________ for Bridger Park Downtown rooftop and exit/entry roads cleaned of snow and ice; • per-event rate of ____________ for Streamline Bus driving lane cleaned of snow and ice; • per-load rate of ____________ for removing snow from premises hauling at ______________ yards per load. The contractor shall keep written records necessary to justify claims for payment. Such records shall include the address, date, and time at which the work was performed. The City shall make payment for work performed within 30 days after receipt of a written claim in City-accepted format for payment. 10. Governing Law. This agreement shall be construed according to the laws of the State of Montana. 11. No Assignment. It is expressly agreed that the Contractor shall not assign this agreement in whole or in part without prior written consent of the City. The Bidder and the Owner agree that this Contract may, upon mutual agreement, be extended for up to five years, through one-year extensions and with a CPI adjustment allowed, if requested by the Bidder. In no case, however may this contract run longer than five years.
