RECITALS A. Grantor isthe owner ofrealpropertythatisdescribedinthe Conservation Easement and inExhibit 1,attachedheretoand incorporatedhereinby thisreference(hereafterreferredto asthe "Property"). B. Grantor'spredecessorin interest,Fred G. Happel and Mae M. Happel, previously conveyed theConservationEasement toGrantee,and Granteeremains theowner and the holder oftheConservation Easement; and C. By mutual agreement oftheGrantor and Grantee,thisCorrectionofDeed of Conservation Easement isnecessarytocorrectinadvertenttypographicalerrorsinExhibitB ("ProhibitedUses and Practices"),Paragraph I atpage 13 ofthe Conservation Easement to correctthe acreageofthe Property,todefinethe locationsofthe"Home and Ranch Parcel"and the"Open Space Parcel,"and to clarifythe interchangeableuseoftheterms"Home and Ranch Parcel"and "Home and Business Parcel";and D. Grantee'sBoard of Directorshasreviewed and approved thisCorrectionofDeed of Conservation Easement asan actionthatisconsistentwithitsConservation Easement Amendment Policy,which specificallyallows correctionsincasesofinadvertenterror;and E. Grantor and Grantee mutuallyagree and intendthatthisCorrectionofDeed of Conservation Easement shallnot affect,modify, or amend any partortermoftheConservation Easement, excepttocorrectthe errorsinExhibitB Paragraph Ias describedbelow and to clarify termsand conditionsused intheConservation Easement; and I 03/03/23 22203 Norton East Ranch Ph. 5B FP F. Except ascorrectedand clarifiedherein,thetermsand conditionsoftheConservation Easement arehereby ratifiedby theGrantorand Granteeinfull. NOW THEREFORE, forgood and valuableconsiderationincludingthemutual promises and covenantscontainedhereinand intheoriginalConservation Easement, which consideration appliesequallytothisCorrectionofDeed ofConservation Easement, Grantorand Grantee agree asfollows: 1. That certainDeed ofConservationEasement, which was duly recordedon December 31, 1997 atFilm 180,page 1153,Records ofGallatinCounty, Montana, ishereby correctedas follows: Paragraph 1under Exhibit B, page 13 oftheConservation Easement, as recorded, is hereby deletedinitsentiretyand replaced and correctedas follows: 1.The legalor"de facto"divisionor subdivisionoftheProperty,which shallinclude, butshallnotbe limitedto,any subdivision,shortsubdivisionintoremainder tracts, platting,testamentarydivision,orotherprocessby which thePropertyisdividedintolots orinwhich legalor equitabletitleto differentportionsofthe Propertyareheldby differentowners. The Grantorshallalsonotindirectlysubdivideallor any partofthe Propertythrough theallocationof propertyrightsamong partners,shareholders,or members ofany legalentity,the creationofahorizontalpropertyregime, intervalor time-shareownership arrangement,partitioningamong tenants-in-common,judicial partition,or by any othermeans. Notwithstanding any otherprovisionofthisParagraph tothe contrary,however, Grantor may leasethePropertyforagriculturalpurposes. Grantor and Grantee mutually intendthattheentire40-acrePropertydescribedinExhibit A and depictedon Exhibit2 shallbe maintainedand granted,sold,exchanged,devised, gifted,transferred,orotherwiseconveyed inunifiedtitleasa singleparcel.Forthe purposes ofdescribingtheusesofthePropertythatarepermittedand restrictedby this Easement, however, thisEasement referstotwo areasas more fullydepictedinExhibit2 attachedheretoand incorporatedhereinby thisreference: (i) The "Home and Business Parcel" (alsoreferredtointhisEasement asthe "Home and Ranch Parcel")isapproximately 2 acresinsizeand contains one residenceand associatedoutbuildings,and (ii) The "Open Space Parcel"consistsof approximately 38 acresand isthe remainder ofthisEasement. The locationsofthe "Home and Business Parcel"and "Open Space Parcel"aredepictedand describedon Exhibit2, attachedheretoand incorporatedhereinby thisreference. Nothing inthisparagraph shallbe construedtoallow separateconveyance ofthe "Home and Business Parcel"or the"Open Space Parcel." 2 No otherchanges,deletions,oromissionsto ExhibitC, ortoany otherpartofthe ConservationEasement, are intendedoreffectedby the foregoingcorrection. 2. Grantor and GranteeintendthatthisCorrectionofDeed ofConservationEasement and the Conservation Easement willbe fullyintegratedand shallbe interpreted,construed,and enforcedas one document only. 3. Grantor and Grantee intendand agree thatalloftheterms,covenants,conditions,restrictions, easements,servitudes,rightsand remedies thataresetforthintheConservationEasement are hereby ratifiedand shallcontinueto apply tothe Property,ascorrectedherein. 4. The terms "Grantor"and "Grantee" asused herein,and any pronouns used inplacethereof, shallmean and includethe above-named Grantorand theirheirs,personalrepresentatives, successorsand assigns,and the GallatinValley Land Trust,and itssuccessorsand assigns, respectively. 5. Intheeventany disputearisesover the interpretationor enforcement ofthe termsand conditionsofthisCorrectionofDeed ofConservation Easement, thelawsoftheStateof Montana shallgovern resolutionofsuch dispute.
