A MONTANA NON-PROFIT CORPORATION KNOW ALL PERSONS BY THESE PRESENTS: I, the undersigned, pursuant to Title 35, Chapter 2, Montana Code Annotated, acting as incorporator of a corporation under the Montana Non-Profit Corporation Act, Section 35-2-113 et.seq., MCA, do hereby adopt the following Articles of Incorporation for such corporation: I. That the name of the corporation is: URBAN + FARM OWNERS ASSOCIATION, INC. II. That the period of its duration is perpetual. III. That the purposes for which said non-profit corporation is formed are as follows, to wit: (a)To carry out and conduct all corporate powers enumerated in the Montana Non-profit Corporation Act, as the same exists from time to time; (b)To carry out and conduct the business of a homeowners association; IV. That the address of the initial registered office of the corporation is 11 Lone Peak Drive, Suite 201, Big Sky, MT 59716 and that the name of the corporation's initial registered agent is Holly March Summers, 517 S. 22nd Avenue, Suite 1, Bozeman, MT 59718. V. -1- That pursuant to §35-2-126, MCA, this corporation shall be designated a mutual benefit corporation. VI. That this corporation shall have members. VII. That the non-profit corporation is not applying through the Internal Revenue Service for 501 (c)(3) status and the distribution of assets will be to its members upon dissolution of this corporation and shall be consistent with the provisions of §35-2-725 (1)(g), MCA. VIII. That the provisions for the regulation of the internal affairs of this corporation are set forth in the By-laws of the corporation, and if not set forth therein, shall be controlled by the laws of the State of Montana, as the same exist from time to time. IX.
