Thanks for meeting with us at Eastwood Drive on Friday. You have
requested the Company to provide an opinion as to whether there is any functioning
lateral ditch from the Farmers Canal that runs across Huffine Lane just south of
the intersection of Ferguson and Huffine Lane as depicted on the aerial photo map
which you provided to the Company and which is attached as an exhibit.
Our site inspection did reveal a large culvert that carries water from the
fields to the south, under Huffine Lane and further to the north. However, it is the
belief of the board that the culvert and pipes are carrying run off water and that
infrastucture is not being used as an irrigation conveyance.
Therfore, based on our review of your aerial photo map and our subsequent
site visist, the Company can state with some confidence that it is unaware of any of
its shareholders or decreed water right holders who are using the lateral outlined
on the map.

At the Annual Shareholder Meeting, the Farmers Canal Company Board of
Directors proposed charging a consulting fee, going forward, of $500 per
development project, to start the process for a meeting and /or site visit
concerning any ditch on the Farmers Canal system. The $500 fee could
include a letter from an end user on the ditch to satisfy Gallatin County
Planning Dept. requirements. Any professional fees incurred by FCC, such
as legal and/or engineering, will be in addition to the $500 fee. Motion was
made and supported to adopt Consulting Fee, effective immediately.

Pursuant to Farmers Canal Resolution dated March 3, 2022 and attached,
which we discussed at the site visit on June 2, 2022 at Eastwood Rd and Huffine
Lane, please remit a check to Farmers Canal Company in the amount of Five
Hundred Dollars ($500.00) for consulting fees.
