Whereas,the partiesexecuted an Off-SiteParking Space License Agreement dated February 26,2020,and recordedas Document No.2674195 in therecordsof GallatinCounty to allow SBI to utilizea portionof "Owner's Property"as thatterm isdefinedthereinfor80 off-site parking spaces forSBI's buildingprojectknown as the AC Hotel as setforthinSitePlan ApplicationNo.19-078 (the"OriginalLicense Agreement"); Whereas,Owner intendstoconstructa buildingknown as The Ives(assetforthin Site Plan ApplicationNo.21165)on the Owner's Propertywhich willincludea parkinggarage in which SBI's 80 off-siteparking spaces willbe located; Whereas,during Owner's constructionof The lves,Owner's Propertywillbe unavailable forSBI to use forparking purposes and,therefore,SBl must identifya compatible alternative locationforthe 80 off-siteparking spaces;and Whereas,Mountain View has agreed toallow SBI to utilizeitspropertylocatedat205 N. Tracy Avenue and legallydefinedas: Lots 2 and 3 of theAmended SubdivisionPlatof Block "A"of Tracy's Third Addition and a portionof vacated street,City of Bozeman,GallatinCounty,Montana,according to theofficialplatthereofon fileand of record in theofficeof the County Clerk and Recorder,GallatinCounty,Montana (PlatC-18-D) (the"Mountain View Property")for80 off-siteparking spaces (assetforthinSpecialTemporary Use Permit ApplicationNo.21-325)during theperiodof constructionof The Ives; NOW THEREFORE,forvaluableconsiderationand the performance of therequirements setforthherein,thepartiesagree as follows: L The OriginalLicense Agreement ishereby modified to allow SBI tolocatethe required80 off-siteparking spaceson the Mountain View Propertyduring the periodof constructionon Owner's Property. 2.Mountain View shallcomply with allCity rulesand regulationsforuse of the Mountain View Propertyforproviding the 80 off-streetparking spaces. 3.The partiesacknowledge theCity shallnot issueSBI a certificateof occupancy or otherwiseauthorizethe occupancy and use of SBI's projectknown as the AC Hotel unlessand until80 off-siteparking spacessatisfyingthe City'srequirementhave been provided on the Mountain View Property. 4.Upon completion of the parking garage on Owner's Property and upon approval by theCity tooccupy the parking garage on Owner's Property,SBI willcease itsuseof the Mountain View Propertyforoff-streetparking and shallutilizetheOwner's Propertyas setforth in theOriginalLicense Agreement.
