RECITALS A.Grantor isthe owner of realpropertythatisdescribedin theConservation Easement and in Exhibit 1,attachedheretoand incorporatedhereinby thisreference(hereafterreferredto as the "Property"). B.Grantor'spredecessorin interest,Fred G.Happel and Mae M.Happel,previously conveyed the Conservation Easement toGrantee,and Grantee remains the owner and theholder of the Conservation Easement;and C.By mutual agreement of the Grantor and Grantee,thisCorrectionof Deed of Conservation Easement isnecessaryto correctinadvertenttypographicalerrorsinExhibitB ("ProhibitedUses and Practices"),Paragraph I atpage 13 of the Conservation Easement to correctthe acreageof the Property,to definethe locationsof the "Home and Ranch Parcel"and the "Open Space Parcel,"and to clarifythe interchangeableuse of theterms "Home and Ranch Parcel"and "Home and Business Parcel";and D.Grantee'sBoard of Directorshas reviewed and approved thisCorrectionof Deed of Conservation Easement as an actionthatisconsistentwith itsConservation Easement Amendment Policy,which specificallyallowscorrectionsincases of inadvertenterror;and E.Grantor and Grantee mutually agree and intendthatthisCorrectionof Deed of Conservation Easement shallnot affect,modify,or amend any partor term of the Conservation Easement,exceptto correctthe errorsinExhibitB Paragraph I as describedbelow and to clarify terms and conditionsused inthe Conservation Easement;and I F.Except as correctedand clarifiedherein,theterms and conditionsof the Conservation Easement are hereby ratifiedby theGrantor and Grantee infull. NOW THEREFORE,forgood and valuableconsiderationincludingthe mutual promises and covenants containedhereinand intheoriginalConservation Easement,which consideration appliesequallytothisCorrectionof Deed of Conservation Easement,Grantor and Grantee agree as follows: 1.That certainDeed of Conservation Easement,which was duly recorded on December 31, 1997 atFilm 180,page 1153,Records of GallatinCounty,Montana,ishereby correctedas follows: Paragraph 1 under Exhibit B,page 13 of the Conservation Easement,as recorded,is hereby deletedin itsentiretyand replaced and corrected as follows: 1.The legalor "de facto"divisionor subdivisionoftheProperty,which shallinclude, but shallnot be limitedto,any subdivision,shortsubdivisionintoremainder tracts, platting,testamentarydivision,or otherprocessby which the Property isdivided intolots or inwhich legalor equitabletitleto differentportionsof the Propertyareheld by differentowners.The Grantor shallalsonot indirectlysubdivideallor any partof the Propertythrough theallocationof propertyrightsamong partners,shareholders,or members of any legalentity,the creationof a horizontalpropertyregime,intervalor time-shareownership arrangement,partitioningamong tenants-in-common,judicial partition,or by any othermeans. Notwithstanding any otherprovisionof thisParagraph to the contrary,however,Grantor may leasethePropertyforagriculturalpurposes. Grantor and Grantee mutually intendthatthe entire40-acrePropertydescribedin Exhibit A and depictedon Exhibit2 shallbe maintained and granted,sold,exchanged,devised, gifted,transferred,or otherwiseconveyed inunifiedtitleas a singleparcel.For the purposes of describingthe usesof thePropertythatarepermittedand restrictedby this Easement,however,thisEasement refersto two areasas more fullydepictedinExhibit2 attachedheretoand incorporatedhereinby thisreference: (i)The "Home and Business Parcel"(alsoreferredtoin thisEasement as the "Home and Ranch Parcel")isapproximately 2 acresin sizeand contains one residenceand associatedoutbuildings,and (ii)The "Open Space Parcel"consistsof approximately 38 acresand isthe remainder of thisEasement.The locationsof the "Home and Business Parcel"and "Open Space Parcel"aredepictedand describedon Exhibit2, attachedheretoand incorporatedhereinby thisreference. Nothing inthisparagraph shallbe construedtoallow separateconveyance of the "Home and Business Parcel"or the"Open Space Parcel." 2 No otherchanges,deletions,or omissions to ExhibitC,or to any otherpartof the ConservationEasement,are intendedor effectedby the foregoingcorrection. 2.Grantor and Grantee intendthatthisCorrectionof Deed of Conservation Easement and the Conservation Easement willbe fullyintegratedand shallbe interpreted,construed,and enforced as one document only. 3.Grantor and Grantee intendand agree thatallof theterms,covenants,conditions,restrictions, easements,servitudes,rightsand remedies thatare setforthin the ConservationEasement are hereby ratifiedand shallcontinueto apply tothe Property,as correctedherein. 4.The terms "Grantor"and "Grantee"as used herein,and any pronouns used inplacethereof, shallmean and includethe above-named Grantor and theirheirs,personalrepresentatives, successorsand assigns,and the GallatinValley Land Trust,and itssuccessorsand assigns, respectively. 5.Intheevent any disputearisesover the interpretationor enforcement of the terms and conditionsof thisCorrectionof Deed of Conservation Easement,the laws of the Stateof Montana shallgovern resolutionof such dispute.
