COOPER PARK NEIGHBORHOOD ASSOCIATION BY-LAWS
Article I: Organization
1. The name shall be Cooper Park Neighborhood Association,hereafter known as CPNA.
2. CPNA abides by and complies with all applicable laws that prohibit discrimination and/or
harassment on the basis of ethnicity,color,national origin,gender,sexual preference,marital
status, age,religion,creed,or political belief. !'
3. CPNA is organized on a calendar year basis,beginning January 1 and ending December 31
of each year.No dues are assessed by CPNA and expenses are covered by in kind and j
monetary donations solicited for the express purposes and collected at meetings and through
other means of communication.
Article II: Purpose
The purpose of CPNA is to enhance the livability of our neighborhood such as the historic

character, safety,and diversity by establishing and maintaining an open process of
communication between the residents who own and/or rent property,MSU,
businesses and nonprofits within our boundaries, the City of Bozeman,and other
participating agencies and neighborhoods.

Article III: Boundaries

Article IV: Membership and Voting
1. Membership shall be open to any person who owns or rents property in the
neighborhood as well as businesses,non-profit organizations,and other entities located
within the boundaries.
2. Voting: Members must be 18 or older in order to vote. Only one resident per dwelling
unit may vote on agenda action items. In addition,property owners who do not live
within the boundaries may vote on agenda action items. Property owners who own more
than one property within CPNA boundaries will have one vote per agenda action item.
Voting is to be conducted at meetings by paper ballot except as specified in Article V,
number 5.A voting member unable to attend a meeting may sign and date a proxy
authorization listing another CPNA voting member to vote in their stead on agenda
action items that appear clearly on the meeting agenda.Votes by proxy will be counted
separately and documented in the minutes of the meeting.The number of ballots cast at
a meeting may not exceed the number of votes allowed as specified in this paragraph.
3. The vote on an item will be decided by a simple majority (51%) of voting Members in
attendance plus proxy votes.The number of votes for and against an agenda action item
shall be recorded in the minutes.
4. If there is only one nomination for a Steering Committee election,voting may be done

by a voice vote or a show of hands. Otherwise,voting will be by paper ballot.Voting for
each Steering Committee member will be passed by a simple majority(51%) of voting
members in attendance;there will be no proxy votes for Steering Committee members.
Article V:Meetings and Notices
1. Meetings are open to the public and shall be held in the spring of each year. The Steering j
Committee may call additional CPNA meetings if necessary.
2. The initial notice of each meeting shall be given at least 10 days prior to the meeting.The
notice shall include the date, time,place,and agenda.Additional notices may be issued.
CPNA meeting notices and other communication may be made by any of the following
means:hand-delivered flyers,mailed notices,e-mails,and any other means available to
adequately notify its members.

Article VT: Leadership Structure and Duties

1. CPNA's leadership structure consists of 4 steering committee members.These individuals
are responsible for planning and organizing the meetings, communicating with appropriate
City of Bozeman officials,and/or other concerned parties,sending a designated
representative to the Inter-Neighborhood Council(INC)meetings and disseminating
pertinent information to neighborhood residents via e-mail or other means available.
2. The Steering Committee members shall designate a CPNA member to attend the regular
INC meetings representing CPNA.This person will be responsible for forwarding pertinent
INC information to the membership. In addition,an alternate INC representative much be
designated.
3. Sub-Committees may be created to facilitate the business of CPNA as need arises. The
Steering Committee members will appoint Sub-Committee chairs.A Sub-Committee shall
summarize activities and accomplishments in a written report to be presented at a meeting,
entered into the minutes,and published by e-mail. Sub-Committees or individual members
are not permitted to speak on behalf of CPNA without approval of the Steering Committee. q
Article VIL Steering Committee—Guidelines,Terms, and Elections
1. Election of CPNA Steering Committee shall be at the spring meeting and appear as an
agenda item. Any Member may nominate candidates.Nominees may be announced in the
meeting agenda or accepted from the floor. Nominations must be seconded and nominees
must agree to ran.The Steering Committee will notify the City of Bozeman Neighborhood
Coordinator,in writing, of the names of the newly elected members,their addresses,contact
information, and date they take office.
2. Steering Committee members are elected for two-year terms.
3. Steering Committee Vacancies: Should vacancies occur outside the normal election process,
the remaining Committee members shall appoint a member to fill the vacancy.A member
appointed to fill a vacancy shall serve the remainder of the term.
4. Removal of a Steering Committee member:A Steering Committee member may be removed

for good cause by an affirmative vote of 2/3 of the voting members of the association. This
includes members in attendance at a meeting as well as proxy votes. The notice of the
meeting as outlined in Article 5 shall specify the proposed removal.
5. CPNA will communicate with neighbors and the City of Bozeman via Nextdoor or email.
Article VIII:Amendments
These bylaws may be amended by a 2/3 majority of the voting members of the association.
This includes members in attendance at a meeting as well as proxy votes.Any proposed
changes must be put in writing and sent out to the membership 10 days before a meeting of
the CPNA. Approved amendments shall be forwarded within 14 days to the City of
Bozeman Neighborhood Coordinator.
Effective Date
These byh vqs of the Cooper Park Neighborhood Association have officially been adopted
