4. Total Project Cost Estimates
° Please include the total project cost estimate,with supporting independent bid documents. Two cost estimates are
required for all eligible activities for which the applicant seeks funding. Use N7Rehab Cost Estimate work sheet(s).
Estimates may be provided in your application, but bid contracts are required prior to finalizing the development
agreement.
5. IMPORTANT
° Applications must be received at least 15 days prior to the next NSURB board meeting and in conjunction with an
Application to the City Planning Department.This is to allow adequate time to place the item on the NSURB meeting
agenda and for a thorough staff review of the application for presentation to the North 7th Urban Renewal Board.Approval
for N7Rohah funding does not guarantee approval from other City Departments. Failure Vo receive approvals from
applicable City Departments before beginning construction will result in the revocation of project funding award under this
program.

After consideration from a couple architecture firms and looking at the full scope of the project
we have selected Doug Morley of Springer Group Architects to work on our north 7`h project. We are
very excited to be on 7`h and to provide a great restaurant for the city of Bozeman and its many tourists.
We strongly feel that the landscape, patio and fagade change will be greatly appreciated by our
customers as well as those traveling or walking down 7`h street. We feel honored to be a large part of
the rehab of 7ch
*This packet contains drawings of our proposed plan for the outside of 726 N. 7th. We are excited and
feel fortunate to present the full scope of our project to the board in the near future.

726 N 7th Exterior Renovations(N7th Rehab Program)

Thank you for your request of a design fee proposal for the N7th Rehab Project at 726 N 7th Ave.
I have enjoyed the discussions we have had regarding the development of this project,which will definitely fit
into the N7th Rehab Program.
We would normally expect architectural design fees for the remodel/addition of an existing restaurant/bar
project of this scope to be in the range of 9%to 10%of the construction cost. Based on a conservative
estimate for the projects,utilizing information available and our recent history with similar remodels,we
would anticipate the total project to be in the range of$125,000 to$150,000(assuming normal remodeling
and construction and civil work costs)and based on project scope discussions up to this point.The project will
include the following:new storefronts and glass garage door on the west side and north side of the new 1600sf
paver style patio,3 natural gas fueled fire pits,patio fencing&gate and shade system and supports. This
project will also require the redesign and relocation of the exiting storm water retention system.
With those criteria as a point of beginning,the expected design fee would be in the range of$11,250 to
$12,500 due to the additional time and effort normally required to work with existing construction and
conditions. Springer Group Architects (SGA)has a long and very positive relationship working with you in
the past and we wish to continue that process.This proposal includes any and all meeting and submittal
requirements for the N7th Rehab Program. Meanwhile,we are prepared to begin immediately with your
approval.
We will anticipate signing the final agreement for design fees based on the results of the project Programming
and Schematic Design. Once this letter is signed and returned to Springer Group, we will proceed with the
As-Built drawings of the existing Ferraro's facility and schematic design of the N 7th amenities to the 726 N
7th property.

Dear Josh:
JDS Architects, Inc., ("JDS Architects") appreciates the opportunity to present a proposal for the
exterior improvements to the existing North 7"'Ferraro's Restaurant.
1. JDS Architects scope of work:
• Schematic Design:
Develop schematic site plan,patio plans, and new building elevations for the Owner's review and
approval. Schematic site plans,patio plans and exterior elevations to be used for City of Bozeman site
plan approval.
• Construction Documents:
Develop construction document drawings to be used for both bidding and permitting. This proposal is
based on developing a new storefront window arrangement on west side of the existing building,
designing a new large outdoor patio space with overhead shading, fencing and outdoor natural gas
heating, and specifying the necessary on site improvements.
• Site Planning and Coordination with the City of Bozeman:
JDS Architects would attend all Site Planning meetings and coordinate with the City of Bozeman to
attain final site plan approval for the project. JDS Architects will coordinate with both the Planning and
Building Departments to obtain Final Site Plan approval,building permits, and final occupancy.
• Construction Administration:
JDS Architects will provide construction administration as required by the General Contractor and
Owner during the construction phase of the project. Construction Administration will start after a
building permit is obtained for the Project.
Changes to the scope of work as described above would be considered additional services and would be billed
at the hourly rates listed below, or would be . JDS Architects will notify the Owner and provide additional fee
estimates before any"Additional Services"are rendered.
2. For the services listed above JDS Architects, Inc. proposes fixed fees as listed below.

3. Other Terms Governing the Relationship between The Parties:
A. JDS Architects' Hourly Rates
Architect...................$100 Hour
Draftsperson.............$65 Hour
B. Invoices and Payment
JDS Architects will invoice for services in accordance with the terms of this proposal on a monthly basis based
on percentage of completion. Consultant billing would be passed on directly to Miller Construction upon receipt
of invoicing.All invoices that are not paid within thirty(30)days will be assessed a late penalty of 1%per
month. Invoicing will be based on the percentage of completion of our work,or per hourly rates listed above.
Delinquent accounts will be responsible for all costs and legal fees incurred during collection efforts. JDS
Architects reserves the right to"stop work"on the project, and shall have no further obligation to continue work
on the project,if the Owner fails to timely pay invoices. If,upon 30 days written notice,The Owner fails to pay
in full the amount due,this Agreement shall be terminated.
C. Reimbursable Expenses
Reimbursable expenses for the project to include the following:
• Fees related to permitting,impact fees or review.
• Reproductions,plots,postage or long distance phone.
• Renderings,three dimensional models and mock-ups requested by the Owner,and/or local jurisdiction
for approvals.
D. Dispute Resolution
If a dispute arises out of the performance or interpretation of this Agreement,the parties agree to initially
attempt in good faith to resolve the dispute,and,if unsuccessful,then shall participate in non-binding
mediation,with a mediator mutually agreed upon between the parties,prior to either party filing or commencing
a legal action. The parties shall equally split all costs and fees of the mediation.
E. Attorney Fees
In the event a legal action is commenced in relation to this Agreement,the unsuccessful party in the proceedings
shall pay to the successful party, in addition to any other sums that either party may be called on to pay, a

reasonable sum for the successful parry's reasonable attorney fees incurred in the action. The amount of
reasonable attorney fees shall be included in any award, order,or Judgment.
F. Indemnification.
A. The Owner agrees to defend,indemnify,and hold harmless JDS Architects,from and against any and
all loss, cost(direct or indirect), liability,judgments, and expense, including the payment of reasonable attorney
fees,resulting or arising, directly or indirectly, from(1) The Owner breach of this Agreement; (2) the negligent
acts or omissions of The Owner, its owners, employees, members, contractors, sub-contractors, representatives,
successors,assigns or agents.
B. JDS Architects agrees to defend, indemnify, and hold harmless the Owner from and against any and
all loss, cost(direct or indirect), liability,judgments, and expense, including the payment of reasonable attorney
fees, resulting or arising, directly or indirectly, from (1) JDS Architects' breach of this Agreement; (2) the
negligent acts or omission of JDS Architects', its owners, employees, members, contractors, sub-contractors,
representatives,successors,assigns or agents.
F. Modification
This Agreement contains the entire agreement and understanding of the parties,and supersedes any and all prior
negotiations and understandings between the parties. This Agreement shall not be modified,amended or changed
in any respect except by written document signed by all parties hereto,which shall include any Change Orders to
the Scope of Work requested by the Owner.
G.Binding Effect.
This Agreement shall be binding upon the parties and their respective heirs,personal representatives,successors,
and assigns.
