Memorandum of Agreement
Between the City of Bozeman, and the Montana Department of
Transportation for Roadway Improvements to the North 19th
A venueN alley Center Drive Corridors in Bozeman, Montana
February 2003

This Memorandum of Agreement (MOA) by and between the Montana Department of
Transportation (Department or MDT) and the City of Bozeman (City) sets forth the
coordination of the planning, design, and costs of necessary future construction of Pederal-
aid roadways, specifically the North 19th AvenueNalley Center Drive Corridor, to
accommodate the safety of the traveling public and increased traffic flow on such roadways.
Whereas, the MDT is responsible for planning, designing, constructing and maintaining State
Highways and roadways and associated transportation facilities, including associated pull-
offs, parking areas, and rest areas for the use and benefit of the traveling public, in a safe and
efficient manner in accordance with Title 23 United States Codes (U.S.C.) and Title 60,
Montana Code Annotated (MCA) and by agreement maintains and has jurisdiction, including
the issuance of encroachment permits, for the North 19th Avenue Corridor which is a state
designated urban system route; and
Whereas, the City is responsible for planning, designing, constructing and maintaining
Bozeman city roadways and associated transportation facilities in a safe and efficient manner
and has overall approval authority for development and is committed to the safety and
efficient operation of North 19th Avenue and Valley Center Drive as important transportation
links in the Bozeman urban area; and
Whereas, the City is reviewing subdivisions and site developments along the North 19th
Avenue/Valley Center Drive Corridors which will affect roadways and streets under the
jurisdiction of the MDT, City, and County; and
Whereas, the parties mutually agree that a cooperative delineation and identification of the
statutory, regulatory and agreed duties and responsibilities of the parties is beneficial to the
overall development process.
Now, therefore, the parties set forth the fundamental duties and responsibilities necessary to
accommodate the safety of the traveling public due to increased traffic flow on the affected
MDT, City, and County roadways resulting from the proposed development, and agree that:
1. Purpose
This memorandum of agreement (MOA) establishes the funding, design,
construction, and maintenance responsibilities necessary to complete roadway
improvements to the North 19th AvenueNalley Center Drive Corridor.
For the purposes of this agreement, the North 19th Avenue corridor includes the
following termini and links:
~.. A venue (urban route 1201) from the northern intersection with
i-......c\O t eastbound on/off ramps to and including the southern intersection
with Baxter Lane.
For the purposes of this agreement, the Valley Center Drive corridor includes the
following termini and links:

. Valley Center Drive (urban route 1211) from and including the eastern
intersection with North 19th Avenue to and including the western intersection
with North 27th A venue.
Maintenance
. Maintenance responsibilities for existing routes will remain as agreed to in
the existing maintenance agreement dated October 20, 1995 (attached).
2. Responsibilities
MDT:
The MDT agrees to assume the cost of maintenance, energy and operations of all lighting
provided as part of this project if it is coincidental or a replacement of a highway facility
presently maintained by the MDT. MDT will not assume the costs on other systems or
where an existing lighting district is being paid for by the City or by a Special Improvement
District and is replaced or upgraded. The City or Special Improvement District will be
expected to continue paying the amount of the previous payments toward the cost of
maintenance, energy and operations of the new or revised lighting system. If and when the
utility company increases the cost of energy or maintenance, the City or Special
Improvement District will be expected to pay their proportionate share of the rate increase.
MDT agrees to maintain the project if it is coincidental or a replacement of a highway facility
presently maintained by MDT when the project has been completed except that:
. The City agrees to maintain all signs required to enforce City ordinances.
. The City agrees to maintain storm drains and to repair any damage caused by
leakage from, tapping into, repair of, or installation of municipally owned
utilities, within the limits of this project.
Proiect Development - MDT
. Will provide timely review and coordination of the conceptual plan.
Design - MDT
. Will provide available data and technical requirements and assistance necessary
for the development, completion, and approval of the design for necessary
roadway improvements.
. Will review plans, design and data submitted by the City and if found acceptable,
approve individual submissions, to assure all MDT design standards are met.
. Will coordinate with the City and County in the overall review of conceptual plan.

Bids: Administration: Construction - MDT
. Will review and approve, if adequate, the City's submittals related to the traffic
control plan and traffic signal control equipment.
. Will request approvals or concurrence from the Transportation Commission as
needed throughout the course of the activities contemplated by this agreement.
. Will conduct final inspection of work for approval.
. Will issue approach permits at completion of the SID as agreed upon by the City,
Developers, and MDT during the September 16, 2002 meeting attended by these
named parties.
. Will coordinate access modifications with the City/County Planning and Gallatin
County approvals.
City of Bozeman:
The City agrees it shall be liable for the City's encroachment upon right-of-way of said
highway for the purpose of modifying said highway as covered by this agreement. In
addition, the City shall:
(a) Advise representatives of MDT (Bozeman Area Office) whenever construction
activities are planned in said highway right of way.
(b) Assure that said highway shall be reconstructed at no cost to the State, in strict
conformity with specifications that are furnished by MDT to govern such
Openings, with the exception of the State's share of a Special Improvements
District, if one is created for the project.
(c) Allow or insure that the work be subject to inspection by MDT engineers, and
any work found to be unacceptable shall be removed and satisfactorily corrected
at no cost to the state.
(d) If unsatisfactory work or materials are not corrected within a reasonable time after
written notice from MDT to the City, then MDT shall complete the work and bill
the City for all costs involved.
(e) Use proper traffic control signs and devices or flaggers, if necessary, to control
traffic around the work area in accordance with the "Manual on Uniform Traffic
Control Devices."
Proiect Development - City of Bozeman
. Provide MDT's (Program & Policy Analysis Bureau - Helena) a detailed
conceptual plan of their proposed roadway improvements targeting the expected
access and traffic movement issues. Impacts from all developments should be
considered collectively and cumulatively.
. Coordinate the conceptual plan with the MDT's existing limited access resolution
for N. 19th Ave & Valley Center Drive.

. The City will provide MDT (Program & Policy Analysis Bureau - Helena)
periodic status reports during the development of the Project.
. Coordinate and consult with MDT (Program & Policy Analysis Bureau - Helena)
on review of conceptual plan.
Design - City of Bozeman
. Will pay costs, or secure funding sources (the City may create a Special
Improvement District -SID), associated with the development, design and
construction of the necessary improvements on state and local roadways related to
the proposed actions of the developers, including any costs related to utility
relocations, environmental mitigation or traffic control.
. Will develop project geometrics and detailed design in accordance with the MDT
Geometric Standards and MDT Road Design Manual.
. Will support and be responsible for the development's drainage. Storm water at
rates exceeding historic rates cannot be discharged upon 19th Ave, Valley Center
Drive, or controlled access right of way adjacent to the 19th Ave. interchange.
. Provide MDT's (Program & Policy Analysis Bureau -Helena) a set of final plans
that have been approved by MDT for the accesses and improvements on subject
state roadways.
Bids:Administration;Construction - City of Bozeman
. Be responsible for letting and administering all improvement projects.
. Be responsible for acquiring all permits and authorizations including all
environmental clearances necessary for the associated roadway improvements and
for developing a plan acceptable to the MDT for those aspects of the development
affecting state roadways.
. Submit for MDT (Bozeman Area Office) approval a traffic control plan that is
sufficient to protect the traveling public and maintain traffic flow through the
construction sites on state roadways.
. Assure construction of the roadway improvements are done under the supervision
of a professional engineer licensed in the state of Montana and meets all MDT
standards and requirements.
. Will certify to MDT that construction is completed in compliance with the
approved plans.
. Provide MDT (Program & Policy Analysis Bureau - Helena) a set of revised,
reproducible construction plans and Microstation Files depicting the as-built
conditions.
3. Non-Discrimination
The City will require during the performance of any work arising out of this agreement
that the agreement, for itself, assignees and successors shall comply with all non-
discrimination regulations shown on Attachment A.

Additionally, the Department requires that any construction resulting from this agreement
must include appropriate pedestrian facilities that meet or exceed Current Department
standards for accessibility as set forth in the U.S. Architectural & Transportation Barriers
Board, American with Disabilities Act Accessibility Guidelines (ADAAG) and MDT
Detailed Drawings, 608 Series.
4. Modification and Amendment
This MOA may be modified or amended, only in writing, by the mutual agreement of the
parties involved up until award of the contracts for the associated roadway projects. This
MOA is assignable by the City only upon the written acceptance of the assignee by MDT.
5. Termination
All parties agree to move in an efficient and expeditious manner towards development of
these proposals under the conditions specified within this document. Any party may
terminate this agreement and all obligations of all parties hereunder, with 30-day notice
in writing to the other parties of the intention to do so. The MOA may not be terminated
once the contract or contracts have been awarded for construction of the associated
highway projects.
6. Governine: Law
The laws of the State of Montana shall govern this agreement. Venue for any litigation
will be in Gallatin County, State of Montana. In case of conflict between the obligation
imposed by this MOA and Montana law then Montana law will control.
7. Supplementation of Ae:reement
The parties agree that it may be desirable to provide individual or more specific
provisions which may be accomplished through the execution of written supplements to
this agreement as needed.
8. Indemnification
The Department will not be liable for any claims or suits related to City financial
participation in the Project, and the City will hold the Department harmless and immune
from any such suits and to indemnify the Department in the event of any loss as the result
of such claim or lawsuit.
Additionally, the City will not be liable for any claims or suits related to MDT financial
participation in the Project, and the Department will hold the City harmless and immune
from any such suits and to indemnify the City in the event of any loss as the result of
such claim or lawsuit.

9. Attornev's Fees
In the event it becomes necessary for either party of this Agreement to retain an attorney to
enforce any of the terms or conditions of this Agreement, then the prevailing party will be
entitled to reasonable attorney's fees and costs, including fees, salary and costs of in-house
counsel to include the City Attorney, City staff attorneys as well as any Department staff
attorneys.

NOTICE TO CITY
During the performance of this Agreement, the City, for itself, its assignees
and successors in interest, agrees as follows:
A) COMPLIANCE WITH TITLE VI OF THE CIVIL RIGHTS ACT OF 1964 FOR FEDERAL-AID
CONTRACTS
(1) Compliance with Regulations: The City shall comply with all
Regulations relative to nondiscrimination in Federally-assisted
programs of the Department of Transportation, 49 Code of Federal
Regulations, Part 21. as they may be amended (hereafter referred to
as the Regulations), which are incorporated by reference and made
part of this Agreement, even though only State funding is here
involved.
(2 ) Nondiscrimination: The City. with regard to the work performed by it
during the Agreement, shall not discriminate on the grounds of sex,
race, color or national origin in the selection and retention of
subcontractors, inCluding procurement of materials and leases of
equipment. The City shall not participate either directly or
indirectly in the discrimination prohibited by 49 CFR S21.5.
(3 ) Solicitations for Subcontracts, Including Procurements of Materials
and Equipment: In all solicitations, whether by competitive bidding
or negotiation by the City for work to be performed under a
subcontract, including procurements of materials or leases of
equipment, any potential subcontractor or supplier shall be notified
by the City of the City's obligations under this Agreement and the
Regulations relative to nondiscrimination.
(4) Information and Reports: The City will provide all reports and
information required by the Regulations, or directives issued
pursuant thereto, and permit access to its books, records, accounts,
other sources of information and its facilities as maybe determined
by the Department or the Federal Highway Administration (FHWA) to be
pertinent to ascertain compliance with Regulations or directives.
Where any information required of the City is in the exclusive
possession of another who fails or refuses to furnish this
information. the City shall so certify to the Department of the FHWA
as requested, setting forth what efforts it has made to obtain the
information.
(5) Sanctions for Noncompliance: In the event of the City's
noncompliance with the nondiscrimination provisions of this
Agreement, the Department may impose sanctions as it or the FHWA
determines appropriate, inCluding, but not limited to;
(a) withholding payments to the City under the Agreement until the
City complies, and/or
(b) cancellation, termination or suspension of the Agreement, in
whole or in part.

(6 ) Incorporation of provisions: The City will include the provisions of
paragraphs (1 ) through (6 ) in every subcontract, including
procurement of materials and leases of equipment, unless exempt by
the Regulations or directives issued pursuant thereto. The City
will take such action with respect to any subcontract or procurement
as the Department or the FHWA may direct to enforce such provisions
including sanctions for noncompliance: Provided; however, that in
the event the City is sued or is threatened with litigation by a
subcontractor or supplier as a result of such direction, the City
may request the Department to enter into the litigation to protect
the interests of the State, and, in addition, the City or the State
may request the United States to enter into such litigation to
protect the interests of the United States.
B) COMPLIANCE WITH THE MONTANA GOVElWMENTAL CODE OF FAIR PRACTICES, 49-2-207,
MCA
In accordance with 49-3-207, MCA, the City agrees that for this Agreement all
hiring will be made on the basis of merit and qualifications and that there
will be no discrimination on the basis of race, color, religion, creed,
political ideas, sex, age, marital status, physical or mental disability, or
national origin by the persons performing the Agreement.
C) COMPLIANCE WITH THE AMERICANS WITH DISABILITIES ACT (ADA)
(1) The City will comply with all regulations relative to implementation
of the AMERICANS WITH DISABILITIES ACT (ADAl.
(2 ) The City will incorporate or communicate the intent of the fOllowing
statement in all publications, announcements, video recordings, course
offerings or other program outputs:
~The City will provide reasonable acoommodations for any known
disability that may interfere with a person participating in any
service, program or activity offered by the City. In the case of
documents, recordings, or verbal presentations, alternative acoessib1e
formats will be provided. For further information call the City."
(3 ) All video recordings produced and/or created under this Agreement will
be closed captioned.
D) COMPLIANCE WITH PARTICIPATION BY DISADVANTAGED BUSINESS ENTERPRISES IN
DEPARTMENT OF TRANSPORTATION FINANCIAL ASSISTANCE PROGRAMS, 49 CrR 526
Each Agreement the Department signs with a City (and each subcontract the
prime contractor signs with a subcontractor) must include the following
assurance:
"The City, sub recipient or subcontractor shall not discriminate on the basis
of race, color, national origin, or sex in the performance of this contract.
The City shall oarry out applicable requirements of 49 crR part 26 in the
award and administration of DOT-assisted contracts. Failure by the City to
oarry out these requirements is a material breaoh of this oontract, whioh may
result in the termination of this contract or such other remedy as the
recipient deems appropriate.

MDT wi 11 assume all maintenance on this route.
N. 19th Interchange
190, the interchange ramps and the crossroad from the
intersection with Springhill Road <FAS411) to the
intersection with East Valley Center Drive (FAS23S) and the
portion of Springhill Road lying between Old US 10 <FAS20S)
and the junction of N. 19th and Springhill Road. MDT will
also maintain North 19th Street from East Valley Center
Drive (FAS235) south to Main Street < F APSO ) . MDT will
assume all maintenance on this route with the exception of
the mowing of grass in the raised medians between Durston
and Main which will continue to be done by the City of
Bozeman.
East Valley Center Drive <FAS23S) Gallatin County will
assume all maintenance on this route.
Baxter Lane - from North 7th Avenue (FAUI207) going west in
its entirety. Gallatin County will assume all maintenance
on this route.

It is further agreed that the above defined maintenance
responsibilities will remain in effect -until modified by
mutual agreement of all the parties. No functional
classification or Federal aid status will be changed by this
agreement. All billing for lighting energy costs shall
remain unchanged. MDT will continue to operate it's Adopt-
A-Highway program on S. 19th and Haggerty Lane until the
adopting groups can be relocated to areas maintained by MDT.
MDT wi 11 maintain Adopt-A-Highway signage and continue to
remove litter bags until relocation occurs.

The undersigned parties, the Montana Department of Transportation (MDT) and the City
of Bozeman (City) do hereby agree that the Memorandum of Agreement between the
City of Bozeman and the Montana Department of Transportation for Roadway
Improvements to the North 19th Avenue/Valley Center Drive Corridors in Bozeman,
Montana entered into on March 14,2003 is amended as follows:
Under: 2 Responsibilities - MDT Bids. Administration. Construction: add the
[ollowing item:
. Will provide payment to the City's Contractor for a project to mill,
overlay, chip seal, and striping for the N, 19(h A venue Corridor between
Durston Road and the 1-90 Intcrchangc per the attached Bid Schedule.
The project will be completed as an amendment to the existing SID project
contract and the work to be performed through thc corridor will be
detailed by MDT's Butte District Office (not all segments will receive all
treatments) ,
. Will negotiate the scope and cost ofthc mill, ovcrIay, chip seal, and
striping projcct for the N 19th avenue corridor directly with the City's
Contractor.
. Agrees that all costs associatcd with thc SID contract amcndment
described in this document will be the responsibility of MDT,
Under: 2. Responsibilities - City of Bozeman - Bids. Administration~
Construction: add the following item
. Will amend the existing agreement with the SID project contractor to
include a mill, overlay and chip seal to the N 19th Avenue Corridor
between Durston Road and the 1-90 Interchange.
. Assumes no additional liability or cost responsibility resulting from the
SID contract amendment described in this document.
. Will coordinate with City's Contractor to ensure that this new work is
complctcd bcfore the remaining SID work is completed on the North 19th
Corridor.
The agrecment between the Montana Department of Transportation and the City of
Bozeman executed on March 14,2003 and as amended herein constitutes the entire
agreement between the parties and no statement, promises or inducements made by either
party, or agents of either party, which are not contained in written agreement, shall be
binding or valid,
