No. 417.072 THIS IS AN AGREEMENT made as of a�-VYLIZ '0 , 2015, between THE CITY OF BOZEMAN, a Municipal Corporation, P.O. Box 1230, Bozeman, Montana, 59771-1230 (OWNER) and Morrison-Maierle, Inc., P.O. Box 1113, Bozeman, Montana, 59771-1113 (ENGINEER). WHEREAS the parties previously entered into a Professional Services Agreement dated March 17, 2014, herein referred to as the Original Agreement, for professional engineering services for the Wastewater Collection System Facility Plan Update; and WHEREAS, the scope of the Original Agreement included services for the plan update; and WHEREAS, the Original Agreement was amended with Amendment No. 1 dated October 20, 2014 and with Amendment No. 2 dated February 2, 2015 to include additional services related to the City's Industrial Pre -Treatment Program and flow monitoring; and, WHEREAS, the parties desire to amend the Agreement to include preliminary design services related to the implementation of the Wastewater Collection System Facility Plan Update. NOW, THEREFORE, IN CONSIDERATION OF THE MUTUAL COVENANTS CONTAINED HEREIN, the parties agree as follows: The conditions and provisions set forth in the attached EXHIBIT C-4 — SCOPE OF SERVICES FOR PRELIMINARY ENGINEERING FOR GARFIELD SEWER and EXHIBIT D-4 - ENGINEERING FEE ESTIMATE FOR PRELIMINARY ENGINEERING FOR GARFIELD SEWER are hereby incorporated in and made part of this Agreement. Article 1 - Engineering Services Section 1.6 is added to the Original Agreement as follows: 1.6 Services for the Garfield Sewer Project as identified in Exhibit C-4 ARTICLE 4 - BASIC ENGINEERING SERVICES Section 4.2 is added to the original agreement as follows: 4.2 PRELIMINARY DESIGN PHASE After acceptance of the pre -design report and receipt of written authorization to proceed with the Preliminary Design Phase, ENGINEER shall: 4.2.1. In consultation with OWNER determine general scope, extent and character of the Project. 4.2.2. ENGINEER shall then prepare a Preliminary Design Report, preliminary plans and s»oe�and a written description for the Project. 4.2.3. Preliminary Design Report: Specific items to be addressed in the design report will include, but not be limited to: 4.2.3.1. Summary of construction requirements with appropriate drawings for each task included in the project. 4.2.3.2. Special design considerations for Project tasks with conditions not covered in standard construction methods or specifications. 4.2.4. Design and Construction Surve. The ENGINEER shall conduct a design field survey of the project areas, as necessary, for locating existing utilities (such as gas, power, telephone, TV cables, water and sewer lines, irrigation facilities, fences, and approach driveways), existing right-of-way and easements, and making measured drawings of or investigating conditions of existing facilities. The ENGINEER shall provide suitable horizontal and vertical reference control points for the construction phase. 4.2.5. Permits and Rights -of -Way: The ENGINEER will provide exhibits for the OWNER to use in discussions with Montana State University and will participate in meetings as requested. Z'.tl 4.2.7. Preliminary Plans and -Speeifieatiens. Prepare preliminary construction plans and-spec-i€ieatiens with information which addresses the special features of each project task. 4.2.8. Based on the information contained in the preliminary design documents, ENGINEER will submit a revised opinion of probable Total Project Costs to the OWNER. 4.2.9. All changes agreed to between ENGINEER and OWNER will be noted in a memorandum from the ENGINEER to the OWNER and incorporated into the final plans and specifications The Preliminary Design Phase will be completed and submitted within calendar days following written authorization from OWNER to ENGINEER to proceed with that phase of services. Article 6 - Compensation For Engineering Service Article 6.3 is added as follows: 6.3 LUMP SUM AGREEMENT FOR BASIC SERVICES AND EXPENSES OF ENGINEER 6.3.1 Payment. The OWNER shall for design phase services for Garfield Sewer performed as Basic Engineering Services under section 4.2 of this agreement pay a total sum in the amount of $23,690 for such services. 6.3.2 Payment Schedule. Total cumulative payments for the design phase engineering services (sections 4.1 through 4.4) shall not exceed the following ceilings: $ 21,321 (90% of design fee) until the plans have been submitted to the OWNER and review authorities. 6.3.3 General. Engineer shall submit monthly statements for services rendered. The statements shall be based upon Engineer's estimate of the proportion of the total services actually completed at the time of billing, subject to any limitations on Payments based on completion of tasks or specific retainage requirements pursuant to the payment provisions of the Agreement. 6.3.4 Reimbursable Expenses. Only those expenses specifically identified for payment under section 6.2 of this Agreement are reimbursable. All other design related expenses are included in the Lump Sum Payment for the Basic services (4.1 through 4.4) and are not separately reimbursable. Additional Services specifically identified under the scope of design services for payment under 6.1 are not separately reimbursable. Except as specifically amended herein, the Original Agreement shall remain in full force and effect and the parties shall be bound by all terms and conditions therein. The sewer line is intended to convey the sewage from the existing main in Lincoln to the existing main in Fowler. The overall goal is to determine an alignment that works for Montana State University and to develop schematic plans to a level to define the pipeline route. REPORT TO: Honorable Mayor and City Cormnission FROM: Bob Murray, Project Engineer 01 Rick Hixson, City Engineer SUBJECT: 2014 Wastewater Collection System Facility Plan Update - Amendment No. 3 MEETING DATE: June 22"', 2015 AGENDA ITEM TYPE: Consent RECOMMENDATION: Approve and authorize City Manager to sign Amendment No 3 to the Professional Services Agreement. BACKGROUND: Attached is a copy of the partially executed Amendment No. 3 with Morrsion Maierle for the 2014 Wastewater Collection System Facility Plan Update. The document is in the City's standard format. Montana State University recently has had septic issues on some of their buildings west of 19th around Lincoln Avenue. This is the same area that the facility plan calls for a trunk sewer main to be installed that will not only service the MSU properties, but also relive the capacity issues that will stop development of the South University District area. MSU is working among its different departments to grant the easements necessary for the construction of this trunk sewer main. This amendment will complete enough of a predesign effort to determine the exact location of the main and prepare the necessary exhibits. UNRESOLVED ISSUES: None ALTERNATIVES: As suggested by the City Commission FISCAL EFFECTS: The $23,690.00 for this amendment will be paid for out of the wastewater fund.
