The Friends of the Bozeman Public Library
1. Purpose and Scope
The purpose of this Memorandum of Understanding ("MOU") is to identify the responsibilities of
each parry as they relate to the REAL PROPERTY LEASE AGREEMENT, Coffee Shop at the
Bozeman Public Library, entered into on March 2015, between the Bozeman Library Board
of Trustees (as Lessor) and Oh Nelly, LLC and Blaise Arsenault (as Lessee), hereinafter referred
to as Coffee Shop Lease Agreement.
The Friends of the Bozeman Public Library ("Friends") provided funds for completing the build-
out of the coffee shop space when the Library was constructed and made a financial investment in
furnishing the tables, chairs, and shelving. The Coffee Shop Lease Agreement provides the
Friends with shelf space for the sale of used books and other merchandise, and assigns the income
from the coffee shop Lessee to the Friends. In return, the Friends agree to assume certain
responsibilities in relation to the Coffee Shop Lease Agreement.
2. MOU Term
The term of this MOU is five (5) years, beginning on March 4.2015 and terminating on March
2020, unless the Coffee Shop Lease Agreement is terminated sooner, as set forth in the Lease
Agreement.
3. Bozeman Library Board of Trustees ("Trustees") Responsibilities
a. Monthly lease payments under the Coffee Shop Lease shall be payable to the Friends for
the term of this MOU.
b. The Friends shall be allowed to occupy shelf space in the Coffee Shop, as described in
the Coffee Shop Lease Agreement, for no charge during the term of this MOU.
4. Friends Responsibilities
a. The Friends will provide used books for sale in the Coffee Shop, along with other
merchandise in support of the Bozeman Public Library.
b. The Friends will work with the Library Director to ensure that the terms of the Coffee
Shop Lease Agreement are fulfilled by the Lessee.
5. Modification and Termination
Any and all amendments to this MOU must be made in writing and must be agreed to and
executed by the parties before becoming effective. This MOU will be terminated without cause if
either the Trustees or Lessee exercises their rights to early termination as provided in the Coffee
Shop Lease Agreement.
