For Consulting Services to Evaluate Regulations and Policies Related to Affordable Housing
THIS AGREEMENT is made as of this CQa day of A o 04A -, 2015,
between THE CITY OF BOZEMAN, a Municipal Corporation, Bozeman, Montana, herein referred
to as "City" and Werwath Associates, a consulting firm, herein referred to as "Contractor."
WHEREAS, the Parties have entered into a Professional Services Agreement dated November
10, 2014, herein referred to as Original Agreement for professional consulting services; and
WHEREAS, the Parties desire to amend the provisions of the Original Agreement.
NOW, THEREFORE, IN CONSIDERATION OF THE MUTUAL COVENANTS
CONTAINED HEREIN, the Parties agree as follows:
To extend the Original Agreement termination date from March 31, 2015 to September 30,
2015; and
2. To enlarge the Original Agreement with the addition of the following tasks to the scope of
services outlined in Attachment A of the Original Agreement and corresponding additions to
Contractors' compensation:
a. As directed by City, Contractor will take primary responsibility for drafting the business
points of two new sections of the City's Code of Ordinances, subject to content review and
legal review by the City: (i) a section describing incentives available to developers and
builders for creating affordable housing units that meet specific criteria and (ii) another
section that sets forth inclusionary zoning (IZ) requirements for provision of affordable
homes in certain new residential developments. Contractor will participate in review
and/or presentation conference calls. Contractor will perform these tasks for an additional
cost, not to exceed $4,500. Daniel Werwath's time will be billed at $130 per hour, and
Peter Werwath's time will be billed at $170 per hour.
b. As directed by City, Contractor will perform the following tasks: (i) gather additional data
from the City, developers, builders and nonprofits sufficient to draft an update the City's
targets for creation of affordable housing units of various kinds over the next three to five
years (including a component for potential affordable units from a new IZ ordinance); (ii)
advise and assist an ad hoc committee of developers/builders in their design of other
possible ways and means of creating affordable housing; and (iii) assist City staff in
avoiding and reconciling possible conflicts and overlaps between the builder/developer
proposals and the draft ordinances, by way of obtaining technical input from the builders
and giving them technical input in return. Contractor will perform these tasks for an
additional cost, not to exceed $2,000. Daniel Werwath's time will be billed at $130 per
hour, and Peter Werwath's time will be billed at $170 per hour.
c. At City's option and sole discretion, Daniel Werwath will travel to Bozeman for up to two
additional site visits to make presentations and/or participate in working sessions with City
staff and others. Contractor's labor and travel expenses will be compensated at fixed costs
as follows: $2,000 for one day or parts thereof on site; $3,000 for two days or parts thereof
on site; and $4,000 for three days or parts thereof on site.
Except as specifically amended herein, the Original Agreement shall remain in full force and
effect and the Parties shall be bound by all terms and conditions therein.
IN WITNESS WHEREOF, the Parties hereto do make and execute this Agreement on the day
and year first above written.
