SUBJECT: Agreement between the City of Bozeman and the Bozeman Sports Park Foundation, Inc. for the Bozeman
Sports Park Project

RECOMMENDATION: Authorize the City Manager to sign the Agreement between the City of Bozeman and
the Bozeman Sports Park Foundation, Inc., (“Foundation”) for the Bozeman Sports Park (“Park Project”).
BACKGROUND: Resolution No. 4521 approved the allocation of Trails, Open Space
and Parks (TOP) bond funding in an amount not to exceed $7,500,000 for the acquisition park land and development of the Bozeman Sports Park and called for the City to enter into a binding
agreement with the party responsible for providing the required $976,100 cash and / or in-kind match for the TOP project. The resolution required a binding agreement to be in place prior
to the authorization of any funds for the construction of the project beyond those related to the land purchase and securing of water rights. This will serve as that agreement.
The
Foundation anticipates raising approximately half of the total match by June 30, 2015 and the remainder by June 30, 2016. The Agreement includes language to this effect, with the caveat
that a request to extend the deadline for providing the total match beyond June 30, 2016 must be approved by the Commission. The bid and construction contract will be structured so that
phasing of improvements may occur (via add-alternates). All design and engineering and construction contracting is expected to go through the City. If any other entity were to perform
major work for the Park Project, it would require a license agreement to be approved by Commission.
Professional service providers, vendors, or contractors who have agreed to provide
a lower price as part of the Foundation match will still participate in competitive bidding in accordance with City protocols, indicating the cost of all goods and services along with
the amount of price reduction to serve as match. The Agreement also stipulates that the Foundation and the City will work together to formulate standards and criteria for naming rights,
sponsorship, and other recognition of donors, subject to the approval of the Commission.
City engineering, community development, and parks department staff will continue to hold project
status meetings to ensure that road and infrastructure design and construction in the rights-of-way surrounding the park, as well as improvements on adjacent properties being developed,
are well coordinated.
UNRESOLVED ISSUES: 1) Completion of annexation and zoning and subdivision exemption will occur immediately after the Agreement is executed. 2) Relocation of
a small power box to a site near the west property line will be handled during design and engineering of the park.
ALTERNATIVES: Per Commission.
FISCAL EFFECTS: The Agreement
solidifies the $976,100 financial commitment of the Foundation for the project to proceed as previously approved.
