WHEREAS, on the 11th day of June, 2001,the City Commission voted to authorize the Mayor to
sign the bylaws presented on that date; and
WHEREAS, an application to amend those bylaws was received and heard at a special meeting of
the Bozeman Senior Citizens'Advisory Board held on the 5th day of September,2002; and
WHEREAS, additional housekeeping amendments were considered at a regular meeting of the
Bozeman Senior Citizens'Advisory board on the 6`h day of March, 2003;and
WHEREAS, additional amendments were considered at a regular meeting of the Bozeman Senior
Citizens'Advisory board on the 7'h day of May,2008; and
WHEREAS,the board voted to amend and replace those bylaws as contained herein:
NOW, THEREFORE, be it resolved that the Bylaws of the Bozeman Senior Citizen's Advisory
Board be amended as follows:
ARTICLE 1-CREATION
The Bozeman Senior Citizens' Advisory Board, hereinafter referred to as the Board, was created
on the 27th day of August, 1990, by City of Bozeman Ordinance No.2782.
ARTICLE II - OBJECTIVES
The Board shall act as the advisory board to the City Commission on matters relating to senior
citizen issues and on matters relating to the Bozeman Senior Citizen Center Building and Grounds located
at 807 North Tracy Avenue,Bozeman,Montana.
ARTICLE III-POWERS AND DUTIES
The Board shall have the following duties and responsibilities:
Make recommendations on senior issues of importance to the Bozeman City Commission and
City Manager, and in general provide input to all entities within the City of Bozeman regarding
matters of interest to seniors. There is no specific responsibility related to policies and
operation of the Bozeman Senior Center. This responsibility rests only with the Senior
Center Board of Directors.
ARTICLE IV -MEMBERSHIP
A. Appointment-Terms
1. Members. The board shall consist of seven members, appointed by the City
Commission. Each member may serve a maximum of three (3) consecutive terms on the
Board. Members of this Board shall serve two-year staggered terms. Vacancies shall be
filled in the same manner as original appointments for the balance of the term remaining.
Membership shall be distributed as follows:
One nominated by the Bozeman Senior Center Board of Directors from Senior Center
membership.
One nominated by and from the senior living facilities in Bozeman.
One specifically nominated from outside Bozeman,elsewhere in the Gallatin Valley.
Four that are selected from applications at large from within Bozeman.
B. Qualifications
Persons of legal age may be appointed to the Board. A minimum of five members shall reside
within the city limits of Bozeman.Nonresident members of the Board shall have some interest in the
city by virtue of working in the city, owning property in the city, or entering the city frequently for
any lawful purpose.
C. Compensation-Expenses
The City shall pay only the expenses of the Board which have been authorized by vote of the
City Commission prior to said expense being incurred. Members shall serve without compensation
for their time and services.
D. Resignations and Vacancies
Resignations from the Board shall be submitted in writing to the City Commission, with a
copy of the letter to be sent to the Chair.
E. Removal from Office
1. Any appointee may be removed from office by a majority vote of the City Commission.
2. Three(3)unauthorized consecutive absences from regularly scheduled Board meetings shall
be grounds for removal of a member of the Board. Absences shall be authorized by the
Chairman or Vice-Chairman.
F. City Commission Liaison
One member of the City Commission shall be assigned as a non-voting liaison member to
the Board and may attend meetings of the board, schedule permitting. An alternate from the
Commission may also be appointed. This Liaison member will act as a conduit between the
board and the City Commission and provide a contact for the Board.
ARTICLE V-OFFI_CE OF AGENCY, STAFF SUPPORT
The Board shall maintain its offices in the office of the City Clerk of the Commission. The City
Clerk shall be responsible to assist the Board in scheduling of meetings, distribution of agendas and
meeting minutes, and providing notification of Board activities to interested parties.The City
Commissioner assigned, shall serve as liaison between the Board,the City Manager and the City
Commission.
ARTICLE VI-OFFICERS AND THEIR DUTIES
A. The Board shall elect from its voting members a Chair, Vice-Chair and Recording Secretary at
its first regular meeting of each calendar year.
B. The Chair shall preside at all meetings of the Board and shall exercise the duties normally
conferred by parliamentary procedure on such officers. The Chair may call special meetings and
generally perform other duties as may be prescribed by the Board or the City Commission.The Chair
shall initiate items for discussion and recognize all matters brought up for discussion before the
Board.
C. The Chair, the Vice-Chair and the Recording Secretary shall continue to serve as voting
members of the Board following their election.
D. The Vice-Chair shall have the authority to act as Chair in the absence or disability of the Chair.
E. In the absence of the Chair and the Vice-Chair,the members of the Board shall select an Acting
Chair.
F. The Recording Secretary shall be responsible for taking, preparing and distributing the minutes
of all meetings. In the absence of the Recording Secretary, the Chair shall appoint any member
present to act in the capacity of Recording Secretary. One copy of the minutes shall be filed in the
Office of the Clerk of the Commission, which copy shall be the official approved minutes of the
Board and shall be submitted following the meeting at which the minutes are approved.
ARTICLE VII-MEETINGS
A. Schedule of Meetings
The Board shall hold regularly scheduled meetings as frequently as necessary to fulfill its function
and not less often than quarterly. The regular meeting place of the Board shall be in the Conference
Room in City Hall, located at 411 East Main,Bozeman,Montana.
B. Special Meetings
The Chairman of the Board, the staff person assisting the Board, or any two members of the Board
may call special meetings of the Board as needed.
C. Quorum
A Mkqdty of the voting members present at any announced meeting(but at least 3)shall constitute a
quorum.
D. Open Meetings and Documents
All meetings of the Board shall be open to the public, and its documents shall be open for inspection
and review during regular business hours of the City. Reasonable public notice shall be given prior to
meetings.
E. Rules of Order
Meetings of the Board shall be conducted according to all applicable rules and regulations of the
City of Bozeman and according to Robert's Rules of Order, unless otherwise specified in these
Bylaws. A voting member of the Board or the City staff person assisting the Board may be
designated by the Chair to serve as parliamentarian. No action of the Board is official, however,
unless authorized by a majority of members present at a properly called meeting at which a quorum
is present.
F. Conflict of Interest
Board members shall be bound by all applicable provisions of the Code of Ethics contained in
Chapter 2.01 of the Bozeman Municipal Code. All members who feel they may have a conflict of
interest with regard to a specific item—shall inform all other board members and shall not participate
in either the vote or the discussion on that item. In the event of disqualification from a conflict of
interest, such fact shall be entered into the minutes of the meeting.
ARTICLE VIII-OPERATING POLICY/DISCRIMINATION/ADA
The Board and its members shall comply with §49-3-205 Montana Code Annotated along with all
pertinent amendments as well as any federal regulations regarding discrimination.
ARTICLE IX-AMENDMENTS
Bylaw amendments may be introduced in writing by any member of the Board at a regular
meeting. Action by a majority of the Board on the amendments may be taken on second reading at any
future regular meeting. Bylaws shall not be amended in conflict with City of Bozeman policies or
ordinances; and the City Commission shall be provided with informational copies of bylaw amendments.
Bylaw amendments, once adopted by the Board, shall be forwarded to the Clerk of the
Commission for inclusion in the official bylaws, and the official bylaws and all bylaw amendments shall
then bear the signature of the current Chair.
