MEETING DATE: October 15, 2007 BACKGROUND: At the budget public hearing held Monday, August 27, 2007 the City Commission amended FY 2008 Budget/Appropriation Resolution No. 4060 by adding funding for the SR2S program in the amount of $20,000 from the Special Projects fund. On August 31, 2007 a representative of the City met with representatives of School District 7, the SR2S Citizen Task Force, Bozeman Area Bicycle Advisory Board, GVLT and Alta Planning + Design. The goal was to determine what other funding sources were available for the project and determine a scope of services. It was determined that a comprehensive plan including, at a minimum, all primary schools in SD 7 within city limits, including existing and proposed school facilities, should be the focus of any SR2S plan. A comprehensive plan would also be the most cost effective approach. The budget for a comprehensive primary schools plan totals $ 40,100 leaving an unfunded balance of $20,100. The budget for a comprehensive plan including both primary and middle schools totals $ 49,440. On Tuesday, October 2, 2007 the Bozeman Area Bicycle Advisory Board voted to support funding the SR2S plan(s) and, pending Commission approval, will allocate $9,730 to further fund a comprehensive plan. The BABAB recommends utilizing $9,730 of “Bike Route Network” funding to supplement the $20,000 in Special Projects funds allocated by the Commission. Commission funding, combined with BABAB funding, if approved, amount to $29,730, leaving an unfunded balance for a plan, inclusive of all primary schools, of $9,340 ($19,710 for both primary and middle schools) Currently, SD 7 supports fund raising efforts in the community through the District’s Parent Action Committees (PAC’s) to further supplement funding for the comprehensive plan(s). Funds raised by each school’s PAC could be pooled and used to make up the final deficit of $9,340 for comprehensive primary school plans ($19,710 for both primary and middle schools). Despite not having secured all the funding for a comprehensive plan for primary schools, as proposed by Alta, it is recommended to finalize the attached contract for consulting services in order to 39 build upon recent “Walk to school” month momentum and support and to take advantage of the favorable weather preferred for the required walking audits of the schools. The contract can be amended as the remainder of the funding is secured. A SR2S community forum is scheduled for Thursday, November 1, 2007 in the Community Room of the Gallatin County Courthouse. In the event that additional funding is not forthcoming, Alta has structured the scope of services such that useful plan(s) can be created using the funds provided by the Commission only, if necessary ($20,000) or a combination of the City’s Special Project funds and the BABAB funds ($29,730). Any scaled budget would necessitate reviewing fewer primary schools and consequently producing fewer plans. Additionally, fewer services may be rendered by Alta for those schools chosen for review. RECOMMENDATION: Authorize the City Manager to sign professional services contract with Alta Planning + Design to provide Safe Routes to School consulting services. FISCAL EFFECTS: The funding source for this portion of the SR2S project is the Special Projects fund. The balance of the fund after the $20,000 allocation to SR2S is $212,450. CITY hereby engages Alta Planning + Design to perform for CITY certain services in connection with said PROJECT in accordance with this AGREEMENT. CITY and ALTA agree as set forth below: I. SCOPE OF SERVICES ALTA shall provide CITY services specified in Exhibit “A” and in accordance with terms and conditions of this AGREEMENT. The scope of services shall generally be described as performing an assessment of bicycling and walking and traffic safety conditions at elementary schools in Bozeman. The following major tasks will be performed: Item 1. Hosting of a community workshop to introduce community members to Safe Routes to School concepts, tools, and program models. Item 2. Alta will execute community walking audits around each of Bozeman’s six elementary schools and at the site of the future elementary school to record concerns and potential solutions to improve walking and biking conditions. Item 3. School Improvement Plans will be developed for two Bozeman elementary schools, detailing recommended infrastructure improvements for each school. II. SCHEDULE ALTA shall strive to complete the Services in a timely fashion so as to meet CITY requirements according to the schedule that shall be developed during the project kickoff meeting (see Exhibit A, Task 1.1). If CITY requests significant modifications or changes in the scope or requests additional services, the time for performance shall be correspondingly adjusted. 1 41 III. COMPENSATION Compensation for the performance of services rendered by ALTA pursuant to this AGREEMENT shall be in accordance with Exhibit B. The contract amount specified in Exhibit B shall not be exceeded without a written AGREEMENT between ALTA and CITY. ALTA may submit invoices to CITY for progress payments not more than once each month. Invoices will be prepared in a form and supported by documentation as CITY may require. Payments to ALTA shall be made by CITY within two weeks of receipt by CITY of invoice for services performed. IV. INSURANCE COVERAGE ALTA maintains: (a) worker’s compensation and employer’s liability insurance in accordance with requirements of the state in which the Services are being performed; (b) comprehensive liability insurance (including contractual and contractor’s protective liability coverage with combined single limits of $1,000,000 per occurrence for bodily injury and property damage; (c) automobile liability coverage including owned and hired vehicles with a combined single limit of $1,000,000 per occurrence for bodily injury and property damage; and (d) professional liability insurance in the amount of $2,000,000 per claim ($8 million aggregate). Upon reasonable notice, ALTA shall provide copies of the certificates of insurance necessary to demonstrate appropriate insurance coverage, including but not limited to commercial general liability, worker’s compensation, disability and, where applicable, professional liability coverage. V. OWNERSHIP OF DOCUMENTS All documents produced by ALTA pursuant to this AGREEMENT are instruments of service and shall remain both CITY’s and ALTA’s property. ALTA shall provide CITY with reports, maps, and plans detailed as deliverables in Exhibit A, in electronic and/or hard copy format as specified in Exhibit A. Documents or electronic materials provided to CITY are for CITY’s use only, for the purposes disclosed to ALTA, and CITY shall not transfer them to others or use them or permit them to be used for an extension of Services or any other project or purpose for which they were not prepared, without ALTA’s express written consent. CITY and ALTA agree to indemnify and defend one another for any unauthorized use of any document or electronic materials. VI. TERMINATION This AGREEMENT may be terminated by either party upon not less than seven (7) days written notice should the other party substantially fail to perform in accordance with the terms of this AGREEMENT through no fault of the party initiating the termination. CITY’s failure to make payments when due for Services and expenses shall be deemed a material failure permitting ALTA to terminate this AGREEMENT. In the event of termination of this AGREEMENT, ALTA shall be compensated for Services performed and expenses incurred prior to the date of termination along with all reasonable and necessary expenses attributable to such termination. 42 VII. SUSPENSION If ALTA fails to receive payment when due for Services and expenses, ALTA may, upon seven (7) days written notices to CITY, suspend performance of the Services without further notice. Upon a suspension of Services, ALTA shall have no liability to CITY for delay or damage caused by such suspension. VIII. ADDITIONAL SERVICES ALTA may be engaged to perform any additional services with a fully executed and authorized Additional Services Authorization that has been signed and approved by CITY and ALTA, with rates and expenses per Exhibit C. IX. USE OF SUBCONSULTANTS ALTA may use independent professional associates, consultants or subcontractors in the performance of a portion of the Services. X. THIRD PART BENEFICIARY The Services to be performed by ALTA are intended solely for the benefit of the CITY. No benefit is conferred on, nor any contractual relationship established with any person or entity not a party to this AGREEMENT. No such person or entity shall be entitled to rely on ALTA’s performance of its Services hereunder. No right to assert a claim against ALTA, its officers, employees, agents or consultants shall accrue to any third party as a result of this AGREEMENT or the performance or non-performance of ALTA’s Services hereunder. XI. NO CONSEQUENTIAL DAMAGES In no event shall either party to this AGREEMENT be liable to the other party for consequential or indirect damages, including but not limited to, loss of profits or revenue, loss of use of equipment, loss of production, additional expenses incurred in the use of the equipment and facilities and claims of customers of CITY. This disclaimer shall apply to consequential damages based upon any cause of action whatsoever asserted including ones arising out of any breach of warranty, guarantee, products liability, negligence, tort, strict liability, or any other cause pertaining to the performance or non-performance of the contract by CITY/ALTA. XII. ELECTRONIC MEDIA Data, words, graphical representations and drawings that are stored on electronic media such as computer disks and magnetic tape, or which are transmitted electronically, may be subject to uncontrollable alteration. CITY and ALTA agree they may only justifiably rely upon the final hardcopy materials supplied by the consultant at the completion of each task. XIII. AMENDMENTS This AGREEMENT may be amended, modified or supplemented only by written instrument. 3 43 XIV. COMPLIANCE WITH LAWS, CHARTERS AND ORDINANCES, ETC. ALTA, its consultants, officers, associates, agents and employees, shall comply with current applicable Federal and State laws, the Charter and Ordinances of the City of Bozeman, and with current applicable rules and regulations promulgated by local, State and National boards, bureaus and agencies. XV. NO WAIVER No waiver by ALTA or CITY of any power, right or remedy hereunder or under applicable law with respect to any event or occurrence shall prevent the subsequent exercise of such power, right or remedy with respect to any other or subsequent occurrence. XVI. SEVERABILITY AND REFORMATION Any provision or part thereof of this AGREEMENT held to be void or unenforceable shall be deemed stricken and all remaining provisions shall continue to be valid and binding upon the parties. The parties agree that this AGREEMENT shall be reformed to replace such stricken provision or part thereof with a valid and enforceable provision which comes as close as possible to expressing the intention of the stricken provision. XVII. NOTICES All notices, communications and reports required or permitted under this AGREEMENT shall be personally delivered or mailed to the respective parties by depositing same in the United States Mail at the addresses shown below, unless and until either party is otherwise notified in writing by the other party at the following addresses. INDEMNIFICATION The CITY shall indemnify ALTA, its partners, officers, directors, agents and employees from all claims, damages, losses and expenses including reasonable attorney’s fees, arising out of, or in any manner connected with, the performance of the Services and caused by the CITY’S acts, errors or omissions. ALTA shall indemnify the CITY, its agents and employees from all claims, damages, losses and expenses including reasonable attorney’s fees, arising out of, or in any manner connected with, ALTA’S negligent performance of the Services. 44 XIX. GOVERNING LAW This AGREEMENT shall be governed by and construed in accordance with the laws and decisions of the State of Montana. XX. ENTIRE AGREEMENT This AGREEMENT (including all exhibits attached to and made a part thereof) embodies the complete agreement of the parties, superseding all oral or written previous and contemporary agreements between the parties and relating to matters in this AGREEMENT, and except as otherwise provided herein, cannot be modified without written agreement of the parties to be attached to and made a part of this AGREEMENT. XXI. STANDARD OF CARE The standard of care for all professional services performed or furnished by ALTA under this AGREEMENT will be the care and skill ordinarily used by the members of ALTA’s profession practicing under similar conditions at the same time and in the same locality. XXII. REPRESENTATIVES Each party represents and warrants to the other that: 1. It is duly organized and validly existing in the jurisdiction of its organization and has all the necessary power and authority to execute, deliver and perform this AGREEMENT. 2. The execution, delivery and performance of this AGREEMENT has received all necessary partnership, corporate or other approvals, and does not conflict with any law, regulation, order, contract or instrument to which such part is bound. 3. The individual signing on this behalf is duly authorized to execute this AGREEMENT to legally bind such party. Birk, Principal City of Bozeman Alta Planning + Design PO Box 1230 1638 NE Davis Street Bozeman, MT 59771-1230 Portland, Oregon 97232 5 45 EXHIBIT A: BOZEMAN SAFE ROUTES TO SCHOOL SCOPE OF WORK 10-9-07 Bozeman Safe Routes to School Assessment Any Safe Routes to School (SR2S) effort should begin with an assessment of facilities available for children to walk and bike to school, aimed at identifying barriers and developing recommended routes. This Safe Routes to School Assessment will analyze existing conditions and opportunities and constraints of physical environment surrounding Bozeman’s elementary schools. The product of the assessment will be a School Improvement Plan containing: • Written assessment of existing facilities and deficiencies • Prioritized list of engineering projects to correct deficiencies • Comparative cost opinion for recommended projects • Recommended next steps towards a comprehensive Safe Routes to School program In order to build understanding of Safe Routes to School concepts and begin the important process of building team capacity, the process will bring together school administrators and teachers, parents and children, City of Bozeman staff, and community partners (such as the Bicycle Advisory Board, the Pedestrian/Traffic Safety Committee, and the MT NAPA program). The existing Safe Routes to School task force that received an MDT SR2S grant for work at Emily Dickinson School will be included in the project at all stages in order to build on past efforts and strengthen the community team. TASK 1: PROJECT INITIATION An initial scoping meeting will be held with the City of Bozeman and stakeholders, including the existing SR2S task force, to (1) review the work plan and schedule and make changes as needed, (2) identify stakeholders, (3) collect available information, and (4) identify potential future meeting dates. Changes to the work plan and schedule will be made and amended versions sent out along with meeting minutes. A Project Advisory Team will be formed, consisting of City staff (to be identified) and the existing citizen Safe Routes to School Task Force. School administrators or teachers will be invited to participate. Alta will supply survey questions to the Project Advisory Team if they wish to perform outreach before the walking audit to identify areas and facilities of concern. If this is desired, details will be worked out during the kickoff meeting. Background data to be collected and reviewed includes: • City GIS data (including property boundaries, traffic control devices, and roadway widths) • Collision data • Aerial photography of each school 1 46 DRAFT BOZEMAN SR2S WORK PLAN 8-29-07 All GIS and aerial photography data will be provided by the City of Bozeman. Task 1 Deliverables: • Revised work plan and schedule • Project scoping meeting minutes TASK 2: COMMUNITY WORKSHOP Alta will facilitate a community workshop to introduce community members to Safe Routes to School concepts, tools, and program models. This workshop will be scheduled at a time when parents and children are most likely to be able to attend (such as a weekend afternoon). All community members may attend. The two-hour workshop will include an overview presentation of the “Five E’s of SR2S programs” (Education, Encouragement, Enforcement, Engineering, and Evaluation), and group discussions. Alta will prepare presentations, handouts, agendas, and minutes. Alta will publicize the workshop through a media release as well as through email outreach in partnership with existing community organizations (e.g. the Bicycle Advisory Board, GVLT, the Safe Trails Coalition, the MT-NAPA project, and the Pedestrian/Traffic Safety Committee). Alta will also contact school administrators and principals personally to invite them to the workshop. The community meeting venue will be provided and/or arranged by the City. Task 2 Deliverables: • Community Workshop agenda, presentation, and materials • Community Workshop facilitation • Community Workshop summary TASK 3: SCHOOL WALKING AUDITS Alta will schedule and execute walking audits around each of Bozeman’s six elementary schools and at the site of the future elementary school. The Project Advisory Team will identify at least one school administrator (preferably a principal and/or an interested teacher) and one City liaison (preferably a traffic engineer or planner) to invite to each walking audit. The Project Advisory Team will also take primary responsibility for scheduling the walking audits and in securing necessary meeting spaces, as well as for grassroots outreach to potential walking audit participants. Once the Project Advisory Team has finalized a list of participants and meeting time/date, Alta will coordinate logistics and invitations. Before the walking audit, Alta staff will review existing city and other relevant plans for the area to provide up-to date information during community discussion. In addition, Alta will prepare a map of the “walking boundary” of each school, defined as approximately a five-block radius around each school. In Alta’s experience, families living within the walking boundary of the school are much 2 47 EXHIBIT A: BOZEMAN SAFE ROUTES TO SCHOOL SCOPE OF WORK 10-9-07 more likely to walk to school, and are the best target audience for initial SR2S efforts. As time allows, additional facilities may be reviewed as well (such as problem areas identified by the Project Advisory Team). Walking audits will be led and facilitated by Alta staff for each of the following schools: • Emily Dickinson School • Hawthorne School • Irving School • Longfellow School • Morning Star School • Whittier School A walking audit will be performed of existing conditions at the new school site as well. Participants will gather for up to one hour before the selected audit time to discuss typical SR2S types of improvements, types of issues to look for during the audit, and the range of potential measures that can be implemented. A black-and-white copy of the area map and a one-page “SR2S toolbox” summary will be provided to each participant to assist them in identifying barriers and opportunities for students walking and biking to school within the walking boundary. During the one-hour walking audit, community members will walk streets in the school walking boundary and discuss issues, concerns and ideas. Alta staff will facilitate discussions, answer questions, take notes, and mark specific notes on the master map. After the walking audit, participants will have a hands-on work session with a clean area map to develop draft recommended routes, problem locations, and infrastructure solutions. Each walking audit will take no more than 4 hours. For the planned elementary school, a slightly shorter walking audit may be sufficient. The appropriate level of detail for the planned school audit will be determined during the project kickoff meeting. Task 3 Deliverables: • Black-and-white area map of each school walking boundary area showing roads, traffic volumes, crash data, traffic control devices, and property boundaries (both 8.5 x 11-inch and 36x48 format will be prepared) • One page “SR2S toolbox” summary document • Conduct up to 7 walking audits • Brief (1-3 page) report from the walking audit, including process, attendees, and recorded concerns and issues 3 48 DRAFT BOZEMAN SR2S WORK PLAN 8-29-07 TASK 4: SCHOOL IMPROVEMENT PLAN DEVELOPMENT After the walking audit, School Improvement Plans will be developed for two (2) Bozeman elementary schools. Improvement concepts will be shown at a planning level of detail that will be sufficient to develop comparative cost opinions. The Project Advisory Team will be responsible for selecting the two schools (Alta staff will advise the team on this decision if desired). Additional schools can be added to this task through an ‘Additional Services Authorization’ that has been signed and approved by the City and Alta, with rates and expenses per Exhibit C. Likely funding sources include Bozeman Area Bicycle Advisory Board funds and Parent Advisory Councils. Based on the findings from the walking audit, Alta staff will develop up to 10 recommended infrastructure improvement projects within the walking boundary of each school. Improvements will be displayed on a map, listed in table format, described in text, and illustrated through sample graphics. Some improvements may be shown as a graphic illustration superimposed on aerial photographs, as appropriate and as budget allows. Alta staff will develop comparative preliminary cost symbols for each improvement project (displayed as $, $$, $$$). The School Improvement Plan will contain a list of “next steps” towards establishing a comprehensive Safe Routes to School program that includes the “Five E’s” (Education, Encouragement, Enforcement, Engineering, and Evaluation). At least one next step will be provided for each of the “Five E’s.” This portion of the School Improvement Plan is not meant to be a comprehensive SR2S plan but rather will contain recommendations for realistic next steps that can be taken by stakeholders and interested community members in order to build momentum for a Bozeman SR2S program. Alta staff will submit electronic copies of the Draft School Improvement Plans for one round of review from the Project Advisory Team and from participants in the original walking audit. After review by stakeholders, Alta staff will revise, prepare and submit final Safe Routes to School maps and final School Improvement Plans for each of the 2 schools. Alta staff will present the final School Improvement Plans to the Bozeman City Commission, and will invite stakeholders and participants in the walking audits to attend this meeting. Up to ten color copies of the six School Improvement Plans will be prepared for use by the City Commission, the schools and school district, and community advocates. An electronic master copy will be provided on a CD-ROM and/or by FTP transfer, as specified by City staff. Task 4 Deliverables: • Draft School Improvement Plan for each school, including prioritized list of recommended projects, descriptions of each project, and cost opinions (in PDF format) • Final School Improvement Plan for each school (in PDF format) • Presentation and materials for City Commission presentation • Up to ten color hard copies for each of the six School Improvement Plans 4 49 EXHIBIT A: BOZEMAN SAFE ROUTES TO SCHOOL SCOPE OF WORK 10-9-07 TASK 5: ON-CALL CONSULTING TIME 30 hours of on-call consulting time will be reserved for the SR2S Task Force and City staff in order to support existing efforts and provide technical assistance and knowledge of best practices to the community. These hours may be used for research, strategic advice, facilities or program questions, or in any other way that the SR2S Task Force feels will assist their work. A record of the use of this on-call consulting time will be provided in the monthly invoice and in a monthly status report to the City and to the Project Advisory Team.
