SUBJECT: Durston Road SID 684 Project
Professional Services Agreement Amendment No. 4
MEETING DATE: November 6, 2006,Consent Agenda
BACKGROUND: Three(3)original signature copies of the partially executed Amendment No 4 to
the Professional Services Agreement for the above referenced project have been
provided to the City Clerk.
The current Professional Services Agreement, which was signed on September
10, 2001, consists of pre-design design engineering services only Amendment
No. 1 to the Professional Services Agreement, which was signed on October 18,
2004, consists of preliminary design, final design, and bid phase engineering
services. Amendment No. 2 to the Professional Services Agreement, which was
signed on April 18, 2005, consists of an evaluation of the levels of service on the
Durston Road corridor prior to completion of the proposed improvements.
Amendment No. 3 to the Professional Services Agreement, which was signed on
February 27,2006,consists of construction phase services.
Amendment No. 4 provides for an increase to the final design fee for items that
were outside of the original scope of services, such as the elimination of the
raised concrete median by the City Commission and subsequent re-design of the
construction plans, and modification of the intersection design of Durston Road
and North 19'" Avenue to coordinate with the improvements east of North 19°i
Avenue. The cost of these final design services increases the contract from
$226,070.00 by$43,261.00 for a total of$269,331.00.
The total amount of the amended Professional Services Agreement is
$667,216.00
RECOMMENDATION: The Commission make a motion to authorize the City Manager to sign the
Durston Road SID 684 Professional Services Agreement Amendment No. 4.
FISCAL EFFECTS: The project will be funded through an SID, Street Impact Fees, Water Impact
Fees, and Sewer Impact Fees.

AMENDMENT NO. 4 TO
PROFESSIONAL SERVICES AGREEMENT
FOR
DURSTON ROAD IMPROVEMENTS

THIS IS AN AGREEMENT made as of ,2006,between
THE CITY OF BOZEMAN, a Municipal Corporation, P.O. Box 1230, Bozeman, Montana,
59771-1230(OWNER)and Morrison-Maierle,Inc.,P.O.Box 1113,Bozeman,Montana,59771-
11.13 (ENGINEER).
WHEREAS the parties previously entered into a Professional Services Agreement dated
September 10, 2001, herein referred to as the Original Agreement, for professional engineering
services to provide a Pre-design Report, and assist the City with Special Improvement District
Formation relating to widening West Durston Road between N. 19th Avenue and Fowler Avenue;
and
WHEREAS,the parties amended the provisions of the Original Agreement with Amendment
No. 1,dated October 18,2004,to include preliminary design,final design,and bidding or negotiating
engineering services for the West Durston Road improvements; and
WHEREAS,the parties amended the provisions of the Original Agreement with Amendment
No. 2, dated April 18, 2005, to include an evaluation of the levels of service on the Durston Road
corridor between N. 19th Avenue and Cottonwood Road prior to completion of the proposed
improvements; and
WHEREAS,the parties amended the provisions of the Original Agreement with Amendment
No. 3,dated February 27,2006,to establish the provisions for payment to the Engineer for services
and expenses for construction engineering services for the West Durston Road improvements; and
WHEREAS, the parties desire to again amend provisions of the Original Agreement to
include payment to the Engineer for additional services and expenses for a change in design scope by
eliminating the concrete median and modifying the design of the intersection of Durston Road and N.
19th Avenue for the West Durston Road improvements.
NOW, THEREFORE, IN CONSIDERATION OF THE MUTUAL COVENANTS
CONTAINED HEREIN, the parties agree as follows:
Article 1 - Engineering Services
1.1 The detailed description of specific project components is amended as follows:

Task 7A Final Design Phase Changes
Engineer shall redesign Durston Road due to the elimination of the concrete medians and the
Engineer shall modify the intersection design of Durston Road and N. 19'h Avenue and
coordinatic with the Durston Road improvements east of N. 19t1i Avenue. Plans and
specifications will be finalized and bid packages will be prepared.
ARTICLE 6 - COMPENSATION FOR ENGINEERING SERVICE
6.1 LUMP SUM PAYMENT FOR DESIGN SERVICES AND EXPENSES OFENGINEER
Section 6.1.1 of the Original Agreement is amended to include the following:
6.1.1.1 Payment. The design phase services performed as Basic Engineering Services
under sections 4.2 through 4.4 of this agreement shall be incrcascd from $226,070 by
$43,261.00. The OWNER shall pay a total sum in the amount of$269,331 for such services.
Except as specifically amended herein,the Original Agreement shall remain in full force and effect
and the parties shall be bound by all terms and conditions therein.
In witness whereof, the Parties hereto do make and execute this Agreement.
