Commission Memorandum REPORT TO: Honorable Mayor and City Commission FROM: Sue Stodola, Project Engineer Chris Kukulski, City Manager SUBJECT: Valley Center Road/North 19`h Avenue SID Project Professional Services Agreement Amendment No. 2 MEETING DATE: August 7, 2006, Consent Agenda BACKGROUND: Three (3) original signature copies of the partially executed Amendment No. 2 to the Professional Services Agreement for the above referenced prgJect have been provided to the City Clerk. The current Professional Services Agreement, which was signed on March 17, 2003, consists of pre-design and design engineering services only. Amendment No. I to the Professional Services Agreement, which was signed on January 10, 2005, consists of additional design engineering services and construction phase services. Amendment No. 2 covers several different items which occurred during the course of the construction phase services. See Amendment No. 2 for a listing of the items Some of the items, such as work associated with ADA accessible pedestrian ramps at the intersections, are additions to the contract in the amount of $32,459.00 and one item, removal of wetland mitigation services, is a deduction to the contract in the amount of$47,047.00, with the net result being a decrease in the construction phase services contract amount from $443,391 00 by $14,588.00 to $428,803.00. The total amount of the amended Professional Services Agreement is reduced from $827,994.00 by$14,588.00 to $813,406.00. RECOMMENDATION: The Commission make a motion to authorize the City Manager to sign the Valley Center Road / North 19°i Avenue SID Professional Services Agreement Amendment No.2. Stodola, Project Engineer Chris A.Kukulski, City Manager Attachments: Amendment No. Report compiled on 8/2/06 cc: Brit Fontenot w/orig. enclosures Project File ' T Amendment No.2 to Professional Services Agreement For North 19'h Avenue and Valley Center Road Engineering THIS AGREEMENT is made as of this day of 2005,between THE CITY OF BOZEMAN,a Municipal Corporation, Bozeman, Montana,herein referred to as OWNER and Thomas,Dean&Hoskins,Inc.,an Engineering Consulting Finn of Bozeman,Montana,herein referred to as ENGINEER. WHEREAS,the parties have entered into a Professional Services Agreement dated March 17,2003,and herein referred to as Original Agreement for professional engineering services; and amended by Amendment No. 1 dated January 10,2005; and WHEREAS,the parties desire to further amend the provisions of this Agreement. NOW,'THEREFORE,IN CONSIDERATION OF THE MUTUAL COVENANTS CONTAINED HEREIN, the parties agree as follows: ARTICLE 4-BASIC ENGINEERING SERVICES 4.5 CONSTRUCTION PHASE Section 4.5.1 of the Amended Agreement is amended as follows: 4.5.1.2 Provide personnel,equipment, and supplies for construction layout and control, including establishment of line,grade and blue top staking, and special staking for all light poles,ADA ramps, striping and miscellaneous structures. 4.5.1.14 Wetland mitigation services by subconsultant,to include design and wetland banking cash-in- lieu payment to US Army Corps of Engineers.No construction of wetlands mitigation improvements is required. 4.5.1.15 Surveying and field engineering to install ADA accessible ramps at all intersections. 4.5.1.16 Traffic control coordination for MDT overlay. ARTICLE 6-COMPENSATION FOR ENGINEERING SERVICES 6.2 DIRECT LABOR COST PAYMENT FOR BASIC SERVICES AND.EXPENSES OF ENGINEER Section 6.2 of the Amended Agreement is amended to include the following: 6.2.1 The OWNER shall pay for Construction Phase and Project Documentation Services an amount not to exceed $428,803 except as provided under 6.2.1.2 and 6.2.4. 6.2.2. Reimbursable,Fx.penses, as defined in section 7.4 of this Agreement, for Basic Services and Approved Additional Services shall be paid to the ENGINEER by the OWNER in the actual amount of the costs incurred up to an amount not to exceed $ 55,850 which includes $ 12,600 for consultants employed by the Engincer and $ 41,250 for all other reimbursable expenses. 1 w Except as specifically amended herein, the original agreement shall remain in full force and effect and the Parties shall be bound by all terms and conditions therein.
