Smith April 2, 2014 Mr. Chris Kukulski, City Manager City of Bozeman 121 North Rouse Bozeman, Montana 59771-1230 Re: Letter of Engagement Dear Mr. Kukulski: This letter will serve as my letter of engagement for specific insurance and risk management needs of the City of Bozeman. I will be providing in-depth insurance reviews of Bozeman's current insurance contracts, reviews of past and current insurance claims, and risk management reviews as needed by the City. I will also be available for in-house training for the various departments on an as-needed basis on specific topics as requested by the City. Please see Exhibit A attached for a more specific scope of services. My work will be as an independent contractor and not as an employee of the City and I agree to comply with the City's Anti-Discrimination Policy. My fee for these services is $200/hr. which includes my travel and expenses. The estimated time for the above referenced services is approximately 20-30 hours annually. I carry Professional Errors and Omissions Liability insurance with a limit of$250,000 per occurrence. My Federal Tax ID #is 561-42-5143, and my Montana Consultant's License is #44. This letter of engagement complies with Montana Statute#33-17-511 which regulates my conduct as an insurance consultant and requires an acceptance signature on the enclosed copy. Respectfully submitted: James Smih,� CU, CIC,AFSB Accepted by t - Date: Chris Kukulski, City Manager EXHIBIT A Primary Services: 1) Provide a written analysis of the suitability of the City's existing property and liability coverage. The analysis needs to include how our coverage and service compares to industry standards and make recommendations to fill gaps if and where they exist. 2) Assisting the City in identifying its insurable property and liability exposures and recommending professional methods to reduce, assume or transfer risk of loss; 3) As requested, providing risk management guidance and training to officials and employees of the City; 4) Reviewing with appropriate City officials any additional coverages that should be carried but are not covered by the City's current programs, and subject to City's authorization, assist in the marketing and placing such insurance on the City's behalf, 5) Assisting the City if requested in the preparation of applications, statements of values, and similar documents requested by insurance underwriters, it being understood that this is not inclusive of any appraisal work; 6) As requested, reviewing certificates of insurance, endorsements, and contracts with contractors, vendors, and professionals and reviewing any insurance requirements and/or contracts in conjunction with such requests; and 7) As requested, reviewing applications for street closures, park reservations, and encroachment for appropriate indemnification and insurance information; and 8) Reviewing loss reports and generally assist City officials to meet loss containment objectives_ Additional Services Upon Request by City: 9) Assisting the City if requested in the preparation of its annual insurance budget; 10)Attending meetings with employees and officials as requested to promote the safety objectives of the City; 11)Assisting where needed or requested and only as appropriate in the settlement of claims, with the understanding that the scope of services does not include the work normally done by a public adjuster; 12)Assist in the development if requested of a City-wide policy, regulation, and procedures to protect the health and safety of the employees and public and protect the City from liability; and 13)Any other insurance or risk management services deemed necessary by the City.
