Board Meeting Minutes
January 22, 2014

ACTION: Dan Himsworth moved to approve the November and December minutes as presented.
Mike Basile seconded the motion.
All voted in favor.
Chris began the meeting by introducing
and welcoming Dylan Clarkson, American Bank, as the newest member of the board.
Chris also introduced and welcomed Cyndy Andrus as the board’s new liaison to the City Commission.
Finance
Report
Chris presented the Finance report reviewing the revenues and expenditures as of January 22, 2014. He noted the only expenditures from the previous report (in addition to typical
maintenance expenses) were: $2500 for holiday decorations, $1200 for winter banners, $2500 for marketing and third quarter Partnership management fee for $16,750.
Chris reported the
following revenues: $60,000 for the 2nd half of the annual assessment, $3450 for Holiday Sponsorships, and $1850 for banner rental fees.
Chris concluded by noting the BID has $118,809
in the savings and checking accounts.
The board did not have any further questions about the Finance Report.
Executive Director’s Report
Maintenance Program Update
Below are the maintenance
statistics comparing year-to-date figures from this year (FY14) to the stats from the same period last year (FY13). We are operating at our typical fall-winter maintenance levels. Currently
we have one part-time employee emptying trash 3-4 days a week. We also have one other employee “on-call” to help with larger projects.

Street Hardware Update
The 10 single stream recycling receptacles were installed December 20th. I think they stand out nicely and thus far have received considerable use. The COB Solid
Waste Department has provided two downtown recycling collection dumpsters for us to use.
The streetlamp replacement bases also arrived, but not before the early snows. The BID maintenance
staff will install them this spring.

Flower Basket Update
Jessica MacDonald of Wagner Nursery and I have been planning 2014 flower basket program. We will be installing a total of 238 flower baskets comprised of 158 18”
baskets and 80 14” baskets. I also ordered 4 extra planted 18” baskets and 4 extra planted 14” baskets which Wagner will keep at their greenhouse. Therefore we will be able to replace
a few baskets should they start to struggle once the heat of summer arrives.
Downtown Parking Update
The graph on the back of this page shows an increase in both garage use and revenue
for December. Entries and revenue were up 17% and 7% over December 2012. Entries and revenue for 2013 were up 13% and 11% respectively over 2012.

Discussion and Decision Items
Flower Basket Update Discussion
During the Executive Director’s report, the Board asked Chris when the flower contract would be rebid. Chris confirmed
that the upcoming 2014 season would be Wagner Nursery’s third season. Therefore he was planning to release a RFP in September or October of 2014.
Graffiti Removal Issues Discussion
During
the Executive Director’s report, Mike Basile asked about the graffiti behind the Bamboo Garden on the corner of West Main and 5th. Chris indicated that property is not in the BID. He
continued that there is several areas just outside the district with prominent graffiti. The board asked if there was anything the BID could do. Chris replied that the district could
offer fee-based graffiti removal services to properties adjacent to the district boundary.
Executive Director Job Description Discussion and Action
Chris presented the memo sent to
BID Board Chair Eric Bowman on November 25, 2013 (attached below). The board engaged in a long discussion about the specific language and subsequent meaning regarding the ED making taking
public positions on issues before the City Commission.
ACTION: Ileana Indreland moved to include the following sentence in the ED Job Description: “Obtain prior approval from the appropriate downtown board(s) before publicly taking an official
position before the City Commission”
Mike Basile seconded the motion.
The board voted as follows:
“For” Ileana Indreland, Mike Basile
“Against” Eric Bowman, Dylan Clarkson, Dan Himsworth,
Eric Sutherland, Buck Taylor
This motion failed.
ACTION: Buck Taylor moved to include the following sentence in the ED Job Description: “Consult with the downtown boards prior to taking
an official position before the City Commission”
Dan Himsworth seconded the motion.
The board voted as follows:
“For” Eric Bowman, Dylan Clarkson, Dan Himsworth, Eric Sutherland,
Buck Taylor
“Against” Ileana Indreland, Mike Basile
This motion passed.
New Business
Cyndy Andrus informed the board that the City Commission would be setting their goals for the
coming year at the February 10th meeting. She asked if Chris could submit any suggested goals specific to downtown in advance of the meeting. Ileana offered better cleaning of the public
garage and parking lots. Mike Basile mentioned improving the public lot at the corner of Babcock and Rouse.
With no further new or old business, the meeting was adjourned.

MEMO TO BID BOARD re: ED Job Description Language
November 25, 2013

ED Job Description Language Revisions
Per your request, the TIF Board discussed the language in the draft revision of the ED Job Description at their meeting on Tuesday, November 12,
2013.
Discussion centered on the following sentence currently in the draft version:
“Seek prior approval from the appropriate downtown board(s) before publicly taking an official position before the City Commission”
After much discussion the TIF Board crafted the following
revision:
“Consult with the downtown boards prior to taking an official position before the City Commission”
The TIF Board members emphasized that the very nature of the executive
director position is to direct at an executive level. Vonda and Bobby recalled that there was general agreement among those on the PMC that the boards needed advance notice and specific
information about any public position the ED takes with the City Commission.
Furthermore the TIF Board acknowledged that other provisions within the job description clearly establish
that the ED works for the downtown boards and is charged with carrying out each board’s mission statements and objectives.

resolution is reached.
