municipal corporation,organized under the laws of the State of Montana,("City"),and
McCapital,LLC("MCC").
WHEREAS,the City on January 29,2gg8 entered into the Meadow Creels
Subdivision Payback Agreement for Traffic Signal Improvements(°,Agreement")with
Meadow Creek Partners,LLC and filed with the Gallatin County Clerk and Recorder as
document number 2293491,and
y'w!kIERT_.9.4,it is the desire of Meadow Creek Partners,LLC to assign all of its
rights,title,and interest in the Agreement to MCC,;and
WHEREAS,pursuant to the A,gzeement the City must provide wrzttrr,n consent
for Meadow Creeds Partners,LLC to assign any right or obligation in the Agreement,
and
THEREFORE,tine undersigned hereto agrees and acquiesces to Meadow Creek,
Partners,LLC assigning all right,title,and interest in the Agreement to MCC:;and
THEREFORE,the terms of the Agreement shall continue in their operation and
effect and no rather terms thereto are being amended. City is simply providing its
consent that the Agreement be assigned to MCC.

FOR WATER IMPROVEMENTS
THIS AGREEMENT,made and entered into this jj dap of
UjjV-h/A 2010,by and between the CITY OF BOZEMAN,a
municipal corporation,organized under the laws of the State of Montana,("Cftyl,and
McCapitaL LLC("MCC").
WHEREAS,the City,on January 29,2008 entered into the Meadow Creek
Subdivision Payback Agreement for Water Improvements("Agreement")with Meadow
Creek Partners,LLC and tiled with the Gallatin County Clerk and Recorder as
document number 7293492,and
WHEREAS,it is the desire of Meadow Crftk Partners,LLC to assign all of its
rights,title,and interest in the Agreement to MCC;and
WHEREAS,pursuant to the Agreement the City must provide written consent
for Meadow Creek Partners,LLC to assign any right or obligation in the Agreement;
and
THEREFORE,the undersigned hereto agrees and acquiesces to Meadow Creek
Partners,LLC assigning all tight,title,and interest in the Agreement to MCC;and
THEREFORE,the terms of the.Agreement shall contirtue in their operation and
effect and no other terms thereto are being amended. City is simply providing its
