HomeMy WebLinkAbout13- Amendment No. 2 to PSA between City and Morrison-Maierle for North 7th Lighting Design and Construction Administration AMENDMENT NO. 2 TO PROFESSIONAL SERVICES AGREEMENT FOR NORTH 7TH LIGHTING DESIGN AND CONSTRUCTION ADMINISTRATION MMI.No.417,063 THIS IS AN AGREEMENT made as of -_NDRInbe-r H-Pn 2013,between THE CITY OF BOZEMAN,a Municipal Corporation,P.O.Box 1230,Bozeman,Montana,59771-1230(OWNER)and Morrison- Maierle,Inc.,P.O.Box 1113,Bozeman,Montana,59771-1113 (ENGINEER). WHEREAS the parties previously entered into a Professional Services Agreement dated July 11,2011,herein referred to as the Original Agreement, for professional engineering services for the North 7'h Lighting Design and Construction Administration prqject',and WHEREAS, the scope of the Original Agreement included preliminary design, final design, bidding and negotiating services,construction services and miscellaneous services;and WHEREAS, the scope of Amendment No.1 to the Original Agreement included additional miscellaneous services;and WHEREAS, the parties desire to amend provisions of the Original Agreement to include pre-design investigation services for the project. NOW,THEREFORE,IN CONSIDERATION OF THE MUTUAL COVENANTS CONTAINED HEREIN,the parties agree as follows: The conditions and provisions set forth in the attached EXHIBIT C-2 -SCOPE OF SERVICES FOR NORTH 7TH LIGHTING DESIGN AND CONSTRUCTION ADMINISTRATION and EXHIBIT D-2 - ENGINEERING FEE ESTIMATE are hereby incorporated in and made part of this agreement. The Scope of Services and Engineering Fees are increased per these exhibits. ARTICLE I -ENGINEERING SERVICES Article 1.1 of the original agreement is modified to include the following: 1.1. The detailed description of the specific project components is described as follows: Perform pre-design investigation services for improvements to North 7'b Avenue,between West Juniper Street and West Main Street. ARTICLE 4-BASIC ENGINEERING SERVICES Article 4.1 of the original agreement is modified as follows: The ENGINEER shall render professional Engineering Services as follows: 4.1 PRE-DESIGN INVESTIGATION PHASE After written authorization to proceed,ENGINEER shall: 4.1A Consult with OWNER to clarify and define OWNER's requirements for the Project and review available data. 4.1,2 Advise OWNER as to the necessity of OWNER's providing or obtaining from others,data or services and assist OWNER in obtaining such data or services, 4.1.3 Identify and analyze requirements of governmental authorities having jurisdiction to approve the design of the Project and participate in consultations with such authorities. 4.1.4. Provide analyses of OWNER's needs, planning surveys, site evaluations and comparative studies of prospective sites and solutions. 4.1.5. Prepare a Report containing schematic layouts, sketches and conceptual design criteria with appropriate exhibits to indicate clearly the considerations involved (including applicable requirements of governmental authorities having jurisdiction as aforesaid)and the alternative solutions available to OWNER and setting forth ENGINEER's findings and recommendations, This Report will be accompanied by ENGINEER's opinion of probable costs for the Project, including the following which will be separately itemized: Construction Cost, allowance for engineering costs and contingencies, and (on the basis of information furnished by OWNER)allowances for such other items as charges of all other professionals and consultants,for the cost of land and rights-of-way,for compensation for or damages to properties,for interest and financing charges and for other services to be provided by others for Owner. The total of all such costs, allowance,etc,are hereinafter called"Total Project Costs". 4.1.8. Furnish 3 copies and an electronic copy of the Study and Report documents and review them in person with OWNER. The Pre-design Investigation Phase will be completed and submitted within_ffl calendar days following written authorization from OWNER to ENGINEER to proceed with that phase of services, ARTICLE 6-COMPENSATION FOR ENGINEERING SERVICE Article 6,1 of the original agreement is modified as follows: 6.1 LUMP SUM AGREEMENT FOR BASIC SERVICES AND EXPENSES OF ENGINEER 6.1.1 Pa en The OWNER shall for design phase services performed as Basic Engineering Services under sections 4.1 through 4.3 of this agreement pay a total sum in the amount of$85,318.56 for such services. 2 6.1.2 Payment Schedule. Total cumulative payments for the design phase engineering services (sections 4.1 through 4.3)shall not exceed the following ceilings: E24_338.56(-29%of design fee)until the Pre-Design Investigation Phase report and exhibits have been submitted to the OWNER, L49,000,00(-57%of design fee)until the Preliminary Plans and Specifications have been submitted to the OWNER and review authorities, $11,980M(-14%of design fee)until the Final Plans and Specifications have been submitted to the OWNER and review authorities. &1.3 General. Engineer shall submit monthly statements for services rendered. The statements shall be based upon Engineer's estimate of the proportion of the total services actually completed at the time of billing,subject to any limitations on Payments based on completion of tasks or specific retainage requirements pursuant to the payment provisions of the Agreement. 6.1.4 Reimbursable Expenses. Only those expenses specifically identified for payment under section 6.2 of this Agreement are reimbursable. All other design related expenses are included in the Lump Sum Payment far the Basic services(4.1 through 4.3)and are not separately reimbursable. Additional Services specifically identified under the scope of design services for payment under 6.1 are not separately reimbursable. Except as specifically amended herein,the Original Agreement shall remain in full force and effect and the parties shall be bound by all terms and conditions therein. 3 In witness whereof, the Parties.hereto do make and execute this Agreement. This phase focuses on determining the extents of the N. 7`h R.O.W and easements from West Juniper Street to West Main Street. The following describe each task as well as identifying the deliverable for each task. Task 041 Research Record Surveys Task Description—Obtain all recorded surveys from the Gallatin County Courthouse Task deliverable—NIA Task 042 Research Record Deeds Task Description _.. Obtain all deeds, easements and other relevant documents from the Gallatin County Courthouse to determine what encumbrances existing on each Iot adjacent to N. 7'h Avenue. Task deliverable—NIA Task 043 Boundary Survey I R.O.W.Analysis Task Description — Utilizing the record documents obtained from the courthouse, survey all found monuments. Task deliverable—NIA Task 044 Process Data and Computations Task Description—Process the survey filed data and record document data. Task deliverable—N/A Task 045 Pre-Design Investigation Report/Exhibits Task Description— Preparation of up to fifty (50) exhibits used to illustrate the R.O.W., existing easements, existing encumbrances and, if necessary, the length and width of easement(s) needed in order to complete future boulevard, sidewalk and lighting improvements. An exhibit shall be prepared for each lot adjacent to N. 7th Avenue within the project extents. Task deliverable—Exhibits (8.5 x 11) Task 046 NSURB Meetings (2) Task Description — Attendance at up to six (6) NSURB meetings or other applicable meetings to present project status and project findings. Task deliverable—Attendance and presentations at NSURB meetings. Task 047 Quality Assurance/Quality Control Task Description — This task includes effort associated with project coordination and quality assurance review.
