The City of Bozeman (the City) requests statements of qualifications from realty
professionals to act as the City’s agent in the potential sale of approximately 85 acres of
industrially zoned property (M-2) owned by the City referred to as North Park (the Property).
The City requests statements of qualifications from qualified individuals or firms for the
purpose of acting as the City’s agent in the disposition of the Property. The individual or firm
selected to act as the City’s agent will be responsible for all aspects of the sale including, but not
limited to: marketing, advertising, buyer search, negotiation, contracting in conformance with
City requirements and all aspects of closing and recording.
To meet the deadline for consideration, hand delivered proposals must be received no
later than 5:00 P.M., MDT, Monday, July 15, 2013, at the office of the City Clerk, 121 North
Rouse Avenue, Bozeman, MT 59715. Mailed proposals must be received by this time and date
for initial consideration. The mailing address for proposals is: City Clerk, City of Bozeman,
P.O. Box 1230, Bozeman, MT 59771. Please indicate “Sale of the North Park Property -
Agent Qualifications” on the outside of the sealed package.

Project Description and Background
The City of Bozeman is considering the sale of the City-owned property known as the
North Park property. The Property consists of approximately 85 acres of unimproved land zoned
M-2 (manufacturing and industrial) and lies within the boundaries of an industrial tax increment
finance, or TIF, district (the “District”). The District encompasses the City-owned 85 acres and
approximately 190 acres of State-owned property zoned M-1 (manufacturing and industrial).
The TIF was established in 2006 with a 15 year term.
The North Park property is within City limits, maintains potential as a Foreign Trade
Zone (FTZ), has proximity to, and frontages on, Interstate 90, lies between interchanges at North
7th Avenue, North 19th Avenue and a future interchange near Belgrade at the Bozeman
Yellowstone International Airport, is adjacent to an existing rail line and represents a prime
location for a rail siding and spur and maintains proximities to North 7th Avenue, Griffin Drive,
Frontage Road and the Bozeman Yellowstone International Airport.
Collectively, physical adjacencies and geographical assets support the concept of the
North Park property as an ideal location for the development of light manufacturing/fabrication
and/or distribution center(s) or trans-loader facilities with the vision of creating new job
opportunities and increasing the economic diversification in southwest Montana. The North Park
vision is supported by local market data through research and feasibility studies as part of the

North Park Concept Land Use Plan. The City will work with the chosen agent to identify a
marketing and sales strategy that compliments work already completed on the City-owned

Intent of RFQ
The City will evaluate qualifications based on an established ranking system. The City
may conduct interviews with one or more respondents and then may select the highest ranked
applicant. The award will be made to the agent whose qualifications are deemed most
advantageous to the City, all factors considered. Final terms and conditions of the agency
relationship will then be negotiated. Once selected, the individual or firm must provide proof of
insurance for errors and omissions (E & O) in an amount of at least 2 million dollars,
($2,000,000) naming the City as additional insured on a primary non-contributory basis.
Additional insurance requirements may be required.
Respondents will be evaluated according to the following factors
1. Quality of the Proposal; 20%
2. Respondent’s qualifications, and experience in commercial realty
transactions; and

3. Documented experience helping customers dispose of developable, zoned
industrial and/or for manufacturing, high value raw property adjacent to
multiple transportation corridors, including rail and suitable for specific
needs.

Statements of Qualifications must include
1. Individual or firm’s legal name, address, telephone number, fax number, web site (if any),
and e-mail address;
2. Statement of experience and qualifications of the individual, firm and firm’s staff which will
be assigned to the sale. CCIM or equivalent commercial sales experience preferred;
3. A description of the individual or firm’s experience with high visibility commercial sales of
developable, zoned industrial and/or for manufacturing, high value raw property suitable for
specific needs;
4. Demonstrated familiarity with the City of Bozeman’s Unified Development Code (Chapter
38, Bozeman Municipal Code);
5. Demonstrated familiarity with commercial site selection processes;
6. A detailed description of all facets of the proposed plan to actively advertise and market the
property and documentation of the promotional and or financial resources available to the
individual or firm to carry out this strategic marketing and advertising plan at a local,
regional and national level;
7. A narrative describing the expectations or responsibilities of the City as a client in order to
complete a successful sale;
8. Proof of the necessary state license requirements to sell real property in the state of Montana;
9. A description of the proposed commission costs for the sale and a description of any and all
costs that will be paid by the City in order to complete the sale;

10. A proposed time line for the sale and proposed contract terms for the selling of the Property;
11. A list of the individual or firm’s last three sales involving unimproved property (raw
property) within City limits and which was zoned for manufacturing and/or other industrial
uses and at least one example of the sale of commercial/industrial property valued at, or in
excess of, one million dollars ($1,000,000.00). Include for each property: the list price of
the property; the sale price of the property; the length of time the property was on the market;
and any unique aspects or other information relevant to each sale;
12. Three professional references and full contact information for the listed references; and
13. OPTIONAL: Up to 5 (five) pages of promotional material or company brochures that
illustrate the individual or firm’s experience, expertise and philosophy.
If a Respondent is selected a listing agreement will be provided at a later date.
Reservation of Rights
The issuance of this RFQ and the receipt of statements of qualifications by the City shall
not constitute an agreement or representation by the City that a contract for the professional real
estate services will actually be entered into by the City. Through this RFQ the City is only
soliciting statements of qualifications to determine whether to retain a real estate professional to
provide seller agent services.
The City reserves the right to issue written notice of changes to this RFQ should the
City determine, in its sole and absolute discretion, that such changes are necessary or
desirable.
In addition and notwithstanding any other provision of this RFQ, the City reserves the right
to:
1. Waive any immaterial defect or informality in a submittal;
2. Extend or otherwise revise the submittal date;
3. Reject any or all submissions or portions thereof;
4. Select an agent that is in the best interest of the City considering experience, references, and
other factors as determined by the City;
5. Negotiate terms and conditions of eventual contract with a selected agent;
6. Reissue a new or revised RFQ or cancel this RFQ and not retain the services of an agent; and
7. Request additional information from one or more respondents.
No Partnership/Business Organization
Nothing in this RFQ or in any subsequent agreement, or any other contract entered into as
a result of this RFQ, shall constitute, create, give rise to or otherwise be recognized as a
partnership or formal business organization of any kind between or among the City or the
respondent.
Employment Restriction and Indemnity

No person who is an owner, officer, employee, contractor or consultant of a respondent
shall be an officer or employee of the City. No rights of the City’s retirement or personnel rules
accrue to a respondent, its officers, employees, contractors, or consultants. Respondents shall
have the responsibility of all salaries, wages, bonuses, retirement, withholdings, worker’s
compensation and occupational disease compensation, insurance, unemployment compensation
other benefits and taxes and premiums appurtenant thereto concerning its officers, employees,
contractors, and consultants. Each respondent shall save and hold the City harmless with respect
to any and all claims for payment, compensation, salary, wages, bonuses, retirement,
withholdings, worker’s compensation and occupational disease compensation, insurance,
unemployment compensation other benefits and taxes and premiums in any way related to each
respondent’s officers, employees, contractors and consultants.
Submittal Rejection/Right to Disqualify
Submittal of terms, condition and/or agreements may result in rejection if such terms,
conditions, or agreements are deemed unacceptable by the City in its sole discretion. The City
reserves the right to disqualify any respondent who fails to provide information or data
specifically requested herein or who provides materially inaccurate or misleading information or
data or who attempts to influence the selection process outside the procedures established herein.
The City reserves the right to disqualify any respondent on the basis of any real or apparent
conflict of interest. This disqualification is at the sole discretion of the City.
Discrimination
Each entity submitting under this request for qualifications shall include a provision
wherein the submitting entity, or entities, affirms in writing it will not discriminate on the basis
of race, color, religion, creed, sex, age, marital status, national origin, or because of actual or
perceived sexual orientation, gender identity or disability and which also recognizes the eventual
contract for services will contain a provision prohibiting discrimination as described above and
that this prohibition on discrimination shall apply to the hiring and treatment of the submitting
entity’s employees and to any subcontracts entered into in fulfillment of an eventual agency
relationship.
Failure to comply with the above shall be cause for the City to deem the submittal non-
responsive.

Governing Law

This RFQ and any disputes arising hereunder or under any future agreement for the
purchase of real property between the City and the agent selected under this RFQ shall be
governed hereafter and construed and enforced in accordance with the laws of the State of
Montana, without reference to principles of choice or conflicts of laws.
Miscellaneous
No conversations or agreements with any officer, employee, or agent of the City shall
affect or modify any term of this RFQ. Oral communications or any written/email
communication between any person and the designated contact City staff shall not be considered
binding.
All proposals must be submitted complete and contain the information required as stated
in the Request for Qualifications.
The City of Bozeman reserves the right to reject any and all responses deemed
unqualified, unsatisfactory, or inappropriate.
