HomeMy WebLinkAboutApprove Service Agreement for Open Town Hall powered by Peak Democracy Bozeman Commission Memorandum REPORT TO: Honorable Mayor and City Commission FROM: Aimee Brunckhorst, Deputy City Clerk & Public Engagement Coordinator Stacy Ulmen CMC, City Clerk SUBJECT: Approve a Service Agreement for Open Town Hall powered by Peak Democracy Inc. for a public engagement internet service MEETING DATE: July 22, 2013 MEETING TYPE: Consent BACKGROUND: The City Charter preamble affirms the values of representative democracy and citizen participation. Our core values call out teamwork - respecting others, welcoming citizen involvement and working together to achieve the best result. When the Commission and staff worked together to establish leadership team expectations and obligations, understanding the value of citizen trust of our local government was stated as an important expectation. Based on these philosophies, the Clerk’s office identified goals related to improving technology utilization and efficiency. Four vendor internet solutions were evaluated focusing on improving public ease of use and staff time efficiencies related to Commission meeting agendas, minutes, live broadcasts, citizen engagement and public comment. From an in-depth analysis of the three vendors evaluated that focus on public engagement, Peak Democracy was identified as providing the best fit for the public engagement and comment portion of the identified needs. For the meeting efficiency needs the software solution AVCapture All has been recommended for Commission approval separately. The Clerk’s office would like to implement Open Town Hall, a suite of internet-based public engagement services provided by Peak Democracy that will build trust by allowing citizens to become more informed, involved and engaged in city decision-making. Open Town Hall will allow exploration of other ways to allow the public to advice the commission, thus putting into place an alternate way of reaching out for civil engagement prior to examining the efficiencies of the advisory boards. OVERVIEW OF SERVICES: The attached scope of services provides a detailed outline of the services that will be provided by Peak Democracy. This will include training, assistance with implementation including topic development and best practices, custom designed maps, technical support, community assistance, forum monitoring, user authentication and issue reconciliation. Peak Democracy will also host the service, provide network bandwidth and maintain access 24 hours a day, 7 days a week. They also offer reliable records retention, though the clerk’s office will also keep all the records downloading them on a regular schedule. There are a variety of widgets that can be used that provide different ways for users to interact. The main way this tool is used is through the use of topics provided by the city. Topics provide a means for the city to direct engagement towards areas that the city has jurisdiction over or may have resources to implement change. The city can provide additional information on the topics, pose specific questions and use different widgets, customizing the experience to the topic, questions, audience or information needed. The public will sign in and provide some very basic information to participate, thus eliminating anonymous public comment and the often negative, non-productive content anonymity can produce. The sign in will be fast and easy and any questions or issues regarding sign in will be answered quickly by Peak Democracy directly. The user will be able to see other comments made, and if we allow, post video and pictures. The customizable analytics can be used to show both the user and staff demographics on comment authors and other tools such as 71 word clouds and similarity factors. There is no limit to the number of users that can interface with us through our Open Town Hall site. The possibilities of how this tool could be used across the organization are vast. However, staff time is limited and it will be vital for staff to use this tool in a thoughtful and deliberate manner. Implementation will start slow as we learn how this can best be utilized and how much staff time will need to be devoted. For the first year or so, Public Engagement Coordinator Aimee Brunckhorst will be the main point of contact, with City Clerk Stacy Ulmen trained as back-up. The Clerk’s Office and Information Technology Department will first concentrate on implementing the new AVCapture All software solution provided for approval before launching this site. Long term goals are more extensive and include utilization by departments across the organization on a wide range of subjects. Budget and planning widgets will also likely be brought to bear eventually. Internal procedures and policies will be written prior to implementation and adjusted during the learning process. These procedures will include how forums will be monitored, comments downloaded, forums closed and topics chosen. The city will also review Peak Democracy’s standard civility guidelines and customize them to mirror our social media policy and our current acceptable use policy. We will also establish procedures for monitoring Peak Democracy’s emails to disruptive authors and the other similar services offered to help us monitor comments and ensure we are in compliance with all applicable laws and our own policies. Written procedures will also cover response guidelines and records retention. All procedures will be reviewed and approved by the City Attorney and City Manager and will be provided to the Commission for feedback. The Open Town Hall site can be customized throughout, so decisions will need to be made regarding what areas will be customized and when standard templates provided by Peak Democracy will be used. We can use any name for the site we wish, so consideration will be given to a name that will be catchy, obvious and geared towards the city of Bozeman. While we will start slow with the number of topics and breadth of departments involved, extensive advertising of the site is planned once the training is complete and the site fully tested. Release to the public will be scheduled for a commission meeting with an online demonstration. Peak Democracy will assist with press releases, email pushes and other tools to inform the public and produce interest. The success of this engagement suite will rely on ensuring the public is aware of and comfortable with using it and the quality of interaction in response to the public. This is an exciting and powerful tool for public engagement and staff plans to use it in a strategic and thoughtful way to ensure both public trust and engagement are strengthened. The Commission will be provided with the comments and information gleaned on a regular basis and will be expected to take into consideration the thoughts and views of Open Town Hall users just as the Commission currently considers public comment through traditional methods. To see an example in action, visit Salt Lake City Open City Hall. FISCAL EFFECTS: This tool will cost $4,000 for initial one-time set up costs. In addition, the ongoing subscription is $200 per month minus a 10% discount for payment of a year’s subscription, totaling $2,160 for the first year. Subscription costs will begin when the site is functioning and available to the public. The first year of subscription costs and the initial one-time set up costs were budgeted in fiscal year 2013 and will be carried over into fiscal year 2014 in the computer software portion of the City Clerk’s budget. Attachments: Service Agreement, Scope of Work 72 Service Agreement Peak Democracy Inc Page 1 of 7 Service Agreement for Open Town Hall powered by Peak Democracy Inc This agreement (“OPEN TOWN HALL AGREEMENT”) entered into as of the date that this OPEN TOWN HALL AGREEMENT is fully executed by all parties, is by and between:  The City of Bozeman (“GOVERNMENT”), an organization having an address at PO Box 1230, Bozeman, MT 59771, and  Peak Democracy Inc, a Delaware Corporation having an address at PO Box 516 Trinidad, CA 95570 ("PEAK DEMOCRACY"). 1. BACKGROUND 1.1 The Parties 1.1.a GOVERNMENT is interested in broadening online civic engagement. 1.1.b PEAK DEMOCRACY is a for-profit company focused on increasing, diversifying and synthesizing, civil online civic engagement via a suite of internet-based services. 1.2 Problem: The parties believe that government operations and decision-making processes can be enhanced by online forums that augment and diversify civic engagement, and increase the insights gleaned by government staff and leaders. 1.3 Solution: The parties believe that enabling a new channel by which citizens can learn about government issues and provide feedback via specially structured internet services can augment and diversify civil, online civic engagement, and more specifically: (a) facilitate easy and convenient participation in community issues, (b) prevent or limit the impact of disruptive behavior from discouraging participation, and (c) improve the efficiency of decisions makers to synthesize large amounts of diverse feedback. 1.4 Program: PEAK DEMOCRACY, and GOVERNMENT agree to implement OPEN TOWN HALL, an internet service that helps local governments increase, diversify and synthesize, civil online civic participation. Now therefore, the parties agree as follows: 73 Service Agreement Peak Democracy Inc Page 2 of 7 2. OPEN TOWN HALL 2.1 GOVERNMENT will pay PEAK DEMOCRACY Four Thousand dollars for initial one-time set up costst for OPEN TOWN HALL. 2.1.a. GOVERNMENT will pay PEAK DEMOCRACY Two Thousand One Hundred Sixty dollars for a one year subscription at $200 per month, minus a 10% discount for payment of a year’s subscription up front. The year subscription to begin when GOVERNMENT’s OPEN TOWN HALL site is functioning and available to the public. 2.2 GOVERNMENT will designate a representative as the primary contact for implementing OPEN TOWN HALL and thereby interact with PEAK DEMOCRACY. Through this primary contact, GOVERNMENT will: 2.2.a Learn about the features, benefits and best practices of OPEN TOWN HALL, and communicate these features, benefits and best practices to GOVERNMENT employees, elected officials and residents. 2.2.b Specify the issues that GOVERNMENT wants to post on OPEN TOWN HALL via the administrative system supplied for that purpose; 2.2.c Facilitate the implementation of OPEN TOWN HALL within GOVERNMENT’S web site; 2.2.d Lead the promotion of (i) OPEN TOWN HALL in general and (ii) each posted issue in particular, to GOVERNMENT residents via press coverage and email notifications that use GOVERNMENT’S email lists. 2.3 PEAK DEMOCRACY will provide OPEN TOWN HALL to GOVERNMENT, and accordingly will: 2.3.a Host the software as a service on PEAK DEMOCRACY-provisioned servers; 2.3.b Provide support to implement OPEN TOWN HALL within GOVERNMENT’S web site; 2.3.c Provide all features and services listed in Exhibit A ‘Scope of Work’ which is incorporated into this OPEN TOWN HALL AGREEMENT; 74 Service Agreement Peak Democracy Inc Page 3 of 7 2.3.d Advise GOVERNMENT on best practices to use with OPEN TOWN HALL, such as the best ways to implement in a web site, the best types of issues to post, and the best techniques to maximize usage by residents; and 2.3.e Assist residents that use GOVERNMENT’S OPEN TOWN HALL using email as the primary means of this assistance. 3. MISCELLANEOUS 3.1 Duration: The initial duration of this OPEN TOWN HALL AGREEMENT is one (1) year, commencing on the date that this OPEN TOWN HALL AGREEMENT is fully executed by all the parties. 3.2 Extent: This OPEN TOWN HALL AGREEMENT embodies the entire understanding of the parties and supersedes all previous communications, representations, or understandings, whether oral or written, between the parties relating to the subject matter hereof 3.3 Scope: Nothing contained in this OPEN TOWN HALL AGREEMENT will be deemed to grant to GOVERNMENT either directly or by implication, estoppel, or otherwise any license or other rights in or to any copyrights, copyrightable material, patents, patent applications, or other proprietary interests of PEAK DEMOCRACY existing prior to the effective date of this OPEN TOWN HALL AGREEMENT or arising out of performance of this OPEN TOWN HALL AGREEMENT. 3.4 Independence: In performing their respective duties under this OPEN TOWN HALL AGREEMENT, each of the parties will be operating as an independent contractor. Nothing contained herein will in any way constitute any association, partnership, or joint venture between the parties hereto, or be construed to evidence the intention of the parties to establish any such relationship. Neither party will have the power to bind the other party or incur obligations on the other party's behalf without the other party's prior written consent. 75 Service Agreement Peak Democracy Inc Page 4 of 7 3.6 Hold Harmless/Indemnification of GOVERNMENT by PEAK DEMOCRACY: To the extent permitted by law, and except as otherwise provided in Paragraph 3.7, PEAK DEMOCRACY agrees to protect, defend, hold harmless and indemnify GOVERNMENT, its councils, commissions, officers, employees, volunteers and agents from and against any claim, injury, liability, loss, cost, and/or expense or damage, including all costs and reasonable attorney’s fees in providing a defense to any claim arising therefrom, for which GOVERNMENT shall become liable arising from PEAK DEMOCRACY's negligent, reckless or wrongful acts, errors, or omissions with respect to or in any way connected with the Services performed by PEAK DEMOCRACY pursuant to this OPEN TOWN HALL AGREEMENT. 3.7 Hold Harmless/Indemnification of PEAK DEMOCRACY by GOVERNMENT: The parties understand and agree that PEAK DEMOCRACY provides civility monitoring services to GOVERNMENT under GOVERNMENT'S control and direction. Notwithstanding paragraph 3.6, and to the extent that GOVERNMENT, its officers, officials and employees are negligent related to PEAK DEMOCRACY’S civility monitoring services listed below and which gives rise to an injury, claim or cause of action, GOVERNMENT agrees to defend, indemnify and hold harmless PEAK DEMOCRACY and its agents, officers and employees, against any and all claims, damages, suits arising from PEAK DEMOCRACY's civility monitoring services, which are defined to include the following: 3.7.1. Assisting GOVERNMENT in drafting and implementing rules and standards with respect to public comments; 3.7.2. Reviewing and monitoring the OPEN TOWN HALL public comment forum for the purpose of achieving compliance with GOVERNMENT'S rules and standards; 3.7.3. Moving, removing, deleting, changing or not changing a comment in OPEN TOWN HALL. 3.8 Applicable Law: This OPEN TOWN HALL AGREEMENT shall be governed by, and GOVERNMENT and PEAK DEMOCRACY shall have all remedies afforded each by the Uniform Commercial Code as adopted in the State of Montana. This OPEN TOWN HALL AGREEMENT shall be governed by State of Montana law and suits pertaining to this OPEN TOWN HALL AGREEMENT may only be brought in courts located in Gallatin County, Montana. 3.8. Representations. 76 Service Agreement Peak Democracy Inc Page 5 of 7 To induce City to enter into this Agreement, PEAK DEMOCRACY makes the following representations: a. PEAK DEMOCRACY has familiarized itself with the nature and extent of this Agreement, the Scope of Services, and with all local conditions and federal, state and local laws, growth policies, adopted plans of the GOVERNMENT, ordinances, rules, and regulations that in any manner may affect cost, progress or performance of the Scope of Services. b. PEAK DEMOCRACY represents and warrants to GOVERNMENT that it has the experience and ability to perform the services required by this Agreement; that it will perform said services in a professional, competent and timely manner and with diligence and skill; that it has the power to enter into and perform this Agreement and grant the rights granted in it; and that its performance of this Agreement shall not infringe upon or violate the rights of any third party, whether rights of copyright, trademark, privacy, publicity, libel, slander or any other rights of any nature whatsoever, or violate any federal, state and municipal laws. The GOVERNMENT will not determine or exercise control as to general procedures or formats necessary to have these services meet this warranty. 3.9 Nondiscrimination: The PEAK DEMOCRACY will have a policy to provide equal employment opportunity in accordance with all applicable state and federal anti- discrimination laws, regulations, and contracts. The PEAK DEMOCRACY will not refuse employment to a person, bar a person from employment, or discriminate against a person in compensation or in a term, condition, or privilege of employment because of race, color, religion, creed, political ideas, sex, age, marital status, national origin, actual or perceived sexual orientation, gender identity, physical or mental disability, except when the reasonable demands of the position require an age, physical or mental disability, marital status or sex distinction. The PEAK DEMOCRACY shall be subject to and comply with Title VI of the Civil Rights Act of 1964; Section 140, Title 2, United States Code, and all regulations promulgated thereunder. The PEAK DEMOCRACY shall require these nondiscrimination terms of its sub-consultants providing services under this agreement. 77 Service Agreement Peak Democracy Inc Page 6 of 7 3.10 Default and Termination: If either party fails to comply with any condition of this Agreement at the time or in the manner provided for, the other party, at its option, may terminate this Agreement and be released from all obligations if the default is not cured within ten (10) days after written notice is provided to the defaulting party. Said notice shall set forth the items to be cured. Additionally, the non-defaulting party may bring suit for damages, specific performance, and any other remedy provided by law. These remedies are cumulative and not exclusive. Use of one remedy does not preclude use of the others. Notices shall be provided in writing and hand-delivered or mailed to the parties at the addresses set forth in the first paragraph of this Agreement. 3.11 Reports/Accountability/Public Information: PEAK DEMOCRACY agrees to develop and/or provide documentation as requested by the GOVERNMENT demonstrating PEAK DEMOCRACY’s compliance with the requirements of this Agreement. PEAK DEMOCRACY shall allow the GOVERNMENT, its auditors, and other persons authorized by the GOVERNMENT to inspect and copy its books and records for the purpose of verifying that the reimbursement of monies distributed to PEAK DEMOCRACY pursuant to this Agreement was used in compliance with this Agreement and all applicable provisions of federal, state, and local law.
