TO PROFESSIONAL SERVICES AGREEMENT
FOR GREAT WEST ENGINEERING
THIS AGREEMENT is made as of this day of TOO&, 2013, between THE
CITY OF BOZEMAN, Municipal Corporation,Bozeman, Montarla, herein referred to as OWNER
and GREAT WEST ENGINEERING, INC, an Engineering Consulting Firm of Helena, Montana,
herein referred to as ENGINEER.
WHEREAS,the parties have entered into a Professional Services Agreement dated April 21,
2008, herein referred to as Original Agreement for professional engineering services; and
WHEREAS, the parties desire to further amend the provisions of this Agreement.
NOW, THEREFORE, IN CONSIDERATION OF THE MUTUAL COVENANTS
CONTAINED HEREIN, the parties agree as follows:
Revise Paragraph Ll as follows:
1.1 The detailed description of the specific project components is described as
follows: The original project consists of approximately 16,000 lineal feet of
CIPP pipe replacement in the R2 project area. Amendment No. 5 includes
the design and construction of an additional 8,300 lineal feet in the following
locations:
E. Main from MH D0527 to MH D0528,
W. Main from N. 7'h to N. Grand Ave,
W. Main from N. Grand Ave to N. Tracy Ave,
E. Main from N. Tracy Ave to N.Black Ave,
E. Main from N. Black Ave to N. Church Ave,
• E. Mendenhall St from N. 7'h Ave to N. Grand Ave,
W. Lamme St from N. 7'"Ave to Mid block East,
W. Lamme St from N. 5'"Ave to N. Grand Ave,
W. Beall St from N. 5'h Ave to N. 3rd Ave,
0 N. 3rd Ave from W. Beall St to W. Villard St,
0 N. 3rd Ave from W. Villard St.to W. Peach St,
0 CIPP spot repair on S Church between MH E0512 and E0514,
0 CIPP spot repair in the alley between Main St. and
Mendenhall St between MH G0432 and MHG0433,
0 Open out replacement on Tracy Ave(E. Beall St to E.
Cottonwood St)
a Open cut replacement on Black Ave(E Cottonwood St to
Tamarack St)
0 Rebid of the project identified in Amendment No 4 and
Amendment No 5.
The additional work will increase the contract time by 82 calendar days (-60
working days).
Revise Paragraph 6.1.1 as follows:
6.1.1 Payment. The OWNER shall pay for design phase services performed as
Basic Engineering Services under sections 4.1 through 4.3 of this agreement a total
lump sum in the amount of-$Q,600 for such services. This amount is for additional
services identified in 1.1 of this Amendment No. 5.
Revise Paragraph 6.1.2 as follows:
6.1.2 Payment Schedule. Total cumulative payments for the design phase
engineering services (sections 4.1 through 4.3) shall not exceed the following
ceilings:
$56,340 (90%of the $62,600 contracted design fee in this amendment) until the
Final Plans and Specifications have been submitted to the OWNER
Revise Paragraph 6.2.1. as follows:
6.2.1 The OWNER shall pay for Bidding or Negotiating Phase under section 4.4 an
amount not to exceed $7,230 and Construction Phase and Project
Documentation Services under sections 4.5 through 4.6 an amount not to
exceed $107,350 except as provided under 6.2.1.2 and 6.2.4. These amounts
are for additional services identified in 1.1 of this Amendment No. 5.
Revise Paragraph 6.2.2:
6.2.2 For Basic Services and Approved Additional Services shall be paid to the
ENGINEER by the OWNER in the actual amount of the costs incurred up to
an amount not to exceed $3,080 which includes $0 for consultants employed
by the Engineer and $3,080 for all other reimbursable expenses. The
estimated reimbursable expenses are identified in Exhibit "C".

4.5.2 Resident Project Representative
4.6 Project Documentation
Except as specifically amended herein,the original agreement shall remain in full force and effect
and the Par-ties shall be bound by all terms and conditions therein.
IN WITNESS WHEREOF, the parties hereto do make and execute this Agreement on the day and
year first above written.

RECOMMENDATION: Approve and authorize City Manager to sign Amendment No 5 to the
Professional Services Agreement.
BACKGROUND: Attached is a copy of the partially executed Amendment No. 5 with Great
West Engineering, Inc. for Professional Engineering Services for the sewer main renovation
project.
The document is in the City's standard format. Last fall, we put this project out to bid. Although
we had several plan holders,none of them ended up submitted a bid. In talking to the plan
holders, the primary reason they gave for not submitting a bid was the time of year it was
advertised along with their workload at the time. Originally, we had just planned to rebid the
project early this year, but since the project timeline will cross over fiscal years, we decided to
add in the mains for next fiscal year. This will have the added benefit of more than doubling the
project size, making it much more attractive to prospective bidders. This amendment is to cover
the added design, bidding, and construction services associated with the much larger scope of the
project. The proposed fee of$62,600 for design and $110,430 forbidding and construction
services appears to be commensurate with the project complexity and anticipated total project
cost.
UNRESOLVED ISSUES: None
ALTERNATIVES: As suggested by the City Commission
FISCAL EFFECTS: If approved,this amendment will increase the fee by $173,030 from
$209,030 to $382,060.
