Ladies and Gentlemen:
You are hereby authorized and directed forthwith to execute the Certificate of
Authentication printed on the $3,080,000 General Obligation Refunding Bonds, Series 2012 (the
"Series 2012 Bonds"), dated, as originally issued, as of June 14, 2012, of the City of Bozeman,
Montana (the "City"), and to deliver the Series 2012 Bonds to The Depository Trust Company,
of New York, New York, for the benefit of D.A. Davidson & Co., of Great Falls, Montana, as
purchaser thereof, upon payment to the City of the purchase price thereof, all in accordance with
Resolution No. 4381, adopted by the City Council of the City on June 4, 2012 (the
"Resolution"), relating to the Series 2012 Bonds.
We transmit to you herewith the Series 2012 Bonds described above, which have been
duly executed on behalf of the City, and a copy of the Resolution. We request that you
acknowledge receipt of the Series 2012 Bonds and the Resolution by signing the receipt attached
hereto and by returning a copy hereof so signed to the City.
