1, Cherita Thomas, Assistant Corporate Secretary of Pall Corporation, a New
York. Corporation (the "Company") do hereby certify that the following resolutions were
duly adopted by unanimous written consent of the Executive Committee of the Board of
Directors of the Company duly signed:
RESOLVED, that effective as of the date hereof, Eric Krasnoff and Roberto
Perez shall each have authority to act individually on behalf of the Company in all
business transactions related to the Municipal Water Authorities, and shall be authorized
to execute and deliver any and all forms that may be required in order to bid on and/or
enter into agreements with the Municipal. Water Authorities, in the name and on behalf of
the Company, such approval to be conclusively evidenced by the execution and delivery
of such bids and agreements by either of them; and
FURTHER RESOLVED, that effective as of the date hereof, the following
persons shall be authorized to act on behalf of the Company in business transactions
related to the Municipal Water Authorities and to execute and deliver any and all forms
that may be required in order to bid on and/or enter into agreements with the Municipal
Water Authorities, in the name and on behalf of the Company, provided that no person
may act individually, and that all such transactions must be approved and all such
agreements must be executed by an individual from Group A and an individual from
Group B below in order to be binding on the Company:

Steve Chisolm, Senior Vice President
Steve Greco, Group Financial Officer - Industrial
Jeff Seibert, Vice President
Don Bordoni, Group Controller _ Industrial
Mike Ywaniw, Senior Vice President
(each representative from Group A together with a representative from Group B being
herein referred to as the "MWA Authorized Signatories"). Approval by such MWA
Authorized Signatories, acting jointly and not individually, being conclusively evidenced
by the execution and delivery of such bids and agreements by the MWA Authorized
Signatories.
