GENERAL TERMS AND CONDITIONS 1. GENERAL INFORMATION
These specifications constitute the complete set of specification requirements and bid
forms. The bid proposal page(s), and all forms listed on the bid proposal page(s) shall be completed, signed, and sealed in an envelope bearing the words “Energy Retrofit” on the outside and mailed or presented to the City Clerk or before Tuesday,
March 8, 2011 at 1:00 PM local time. Failure to comply with the preceding requirements
shall result in the rejection of the bid.
Bids submitted by telephone or telegram shall not be accepted. Also, faxed bids are not acceptable. Faxed bids shall be rejected as non-responsive regardless of where the
fax is received.
It is the sole responsibility of the bidder to ensure that his or her bid reaches the City Clerk. All bids, proposals or quotations, unless otherwise specified, must be delivered to the following address not later than the time and date specified in the solicitation:

Bidders are cautioned that they are responsible for delivery to the specific location cited
above. Therefore, if your bid, proposal or quotation is delivered by an express mail
carrier or by any other means, it is your responsibility to ensure delivery to the delivery to the mailing address of: City of Bozeman, City Clerk, P.O. Box 1230, Bozeman, MT 59771. This office will not be responsible for deliveries made to any place other than the
specified address.
The City of Bozeman (“the City”) shall not be responsible for delays caused by any occurrence. The bid deadline will close at 1:00 PM, any submittals after that time will not be acceptable. Such bids will be returned to the vendor unopened.
The decision to refuse to consider a bid or proposal that was received beyond the
date/time established in the solicitation shall not be the basis for a protest.
All bids must be typewritten or filled in with pen and ink, and must be signed in ink by an officer or employee having authority to bind the company or firm. Errors, corrections, or
changes on any document must be initialed by the signatory of the bid.
Bidders shall not be allowed to modify their bids after the opening time and date. Bid files may be examined during normal working hours, ten (10) days after bid opening or upon recommendation for award, whichever occurs first. Bidders desiring to view these
documents are urged to schedule an appointment.

2. PRICE/DELIVERY
Price(s) quoted must be the price(s) for new merchandise unless otherwise specified.
Any bids containing modifying or “escalator” clauses will not be considered unless
specifically requested in the bid specifications. “Acceptance” as herein used means the acceptance by the City of Bozeman Facilities
Superintendent or his authorized agent has, by inspection or test of such items,
determined that they fully comply with specifications.
Deliveries resulting from this bid are to be made during the normal working hours of the City. Time is of the essence and the bidder’s delivery date must be specified and
adhered to. Should the bidder, to whom the order or contract is awarded, fail to deliver
on or before his/her stated date, the City reserves the right to CANCEL the order or
contract and make the purchase elsewhere, and the awarded bidder will be required to compensate the City for the difference in price paid for the alternate product. The successful bidder(s) shall be responsible for making any and all claims against carriers
for missing or damage items. Partial shipments will be acceptable unless otherwise
stated.
3. FEDERAL AND STATE TAX
Any municipal project in excess of $5,000.00 is subject to the 1% withholding for the
Montana Department of Revenue. All claims submitted for payment by the Contractor
will show the 1% withholding calculation and the City will pay this amount to the state. 4. ACCEPTANCE/REJECTION/CANCELLATION
The City reserves the right to accept or to reject any or all bids and to make the award
to that bidder who, in the opinion of the City, will be in the best interest of and/or the most advantageous to the City. The City also reserves the right to reject the bid of any vendor who has previously failed in the proper performance of an award or to deliver on
time contracts of a similar nature or who, in the City’s opinion, is not in a position to
perform properly under this award. The City reserves the right to inspect all facilities of
bidders in order to make a determination as to the foregoing. The City reserves the right to waive any irregularities and technicalities and may, at its discretion, request a re-bid. Award will be made to the lowest responsive and responsible bidder as determined by
the City.
The City reserves the right, and the Facilities Superintendent has absolute and sole discretion, to cancel this solicitation at any time prior to awarding a contract. The decision to cancel cannot be the basis for a protest.
5. BRAND NAME OR EQUALS/DEVIATIONS
Unless otherwise specified, the mention of a particular manufacturer’s brand name or
number in the specifications does not imply that this particular product is the only one
that will be considered for installation. This reference is intended solely to designate the type or quality of equipment that will be acceptable. Equal offers will be considered and must include descriptive literature and/or Specifications, and must be approved prior to
bid submittal by the Facilities Superintendent or his representative. Failure to provide
descriptive literature and/or specifications with equal offers will result in the
disqualification of the bid. The determination as to whether any alternate product or service is or is not equal shall
be made solely by the City and such determination shall be final and binding upon all
bidders. The City reserves the right to request and review additional information to
make such a determination. Although the City provides for the consideration of alternate bids, it reserves the right to
make an award in the best interest of the City. Such award may not necessarily be
given to the lowest bid offered.
The bidder shall be responsible for reading very carefully, and understanding completely, the requirements and the specifications of the items bid upon. Unless the
bid is in response to a “Brand Name or Equal” requirement, deviations from the
specifications will only be considered if requested in writing prior to the date and time
specified for receipt of bids. Deviations, if accepted, will be specifically addressed in writing via an addendum to the IFB. Any goods or services that are not in compliance with the specifications will not be accepted.
6. NO BID
Where more than one item is listed, any items not bid upon must be indicated “NO BID”.
7. CONFLICT OF INTEREST
The award is subject to provisions of applicable State Statutes and City Ordinances. All
bidders must disclose with their bid the name of any officer, director, or agent who is also an employee of the City. Further, all bidders must disclose the name of any City employee who owns, directly or indirectly, an interest of ten percent (10%) or more in
the bidder’s firm or any of its branches. Should the awarded bidder permanently or
temporarily hire any City employee who is, or has been, directly involved with the bidder
prior to or during performance of the resulting contract, the contract shall be subject to immediate termination by the City.
8. LEGAL REQUIREMENTS
Federal, State, County and local laws, ordinances, rules and regulations that in any
manner affect the items covered herein apply. Lack of knowledge by the bidder shall in no way be a cause for relief from responsibility.
9. MISTAKES
In the event of extension error(s), the unit price will prevail and the bidder’s total offer
will be corrected accordingly. In the event of addition errors, the extended totals will
prevail and the bidder’s total will be corrected accordingly. Bidders must check their bid proposal where applicable. Failure to do so will be at the bidder’s risk. Bids having erasures or corrections must be initialed in ink by the Bidder.
10. AVAILABILITY OF FUNDS
The obligations of the City under this award are subject to the availability of funds lawfully appropriated for its purpose by the State of Montana Department of Environmental Quality, or other specified funding source for this procurement.
11. EQUAL OPPORTUNITY CLAUSE
During the performance of this contract, the CONTRACTOR agrees as follows:
1. The CONTRACTOR will not discriminate against any employee or applicant for
employment because of race, color, religion, sex or national origin. The
CONTRACTOR will take affirmative action to ensure that applicants are
employed, and that employees are treated during employment without regard to
their race, color, religion, sex, or national origin. Such action shall include, but not be limited to the following:
Employment, upgrading, demotion, or transfer; recruitment or recruitment
advertising; layoff or termination, rates of pay or other forms of compensation;
and selection for training, including apprenticeship. The CONTRACTOR agrees to post in conspicuous places, available to employees and applicants for
employment, notices to be provided setting forth the provisions of this
nondiscrimination clause.
2. The CONTRACTOR will, in all solicitations or advertisements for employees placed by or on behalf of the CONTRACTOR, state that all qualified applicants
will receive consideration for employment without regard to race, color, religion,
sex, or national origin.
3. The CONTRACTOR will send to each labor union or representative of workers with which he has a collective bargaining agreement or other contract or
understanding, a notice to be provided advising the said labor union or workers'
representatives of the CONTRACTOR's commitments under this section, and
shall post copies of the notice in conspicuous places available to employees and
applicants for employment.
4. The CONTRACTOR will comply with all provisions of Executive Order 11246 of
September 24, 1965, and of the rules, regulations, and relevant orders of the
Secretary of Labor.
5. The CONTRACTOR will furnish all information and reports required by Executive
Order 11246 of September 24, 1965, and by rules, regulations, and orders of the
Secretary of Labor, or pursuant thereto, and will permit access to his books,
records, and accounts by the administering agency and the Secretary of Labor for purposes of investigation to ascertain compliance with such rules, regulations, and orders.
6. In the event of the CONTRACTOR'S non-compliance with the nondiscrimination
clauses of this contract or with any of the said rules, regulations, or orders, this contract may be canceled, terminated, or suspended in whole or in part and the CONTRACTOR may be declared ineligible for further Government contracts or
federally assisted construction contracts in accordance with procedures
authorized in Executive Order 11246 of September 24, 1965, or by rules,
regulation, or order of the Secretary of Labor, or as otherwise provided by law. 7. The CONTRACTOR will include the portion of the sentence immediately
preceding paragraph (1) and the provisions of paragraphs (1) through (7) in
every subcontract or purchase order unless exempted by rules, regulations, or
orders of the Secretary of Labor issued pursuant to Section 204 of Executive Order 11246 of September 24, 1965, so that such provisions will be binding upon each Subcontractor or vendor.
The CONTRACTOR will take such action with respect to any subcontract or
purchase order as the administering agency may direct as a means of enforcing such provisions, including sanctions for non-compliance: Provided, however, that in the event a CONTRACTOR becomes involved in, or is threatened with,
litigation with a Subcontractor or vendor as a result of such direction by the
administering agency, the CONTRACTOR may request the United States to
enter into such litigation to protect the interests of the United States. 12. BID TABULATION AND RESULTS
Bid tabulations shall be available upon written request ten (10) days after opening.
Requests may be faxed to (406) 582-3201. Bid opening results will be available on (406) 494-8644 the day following the bid opening.
13. BID FORMS
All bid proposals must be submitted on our standard Invitation for Bids Form. Bid proposals on vendor quotation forms will not be accepted.
14. BID AND RELATED COSTS
All costs associated with the preparation of his/her will be the sole responsibility of the
bidder. The City bears no responsibility for any costs associated with the preparation of
the bid and/or any administrative or judicial proceedings resulting from the solicitation process.
15. CONTRACTUAL AGREEMENT
This Invitation for Bids shall be included and incorporated in the final contract or purchase order. The order of contract precedence will be the contract (purchase order), bid document, and response. Any and all legal actions associated with this Invitation for
Bids and/or the resultant contract (purchase order) shall be governed by the laws of the
State of Montana. Venue for any litigation involving this contract shall be the Eighteenth
Judicial District Court, Gallatin County, Montana. 16. SUBCONTRACTING
Bidders subcontracting any portion of the work shall state name and address of
subcontractor and the name of the person to be contacted on the attached “Schedule of Subcontractors Form”.
17. CONFLICT OF INTEREST FORM
Bidder shall disclose any conflicts of interest with their bid.
18. SUBMISSION OF BID

Bids received by the City clerk after the time and date specified, due to failure to identify the envelope with the above information shall be rejected.
20. VENDOR ASSISTANCE WITH SPECIFICATIONS
Any prospective bidder which assisted the City in developing or writing the specifications contained herein are requested to so note such on the bid proposal page of their bid response.
21. INDEMNIFICATION
To the fullest extent permitted by law, the VENDOR shall defend, indemnify, and hold harmless the CITY, its officials, agents, and employees from and against any and all
claims, suits, judgments, demands, liabilities, damages, cost and expenses (including
attorney's fees) of any kind or nature whatsoever arising directly or indirectly out of or
caused in whole or in part by any act or omission of the VENDOR or its subcontractors (if any), anyone directly or indirectly employed by them, or anyone for whose acts any of them may be liable; excepting those acts or omissions arising out of the sole negligence
of the CITY.
22. CLARIFICATIONS
It is the bidder’s responsibility to become familiar with and fully informed regarding the
terms, conditions and specifications of this Invitation for Bids. Lack of understanding
and/or misinterpretation of any portions of this Invitation for Bids shall not be cause for withdrawal of your bid after opening or for subsequent protest of award. Bidders must contact the Facilities Superintendent Prior to bid opening, should clarification be
required. It is recommended such requests for clarifications from the City be faxed to
(406) 582-3201.
Modification or alteration of the documents contained in the solicitation or contract shall only be valid if mutually agreed to in writing by the parties.
23. CERTIFICATION OF INDEPENDENT PRICE DETERMINATION
By submission of this bid, the Bidder certifies, and in the case of a joint bid each party thereto certifies as to its own organization, that in connection with this procurement:
1. The prices in this bid have been arrived at independently, without consultation,
collusion, communication, or agreement for the purpose of restricting competition, as to any matter relating to such prices with any other bidder or with any competitor.
2. Unless otherwise required by law, the prices which have been quoted in this bid have
not been knowingly disclosed by the Bidder and will not knowingly be disclosed by the
Bidder prior to opening, directly or indirectly to any other Bidder or to any competitor; and,
3. No attempt has been made or will be made by the bidder to induce any other person
or firm to submit or not to submit a bid for the purpose of restricting competition.
24. SUCCESSORS AND ASSIGNS
The City and the vendor each binds itself and its partners, successors, executors,
administrators and assigns to the other party of this Contract and to the partners,
successors, executors, administrators and assigns of such other party, in respect to all covenants of this Contract. Except as above, neither the City nor the vendor shall assign, sublet, convey or transfer its interest in this Contract without the written consent
of the other. Nothing herein shall be construed as creating any personal liability on the
part of any officer or agent of the City which may be a party hereto, nor shall it be
construed as giving any rights or benefits hereunder to anyone other than the City and the vendor.
25. AUDITING
The Contractor shall retain all books, records, and other documents to this Contract for
five (5) years after final payment. Section 902 of the American Recovery and
Reinvestment Act of 2009 provides the U.S. Comptroller General and his representatives with the authority to:
(1) examine any records of the Contractor or any of its subcontractors, or any State or
local agency administering such contract, that directly pertain to, and involve
transactions relating to, the contract or any subcontract; and (2) interview any officer or employee of the Contractor or any of its
subcontractors, or of any State or local government agency administering
the contract, regarding such transactions.
Accordingly, the Comptroller General and his representatives shall have the authority and rights as provided under Section 902 of the Recovery Act with respect to this
Contract, which is funded with funds made available under the Recovery Act. Section
902 further states that nothing in this section shall be interpreted to limit or restrict in any
way any existing authority of the Comptroller General. Additionally, Section 1515(a) of the Recovery Act provides authority for any representatives of an appropriate inspector general appointed under Section 3 or 8G of the Inspector General Act of 1978 to
examine any records or interview any employee or officers of the Contractor or its
subcontractors working on this Contract. The Contractor is advised that any
representatives of an appropriate Inspector General appointed under Section 3 or 8G of the Inspector General Act of 1978 have the authority to examine any record and interview any employee or officer of the Contractor, its subcontractors or other firms
working on this Contract. This right of examination shall also include inspection at all
reasonable times of the Contractor’s plants, or parts of them, engaged in performing the
Contract. Section 1515(b) further provides that nothing in this section shall be interpreted to limit or restrict in any way any existing authority of an Inspector General. The City’s Public Works Department Superintendent and other representatives of the
City shall have, in addition to any other audit or inspection right in this Contract, all the
audit and inspection rights contained in this section.
26. EMPLOYEES OF THE CONTRACTOR
All work under this contract shall be performed in a professional and skillful manner.
The City may require, in writing, that the contractor remove from this contract any
employee the City deems incompetent, careless, or otherwise objectionable.
27. TOBACCO FREE
City operations are tobacco free. This policy shall apply to all buildings, parking lots,
parks, break areas and worksites within 50 feet of the building. Tobacco is defined as
tobacco products including, but not limited to, cigars, cigarettes, pipes, chewing tobacco and snuff. Failure to abide by this policy may result in civil penalties.
28. CONTRACT CLAIMS
“Claim” as used in this provision means a written demand or written assertion by one of the contracting parties seeking as a matter of right, the payment of a certain sum of money, the adjustment or interpretation of contract terms, or other relief arising under or
relating to this contract.
Claims made by a Contractor/Consultant against the City relating to a particular contract shall be submitted to the Facilities Superintendent in writing clearly labeled “Contract Claim” requesting a final decision. The Contractor also shall provide with the claim a
certification as follows: “I certify that the claim is made in good faith; that the supporting
data are accurate and complete to the best of my knowledge and belief; that the amount
requested accurately reflects the contract adjustment for which the Contractor/Consultant believes the City is liable; and that I am duly authorized to certify the claim on behalf of the Contractor/Consultant.”
Failure to document a claim in this manner shall render the claim null and void.
Moreover, no claim shall be accepted after final payment of the contract. The decision of the Facilities Superintendent shall be issued in writing and shall be
furnished to the Contractor/Consultant. The decision shall state the reasons for the
decision reached. The Facilities Superintendent shall render the final decision within
sixty (60) days after receipt of Contractor’s/Consultant’s written request for a final decision. The Facilities Superintendent‘s decision shall be final and conclusive. The Contractor/Consultant shall proceed diligently with performance of this contract pending
final resolution of any request for relief, claim, appeal or action arising under the
contract and shall comply with any final decision rendered by the Facilities
Superintendent. 29. ARRA COMPLIANCE
This project will use the American Recovery and Reinvestment Act of 2009 and shall
comply with the following: This project is subject to the criteria and conditions of the American Recovery and Reinvestment Act (ARRA) of 2009. Satisfy the federal reporting requirements for the project(s), such as the monthly employment report, for both the
contractor and subcontractors. Provide the required information on form(s) provided by
the City or its agent in the timeframe indicated in the instructions. Include these
reporting requirements in all subcontracts. Section 902 of the ARRA of 2009 provides the City and its representatives the authority:
1. To examine any records of the Contractor or any of its subcontractors, or any
State or Local agency administering such contract, that directly pertain to, and
involve transactions relating to, the contract or subcontract; and
To interview any officer or employee of the Contractor or any of its subcontractors, or of any State or Local government agency administering the
Contract, regarding such transactions.
2. Accordingly, the City and its representatives shall have the authority and rights as provided under Section 902 of the ARRA with respect to this contract, which is funded with funds made available under the ARRA. Section 902 further states
that nothing in this Section shall be interpreted to limit or restrict in any way any
existing authority of the Comptroller General.
Section 1515(a) of the ARRA provides authority for any representatives of the City and/or agent to examine any records or interview any employee or officers
working on this Contract. The Contractor is advised that representatives of the
City and/or agent have the authority to examine any record and interview any
employee or officer of the Contractor, its subcontractors or other firms working on this Contract. Section 1515(b) further provides that nothing in this Section shall be interpreted to limit or restrict in any way any existing authority of an Inspector
General.
Failure to comply with the American Recovery and Reinvestment Act of 2009: The City will withhold payments from the Contractor for failure to comply with the requirements.
30. D-U-N-S® NUMBER/ CCR Registration
Contractors awarded a contract as a result of this solicitation will be required to provide the City with their unique Dun and Bradstreet “Data Universal Numbering System” (DUNS) number prior to contract execution. If you do not know or do not have a DUNS
number, visit www.dnb.com and click on “D & B D-U-N-S Number” to obtain a number.
In addition, all Contractors are required to register with the Central Contractor
Registration (CCR). Registration information for the Central Contractor Registry can be found at: http://www.ccr.gov/startregistration.aspx .
31. WHISTLEBLOWER PROVISION
(a) An employee of any non-Federal employer receiving covered funds may not be discharged, demoted, or otherwise discriminated against as a reprisal for disclosing, including a disclosure made in the ordinary course of an employee’s
duties, to an inspector general, the Comptroller General, a member of Congress,
a State or Federal regulatory or law enforcement agency, a person with
supervisory authority over the employee (or such other person working for the employer who has the authority to investigate, discover, or terminate
misconduct), a court or grand jury, the head of a Federal agency, or their representatives, information that the employee reasonably believes is evidence
of:
1. gross mismanagement of an agency contract or grant relating to covered
funds; 2. a gross waste of covered funds; 3. a substantial and specific danger to public health or safety related to the
implementation or use of covered funds;
4. an abuse of authority related to the implementation or use of covered
funds; or 5. a violation of law, rule or regulation related to an agency contract (including the competition for or negotiation of a contract) or grant,
awarded or issued relating to covered funds.
(b) A person who believes that the person has been subject to a reprisal prohibited
by subsection (a) may submit a complaint regarding the reprisal to the appropriate U.S. Office of the Inspector General. (c) Any employer receiving covered funds under ARRA, shall post notice of the
rights and remedies as required by Section 1553 of ARRA. See
www.recovery.gov.
32. REPORTING REQUIREMENTS
Pursuant to Section 1512 of the ARRA, entities, including the City, receiving ARRA
funds must submit a report to the federal government containing information on the use
of ARRA funds no later than ten (10) calendar days after the end of each calendar quarter. Accordingly, Contractor agrees to provide the City with such information, no later than five (5) calendar days after the end of each calendar quarter, as is required by
the City to comply with ARRA reporting requirements. Section 1512 of ARRA, its
implementing regulations (2 CFR §176.50), guidance provided by the White House
Office of Management and Budget and the terms of the ARRA grant that provides funds for this Contract provide guidance on what information must be reported.
33. SUBCONTRACTOR FLOW-DOWN REQUIREMENTS
Contractor agrees that it shall include these supplemental terms and conditions, including this requirement, in any of its subcontracts in connection with projects funded in whole or in part with funds available under the American Recovery and Reinvestment
Act of 2009, Pub. L. 111-5. Page 17 (11/10/09)
34. FEDERAL WAGE RATE SCHEDULE
Davis Bacon Act (40 U.S.C. 276-A-5):
All mechanics and laborers employed or working directly upon the site will be paid
unconditionally and not less than once a week, and without subsequent deduction or rebate on any account (except such payroll deductions as permitted by the Copeland Act), full amounts due at time of payment, computed at wage rates not less than those
contained in the wage rates determination decision of the Secretary of Labor, and
hereby made a part of this Contract, regardless of any contractual relationship which
may be alleged to exist between CONTRACTOR, subcontractor and such laborers or mechanics; and a copy of the wage determination decision shall be posted by the CONTRACTOR at the site of work in a prominent place where it can be easily viewed
by the workers.
35. STANDARD FEDERAL EQUAL EMPLOYMENT OPPORTUNITY CONSTRUCTION CONTRACT SPECIFICATIONS (EXECUTIVE ORDER 11246)
1. As used in these specifications:
a. "Covered area” means the geographical area described in the solicitation from which this contract resulted. b. "Director" means Director, Office of Federal Contract Compliance
Programs, United States Department of Labor, or any person to whom the
Director delegates authority.
c. "Employer identification number" means the Federal Social Security number used on the Employer's Quarterly Federal Tax Return, U.S. Treasury Department Form 941.
d. "Minority" includes:
(1) Black (all persons having origins in any of the Black African racial
groups not of Hispanic origin); (2) Hispanic (all persons of Mexican, Puerto Rican, Cuban, Central or South American or other Spanish Culture or origin, regardless of
race);
(3) Asian and Pacific Islander (all persons having origin in any of the
original peoples of the Far East, Southeast Asia, the Indian Subcontinent, or the Pacific Islands); and (4) American Indian or Alaskan Native (all persons having origins in
any of the original peoples of North America and maintaining
identifiable tribal affiliations through membership and participation
or community identification). 2. Whenever the CONTRACTOR, or any Subcontractor at any tier, subcontracts a
portion of the work involving any construction trade, it shall physically include in
each subcontract in excess of $10,000 the provisions of these specifications and
the Notice which contains the applicable goals for minority and female
participation and which is set forth in the solicitations from which this contract resulted.
3. If the CONTRACTOR is participating (pursuant to 41 CFR 60-4.5) in a Hometown
Plan approved by the U.S. Department of Labor in the covered area either individually or through an association, its affirmative action obligations on all work in the Plan area (including goals and timetables) shall be in accordance with that
Plan for those trades which have unions participating in the Plan.
CONTRACTOR’S must be able to demonstrate their participation in and
compliance with the provisions of any such Hometown Plan. Each CONTRACTOR or Subcontractor participating in an approved Plan is individually required to comply with its obligations under the EEO clause, and to make a
good faith effort to achieve each goal under the Plan in each trade in which it has
employees. The overall good faith performance by other CONTRACTORS or
Subcontractors toward a goal in an approved Plan does not excuse any covered CONTRACTOR’S's or Subcontractor's failure to take good faith efforts to achieve the Plan goals and timetables.
4. The CONTRACTOR shall implement the specific affirmative action standards
provided in paragraphs (7a) through (7p) of these specifications. The goals set forth in the solicitation from which this contract resulted are expressed as percentages of the total hours of employment and training of minority and female
utilization the CONTRACTOR should reasonably be able to achieve in each
construction trade in which it has employees in the covered area. The
CONTRACTOR is expected to make substantially uniform progress toward its goals in each craft during the period specified.
5. Neither the provisions of any collective bargaining agreement, nor the failure by a
union with whom the CONTRACTOR has a collective bargaining agreement, to
refer either minorities or women shall excuse the CONTRACTOR’S obligations under these specifications, Executive Order 11246, or the regulations promulgated pursuant thereto.
6. In order for the non-working training hours of apprentices and trainees to be
counted in meeting the goals, such apprentices and trainees must be employed by the CONTRACTOR during the training period, and the CONTRACTOR must have made a commitment to employ the apprentices and trainees at the
completion of their training, subject to the availability of employment
opportunities. Trainees must be trained pursuant to training programs approved
by the United States Department of Labor. 7. The CONTRACTOR shall take specific affirmative actions to ensure equal
employment opportunity. The evaluation of the CONTRACTOR’S compliance
with these specifications shall be based upon its effort to achieve maximum
results from its actions. The CONTRACTOR shall document these efforts fully,
and shall implement affirmative action steps at least as extensive as the following:
a. Ensure and maintain a working environment free of harassment,
intimidation, and coercion at all sites, and in all facilities at which the
CONTRACTOR’S employees are assigned work. The CONTRACTOR, where possible, will assign two or more women to each construction project. The CONTRACTOR shall specifically ensure that all foremen,
superintendents, and other on-site supervisory personnel are aware of
and carry out the CONTRACTOR's obligation to maintain such a working
environment, with specific attention to minority or female individuals working at such sites or in such facilities.
b. Establish and maintain a current list of minority and female recruitment
sources, provide written notification to minority and female recruitment
sources and to community organizations when the CONTRACTOR or its unions have employment opportunities available, and maintain a record of the organizations' responses.
c. Maintain a current file of the names, addresses and telephone numbers of
each minority and female off-the-street applicant and minority or female referral from a union, a recruitment source or community organization and of what action was taken with respect to each such individual. If such
individual was sent to the union hiring hall for referral and was not referred
back to the CONTRACTOR by the union or, if referred, not employed by
the CONTRACTOR, this shall be documented in the file with the reason therefor, along with whatever additional actions the CONTRACTOR may have taken.
d. Develop on-the-job training opportunities and/or participate in training
programs for the area which expressly include minorities and women, including upgrading programs and apprenticeship and trainee programs relevant to the CONTRACTOR’S employment needs, especially those
programs funded or approved by the Department of Labor. The
CONTRACTOR shall provide notice of these programs to the sources
compiled under 7b above. e. Disseminate the CONTRACTOR’S EEO policy by providing notice of the
policy to unions and training programs and requesting their cooperation in
assisting the CONTRACTOR in meeting its EEO obligations; by including
it in any policy manual and collective bargaining agreement; by publicizing it in the company newspaper, annual report, etc.; by specific review of the policy with all management personnel and with all minority and female
employees at least once a year; and by posting the company EEO policy
on bulletin boards accessible to all employees at each location where
construction work is performed.
f. Review, at least annually, the company's EEO policy and affirmative action obligations under these specifications with all employees having
any responsibility for hiring, assignment, layoff, termination or other
employment decisions including specific review of these items with onsite
supervisory personnel such as Superintendents, General Foremen, etc., prior to the initiation of construction work at any job site. A written record shall be made and maintain identifying the time and place of these
meetings, persons attending, subject matter discussed, and disposition of
the subject matter.
g. Disseminate the CONTRACTOR’S EEO policy externally by including it in any advertising in the news media, specifically including minority and
female news media, and providing written notification to and discussing
the CONTRACTOR’S EEO policy with other CONTRACTORS and
Subcontractors with whom the CONTRACTOR does or anticipates doing business.
h. Direct its recruitment efforts, both oral and written, to minority, female and
community organizations, to schools with minority and female students
and to minority and female recruitment and training organizations serving the CONTRACTOR’S recruitment area and employment needs. Not later than one month prior to the date of the acceptance of applications for
apprenticeship or other training by any recruitment source, the
CONTRACTOR shall send written notification to organizations such as the
above, describing the openings, screening procedures, and tests to be used in the selection process.
i. Encourage present minority and female employees to recruit other
minority persons and women and, where reasonable, provide after school,
summer and vacation employment to minority and female youth both on the site and in other areas of a CONTRACTOR’S workforce.
j. Validate all tests and other selection requirements where there is an
obligation to do so under 41 CFR Part 60-3.
k. Conduct, at least annually, an inventory and evaluation at least of all minority and female personnel for promotional opportunities and
encourage these employees to seek or to prepare for, through appropriate
training, etc., such opportunities.
l. Ensure that all facilities and company activities are non-segregated except that separate or single-user toilet and necessary changing facilities shall
be provided to assure privacy between the sexes.
m. Ensure that seniority practices, job classifications, work assignments and other personnel practices, do not have a discriminatory effect by
continually monitoring all personnel and employment related activities to ensure that the EEO policy and the CONTRACTOR’S obligations under
these specifications are being carried out.
n. Document and maintain a record of all solicitations of offers for subcontracts from minority and female construction CONTRACTORS and suppliers, including circulation of solicitations to minority and female
CONTRACTOR associations and other business associations.
o. Conduct a review, at least annually, of all supervisors' adherence to and
performance under the CONTRACTOR’S EEO policies and affirmative action obligations.
8. CONTRACTORS are encouraged to participate in voluntary associations which
assist in fulfilling one or more of their affirmative action obligations (7a through p).
The efforts of a CONTRACTOR association, join contractor-union, contractor-community, or other similar group of which the CONTRACTOR is a member and participant, may be asserted as fulfilling any one or more of its obligations under
7a through p of these Specifications provided that the CONTRACTOR actively
participates in the group, makes every effort to assure that the group has a
positive impact on the employment of minorities and women in the industry, ensures that the concrete benefits of the program are reflected in the CONTRACTOR’S minority and female workforce participation, makes a good
faith effort to meet its individual goals and timetables, and can provide access to
documentation which demonstrates the effectiveness of actions taken on behalf
of the CONTRACTOR. The obligation to comply, however, is the CONTRACTOR’S and failure of such a group to fulfill an obligation shall not be a defense for the CONTRACTOR’S noncompliance.
9. A single goal for minorities and separate single goal for women have been
established. The CONTRACTOR, however, is required to provide equal employment opportunity and to take affirmative action for all minority groups, both male and female, and all women, both minority and nonminority.
Consequently, the CONTRACTOR may be in violation of the Executive Order if a
particular group is employed in a substantially disparate manner (for example,
even though the CONTRACTOR has achieved its goals for women generally, the CONTRACTOR may be in violation of the Executive Order if a specific minority group of women is underutilized).
10. The CONTRACTOR shall not use the goals and timetables or affirmative action
standards to discriminate against any person because of race, color, religion, sex, or national origin.
11. The CONTRACTOR shall not enter into any Subcontract with any person or firm
debarred from Government contracts pursuant to Executive Order 11246.
12. The CONTRACTOR shall carry out such sanctions and penalties for violation of these specifications and of the Equal Opportunity Clause, including suspension,
termination and cancellation of existing subcontracts as may be imposed or
ordered pursuant to Executive Order 11246, as amended, and its implementing
regulations, by the Office of Federal Contract Compliance Programs. Any CONTRACTOR who fails to carry out such sanctions and penalties shall be in violation of these specifications and Executive Order 11246, as amended.
13. The CONTRACTOR, in fulfilling its obligations under these specifications, shall
implement specific affirmative action steps, at least as extensive as those standards prescribed in paragraph 7 of these specifications, so as to achieve maximum results from its efforts to ensure equal employment opportunity. If the
CONTRACTOR fails to comply with the requirements of the Executive Order, the
implementing regulations, or these specifications, the Director shall proceed in
accordance with 41 CFR 60-4.8. 14. The CONTRACTOR shall designate a responsible official to monitor all
employment related activity to ensure that the company EEO policy is being
carried out, to submit reports relating to the provisions hereof as may be required
by the Government and to keep records. Records shall at least include for each employee the name, address, telephone numbers, construction trade, union affiliation if any, employee identification number when assigned, social security
number, race, sex, status (e.g., mechanic, apprentice, trainee, helper, or laborer),
dates of changes in status, hours worked per week in the indicated trade, rate of
pay, and locations at which the work was performed. Records shall be maintained in an easily understandable and retrievable form; however, to the degree that existing records satisfy this requirement, CONTRACTORS shall not
be required to maintain separate records.
15. Nothing herein provided shall be construed as a limitation upon the application of other laws which establish different standards of compliance or upon the application of requirements for the hiring of local or other area residents (e.g.,
those under the Public Works Employment Act of 1977 and the Community
Development Block Grant Program).
36. REQUIRED USE OF AMERICAN IRON, STEEL, AND MANUFACTURED GOODS – SECTION 1605 OF THE AMERICAN RECOVERY AND
REINVESTMENT ACT OF 2009
(a) Definitions. As used in this award term and condition— (1) Manufactured good means a good brought to the construction site for
incorporation into the building or work that has been—
(i) Processed into a specific form and shape; or
(ii) Combined with other raw material to create a material that has different properties than the properties of the individual raw
materials.
(2) Public building and public work means a public building of, and a public work of, a governmental entity (the United States; the District of Columbia; commonwealths, territories, and minor outlying islands of the United
States; State and local governments; and multi-State, regional, or
interstate entities which have governmental functions). These buildings
and works may include, without limitation, bridges, dams, plants, highways, parkways, streets, subways, tunnels, sewers, mains, power lines, pumping stations, heavy generators, railways, airports, terminals,
docks, piers, wharves, ways, lighthouses, buoys, jetties, breakwaters,
levees, and canals, and the construction, alteration, maintenance, or
repair of such buildings and works. (3) Steel means an alloy that includes at least 50 percent iron, between .02
and 2 percent carbon, and may include other elements.
(b) Domestic preference. (1) This award term and condition implements Section 1605 of the American Recovery and Reinvestment Act of 2009 (Recovery Act) (Pub. L. 111–5),
by requiring that all iron, steel, and manufactured goods used in the
project are produced in the United States except as provided in paragraph
(b)(3) and (b)(4) of this section and condition. (2) This requirement does not apply to the material listed by the Federal
Government as follows:
None. (3) The award official may add other iron, steel, and/or manufactured goods
to the list in paragraph (b)(2) of this section and condition if the Federal
Government determines that—
(i) The cost of the domestic iron, steel, and/or manufactured goods would be unreasonable. The cost of domestic iron, steel, or manufactured goods used in the project is unreasonable when the
cumulative cost of such material will increase the cost of the overall
project by more than 25 percent;
(iii) The iron, steel, and/or manufactured good is not produced, or manufactured in the United States in sufficient and reasonably available quantities and of a satisfactory quality; or
(iv) The application of the restriction of section 1605 of the Recovery
Act would be inconsistent with the public interest.
(c) Request for determination of inapplicability of Section 1605 of the Recovery Act .
(1)(i) Any recipient request to use foreign iron, steel, and/or manufactured goods
in accordance with paragraph (b)(3) of this section shall include adequate
information for Federal Government evaluation of the request, including— (A) A description of the foreign and domestic iron, steel, and/or
manufactured goods;
(B) Unit of measure;
(C) Quantity; (D) Cost; (E) Time of delivery or availability;
(F) Location of the project;
(G) Name and address of the proposed supplier; and
(H) A detailed justification of the reason for use of foreign iron, steel, and/or manufactured goods cited in accordance with paragraph (b)(3) of this section.
(ii) A request based on unreasonable cost shall include a reasonable
survey of the market and a completed cost comparison table in the format in paragraph (d) of this section. (iii) The cost of iron, steel, and/or manufactured goods material shall
include all delivery costs to the construction site and any applicable
duty.
(iv) Any recipient request for a determination submitted after Recovery Act funds have been obligated for a project for construction, alteration, maintenance, or repair shall explain why the recipient could not
reasonably foresee the need for such determination and could not
have requested the determination before the funds were obligated. If
the recipient does not submit a satisfactory explanation, the award official need not make a determination.
(2) If the Federal Government determines after funds have been obligated for a
project for construction, alteration, maintenance, or repair that an exception to
section 1605 of the Recovery Act applies, the award official will amend the award to allow use of the foreign iron, steel, and/or relevant manufactured goods. When the basis for the exception is nonavailability or public interest, the amended
award shall reflect adjustment of the award amount, redistribution of budgeted
funds, and/or other actions taken to cover costs associated with acquiring or
using the foreign iron, steel, and/or relevant manufactured goods. When the basis for the exception is the unreasonable cost of the domestic iron, steel, or manufactured goods, the award official shall adjust the award amount or
redistribute budgeted funds by at least the differential established in 2 CFR
176.110(a).
(3) Unless the Federal Government determines that an exception to section 1605 of the Recovery Act applies, use of foreign iron, steel, and/or manufactured
goods is noncompliant with section 1605 of the American Recovery and
Reinvestment Act.
(d) Data. To permit evaluation of requests under paragraph (b) of this section based
on unreasonable cost, the Recipient shall include the following information and
any applicable supporting data based on the survey of suppliers:

SPECIAL TERMS AND CONDITIONS
1. PRE-BID CONFERENCE
All interested parties are invited to attend a Mandatory Pre-bid Conference on Tuesday, March 1, 2011, commencing at 9:00 AM at the City Shop Facility, 814 N Bozeman Avenue, Bozeman, Montana. 59715.
At this time the bidder will be able to inspect the facilities, and the City’s representative
will be available to answer questions relative to this Invitation for Bids. Any suggested modifications may be presented in writing to, or discussed with, the
City’s representative(s) at this meeting and may be considered by said representative(s)
as possible amendments to the Invitation for Bids.
2. QUALIFICATION OF BIDDERS
This bid shall be awarded to a responsible, responsive bidder, qualified by experience
to provide the work specified. The bidder will submit the following information with his
bid: A. List and brief description of similar work satisfactorily completed with location, dates of contract, names, addresses and telephone numbers of
owners by completing the reference sheets on pages 59 and 60. A
minimum of three (3) commercial references must be provided.
B. List of equipment and facilities available to do the work.
C. List of personnel, by name and title, contemplated to perform the work.
Resumes must be provided for management and service personnel.
D. Submit proof, in the form of an occupational license or any other incorporation document that demonstrates that the company has been in
business a minimum of five years.
E. Submit proof the bidder has a minimum of five (5) years of similar experience in commercial lighting retrofits and/or commercial heating system retrofit installation and replacement.
F. By submittal of a bid, the bidder agrees that the City shall make the sole
determination as to whether or not sufficient experience and expertise exist and the bidder's protocol is sufficient to achieve the desired results.
Failure to submit the above requested information may be cause for rejection of your
bid.
3. LICENSES AND PERMITS
Prior to furnishing the requested product(s) or service(s), it shall be the responsibility of
the awarded vendor to obtain, at no additional cost to The City, any and all licenses and
permits required to complete this contractual service. These licenses and permits shall be readily available for review by the Facilities Superintendent or his/her designee.
4. BID ACCEPTANCE PERIOD
A bid shall constitute an irrevocable offer for a period of one-hundred twenty (120) days
from the bid opening date or until the date of award, whichever is earlier. In the event that an award is not made by the City within one-hundred twenty (120) days from March 8, 2011, the Bidder may withdraw his bid or provide a written extension of his bid.
5. AWARD
Award shall be made on an “All-or-None Total Bid”, or “All-or-None Total Estimated Bid” basis to the lowest responsive and responsible bidder for the lighting project and for the
furnace replacement project individually.
6. POST AWARD MEETING Within ten (10) days after receipt of notification of award of bid, Contractor shall meet
with the City’s representative(s) to discuss job procedures and scheduling.
7. PERFORMANCE Timely performance is of the essence in the award of this Invitation for Bids.
Performance shall be no later than sixty (60) calendar days from receipt of purchase
order. Bids which fail to meet this requirement shall be rejected. It is hereby understood
and mutually agreed to by and between parties hereto that the time of performance is an essential condition of this contract. If said vendor shall neglect, fail or refuse to provide the services within the time herein specified, then said vendor does hereby
agree as part of the consideration for the awarding of this contract, to pay the City the
sum extended by the City to contract for like services approved by the Purchasing and
Contracts Division for the period from the required scheduled commencement date until performance of services covered in the Invitation for Bids is completed. The vendor shall, within five (5) calendar days from the beginning of such delay, notify the Facilities
Superintendent in writing of the cause(s) of the delay.
8. TERMINATION
A. Termination for Default:
The City may, by written notice to the (vendor/contractor/consultant), terminate this contract for default in whole or in part (delivery orders, if applicable) if the (vendor/contractor/consultant) fails to:
1. provide products or services that comply with the specifications herein or
fails to meet the City’s performance standards 2. deliver the supplies or to perform the services within the time specified in
this contract or any extension.
3. make progress so as to endanger performance of this contract 4. perform any of the other provisions of this contract.
Prior to termination for default, the City will provide adequate written notice to the
(vendor/contractor/consultant) through the Facilities Superintendent, affording him/her the opportunity to cure the deficiencies or to submit a specific plan to resolve the deficiencies within ten (10) days (or the period specified in the notice)
after receipt of the notice. Failure to adequately cure the deficiency shall result in
termination action. Such termination may also result in suspension or debarment
of the Contractor in accordance with the City’s Procurement Ordinance. The contractor and its sureties (if any) shall be liable for any damage to the City resulting from the Contractor’s default of the contract. This liability includes any
increased costs incurred by the City in completing contract performance.
In the event of termination by the City for any cause, the vendor will have, in no event, any claim against the City for lost profits or compensation for lost opportunities. After a receipt of a Termination Notice and except as otherwise
directed by the City the vendor shall:
A. Stop work on the date and to the extent specified. B. Terminate and settle all orders and subcontracts relating to the performance of the terminated work
C. Transfer all work in process, completed work, and other materials related
to the terminated work as directed by the City.
D. Continue and complete all parts of that work that have not been terminated.
If the (vendor’s/contractor’s/consultant’s) failure to perform the contract arises
from causes beyond the control and without the fault or negligence of the
(vendor/contractor/consultant), the contract shall not be terminated for default.
Examples of such causes include (1) acts of God or the public enemy, (2) acts of
a government in its sovereign capacity, (3) fires, (4) floods, (5) epidemics, (6)
strikes and (7) unusually severe weather.
B. Termination for Convenience: The City, by written notice, may terminate this contract, in whole or in part, when
it is in the City’s interest. If this contract is terminated, the City shall be liable only
for goods or services delivered and accepted. The City Notice of Termination
shall provide the contractor thirty (30) days prior notice before it becomes
effective. A termination for convenience may apply to individual delivery orders, purchase orders or to the contract in its entirety.
9. COMPLIANCE WITH OCCUPATIONAL SAFETY AND HEALTH
Bidder certifies that all material, equipment, etc., contained in his bid meets all OSHA requirements. Bidder further certifies that, if he is the awarded vendor, and the material,
equipment, etc., delivered is subsequently found to be deficient in any OSHA
requirements in effect on date of delivery, all costs necessary to bring the material,
equipment, etc., into compliance with the aforementioned requirements shall be borne
by the vendor.
10. PAYMENT
Partial payments in the full amount for the value of items received and accepted may be
requested by the submission of a properly executed invoice, with supporting documents if required. Payment for accepted equipment/supplies/services will be accomplished by
submission of an invoice, in duplicate, to:

11. WARRANTY
The awarded vendor shall fully warrant all work performed hereunder against defect for
a period of one (1) year, a period of five (5) years in materials for covered equipment
and four (4) years for covered lamps from date of delivery/acceptance by The City.
Should any defect in materials or workmanship, except ordinary wear and tear, appear
during the above stated warranty period, the awarded vendor shall repair or replace same at no cost to the City, immediately upon written notice from the City’s authorized
representative. The vendor shall be responsible for either repairing the equipment on
site or transporting the equipment to his/her repair facility at no cost to the City. All
warranty provisions of the Uniform Commercial Code shall additionally apply. 12. DEBRIS
Awarded vendor shall be responsible for the prompt removal of all debris which is a
result of this contractual service. 13. SAFETY AND PROTECTION OF PROPERTY
The Vendor/Agency shall at all times:
• Initiate, maintain and supervise all safety precautions and programs in
connection with its services or performance of its operations under this contract.
• Take all reasonable precautions to prevent injury to employees, including City employees and all other persons affected by their operations.
• Take all reasonable precautions to prevent damage or loss to property of the
City, or of other vendors, consultants or agencies and shall be held responsible for replacing or repairing any such loss or damage.
• Comply with all ordinances, rules, regulations, standards and lawful orders from
authority bearing on the safety of persons or property or their protection from damage, injury or loss. This includes but is not limited to:
o Occupational Safety and Health Act (OSHA) o National Institute for Occupational Safety & Health (NIOSH) o National Fire Protection Association (NFPA)
o American Society of Heating, Refrigeration & Air-Conditioning

14. INSURANCE REQUIREMENTS
Vendor/Agency agrees to maintain on a primary basis and at its sole expense, at all
times throughout the duration of this contract the following types of insurance coverage
with limits and on forms (including endorsements) as described herein. These requirements, as well as the City’s review or acceptance of insurance maintained by Vendor/Agency is not intended to and shall not in any manner limit or qualify the
liabilities or obligations assumed by Vendor/Agency under this contract.
The Vendor/Agency shall require and ensure that each of its subcontractors/ consultants providing services hereunder (if any) procures and maintains until the completion of their respective services, insurance of the types and to the limits specified
herein.

F. Builder's Risk
Contractor shall purchase Builder's Risk on the "Broadform" form of coverage inclusive of Fire, Extended Coverages, and Vandalism. Insurance shall include the interests of
the Contractor, Engineer, and subcontractors, as their insurable interest may appear.
By entering into a contract, Vendor/Agency will agree to provide a waiver of subrogation in favor of the City for the workers’ compensation and a waiver of transfer of rights of recovery in favor of the City for general liability policies as required herein. When
required by the insurer or should a policy condition not permit the Vendor/Agency to
enter into a pre-loss agreement to waive subrogation without an endorsement, then
Vendor/Agency will agree to notify the insurer and request the policy be endorsed with a Waiver of Subrogation or a Waiver of Transfer of Rights of Recovery Against Others endorsement.
Vendor/Agency will agree to endorse the City as an Additional Insured.
The certificates shall clearly indicate that the Vendor/Agency has obtained insurance of the type, amount and classification as required for strict compliance with this insurance
section. No material change or cancellation of the insurance shall be effective without
thirty (30) days prior written notice to the City. Certificates shall specifically reference

15. CHANGES - SERVICE CONTRACTS
The City may at any time by issuance of an executed change order make changes
within the general scope of the contract in any of the following areas:
A. Description of services to be performed.
B. Time of Performance (i.e., hours of the day, days of the week, etc.).
C. Place of performance of the services. If additional work or other changes are required in the areas described above, a price
proposal will be required from the contractor. Upon negotiation of the proposal,
execution and receipt of the change order, the contractor shall commence performance
of the work as specified. The Contractor shall not commence the performance of additional work or other
changes not covered by this contract without an executed change order issued by the
Facilities Department. If the contractor performs additional work beyond the specific
requirements of this contract without an executed change order, it shall be at his own risk. The City assumes no responsibility for any additional costs for work not specifically authorized by an executed change order.
16. REFERENCES
A contact person shall be someone who has personal knowledge of the bidder’s performance for the specific requirement listed. Contact person must have been
informed that they are being used as a reference and that the City may be calling them.
More than one person can be listed but all must have knowledge of the project. The
reference shall be the owner or a representative of the owner. Consultants or contractors who provided services under the referenced project (contract) shall not be accepted as references. DO NOT list principals or officers who will not be able to
answer specific questions regarding the project. Failure of references listed to respond
to the City’s inquiries may negatively impact the responsibility of the bidder.
SCOPE OF WORK 1. GENERAL
The Facilities Department is responsible for the proper maintenance and upkeep of
buildings throughout The City. The work performed in this bid shall consist of all labor, materials, equipment, and transportation, necessary to
• Provide lighting retrofits to various facilities as detailed in Exhibit A,
and
• Replace furnaces and unit heaters in the city shop facility as described in Exhibit B.
The work shall involve replacing equipment with new equipment that is more energy efficient.
A. Standard Hours: The standard working hours are Monday through Friday,
7:00 AM to 6:00 PM, excluding the City holidays. B. Non-Standard Hours: Non-standard working hours are other than Monday
through Friday, 7:00 AM to 6:00 PM, weekends, and City holidays. The
contractor must provide a 24-hour point of contact for nonstandard working
hours. C. The contractor shall employ a supervisor on the job and ensure that the work
schedule is coordinated with City Representative James Goehrung so that there
is minimal disruption of City activities.
D. Workmanship throughout shall correspond to the standard of best practice, and all labor employed must be competent to do the work required. Tool marks will
not be permitted on any exposed materials, fittings, or piping.
E. The Contractor shall maintain sole responsibility for the actions of its employees
and subcontractors. F. All personnel provided by the Contractor, whether employees of the Contractor or
Sub-contractors, shall be competent, experienced, courteous, properly dressed
with shirt displaying the company name/logo, and skilled in the maintenance,
replacement and upgrading of various types of lighting fixtures and equipment or heating equipment as required by the separate projects.
Contractor personnel shall wear appropriate shoes during the performance of
services under this contract. Open-toed shoes are not permitted. The contractor
shall ensure that all of its employees are clean, neat and appropriately attired during the performance of the services.
2. SAFETY
A. Prior to performing service or maintenance on any equipment where the unexpected energizing, startup, or release of stored energy could occur and cause injury, the equipment shall be isolated and rendered inoperative through
the use of a lockout device whenever the equipment is capable of being locked-
out.
B. The Contractor shall prepare and maintain a Safety plan to ensure that work performed herein conforms to bid requirements. The Contractor’s Safety Plan
shall be submitted to the City Representative for review and approval within ten
(10) business days following award
C. The City Representative will review the Safety Plan and provide comments to the Contractor within five (5) business days following receipt of the plan. The
Contractor shall finalize the Safety Plan within five (5) business days following
receipt of the comments.
D. The Contractor shall provide and ensure the wearing of necessary protective clothing, masks, eye protection, hearing protection, etc. as required by any
applicable laws, regulations, ordinances, and/or manufacturer’s instruction.
E. All equipment used in the performance of these services shall be properly maintained and shall be subject to inspection by the City upon demand. Any equipment deemed faulty, inoperable, unsafe or improper for its intended
purpose shall be moved from the City’s premises.
F. Any damage to City facilities or property due to the services performed by the Contractor will be the responsibility of the Contractor.
3. PERFORMANCE
A. Work shall be scheduled to provide the least inconvenience to building occupants and visitors.
B. All workmanship shall meet the standards specified herein, and shall be
accomplished in accordance with approved and accepted standards of the; (1)
industry, (2) equipment manufacturer, (3) applicable Federal and local standards and codes, and (4) applicable building and safety codes, including, but not limited to, ANSI, NEC, and NFPA.
C. When the Contractor completes work on a system or piece of equipment
included in this bid, that system or piece of equipment shall be free of missing components or defects which would prevent it from functioning as originally intended and/or designed. Corrective or repair/replacement work shall be carried
to completion, including operational checks and cleanup of the work site.
D. Proper operation of equipment shall be demonstrated to the City Representative, who will initial the space available on the line item spreadsheet.
4. PARKING
The City will identify locations where Contractor vehicle parking is available. If there is a cost associated with parking, those costs shall be paid by the Contractor or Contractor's employee. The City will not be responsible for any damage to Contractor or Contractor's
employees’ vehicles while parked on City property. Vehicles towed from City property
will be at the expense of the Contractor or Contractor's employee. Contractor and
Contractor's employee vehicles shall be properly identified.
5. GENERAL SPECIFICATIONS
The work to be performed under this bid is designed to provide energy savings through
lighting upgrades and furnace replacements. Work may be required to be performed
during either standard or non-standard business hours. Contractor shall anticipate
additional time may be required based on any special operational requirements of the
Facility being retrofitted. Contractor shall coordinate their work with the appropriate City
Representative so that there is minimal disruption of City activities. The Contractor shall
provide all labor and other resources necessary to provide the supplies, equipment,
and/or services in strict accordance to the Scope of Work defined in this solicitation for
the amounts specified in the Bid Proposal Forms, inclusive of overhead, profit and any
other costs.
A. The Contractor shall provide a list and hard copies of all warranties with regards to parts and
labor.
B. The Contractor shall provide a warranty/guarantee for the life of the components with
regards to defects and/or installation issues.
C. The Contractor shall be responsible for ALL required city, county and state
permits/inspections and will provide inspected/signed off copies of same upon completion of
the project.
D. Recycling: The Contractor shall be responsible for proper disposal of existing components
that are removed during the course of this project with a certified recycling contractor at an off-
site facility.
E. Disposal: All items that cannot be recycled shall be disposed of by the contractor at the
Gallatin County (Logan) Landfill.
F. Require line item costs, see Exhibit A. and Exhibit B. Contractor shall indicate costs for each
line item as shown in the Lighting Project Bid Form and/or the Furnace project bid Form.
G. ARRA Compliant Materials: Although the city has gone through some effort to ensure the
materials specified are ARRA compliant, ARRA compliance is the responsibility of the
contractor.
H. Lighting: Quantities shown in the bid package are estimates. Actual counts of fixtures,
ballasts, and lamps shall be noted on the Bid Proposal Form.
I. Lighting: Rapid start ballasts shall be replaced with the specified programmed start ballasts.

Occupancy Sensor Controls: Contractor to determine appropriate application unless otherwise

1. Occupancy Sensor Controls shall be Passive Infrared Technology, installed to automatically turn
lights off when the space is unoccupied, and turns lights on upon occupancy. The sensor is to be corner-mounted to prevent a view out the doorway that might otherwise result in false activations.
A standard wall switch will be left in the circuit to allow users to manually override the sensor and switch the lights off with the room occupied. The range, sensitivity, and time-delay settings shall

3. Hallways: Sensors shall be Ultrasonic Technology. Sensors are to be ceiling-mounted with a range of approximately 40 feet in either direction controlling the lighting within the range. The
range, sensitivity, and time-delay settings shall be adjusted to function in the installed space. Sensors shall be equivalent to WT-2255 Ceiling Mount sensor, with a BZ-100 Power Pack, as
manufactured by Wattstopper of Santa Clara, Ca. All sensors shall be installed according to the manufacturer’s recommendations.

4. Offices: Occupancy Sensor Controls shall be a line voltage wall switch of Infrared Technology
replacing the existing standard wall switch, and shall be equipped with a matching cover plate. The range, sensitivity, and time-delay settings shall be adjusted to function in the installed space. Equivalent to model WSD 120/277 VAC – I, as manufactured by Sensor Switch of Wallingford CT.

General Furnace Specifications –
Furnaces shall be installed according to all manufacturer’s specifications and
instructions
Furnaces shall be fitted and tuned for high altitude operation
All furnaces shall be condensing type furnaces of over 90% AFUE.
Condensate shall be piped to an appropriate drain.
No additional roof penetrations shall be allowed. If existing roof penetrations are
acceptable per manufacturer’s installation manual for venting and combustion
air, these may be used. Otherwise any new building penetrations for intake and
exhaust of furnaces shall be made through walls.
Power supply for new furnaces shall be field verified and matched to the new
furnace as required.
Existing thermostats shall be used if programmable. Programmable thermostats
shall be installed if the furnace being replaces is controlled by a mercury tilt or
mechanical non programmable thermostat. Programmable thermostats shall be
line voltage or 24 VDC operated thermostats, no battery operated thermostats
shall be allowed.
All installation and owner’s manuals for furnaces installed shall be delivered to
the Public Works Department superintendent.
All ductwork installed shall be sealed with appropriate duct mastic.
All removed unit heater capacities shall be noted on the bid form.
Any unused gas lines shall be capped and gas line shall be leak tested.
Any unused vent stacks shall be capped and made weatherproof.
Final furnace locations to be approved by the Facilities Superintendent
