I RECITALS I WHEREAS, the City and Friends of The Story, Inc., a Montana non-profit corporation (hereinafter referred to as "FOS") desire to enter into this Memorandum of Agreement with regard to preservation of the historic Story Mansion located in Bozeman, Montana; and I WHEREAS, the City is a municipal corporation organized under the laws of Montana; and WHEREAS, the City owns Lot 1 A, Block 3 in the Butte Addition to the City of I Bozeman, as amended, located in the NW % of Section 18. T 2 S, R 6 E (Plat#C-35-F),more I commonly described as the Story Mansion located at 811 South Willson Avenue, City of I Bozeman, Gallatin County, Montana; and I WHEREAS, the Bozeman City Commission finds it is in the best interest of the City to assist in the historic preservation of the Story Mansion; and I WHEREAS, FOS, a non-profit entity, with an express mission of dedication to preserving the Story Mansion in compliance with all applicable zoning and planning regulations; i and WHEREAS,the City and FOS are desirous of entering into a mutually beneficial agreement to facilitate development of the Story Mansion as an educational, cultural and social center with the goal of enhancing community and economic vitality in Bozeman, Montana; and I I WHEREAS,the City supports the mission of FOS in preserving the Story Mansion: and I WHEREAS, the parties find that it is in their best interest and the best interest of the I citizens of Bozeman to enter into this Memorandum of Agreement to facilitate the preservation of the Story Mansion. ( NOW,THEREFORE,in consideration of the mutual covenants and conditions I contained herein, the parties agree as follows: l. Purpose. This Memorandum of Agreement("MOA") establishes the understanding and agreement of the parties for the activities surrounding preservation, I Memorandum of Agreement 1 I City of Bozeman/Friends of The Story,Inc. I I I restoration and development of the Story Mansion and Carriage House (hereinafter referred to as "The Story") as an educational, cultural and social center in the City of Bozeman, Montana. 2. Proieet Description. The Story consists of three(3) above-ground floors, a finished basement and a detached Carriage House comprising of approximately 13,780 square feet. The first phase of restoration of The Story includes,but is not limited to, construction to provide public access to the reception entry area,library, office, living room,dining room, solarium, unisex ADA compliant bathroom and catering kitchen on the first floor and the two (2) ADA compliant bathrooms in the basement, which have access from both the first floor and entry from the outside grounds. A future phase of restoration of The Story includes,but is not limited to,restoration and rehabilitation of the second and third floors, which includes installation of an exterior elevator shaft on the SW corner of the building and elevator, ADA compliant bathrooms, and structural components. 3. Grant Opportunities. FOS anticipates pursuing grant opportunities for further renovation of The Story,but will coordinate any applications with the City, who would administer any such grants awarded. 4. Parties Responsibilities. (A) The City staff and designated representatives of FOS will meet on a regular, scheduled basis to discuss matters of mutual interest,including but not limited to,funding opportunities, rental fees,branding of The Story in local, regional and national markets, naming opportunities in The Story or on the grounds in exchange for a specified donation level.The City shall make all decisions regarding the matters section 4(A). (B) The City agrees to consider, in good faith, and timely act on any proposals submitted by FOS for any donations which include a naming opportunity to be offered to the prospective donor. (C) The City will not impose any limitations,constraints or restrictions on FOS's ability to partner with other charitable organizations,City Boards, and/or neighborhood organizations with similar missions,including but not limited to preservation of landmark property, historic preservation, and/or operation of mansions held in the public domain. (D) The City and FOS will consult with one another on matters of outsourcing elements of operation and maintenance of The Story. (E) The City acknowledges that FOS may gift certain furniture,equipment, personal property and/or funds to the City for specified uses at The Story Mansion. The City agrees that it will provide a written receipt or confirmation of each such donation within ten (10) days of its receipt by the City. The City further agrees and acknowledges that the City will allocate all such donations to The Story Mansion, as directed by FOS, in writing. Memovandum of Agreement City of Bozeman/Friends of The Story,Inc. Eighteenth Judicial District, Gallatin County, Montana and the parties agree to submit to the jurisdiction of such court. 12. DURATION. The term of this Agreement will be one year renewable with the agreement of both parties. At any time during the duration of this agreement both parties can agree to extend the agreement as described in paragraph b of this MOA. 13. NOTICES. All notices required under this Agreement shall be deemed properly served if delivered in writing,personally,or sent by certified or registered mail to the last address previously furnished by the parties hereto. 14. Authority. The City and FOS affirm that the undersigned have the authority to enter into this Agreement on behalf of the City and FOS and to bind the City and FOS to this Agreement. As a guide and host to visitors and its oxen citizens, the Bozeman cityscape offers a unique understanding of western history. For many, Bozeman provides a personal launch into the majesty of the Northern' Rockies. This proposal pegs the City's many historic venues to a series of sites that can constitute Rozernan's Heritage Trail. As the City's designated citizens' group of preservation professionals and devotees, the Bozeman Historic Preservation Advisory Board could initiate plans for the creation of a coalition of organizations and identify key sites in the city that contribute to our common history. The Chamber's Tourism Bureau might join in a partnership to introduce the Trail to the community. Suggested procedure: - Support "Bozeman's Heritage Trail." Be a founder. Identify contributina sites. Include sites in need of restoration and Jar rehabilitation. - Identify and invite organizations to become sites on the Trail, i.e. the Pioneer Museum,The Story Mansion, MSU's Special Collections, Museum of the Rockies, Ellen Theater, the Emerson, other. Identify sponsors of the Trail. i.e. Gallatin Valley Land Trust, Yellowstone Foundation, Downtown Business Partners, Chamber of Commerce, Headwaters Chapter of Lewis and Clark, Sweet Pea, etc, * Identify sites and buildings in need of preservation: depot,Armory, Story Mill. Identify places that have been restored, rehabilitated. Put them on the Trail, - Brochure with map and markers for walking and drive-by, guided tours, Cost and distribution assumed by members and sponsors of Trail. - Support the 2010 centennial celebration of the Story Mansion. This event is planned by Friends of the Story. Provide help with this event. Cooperative sharing of information about key events of member organizations and sponsors. It is operated by the Daly Mansion Preservation Trust (DMPT), which was started in 1986 by a band of courageous citizens determined to save history. In partnership with the University of Montana, the State of Montana leases the Mansion and approximately 50 acres of grounds to the DMPT. The DMPT is charged with the full financial responsibility of the Mansion which includes salaries, maintenance, and operation costs. The DMPT does not receive any operational support, at this time, from either the State or the Federal Government.The Mansion was first opened to the public in May 1987, after being closed and boarded up for over 40 years following Margaret Daly's death in 1941. "The Daly Mansion Preservation Trust is dedicated to preserving and interpreting the Daly Mansion, its buildings, grounds and the history they convey. I' i S� 1 i r s: Vaile Mansion—Independence,MO Owner: Owned by the City of Independence, in a shared agreement with the Vaile Mansion Victorian Society, a non-profit. History: Built in the late-1880s by the Vaile Family, this Second Empire-styled home stands on 4.5 acres of land in the heart of Independence, MO. It is the only building on the land; a carriage house (now across the street) is now a private residence. The property became a nursing home from 1910 to 1959, when the nursing home was threatened with closure. The mansion went on the market, with developers seeking to purchase and demolish for new residential construction. Mr. and Mrs. Dewitt purchased the mansion to save it, and continued operation of the nursing home. The Dewitt's also restored the deteriorated exterior. Everything changed in 1982, when City zone code changes made it impossible to continue nursing home operation. Mrs. Dewitt died in 1983, and she left the residence to the City of Independence, with the agreement that if they accepted it, then it could never be sold. Further, a preservation group holds an easement on the exterior of the home, (placed by Mrs. Dewitt) further preventing insensitive exterior alterations. The Society was formed in 1983. There is no easement on the surrounding lands, but since it is City-owned the space is used a park and open to the public. However, during special functions the parklands are closed to the public. The City of Independence is a Certified Local Government and has a municipal preservation office, and since City owns the property, there is design review of both exterior and interior alterations,much like Bozeman. Property Staffmg: Staffed entirely by volunteers from the Victorian Society. The City Preservation Officer oversees alterations to the property. A total of 28 members in the Victorian Society, who are supported by 600-700 Society volunteers. Volunteers provide tours and staff the mansion on a day-to- day basis. The Society is considering the beginning of a junior volunteer program. Property Activities and Funding: The City funds exterior maintenance (as well as sewer and structural systems) and general land upkeep. However, if extensive landscape changes are required that are related to the "Victorianization" of the property, it is the responsibility of the Society. However, many local landscape businesses contribute labor or material for free or at cost. The City also provides a janitor and a handy man but budget cuts have taken out the handyman position. Mansion funding divisions are impacted by tourist season,which is April 1 to October 31. During the tourist season the City bills the Society for events, while during the off-season the Society can keep all funds from events. At times the City bills the Society for more then the Society charges for an event, so this arrangement has strained the relationship between the City and the Society. The City is responsible for grant authorship, with a large amount of such funding received in the 1980s for renovation. More recently the City has lessened its grant writing efforts, so the Society is working to create its own grant writing ability. Neither the City nor the Society engages in large, annual fundraisers, though events occur often. The Society is seemingly populated by wealthy members (several hundred) who contribute their own money, as well as seed money from the 1980s-era benefactors. However, the Society enjoys strong community interest and support, with all events very well-attended. In some cases, this system has been difficult to handle, as some members who contribute large sums take on a feeling of"ownership"toward the mansion. Members sit on various committees who meet once a month to direct finances and events. The property has been re-furnished with period materials, half of which have been donated and half purchased by the Society. Jl.' t Ake, Bingham— Waggoner Estate, Independence, MO Ownership: Different ownership arrangement from the Vaile, as the Bingham- Waggoner Historical Society is the sole owner of the property. While the City provided a quarter of the purchase price in 1979, they do not maintain the building exterior as with the Vaile. The City only provides general maintenance of the 20 acres of land surrounding the property. The property is home to five outbuildings, three of which are not open. The Carriage House is used as a gift shop. Exists primarily as a furnished period house museum. History: The home was built for celebrated American artist George Caleb Bingham, who built and lived at the home at the end of the Civil War. Civil War. Bingham lived at the home for five years before relocating in 1870 to Kansas City. The Waggoners were early millers originally from Pennsylvania. In 1865, Peter Waggoner, Sr. sent his son William to Independence to look over business opportunities. In 1867 the family purchased the "old City mill" from John Overfelt. The family business developed a reputation for producing the very best in baking and cake flours, and "Queen of the Pantry" flours became known all over the middle west. Moving to the home in the early-1870s, the now-Waggoner home (located across the street from their rapidly growing flour mill) immediately began to be adjusted to fit the needs and expectations of its owners. During the 1890's, extensive renovation was done to the home when William Henry, Jr. and his wife moved into the home. They contracted the architectural firm of Root and Siemens, with Mr. Henry Ohaus in charge of interior decoration. The Waggoner family continued to live in this home until 1976, when Harry K. Waggoner died. The heirs attempted to sell the mansion and grounds to a group of developers intent on demolishing the mansion and building new homes of the lands. By coincidence, a group of nearby businessmen who were seeking storage space called on the Waggoner heirs which a request to rent space. Upon learning of the potential property sale and demolition, the group started a fundraiser to acquire the property. The group raised one-quarter of the needed fiords,with one- quarter provided by the City, one-quarter by the State, and one-quarter from federal sources. In 1979, the Historical Society, finally purchased the 19.5-acre tract for a museum and public park. Property Staffing: Staffed entirely by the Historical Society membership, which has over 450 paying members. Very active membership with 21 Board members who sit on several committees from events bookings to renovation/rehabilitation committees. Five fundraisers a year are hosted at the property. The Historical Society has recently developed a long-range plan, with the goals of. • Infrastructure improvements to the main house. • Renovation of other outbuildings • Preservation of the swales--covered-wagon tracks • Walking trails on the estate grounds • Further development of materials for educators • Continued research and cataloging of artifacts. Property Activities And Funding:Funding is provided through the events and fundraisers held by the Historical Society. The Historical Society manages it funds through CD's and money market accounts. There is no affiliation with other institutions, such as the Harry Truman House or local universities. Grant writing is only undertaken with a special purpose in mind, such as the publication of a property brochure. Further, the home is only operational during tourist season from April 1 to the end of October, as it has proved financially unfeasible to keep the property operational during the off season. Unlike the Vaile, the Bingham-Waggoner keeps 100% of its profits. Very active event schedule which includes: • Rental space (grounds or building) for weddings, anniversaries,private or business meetings. Parties provide own caterer. Furniture not moved for events. However, private functions at the house take precedence over public use, and grounds can be closed for events. 1. Pittock Mansion—Portland, OR Ownership: Owned by the City of Portland in partnership with the Pittock Mansion Society. History: The Pittock Mansion was home to Portland pioneers Henry and Georgiana Pittock from 1914 to 1919, and the family residence until 1958 . They began planning and designing their new home in 1909. The mansion was completed in 1914, and when completed the estate included the mansion, a three-car garage, a greenhouse, and the Italianate gate lodge servants' residence, all situated on 46 acres of land almost 1,000 feet above downtown Portland. In 1958, Peter Gantenbein, a Pittock grandson who had been born in the house,put the estate on the market. The threat of demolition at the hands of land developers, and the extensive damage caused by a storm in 1962, brought concerned citizens together to raise funds to preserve the site. Seeing this popular support, and agreeing that the house had tremendous value as a unique historic resource,the City of Portland purchased the estate in 1964 for $225,000. Fifteen months were spent restoring it. The mansion opened to the public in 1965, and has been a community landmark ever since. Property Staffing: Six full-time City employees staff the Pittock, and oversee the following responsibilities: • Strategy,planning, support • Business events,tours, promotions • Exhibits, donations, press releases • Supervision,training, scheduling volunteers, and; • Membership, financial donations, memorials The City maintains the exterior, interior, and 46-acres (which are a city park and are available for public use) which surround the residence. The Pittock Mansion Society is a non-profit group that oversees some property operations. Membership is available for $25.00, and Society members oversee the volunteer program. Hundreds of members and volunteers are associated with the Pittock. Volunteers staff the gift shop and give tours. However, it is the City that is responsible for the overall management and direction of property operations. History: The Asahel Bush House was built in 1877-78 and occupied by members of his family for the next seventy-five years. Bush is recognized as one of the prominent figures in Oregon history. He founded the Oregon Statesman newspaper and later the Ladd and Bush Bank, both of which still operate in Salem. During his lifetime he amassed a fortune and when he died in 1913,his estate was the largest to have come under provision of the state inheritance tax law up to that time. The home,built in the simplified version of the Victorian Italianate style, sat in the midst of a sizable estate. It was the focal point of a farm complex which included a large barn, a much-loved greenhouse, and open ground for pasturing cattle.Asahel III, or A.N. Bush as he was known,took up residence in the old family home. A.N.,who had succeeded his father as head of the Ladd and Bush Bank, was responsible for arranging that at his death,the house and grounds should be taken over by the City. Since 1953, the Salem Art Association has administered the Bush House as an historic house museum, and it remains part of the fabric of Salem life and a source of pride to the community. History: The family residence of John Kendrick, who rose to statewide prominence as a US Senator and Governor of Wyoming. Construction of the main house, also known as the Kendrick Mansion, was begun in 1908 and completed in 1913. It was designed by Montana architect Glenn Charles McAlister. Trail End's stylistic influences are rather eclectic, with American Gothic, late Victorian, Edwardian and Prairie styles predominating on the interior; Flemish Revival with Neoclassical details on the exterior. A 3,000 square foot Carriage House also occupies the property. Trail End's 3.8 acres of grounds and gardens are thought to be the first professionally landscaped grounds in the state of Wyoming. Trail End was added to the National Register of Historic Places in 1970, and occupies space in a Sheridan, WY residential neighborhood. The home remained in family hands until the 1960s,when the potential sale put the home at risk to developers who sought to demolish the home for new, smaller home lots. The community was unable to purchase enough funds to buy the mansion, but the local historical society was able to fund the purchase of the 3.8 acres—the family then gave the home to the historical society at no extra cost. However, operating costs drained the resources of the historical society, so in 1982 the State of Wyoming bought the house and converted it into a historic house museum. The Trail End Guild, Inc., is a support organization dedicated to the enhancement of the Trail End State Historic Site. Bozeman is also blessed to have a good number of historic structures in our historic districts in private ownership. This collection adds to the quality,the character, and property values of all development within our borders. The public-at-large now has a sense of pride in ownership through public access to the Story Mansion and Park. The story of The Story's life under recent city ownership has been quite remarkable. It has quickly become part of the social fabric of the city with heavy use for private and public affairs. This has allowed it to surpass most expectations in earning a profit over the past years operations. The future of The Story is very much in our hands as represented by the City Commission. If we collectively maintain our enthusiasm and support for it,we will more than likely attract support from outside sources to finish the restoration of the second and third floors,plus the Carriage House. When finished it will be a good,economically viable facility and be well worth the investment we have made. Bob Hawks 703 W Koch Bozeman,MT 59715 406-587-1403 01 To: Friends of the Story, Board of Directors January 25, 2011 When the Bozeman City Commission purchased the Story Mansion, I thought at the time that it was a foolish purchase and wasted taxpayer money. On reflection and trying to find something good about the transaction, I rationalized that the Story might serve the community as the venue for a number of events such as weddings, meetings and conferences and if such rentals paid the operational expenses and some return on investment, that could justify the City's ownership and expenditure. Such public use could be viewed as tantamount, or better financially, than the city providing and maintaining parks for the public welfare at no "per usage" charge. If sufficient revenues could be generated then the City will have saved and preserved a historic edifice that holds an important place in Bozeman's background. My question was: Could a Business Plan demonstrate that a market exists for its use thereby making it plausible to generate enough income from events and occupancy to provide a return to the city in monetary and intrinsic value to make the Story a viable enterprise and investment? Within this time of reflection, I spoke with Jane Klockman who was involved with others volunteering their time as "Friends of the Story. I asked Jane if a Business Plan had been written. She answered "No, but we would be interested in having some help doing so". As a member of SCORE, (Service Corps of Retired Executives), a not for profit organization that provides help to emerging small businesses, I offered to see if our local Chapter would be willing to provide assistance in developing a Plan. My caveat was that if the Plan proved that the Story could not compete or if an insufficient market existed, then the persons supporting the Story would accept that fact and move on rather than waste time and resources on an ill-fated undertaking. Our SCORE Chapter authorized the project and a committee was formed to serve the Friends of the Story in the creation of a Business Plan. At the present moment, during a time of economic distress, some argue that these buildings and grounds are an expensive luxury and ought not be part of a city's inventory. Others continue to argue that philosophically it is just wrong for a city to be in the business of owning a facility which ought to be in private hands. The fact is that both arguments are valid, but complications arise because of the amount of funding received from outside sources specifically demands continued historical use. Like the bison and grizzly, the Story Mansion is part of our life and environment. It won't go away and until finally decided, will continue to vex all parties. There is absolutely no doubt that its location in the defining historical district of our city makes it the most visible issue concerning public/private ownership. Equally, there is no doubt that attempting to place it in private hands has not been successful and is not likely to be successful unless that decision is taken in accordance with the wishes of the voters of that historical district. The best and most likely outcome is that the Story Mansion remain in its present status as a park with a responsible group assisting with its use and management. Many have come to know and use this facility. It is not in the business of competing with private venues for these uses. It has provided employment for caterers and other service staff. When its full potential is available and in use, Bozeman will reap the dividends of its wise investment. Try to imagine that area stripped of these two buildings and filled with houses similar to those surrounding that block. Bozeman in that view becomes just another city with far less character than we now enjoy. We have this wonderful reminder of our city's life a century ago. We need a vision of what our city will be like a century hence. The Story mansion is for us, but it is also for our children and grandchildren to imagine and use. The Story Mansion is too valuable as a Park, a Green Space, and a Historic site to simply sell it. l can not understand why any current of former city official would want to sell it for a short term gain of a few dollars that will make little difference in the city's overall budget. The concept of selling the Story is no different then tearing out the copper plumbing in one's house in order to sell it for scrap. MSU raised$10 million in order to alter a building that will be used only a handful of times per year by a select few people. The Story needs to raise only a fraction of that amount for a building that can be used every day of the year by any one in the city.
