hereby reouest and authorizes CEC to nerform the folloWlns
SCOPE OF WORK
Provide consulting services to review and update existing Risk Management
Plan and electronically submit updated RMP. Additionally, a 5-yr. Process
Hazard Analysis will be completed.
Services covered by this authorization shall be performed in accordance with
PROVISIONS stated on the back of this form
SCHEDULE
Work is scheduled to be completed before January 2010.
COMPENSATION
Services will be invoiced on a time and materials basis with a estimated
budget of $3,600.
If technical or professional services are furnished by an outside source, and additional
10% may be added to the coat of the services for CEC's administrative costs.

CEC's Professional Fees and Per Diem
Rates are those fee published which aze
charged for work performed on CLIENT's
Project.
3. Direct Expenses
CEC's Direct Expenses are those cost
incurred on or directly for the CLIENT'S
Project, including but not limited to neces-
sary transportation costs including mileage
at $0.38.5/mile, meals and lodging. Ex-
penses shall be on the basis of actual charges
when furnished by commercial sources.
4. Outside Services
When services aze furnished by an
outside source and approved by CLIENT, an
additional amount shall be added to the cost
of these services for CEC's administrative
costs.
5. Cost Estimates
Any Cost Estimate provided by CEC
will be on a basis of experience and judg-
ment. However CEC cannot warrant that
bids or ultimate cost will not vary from these
cost estimates. Any variations will be
mutually authorized prior to work or expen-
diture.
6. Professional Standards
CEC shall be responsible for the pro-
fessional and technical soundness, accuracy,
and adequacy of all work and materials
furnished under this Authorization. CEC
makes no other warranty, expressed or

Authorization shall be terminated upon completion
of all applicable requirements of this Authorization.
8. Arbitration
All claims, disputes, and other matters in
question arising out of, or relating to, thisAuthori-
zation may be decided by arbitration in accordance
with the rules of the American Arbitration Associa-
tion. Either CLIENT or CEC may initiate a request
for such azbitration, both consent of the other party
to such procedure shall be mandatary. No azbitra-
tion arising out of, or relating to this Authorization
may include any additional party not a party to this
Authorization.
9. Legal Expenses
In the event legal action is brought by CLIENT
or CEC against the other to enforce any of the
obligations arising out of any dispute concerning
the terms and conditions hereby created, the losing
party shall pay the prevailing party such reasonable
amounts for fees, costs and expenses as may be set
by the court.
1Q Payment to CEC
Invoices will be issued by CEC for all work
performed under the terms of this agreement.
Invoices are due on receipt. Interest at the rate of 1
1/2% per month will be charged on all past-due
accounts.
11. Limitation of Liability
CEC's liability to the CLIENT for any cause
is, in the aggregate, limited to an amount no greater
than the fee earned under this agreement.
In case any one or more of the provisions contained in the Agreement shall be
held illegal, the enforcement of the remaining provisions shall not be impaired.
