(Sign-in sheet atta.ched). Call ~ Order: Chairman Bruce Hanson called the meeting to order at 6:05 p.m. I. Public Comment Chairman Bruce Hanson called for public comment. Chairman Bruce Hannan acknowledged Brent Miller and Wendy bans, property owners in the Logan area, who were present to discuss water test samples received on their residential wells that they expressed concerns that they might be contaminated by the Logan Landfill. The homeowners stated concern it may affect more than them, that a broader sampling should be conducted. It could also affect the drainage and the springs on the property. Chairman Bruce Hanson responded that the District authorized Great West Engineering, Inc., to start sampling wells as soon as possible, in order to determine if there has been any contamination from the landfill. Gallatin County Solid Waste Management District January lb, 2008, Board Meeting Minutes I The parties agreed to table the issue, until next meeting. By then, they hoped the test results would be in and the professionals wauld be able to give a report of the findings. 2. Approval of 1Viinutes for the December 19, 2007, Gallatin Solid Waste 1~~~ ~ mart District (SWMD) Regular Boat+d Motion by Board Member Steven Hamilton to approve the Decetrrber I9, 2007, Gallatin Solid Waste Martagemertt District (SWMD) Regular Bard Meeting. Seconded by Board Member fadyMay. All voted aye. Motion carried (Motrori#08-011608- O1). 3. Financial Reports S.I, Susan Dellinger, Gallatin Solid Waste District Aceountant Susan Dellinger, Gallatin Solid Waste District Accountant, submitted for Board review the following: Gallatin County Solid Waste District Profit & Loss for December 2007; Gallatin County Solid Waste District Profit & Lass Budget Vs. Actual July 2007 through December 2007; Gallatin County Solid Waste District Balance Sheet as of December 2007; Operational Reports December 1-3I, 2007; Graphs Incoming Tonnage by Month Comparison & Projected Revenue by Month Comparison December 1-31, 2007; Memorandum update on the status of charge accounts at the Logan Landfill, balances over 60 days; Aged Summary Report dated January 2, 20D8. She updated the Board on the SRF Loan for the construction of Cell 3. It is tentatively scheduled to close the following week by January 24, 2007. She is preparing the draw for the loan. The District will be reimbursed $2, 242,000 million dollars. Board Member Commissioner R. Stephen YVhite moved to accept the updated fixtancials reports for Deeemb+er, 2007. Seconded by Board Member Steven Hamilton. All voted aye. Motion carried. (Motion# OS- OII608-OZ) S.Z. Bob Dellixy~er, Dellix4ger R; Gallagher, Inc. -Compilation Report Bab Dellinger, Dellinger & Gallagher, Inc. presented the Gallatin Solid Waste Management District Financial Statements for the Three Months Ended September 30, 2007, far Board review. He explained at the time he prepared the documents, December 2007, the County books had nat been closed, but also, certain adjustments had not been shown. He plans to have December and January by the next meeting. He referred to the Report an Page Z, under net assets, unrestricted cash balance of $28,042. The District made a goad decision on financing Cell 3. He reviewed Page 5, which breaks down how the cash flows through the District from the various revenue streams, capital and financing activities, and Lang term debt. Gallatin County Solid Waste Management District January 16, 2008, Board Meeting Minutes 2 The Board discussed the Ce112 debt service. The Board agreed it would be fiscally responsible to pay off the debt when Cell 2 is closed. The District Manager and the Board will work next year on looking at the numbers to see if the District needs to put more funds into the Cell 2 closure fund to pay if off at the projected timeframe of about 12-14 months, the anticipated date it will reach full capacity and be closed. The final payment is due on Cell 2 February i 1, 2011. An argument was made that it did not make sense to pay off the debt if it has a lower interest rate. They will take a look at all the financial aspects in order to to determine the most fiscally responsible way to move forward in their cash flow projections. Also discussed was the fact that budgetary accounting and GAP accounting requirements of the District and County, the County's budget for the landfill is misrepresented, but the landfill books are being adjusted to reflect an accurate District budget. On an annual basis, the County adjusts the landfill account. District Manager Tom Miller responded he will bring a recommendation back to the Board. 4. Oki Business 4.I. R~ecycli;gg ~ HauhttS Conttaainr (~~.~:~PratiOnB - Lamy Wad, JAY MaYy Brune Hanson, ~ Tom Miller Board Member Jody May reported the City of Bozeman, Four-Corners Recycling, Allied Waste, Inc., and Headwaters Cooperative responded to the bid for hauling the recyclables. The recommendation by the subcommittee: The City of Bozeman will continue servicing the cardboard in the City limits with Allied as a backup; Four-Corners Recycling will service the sites in close proximity to the Belgrade, Gateway, and Big Sky corridor; Allied will handle the Manhattan, Three Forks, north of the interstate; Headwaters would continue to service the West Yellowstone areas. lorry Watson, Grants and Projects Director, asked for the District to make a decision on how many sites to start the program with, which locations to use, so the contracts can be negotiated based on those decisions. Site utilization agreements need to be made with the vendors. The sites need to be able to accommodate the containers regarding size and traffic. The contracts do not have the language that the vendors were asked to back up one another. The backup language will have to be added to the contracts. The most important decision in order to get the contracted completed is to make a firm decision on the sites. Board Member Storm Shirley agreed to take a look at same passible sites in the Belgrade area. District Manager Tom Miller reported he contracted the Ice Garden site. They were more interested in moving traffic away from the site than attracting mare people to it. The Community Center in Gateway sounded promising. He did not hear back from the River Ruck Gallatin County Solid Waste Management District January i 6, 2008, Board Meeting Minutes 3 Homeowner's Association. He has not contacted the Belgrade Business Park. During Board discussion, the Amsterdam-Churchill area was not covered. Allied may want to cover that territory, but it may make more sense for four-Corners to do it, servicing south of the interstate. It was agreed that by the next meeting, the District Manager and haulers will look at the existing sites to make sure they can accommodate and service the rolloffs. Chris Gray, Gallatin County Chief Civil Deputy County Attorney, will draw up the contracts for the haulers. Clarification was made that Headwaters Cooperative would review the routes to see if it would work before that portion can be finalized. Board Member Steven Johnson asked why the City of Bozeman did not get the award for the haul in the City of Bozeman as they were the lowest responsible bidder. Chairman Bruce Hanson responded that they awarded the bid based on giving most of the hauling contract to Four_Corners Recycling, the overall lowesf responsible bidder. The City only bid for sites within the City. The City of Bozeman had started a curbside recycling program. The committee felt the City would be busy with the new endeavor trying to make it successful. Motion by Board Member Commissioner R Stephen White to accept the recommerrdatiorr of the committee to award the Hauling of Recyclable Materials and ServlcJrrg of Roll Off Container Collection S'tes as given: the City of Bozeman service the City of Bozeman car9dbaard sites, Four- Corners Recycling/Full Chicle Recycling the rolloff sites in the City of Bozeman and the sites in proximity to the Be,~rade, Gallatin Gateway, and Big Sky corridor; Allied Waste Services the sites located in the Manhattan, Three Forks, Amsterdam, Churchill, and the north side of Intestate ,90; Allied to be the backup for Four Corners Full Circle Recycling and the City of Bozeman if they have a breakdown; and Headwaters Recycling to continue services in the West Yellowstone area. Seconded by Board Member Steven Hamilton. Board Members' Chairman Bruce Hanson; Commissioner R. Stephen White, Steven Hamilton,,JaidyMoy, and, fames Storm Shirley voted aye. Board Meml~+er Steven fohnson abstained. Vote.• ,5-O, 1 abstention. Motion carried (Motion #OS-OI768O-03). Chairman Bruce Hanson recommended a separate manager be hired by the District to manage the new recycle program. The person would report directly to the Board. The person would be responsible for all of the different aspects of developing and starting up the District's new business venture. The person should have a minimum of an Associates degree with education and experience in recycling, finance, communications, and marketing. Board Member Steven White concurred with hiring a manager. The recycle program has a different set of business goals. Gallatin County Solid Waste Management District January 16, 2008, Board Meeting Minutes 4 The Board discussed the qualifications the person should have to run the program. Questions were raised on the experience level verses education needed to run the program. The person might not need a degree, just experience in recycling. The Board agreed it would be a position they see as evolving. The title and compensation could change. It was agreed, if the position was approved, to work with the HR department an developing the language far the job description and qualifications. They wanted it done as soon as possible. It was agreed a budget needed to be developed far the program and position. The Board agreed to create and get the position on-line in two months. Board Memlaer ,lady May, an behalf of the Gallatin Solid Waste Management Board, moved to authorize a new position as manager for the recyclable pmgram with the required qualification to have an Associates degree in frnar~ce/business with a salary range of $35,000- 45,00[7. Seconded by Boarad Member Steven Hamilton (Motive #08- 071880-04). Amendment bo the Motion: Board Member fody May arztended the motion to change the job requirement of an Associate's degree to the candidate shall have an equivalent of an Associate's degree by having a combination of experience artd education in business/finances Seconded by Board Member Steven Hamilton. All voted aye. Motion carried (Motion #08- 011880-05). Board Member Jady May agreed to meet with the HR department to get the position created. Chairman Bruce Hanson recommended a press release be prepared on behalf of the District, with participation from the Commission, on the new recycle program. 4.Z. Recommendation for the Purchase of Roll Off Boxes with Compartments Iariy watson ~ Jody May In absence of the subcommittee recommendation, Larry Watson, Grants and Projects Director and District Manager Tom Miller, responded they will break to review the bids tv determine the lowest most respoinsible bidder far the District, so the contract can be awarded tonight. They will take into consideration the specifications listed in the proposal. In Board discussion, the Board members agreed to start with 13 sites and to order fifteen boxes. Motion by Boaxtd Member Steven fohnson to authorize the Chair to determine the most lowest rgespiansible bidder for the purchase of I3 rolloffs, with Z trade outs, not to exceed I6 total roll-off boxes Seconded by Ba~artd Member Commissioner R. Gallatin County Salid Waste Managemexst District January 16, 2fl08, Board Meeting Minutes 5 During Board discussion, clarification was made that the rolloff containers will accommodate Four_Corners Recycling's rear loader. Amendment to Motion: Motion to amend the motion by Boarad Member Steven, johr~sorr to award the bid for the rolloff bflxes only, not for any cardboas7d containers Seconded by Berard Member Commissioner R. Stephen White. All voted aye. Motion carxied(Motion #OS-011680-07). It was determined to award the bid for the Purchase of 16 rolloff recycling containers to Enterprise Sales, Inc. not to exceed $108,076.43 (FOB to the Logan Landfill), finding the bid received was the lowest most responsible bidder. 4.3. Recommendation :for the Pixt+chase of Containers hoar ~ Collection -Larry Watson ~ Jody May Motion by Board Member ,Jody May to recommend authorizing Chairman Bruce Hanson, on behalf of the Gallatin Solid Waste Management Iistrict Boartd, ptuachasit>g 40 front load caradbaard containers from the most lowest responsible bidder. Seconded by Boaztd Member R Stephen White. All voted aye. Motion carried (Matron #08- OII680-OS). It was determined to award the bid for 40 (S-yard) front load cardboard containers to Rule Steel Tanks, Inc., not to exceed $41,960, finding the bid received was found to be the lowest most responsible bidder. Matron by Board Member Steven Hamilton to authorize District Manager Tom Miller to amend the Gallatin Solid Waste District FYD7-O8 Budget to accommodate the new management position for the Recycle Program at the $35,000 to $45',000 rax;ge. Seconded by Board Member Steven Hamilton (Motion #OS-OII680-09). In discussion, the Board concurred that they did not have enough financial information to amend the budget to fund the entire recycle program at this time, but would authorize the creation of the position of manager to oversee the program. It will be another department in the budget. The Fiscal and Accounting Offices will have to create the department. By the next board meeting, the board will determine the cost associated and make a recommendation to amend the budget to fund the entire program, including the management position. Shop and Adrrunistration Building PER contrast Recommendati~otts - Larty Watson Grants and Projects Director Larry Watson reported the bids received for the shop and administration buildings were evaluated by Board members Bruce Hanson, Rich Allison, and District Manager Tom Miller. The recommendation made is to award the bid to Sandholm and Dowling Architects. He presented a draft Agreement for Services noting there will be changes made once the tasks are broke out and the scope of work determined. He recommended assigning a committee then scheduling a kick-off meeting to finalize each item in the contract. Motion by Board Member Steven , johnson tv recommend a wardrt~g the bid for the Statement of Qualifications Preliminary Engineezirrg Ar~chrtectural Repiort for the Shop and Administration Building to Dowlir~ Sandholm At~chitects, and authorize Chairman Bruce Hanson, on behalf of the Buax3d, to not exceed $47,DOO, until after the kick-off meeting: Seconded by Board Member Sfeven Hamilton. The Board requested Larry Watson to schedule the kickoff meeting. He agreed to a-mail the subcommittee the date and time. 4.5. Jackson Properly/F,ssement Update -,Jody May Board member Jody May reported they are working to move forward with negotiations. He recommends arranging an informal meeting once Mr. Jackson is available to discuss the issues of the appraisals. The Board agreed an informal meeting may be what is needed to move things forward. 5. Chairman Report -Bruce Hanson 5.1. The Gallatin Solid Was6e Management L)istr~ict's City of Hoaernaxy City of Belgrade, and County Cotnmiaaion Board Appointments Chairman Bruce Hanson welcomed the newest board members, Steven Johnson, City of Bozeman representative, Storm Shirley, Belgrade representative, and Commissioner R Stephen White to the District Board. Chairman Bruce Hanson requested that the County insurance agent be contacted regarding the water issue presented tonight. Chairman Bruce Hanson raised concern regarding the recent letters to the editor about the litter problem coming from the landfill. He would like to make more Gallatin County Solid Waste Management District January 16, 200$, Board Meeting Minutes 7 efforts to find more solutions to the problem. The white plastic bags appear to be a big airborn root of the problem. People can use tote bags when they shop at grocery stores. He would like to see some Public Service Announcements created that would educate the public and address the issues of using plastic bags and how they create problems at landfills. District Manager Tom Miller agreed. He is meeting with the Chronicle. He has been working on litter fencing, trying to get it installed before moving into Cell 3. Baard Member Steven Johnson responded the whole litter problem does not rest on the height of the fence. He agreed to work with District Manager Tom Miller on the issues. 6.
