AMENDMENT NO. 2 TO
PROFESSIONAL SERVICES AGREEMENT
FOR
W ASTEW A TER FACILITY PLAN

THIS IS AN AGREEMENT made as of 0UN\.t.... If ,2007, between
THE CITY OF BOZEMAN, a Municipal Corporation, P.O. Box 1230, Bozeman, Montana,
59771-1230 (OWNER) and Morrison-Maierle, Inc., P.O. Box 1113, Bozeman, Montana, 59771~
1113 (ENGINEER).
WHEREAS the parties previously entered into a Professional Services Agreement dated June
7, 2004, including Amendment No.1 dated November 15, 2004, herein referred to as the Original
Agreement, for professional engineering services for the Wastewater Facility Plan; and
WHEREAS, the parties desire to amend provisions of the Original Agreement to include
additional planning services [or disinfection systems for the wastewater treatment plant and an
additional public hearing.
NOW, THEREFORE, IN CONSIDERATION OF THE MUTUAL COVENANTS
CONTAINED HEREIN, the parties agree as follows:
Article 1 - Em!ineerim! Services
Section 1.1 of the Original Agreement is replaced with the following:
1.1. The detailed description of the specific project components is described as follows:
1.1.1. Prepare a Wastewater Facility Plan for the City of Bozeman as described in Exhibit A, Scope of
Services and provide wastewater collection system planning services for Montana State University as
described in Exhibit A-I. Provide planning services for the City of Bozeman Wastewater Treatment Plant
disinfection svstem and to present the findings of the facility plan to the City Commission at a second public
hearing

Article 6 - Compensation For Eneineerimr Service
Section 6.1.1 and 6.1.2 of the original agreement is replaced with the following:
6.1 LUMP SUM AGREEMENT FOR BASIC SERVICES AND EXPENSES OF ENGINEER
6.1.1 Payment. The OWNER shall for services performed under Section 1.1 and 4.1 of this
Agreement pay a total sum in the amount of$275,512.00 for such services, ENGINEER shall submit
separate invoices for services provided under the original agreement and this amendment.
6.1.2 Payment Schedule, Total cumulative payments for the engineering services (Section 1.1)
shall not exceed the following ceilings:
$262,000 (-95%. offee) until the draft facility plan and has been submitted to the OWNER.
Except as specifically amended herein, the Original Agreement shall remain in full force and
effect and the parties shall be bound by aU terms and conditions therein.
In witness whereof, the Parties hereto do make and execute this Abrreemem.
