AGREEMENT
THIS AGREEMENT entered into on the ~ day of "JA NU (l. lZl-' 2007 by the
parties, the CITY OF BOZEMAN (hereinafter, CITY), a municipal corporation, at 411 E. Main
Street, Bozeman, Montana 59715 and RESSLER MOTORS (hereinafter RESSLER) at 1735
West Main Street, Bozeman Montana 59715. The parties agree as follows:
1. RESSLER agrees to provide to the CITY a 2006 Chevrolet 3/4 -ton pickup, VIN
#IGCHK23U86FI17581 for its exclusive use from January 16. 2007 through January 16. 2008.
RESSLER will not charge the CITY any costs, including interest, for the use ofthe vehicle. The
approximate value of said vehicle is $ ~I f 000
. In no event shall the CITY have authority
to sell, lease, or otherwise dispose ofthe vehicle without written permission of RESSLER.
2. The parties further agree that RESSLER will provide the City with a title to the
vehicle while maintaining a security interest for the value of the vehicle. This agreement acts as
a creation of a security interest for RESSLER in the vehicle. The CITY specifically agrees to the
creation ofa security interest as allowed by Montana law.
3. The CITY agrees to keep and maintain the vehicle in good repair. The CITY further
agrees to return said vehicle to RESSLER in as good condition as received except for ordinary
wear and tear. The CITY further agrees to insure the vehicle in the same manner as all City-
owned vehicles and to pay for the vehicle registration.
4. In the event it becomes necessary for either party to this agreement to retain an
attorney or use an in-house counsel, to include the City Attorney, to enforce any of the terms or
conditions of this agreement, then the prevailing party shall be entitled to reasonable attorney's
fees and costs, to include fees, costs, and salary of in-house counsel.
5. Either party may terminate this agreement by giving sixty (60) days written notice to
the other party. Said notice shall be served by registered mail and directed to the City at Post
Office Box 1230, Bozeman, Montana 59771-1230, Attention: City Manager, and to RESSLER at
1735 West Main Street, Bozeman, Montana 59715.
