REQUEST FOR PROPOSALS
FOR THE PURCHASE OR LEASE OF THE CITY-OWNED
PARKING LOT AT THE SOUTHEAST CORNER OF
MENDENHALL STREET AND WILLSON AVENUE

I. Introduction: The Bozeman City Commission has decided to consider responsible
proposals for the lease or purchase of the City-owned parking lot at the southeast
corner of Mendenhall Street and Willson Avenue. In taking this action, the
Commission stated that, at a minimum, proposals must demonstrate advancement of
the goals and objectives contained in a variety of adopted plans and policies,
including: the Downtown Business Improvement District (BID) Plan; the Bozeman
2020 Community Plan; the Downtown Bozeman Improvement Plan (the Makers
Plan); and the Unified Development Ordinance (Title 18 of the Bozeman Municipal
Code). Proposals must also demonstrate that the parking needs of downtown
business owners and customers will continue to be met in an acceptable manner.
II. Proposal Requirements:
a. Twenty proposal packets must be submitted for review by various entities and
individuals described below.
b. Proposals must address how the goals and objectives of various adopted plans and
regulations would be advanced, including but not limited to those contained in:
Sections 4.7 (Downtown Bozeman) and 4.9 of the Bozeman 2020 Community
Plan; The Downtown Bozeman Improvement District Plan (Makers Plan); and
Title 18 of the Bozeman Municipal Code (especially Chapters 18.28 and 18.46).
c. Proposals shall include concept design plans and elevations for the re-use of the
property.
d. Submittal packets shall include a schedule of all project financing sources and the
following documents: bank commitment letter indicating loan-to-value and all
contingencies; bank statements and/or brokerage statements covering 100% of the
project costs. Projects will be evaluated, in part, on the financial strength of the
proposal. .
III. Minimum Performance Criteria:
a. The “status quo” must be retained on publicly accessible parking spaces. In other
words, in some manner, 28 spaces should be replaced within the area with
reasonable access provided. Preference will be given to proposals that actually
increase the number of publicly accessible parking spaces beyond 28.
b. If the buyer fails to perform on the approved project within three years, the City
will refund the sale price less a $10,000 penalty to the buyer, and the property will
revert back to the City.
c. The buyer shall guarantee, through a development agreement or similar
instrument, that a certain level of tax dollars will be generated by the project
based on the estimated taxable value of the project. Because the property is in a
Tax Increment Finance District (TIFD) the district would in theory receive a
portion of the new taxes generated. This guaranteed minimum tax generation is
critical in that several states, including Montana, commonly change commercial
tax calculations. Therefore without the guaranteed minimum, the funds might not
otherwise be paid to the TIFD. (This calculation would be based on the
developer’s best estimation of the investment and that information would be
utilized by the department of revenue in order to calculate the estimated taxes that
would be generated by the project).
d. Until the existing parking lot is made unusable, the public spaces therein shall be
leased back to the City for $1.
e. The sale must be consistent with Ordinance 1658 requiring that an appraisal be
conducted in order to set a minimum value on the publicly owned asset. The
appraisal needs to be based on the property’s highest and best use consistent with
zoning and not simply on its current use as a surface parking lot.
f. If the City fails to approve the project through its approval process outlined in the
Unified Development Ordinance, the property shall revert back to the city without
penalty.
IV. Review Process:
a. Upon receipt of the submittal materials described above, the City shall cause them
to be reviewed by the Parking Commission, the City Finance and Legal
Departments, City Planning Department and others deemed necessary by the City
Manager.
b. Upon review, and within thirty days of receipt of proposals, various City
departments and others conducting review shall provide their comments,
rankings, and recommendations regarding each to the City Manager. Comments,
rankings, and recommendations will be made by each reviewing entity based on
the minimum performance criteria and requirements described above.
c. Within 15 days of receipt, The City Manager will review the comments, rankings,
and recommendations of each of the reviewing entities, and forward his summary
remarks, rankings, and recommendations to the City Commission as an Action
Item at a regularly scheduled meeting.
d. The City Commission will evaluate all relevant material pertaining to the
potential lease or sale of the City-owned parking lot at the southeast corner of
Mendenhall Street and Willson Avenue and shall determine which proposal, if
any, best addresses the criteria contained herein and best advances the goals and
objectives of the City’s adopted plans for the downtown area. Pursuant to State
law, a minimum of four out of five Commissioners must vote to approve the
sale or lease of the subject property.
e. If the Commission finds that one of the submitted proposals adequately meets the
minimum criteria and requirements of this RFP, and concludes that it is in the best
interest of the community to lease or sell the property, they may direct the City
Manager to negotiate a lease or sale with the entity which submitted the proposal.
However, the Commission reserves the right to reject any and all proposals.
V. Submittal Deadline and Instructions: Twenty copies of Proposals must be
submitted by 5:00 p.m. Friday, February 9, 2007 to the address listed below. A
complete version of the proposal packet must also be submitted in .pdf format.
