A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF
BOZEMAN, MONTANA, REPEALING COMMISSION RESOLUTION
NO. 2040 THEREBY ABOLISHING THE BOZEMAN SENIOR
CITIZEN ADVISORY COUNCIL AND ESTABLISHING IN ITS
PLACE THE BOZEMAN SENIOR CITIZEN ADVISORY BOARD
AND ESTABLISHING THE DUTIES AND RESPONSIBILITIES
THEREOF.
WHEREAS, on December 20, 1978 , the Bozeman City Commission
adopted Commission Resolution No. 2040, establishing the Bozeman
Senior Citizen Advisory Council to assist the City Commission by
advising it in matters relating to the operation and management
of the Bozeman senior Citizen Center building and grounds located
at 807 North Tracy Avenue, Bozeman, Montana; and
WHEREAS, the Bozeman senior Citizen Advisory Council has
become a non-functional advisory board; and
WHEREAS, the Bozeman City Commission intends to establish an
advisory board to assist the Commission by advising it on matters
relating to senior citizens; and
WHEREAS, the Bozeman City Commission desires that the duties
and responsibilities assigned to the Bozeman Senior Citizen
Advisory Council be performed by a revised advisory board.
NOW, THEREFORE, BE IT RESOLVED by the City Commission of
Bozeman, Montana,
Section 1
Repeal. and Abolishment
That City Commission Resolution No. 2040 be and the same is
hereby repealed and the Bozeman Senior Citizen Advisory Council
created thereby be and the same is hereby abolished.
Section 2
Designation of New Advisory Board
That a Bozeman Senior Citizen Advisory Board, hereinafter
referred to as " Board" , be created and designated to act as the
advisory board to the Bozeman City Commission on matters relating
to senior citizen issues and on matters relating to the operation
and management of the Bozeman Senior Citizen Center building and

grounds located at 807 North Tracy Avenue, Bozeman, Montana,
hereinafter referred to as "Center" .
Section 3
membership and Operating Rules
The Board shall consist of five ( 5 ) members selected by the
City Commission. A minimum of four (4 ) members shall reside
within the city limits of Bozeman. Board members shall not hold
positions concurrently on the Bozeman Senior Citizen Advisory
Board and on either of the following: the Bozeman Senior Social
Center Board of Directors; the board of the other agencies housed
within the Center.
Terms of office and rules of operation shall be governed by
the Board' s official By-laws attached hereto as Exhibit A. and
incorporated by this reference into this Resolution as though
fully set forth herein.
Section 4
Duties and Responsibilities
A. Senior Citizen Issues
1 . The Board shall make recommendations to the City
Commission on matters of concern to senior citizens in
the community.
B. Bozeman senior Citizen Center Building and Grounds
1 . The Board shall have the responsibility to review and
analyze the operation and management of the Center
located at 807 North Tracy Avenue, Bozeman, Montana;
specifically,
a. The Board shall make recommendations concerning the
use, management, operations and rules of the Center to
the City Manager or his designee .
b. The Board shall make recommendations to the City
Manager or his designee concerning the needs of the
Center.
C . Any dispute concerning the use or operation of the
Center may be appealed to the City Manager for final
decision.

d. Rental charges and fees for use of the Center shall
be established by the City Commission, upon
recommendation of the Board. such fees shall be paid
to the City Finance Department and credited to the
General Fund, unless otherwise specified in a
management agreement approved by the City Commission
for the operation of the Center.
e. The Board, with the assistance of the Center
Director and the City Manager or his designee, shall
prepare an annual budget request for operation of the
Center to be submitted to the City Manager not later
than March 15 of each year.

BYLAWS OF THE BOZEMAN SENIOR CITIZEN ADVISORY BOARD
ARTICLE I - CREATION
The Bozeman senior Citizen Advisory Board, hereinafter referred
to as "Board" , was created August 27 1990 by City
Resolution # 2782 .
ARTICLE II - OBJECTIVES
The Board shall act in an advisory capacity to the City Manager
and City Commission in matters relating to senior citizen issues
and on the operation and management of the Bozeman senior Citizen
Center building and grounds located at 807 North Tracy Avenue,
Bozeman, Montana, hereinafter referred to as "Center" .
ARTICLE III - POWERS AND DUTIES
A. Senior Citizen Issues
1 . The Board shall make recommendations to the City
Commission on matters of concern to senior citizens in
the community.
B. Bozeman Senior Citizen Center Building and Grounds
1 . The Board shall have the responsibility to review and
analyze the operation and management of the Center;
specifically,
a. The Board shall make recommendations concerning the
use, management, operations and rules of the Center to
the City Manager or his designee .
b. The Board shall make recommendations to the City
Manager or his designee concerning the needs of the
Center.
C . Any dispute concerning the use or operation of the
Center may be appealed to the City Manager for final
decision.

ARTICLE IV - OFFICE OF AGENCY, STAFF SUPPORT
The Board shall maintain its offices in the office of the City
staff person designated to assist the Board. The staff person so
designated shall attend all meetings of the Board and will be
responsible to assist the Board in the scheduling of meetings,
preparation and distribution of agendas and meeting minutes, and
providing notification of Board activities to interested parties .
The staff person shall serve as the liaison between the Board,
the City Manager, and the City Commission.
ARTICLE V - MEMBERSHIP
A. Selection
The Board shall consist of five (5 ) members selected by the
City Commission. A minimum of four (4 ) members shall reside
within the city limits of Bozeman. Board members shall not
hold positions concurrently on the Bozeman senior Citizen
Advisory Board and on either of the following: the Bozeman
Senior Social Center Board of Directors; the board of the
other agencies housed within the Center.
B. Terms of Members
Members of the Board shall be appointed to serve a two year
term with the maximum number of consecutive terms limited to
three . Terms of the members shall be staggered with all
terms to expire on December 31 . Initially, two ( 2 ) members
shall be appointed for one ( 1 ) year terms and three (3)
members appointed for two ( 2 ) year terms . Upon expiration
of the terms of office for the first appointees , and from
that time hence, all terms shall consist of two ( 2 ) years .
C. Resignations and Vacancies
Resignations from the Board shall be submitted in writing to
the City Commission through the Chairman.
D. Removal from Office
1 . Any appointee may be removed from office by a majority
vote of the City Commission.
2 . Three ( 3) unauthorized consecutive absences from
regularly scheduled Board meetings shall be grounds for

removal as a member of the Board. Absences shall be
authorized by the Chairman or Vice-Chairman.
ARTICLE VI - OFFICERS AND THEIR DUTIES
A. The Board shall elect from its members a Chairman, Vice-
Chairman and Recording secretary at its first regular
meeting of each calendar year.
B . The Chairman shall preside at all meetings of the Board and
shall exercise the duties normally conferred by
parliamentary procedure on such officers . The Chairman may
call special meetings, and generally perform other duties as
may be prescribed by the Board or City Commission. The
Chairman shall initiate items for discussion and recognize
all matters brought up for discussion before the Board.
C. The Vice-Chairman and Recording Secretary shall vote as
members of the Board.
D. The Chairman shall vote only to break a tie vote.
E . The Vice-Chairman shall have the authority to act as
Chairman in the absence or disability of the Chairman.
F. In the event of the absence of the Chairman and Vice-
Chairman, the members of the Board shall select an Acting
Chairman.
G. The Recording Secretary shall be responsible for taking,
preparing and distributing the minutes of all meetings.
ARTICLE VII - MEETINGS
A. Schedule of Meetings
The Board shall hold regularly scheduled meetings as
frequently as necessary to fulfill its function and not less
often than quarterly. The Center shall be the regular
meeting place for the Board.
B. Special Meetings
The Chairman of the Board, the staff person assisting the
Board, or any two ( 2 ) members of the Board may call special
meetings of the Board as needed.
C. Quorum
A majority of members shall constitute a quorum.

D. Open Meetings and Documents
All meetings, committee meetings and documents of the Board
shall be open to the public . Reasonable public notice shall
be given prior to meetings .
E . Rules of Order
Meetings of the Board shall be conducted according to
Robert' s Rules of Order, unless otherwise specified in these
Bylaws . A member of the Board or the City staff person
assisting the Board may be designated by the Board Chairman
to serve as parliamentarian. No action of the Board is
official , however, unless authorized by a majority of
members present at a properly called meeting at which a
quorum is present .
F. Conflict of Interest
A member of the Board who has a financial interest in an
item under consideration by the Board shall declare a
conflict of interest and shall not participate in the
discussion and vote taken on the item.
In the event of such disqualification, such fact shall be
entered into the Minutes of the meeting.
ARTICLE VIII - OPERATING POLICY
A. Discrimination Prohibited
No person shall , on the basis of race, creed, sex, sexual
preference, color, age, national origin, marital status ,
handicap, religion, membership or any other constitutionally
recognized right shall be excluded from membership or
participation in, or be denied the benefits of, or be
subjected to discrimination under any program or activity
acted upon by the Board or carried on or conducted in the
Bozeman Senior Citizen Center or upon its grounds .
ARTICLE IX - COMMITTEES
Special committees of the Board may be appointed by the Chairman
for purposes and terms which the Board approves .
ARTICLE X - AMENDMENTS
Bylaw amendments may be introduced in writing by any member of
the Board at a regular meeting. Action by a majority of the
Board on the amendments may be taken on second reading at any
future regular meeting.
