THIS FIRST AMENDMENT TO THE PROFESSIONAL SERVICES AGREEMENT FOR
College St- 8th to 11th dated February 4. 2025 (the "Agreement") is made and entered into
this 24th day of March, 2026, by and between the CITY OF BOZEMAN, MONTANA, a self
governing municipal corporation organized and existing under its Charter and the laws of the
State of Montana, 121 North Rouse Street, Bozeman, Montana, with a mailing address of PO
Box 1230, Bozeman, MT 59771, hereinafter referred to as "City," and TD&H Engineering,
234 E. Babcock Street, Suite 3, Bozeman, MT 59715, hereinafter referred to as "Contractor."
In consideration of the mutual covenants and agreements herein contained, the receipt and
sufficiency whereof being hereby acknowledged, the parties hereto agree to amend the
Agreement as follows:
1.Addition to Scope of Work. Attached Amendment No. 1 for Final Design services.
2.Agreement still valid. All remaining terms and provisions of the Agreement remain in
effect.

TD&H Engineering and its sub-consultant Consulting Design Solutions, Inc. (CDS) are
pleased to provide this scope of work for final design services for the College Street Renovation -8 to 11 project for the City of Bozeman. This project will consist of
reconstructing the College Street corridor from S. 8th Avenue to S. 11th Avenue to improve pavement conditions and enhance safety and accessibility for people walking, biking, and driving between MSU, local businesses, and the surrounding neighborhoods. The project
will install new pavement, storm drains, curbs, driveways, sidewalks, a raised crosswalk, a
shared-use path, boulevard landscaping and pedestrian-scale luminaire street lighting
along the project corridor.
Overview
The previous preliminary design phase of this project included a topographic survey with
drone imagery, geotechnical investigation, traffic study and alternative analysis (by Kittelson & Associates), community engagement, and development of preliminary design
alternatives for review by the City of Bozeman. The preliminary design was presented and
revised through work sessions with the City Commission on October 21, 2025 and January
13, 2026, with the preliminary scope of improvements gaining full support from the
Commission at the January meeting.
This amendment for the final design scope of services will include advancement of the
roadway design with development of Plans, Specifications and Estimate (PS&E) necessary
bid and construct the project in the 2026 construction season. A detailed scope of services
for the final design tasks is outlined below.
This scope of services will also include the project advertising and bidding phase, but does
not include construction administration or observation services which may be provided
through a sperate contract amendment once the project is awarded and a construction schedule has been determined with the selected contractor.
Task 1: Project Management (Final Design Phase)
TD&H Engineering will continue to dedicate project management staff to oversee process,
progress, and quality. Responsibilities include coordinating staff and subconsultants,
communication between the design team and City of Bozeman, meeting minutes, schedule
updates, and general project oversight.

Task 2: Topographic Survey (Final Design Phase)
A comprehensive survey of the project corridor including drone imagery was completed In November 2024 as part of the pre-design phase. We have included estimated time for some topographic survey pickups during this phase (i.e., manhole invert measurements, newly installed utilities, specific surface elevation tie-in shots, etc.) that may be needed to complete the final design.
Task 3: Geotechnical Study (Complete)
This amendment does not include any additional geotechnical study services. The recommendations from the previously completed geotechnical study will be incorporated into the final pavement design.
Task 4: Traffic Study and Analysis (Complete)
This amendment does not include any additional traffic study or analysis. The information and recommendations provided in the previously completed traffic study were incorporated with development of the preliminary design.
Task 5: Preliminary Roadway Design (Complete)
The preliminary design was completed during the previous phase and used information obtained from the topographic survey, geotechnical investigation, traffic study, community engagement meetings, and City and MSU feedback. The preliminary roadway design
included horizontal layout, grading, storm drainage, pedestrian features, landscaping, and lighting locations. The preliminary design was initially presented at a work session with the City Commission on October 21, 2025, was revised after additional engagement with MSU, and was fully supported by the City Commission during a follow-up work session on January 13, 2026.
Task 6: Community Engagement (Final Design Phase)
Input from community engagement opportunities was considered and incorporated during the preliminary design phase, including feedback received through public meetings, the City's project website, public comments during Commission work sessions, and direct coordination with adjacent business owners. Continued public engagement is expected during the final design phase to coordinate specific design elements such as new driveways and parking arrangements along the project corridor, and to keep MSU and the surrounding community updated with project status and important dates.
Task 7: Final Design
Final design will take the 30% preliminary design concepts through development of final plans, contract provisions, engineer's estimate of probable construction cost, preparation of bidding documents, advertisement, and recommendation for award for the corridor improvements. This task is comprised of the following activities:
A.Final Roadway DesignRoadway design tasks for this phase of the project will include advancement of thepreliminary design and determining the final horizontal and vertical elements of the

project corridor. Final layout, grading, and details for replacement pavement, curb & gutter, sidewalks, and driveways will be provided along with a new shared-use path and
raised central crosswalk. The roadway design features will also include ADA accessible
pedestrian ramps, intersection grading, Rectangular Rapid Flashing Beacon (RRFB)
details, and a signage & striping plan.
B.Hydraulics & Stormwater Design
New storm drain for this section of College Street was proposed with the preliminary
design to facilitate a raised crosswalk feature and to address ponding issues observed
at the east end of the project corridor. A portion of 8" clay storm drain line along MSU's
property will also likely be abandoned and connected to the new storm drain
infrastructure to remove utility conflicts and allow for new street lighting and trees to be
installed along the south boulevard. TD&H will provide hydraulic analysis and design forthe new stormwater collection and conveyance infrastructure which is expected to
connect to the newer/larger lines that were installed at the 11th and College
roundabout. The design will also coordinate crossing locations for various existing
utilities including communication duct banks that exist along the south edge of the
roadway.
C.Landscape DesignTD&H will prepare landscaping plans including boulevard planting and restoration for
disturbed areas following the latest City of Bozeman Landscape and Irrigation
Performance and Design Standards Manual. Irrigation design will depend on water
source availability and coordination with adjacent landowners (i.e., MSU and various
businesses). Temporary irrigation will be specified for early plant establishment in areas
where permanent irrigation will not be available. We have not anticipated or includednew irrigation well design in our scope of work. Final tree locations and species will alsoneed to be coordinated with new street lighting and existing overhead and undergroundutilities.
D.Electrical Lighting Design
Consulting Design Solutions, Inc. (CDS) will prepare lighting and electrical plans for
new decorative pedestrian-scale luminaires, which are currently planned to be installed
along both sides of the project corridor wherever possible depending on site
constraints. Work will include electrical plans and electrical service design/coordinationfor the new lighting. Final light pole locations will need to be coordinated with existingutilities (overhead and underground). The existing intersection lighting along thecorridor is expected to remain in place and will not be addressed as part of this design.Coordination with MSU will also be required to abandon or relocate the existing precast
light poles along the south frontage. Please see the attached CDS scope for additional
information.
E.Preliminary (60%) PS&E SubmittalNot used (see below).
F.(90% & 100%) PS&E Submittal
This task involves compiling the above design information into a Plan, Specification,
and Estimate (PS&E) package for review by the City of Bozeman. Given the street
restoration nature of this project and compressed timeline for construction, the city has
requested the first review submittal to occur at 90% design. This submittal is expected
to include existing condition/demolition plans, roadway plan & profile sheets, typical

sections, intersection grading details, storm drain design, signage & striping plan, details, landscape plans, and electrical lighting plans. Draft project specifications and an engineer's opinion of probable cost will also be included. We anticipate one 90% page turn design review meeting with the City of Bozeman, followed by the 100% electronic PS&E deliverable and hard copies as required by the City of Bozeman.
G.Easement Exhibits
It is assumed based on the preliminary design that the majority of the project elementscan be constructed within the City's existing right-of-way, with one exception being theshared-use path that is planned to be installed along the south frontage encroachinginto MSU's property. It is understood that a new 10' wide public access easement willbe required from MSU to construct and maintain this path. TD&H will prepare a certifiedsurvey easement exhibit showing the proposed extents of the new easement for review
and approval by MSU and the Montana Borad of Regents. We assume the City'sstandard public access agreement language will be provided to accompany theeasement exhibit, subject to review and possible revisions by the State of Montana.
Temporary construction access easements may also be required for a couple of local businesses where access and parking layout modifications are proposed. TD&H can draft survey exhibits for these properties as needed. We assume the City's standard language would be used for such easements. It is also assumed that any negotiations
that may be required beyond simple landowner coordination to secure these easements would be led by the City or their contracted right-of-way agent.
H.Bidding Assistance and Contract AwardTD&H will coordinate with the City Engineering Department and Clerk's office to publiclyadvertise the project for bid. TD&H will compile the bid documents and host them on anon line electronic bid service such as QuestCDN. We will be available to attend the prebid conference, to answer bidder questions, to issue additional information viaaddendum, and to attend the bid opening. Upon receiving bids, TD&H will assist theCity as needed with bid evaluation and recommendation for award.
The following items are not included in this final design phase scope of work. Some of
these services may be added through a subsequent contract amendment as needed during the construction phase.

The following is a fee proposal for electrical engineering services for the College Street Lighting Project, Bozeman, MT. This proposal is for electrical engineering design services, bidding coordination and construction administration as described below.
Scope of Work
The scope of work for the project includes developing construction documents for the street lighting based on
drawings received on January 22, 2026.
Electrical design will include work required for the street lighting including lighting photometric calculations, circuitry/voltage drop design and electrical service design/coordination per City of Bozeman Downtown Standards.
Specifications will be generated to convey project requirements.
Bidding coordination including prior product approvals, coordination of contractor's questions and preparation of addendum(s) may be provided as requested.
Shop drawing review and construction administration can be completed if requested. These services will be invoiced on an as needed basis at the hourly services rates listed below.
Design Requirements
The following items will be required at the start of the project. 1.CAD drawings of the proposed street lighting, pedestrian walkways and site plans.2.Equipment cut sheets, plans and specifications will be required as soon as possible.3.Site utility drawings showing locations, sizes and depths.
Exclusions
The following items are not included in the scope of work. 1.Mechanical engineering2.Site utilities except lighting design.3.Reproduction of check sets or final documents.

Consulting Design Solutions, Inc. proposes to provide the work as described above on hourly basis with an estimate of services is:

Hourly work for this project will be billed at our standard hourly rates as listed below.

The hourly rates listed above are subject to change on an annual basis and will follow the current company hourly rate policy.

Limitation of Liability: To the maximum extent permitted by law, the Client agrees to limit the Consultant's liability for the Client's damages to the sum of $50,000 or the Consultants fee, whichever greater. This limitation shall apply regardless of the cause of action or legal theory pied or asserted. Third Party Liability: It expressly understood and agreed that this Agreement entered into solely for the mutual benefit of the parties herein and that no benefits, rights, duties or obligations are intended by this Agreement as to third parties not a signatory hereto. Damages Waiver: Notwithstanding anything to the contrary contained in this Agreement, no party to this Agreement shall be liable for any consequential, special, indirect, incidental, exemplary or punitive damages of any kind or nature whatsoever, or any lost income or profits regardless of whether arising from breach of contract or tort, even if advised of the possibility of such loss or damage or if such loss or damage could have been reasonably foreseen. Standard of Care: Professional seNices shall be performed in a manner consistent with that degree of skill and care ordinarily exercised by practicing design professionals performing similar seNices in the same locality, at the same site and under the same or similar circumstances and conditions. The Design Professional makes no other representations or warranties, whether expressed or implied, with respect to the seNices rendered hereunder.
