HomeMy WebLinkAbout26 - Amendments Amendment Number Unknown - Ayres Associates Inc. - Digital OrthoImagery and LiDAR Acquisition THIRD Amendment to Professional Services Agreement: Digital Orthoimagery and LiDAR Acquisition Page 1 of 2 THIRD AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT THIS THIRD AMENDMENT TO THE PROFESSIONAL SERVICES AGREEMENT FOR Digital OrthoImagery and LiDAR Acquisition dated the 2nd day of February 2025 (the “Agreement”) is made and entered into this 14th day of July, 2026, by and between the CITY OF BOZEMAN, MONTANA, a self-governing municipal corporation organized and existing under its Charter and the laws of the State of Montana, 121 North Rouse Street, Bozeman, Montana, with a mailing address of PO Box 1230, Bozeman, MT 59771, hereinafter referred to as “City,” and Ayres Associates Inc., 5201 E. Terrace Drive Suite 200, Madison, WI 53715, hereinafter referred to as “Contractor.” The City and Contractor may be referred to individually as “Party” and collectively as “Parties.” In consideration of the mutual covenants and agreements herein contained, the receipt and sufficiency whereof being hereby acknowledged, the parties hereto agree to amend the Agreement as follows: 1. Scope of Services See Attachment 1 2. Agreement still valid. The following scope of work pertains to the FY 2027 City of Bozeman Leaf On Orthoimagery project. Ayres will provide the following geospatial services for collecting and processing new 12-inch resolution orthoimagery of the City of Bozeman’s 78.7 square mile project area in August of 2026. SCOPE OF WORK Deliverables Leaf On Orthoimagery 2026• Project plan• 12-inch resolution, 4-band orthoimages by tile, GeoTIFF format, UTM and State Plane• 12-inch resolution, 4-band Orthomosaic for entire project area, MrSID format, UTM and State Plane Reports ‹Flight plan and logs ‹Survey control report ‹Aerial triangulation report ‹FGDC metadata, .xml format ‹Progress reports ‹Final project report Data Delivery An external hard drive will be delivered to the City with all of the deliverables available to upload into the City GIS. Ownership Ayres has always assigned ownership and copyright to our clients at the completion of a project and will do the same with this project. Schedule Ayres proposes the following schedule to complete the City’s project successfully. We are open to adjustments to this schedule based on input from the City of Bozeman, including expedited delivery of pilot areas and final deliverables. MILESTONE DATE Project Kickoff Meeting July – August 2026 Aerial imagery acquisition August 1 to 31, 2026, (as conditions permit) Initial delivery of orthoimagery November 2nd, 2026 City review period of imagery November 2nd – 6th, 2026 Final delivery of imagery products Approximately November 16th, 2026 Docusign Envelope ID: D126A877-69CF-81B7-81F2-4411B7DF72AE 3AYRES | DIGITAL ORTHOIMAGERY ACQUISITION | CITY OF BOZEMAN, MT Ingenuity, Integrity, and Intelligence.
