Dear Mr. Henderson:
Thank you for the opportunity to submit this Proposal to provide Site Investigations for three
City-owned sites being considered for the Bozeman Public Works Facility Expansion project
located in Bozeman, Montana (the “Project”). We appreciate the opportunity to continue our
work with you and the City of Bozeman to deliver a successful and lasting project.
PROJECT DESCRIPTION
The Owner wishes to conduct Site Investigations to support the design and development of the
Bozeman Public Works Facility. The investigations will include: topographic surveying,
geotechnical and geophysical exploration and analysis, seismic site classification,
groundwater monitoring, and environmental site assessments for the three sites identified in
the Concept Design completed in May 2026 and listed below.
1. City Shops Complex – 814 N. Bozeman Ave.
2. North Rouse Avenue Complex – 1812 N. Rouse Ave.
3. Lower Lower Yards – Area currently used as bulk storage, east of Glen Lake Rotary Park
The purpose of these investigations is to provide the technical information necessary to
advance design of the selected sites, identify site-specific constraints and opportunities,
support engineering analyses, and establish a reliable basis for design and future construction
planning. Information gathered through these investigations will be incorporated into the
ongoing development of the Public Works Facility Expansion project.
SCOPE OF SERVICES
Hennebery Eddy Architects, Inc. ("Hennebery Eddy" or "Architect") will provide the following
services as part of this Proposal:
1. Project Management and Coordination Services consisting of coordination with the Owner,
subconsultants, subcontractors, and regulatory agencies as necessary to support
completion of the site investigation scope of work. Services include:

a. Scoping, procurement, and contracting of specialty subconsultants, including
development of scopes of work, review of proposals and consultant exclusions,
coordination of Owner requirements, and management of subconsultant agreements.
b. Project administration and coordination, including scheduling and attendance of
meetings, coordination with the Owner, subconsultants, and regulatory agencies, and
scheduling and coordination of site access and field activities.
c. Review and coordination of site investigation deliverables, including review of reports
and deliverables, coordination of comments and revisions among the project team,
quality control review for completeness and consistency, and integration of
geotechnical, survey, environmental, and other site investigation findings into
coordinated project deliverables.
2. Geotechnical & Geophysical Engineering Services as described and limited in the attached
Proposal from DOWL LLC, dated July 21, 2026.
3. Seismic Site Classification Services as described and limited in the attached Proposals for
City Shops and North Rouse from DOWL LLC, dated August 5, 2026.
4. Topographic and Boundary Survey & Groundwater Monitoring Services as described and
limited in the attached Proposal from Sanbell-Rocky Mountain, dated July 31, 2026.
5. Environmental Site Assessment Services as described and limited in the attached Proposal
from DOWL LLC, dated August 4, 2026. Phase I Environmental Site Assessments (ESAs) will
be completed for the City Shops and North Rouse Sites to identify potential environmental
concerns. Due to the nature of the proposed development and anticipated site use, the
Owner has elected not to conduct an Environmental Site Assessment (ESA) for the Lower
Lower Yards site as part of this investigation scope. The results of the Phase I ESAs will be
used to determine whether Phase II Environmental Site Assessments are needed.
PROPOSAL ASSUMPTIONS
1. All services under this Proposal are subject to the terms and conditions of the AIA B121-
2018 Standard Form of Master Agreement Between Owner and Architect dated 28 January
2026 (Master Agreement) and subsequent amendments. Should conflicts occur between
this Proposal and the Master Agreement, the Scope, Assumptions and Terms of this
Proposal shall govern.
2. The Scope of Services for this Proposal/Agreement is limited to those tasks specifically
described above. If any other services become necessary, or are desired by the Owner, the
Architect may provide those services as an Additional Service to this Agreement.
3. Hennebery Eddy will coordinate the work of its own sub-consultants and to the extent
necessary to complete the Scope of Services under this Proposal will coordinate our work
with that of firms engaged directly by the Owner. Fees for services of firms directly
engaged by the Owner are not included in this Proposal.
4. Any Phase II Environmental Site Assessments, if determined necessary, are excluded from
this proposal and may be contracted separately as an Additional Service.

5. Abatement and remediation services are excluded from this Scope of Services.
PROJECT SCHEDULE
This Proposal is valid for 30 days from its date of issuance and is made with the assumption
that the services contracted hereunder will be completed within approximately twelve (12)
months of the Owner’s Authorization to Proceed.
COMPENSATION
1. Fixed Fee Services
Based on the Project Description, Scope of Services, Proposal Assumptions and Project
Schedule, our fee is a Fixed Fee of as indicated below and will be invoiced monthly as a
percentage complete against this amount. This fee does not include Reimbursable
Expenses, which are enumerated below.

3. Reimbursable Expenses

These expenses will be billed at 1.15 times Hennebery Eddy’s cost incurred and are
estimated at $2,000. Reimbursable Expenses include:
• Expense of reproduction, CAD plotting, facsimile printing, laser cutting, postage and
handling of documents and other resources sent to the Owner and Contractors or
produced for the Architect and its sub-consultants’ internal project management.
• Expense of mock-ups, professional renderings, professional photography and
presentation materials requested by the Owner.

• Expense of meals and transportation in connection with the Project.

Greetings, Sarah:
DOWL is pleased to present this proposal for geotechnical engineering services for the proposed
City of Bozeman Public Works improvements in Bozeman, Montana. We base this proposal on
written email communication and a Microsoft Teams meeting on July 13, 2026. In the following
text, we summarize our project understanding, the proposed scope of services, the schedule, and
the estimated fee.

PROJECT UNDERSTANDING
Site Description
The project is broken into three parts, with associated figures of the project provided by
Hennebery Eddy:
• North Rouse - southeast corner of the intersection of North Rouse Avenue and Griffin
Drive (Figure 1).
• City Shops - southwest corner of the intersection of North Rouse Avenue and East
Tamarack Street (Figure 2).
• Lower Lower Yards (Figure 3).
Based on geologic mapping of the area and geotechnical experience, the soil conditions are
expected to consist of lean clays overlying braid plain gravels. Groundwater in the area has been
encountered at depths of 5 to 10 feet. The sites may have been impacted by past human activities.
Planned Construction
At the North Rouse project site, three new buildings will be constructed, along with parking lots.
The three new buildings will range from a 2-story office building to vehicle storage shops.
For the City Shops site, a new vehicle storage facility with parking lots will be constructed. In the
Lower Lower Yards, a sand shed will be constructed.

PROPOSED SCOPE OF GEOTECHNICAL SERVICES
We propose to perform a geotechnical evaluation at the site using exploratory drilling and
laboratory testing. Specifically, we propose to perform the following scope of our services,
referencing ASTM International (ASTM) guidelines as applicable:
1. Complete site reconnaissance to examine existing site conditions, evaluate accessibility, and
to develop our drilling program along with a preliminary drilling and sampling regimen. DOWL
will stake the boring locations in the field and provide coordinates and elevations of the
exploration locations using a handheld GPS unit. The GPS unit's accuracy will vary with
conditions, but it is generally within 10 to 15 feet. DOWL will place a wood lathe at each
exploration to facilitate future surveying of our exploration locations. We understand that
Hennebery Eddy Architects will coordinate access and permitting across private and public
property as necessary.
2. Coordinate exploration with Hennebery Eddy Architects and Montana 811 to perform utility
locates prior to exploration. DOWL cannot be responsible for damage to unregistered or
unlocated utilities such as irrigation lines. Please coordinate with the property owner to identify
private utilities in the exploration area.
3. Explore subsurface soil conditions via the following drilling program:
a. North Rouse Site
i. Six boreholes to approximately 25 feet below the existing grade for the evaluation of
three new buildings and parking lots.
b. City Shops – North Rouse Avenue and East Tamarack
i. Three boreholes to approximately 25 feet below the existing grade for the evaluation
of one new building and parking lots.
c. Lower Lower Yard
i. Two boreholes to approximately 25 feet below the existing grade for the evaluation of
a new sand shed.
• For all sites, we will collect soil samples using Standard Penetration Tests (SPT),
Shelby tube, ring-lined California, and/or Dames and Moore samplers at 2½- to 5-
foot intervals, as well as bulk samples of auger cuttings and rock core, if applicable.
The field crew will loosely backfill explorations with soil cuttings upon completion.
We will leave soil cuttings on-site. You should expect some rutting, landscape
disturbance, and other surface damage as part of exploration. We will not
landscape, reseed, or recompact exploration locations. We will record depth to
groundwater and bedrock in each exploration, if encountered. Our
GeoProfessional staff will monitor explorations. They will visually classify and
describe the soil and groundwater encountered in explorations, referencing the
Unified Soil Classification System (USCS). Should we encounter a subsurface
anomaly that requires additional drilling, we will contact NWE for authorization
before incurring any additional fees.
4. Perform laboratory tests on soil samples from our exploration to evaluate their geotechnical
engineering properties. Our project engineer will assign the laboratory testing program based

on the soil conditions encountered during the field investigation and with respect to our
analyses. Laboratory test results may include, but are not limited to, the following:
Natural soil moisture content,
Unit Weight,
Grain-size distribution,
Atterberg limits,
Unconfined compression (soil),
One-dimensional consolidation,
Standard Proctor,
Resistivity,
pH, and
Laboratory soluble sulfates (percent SO4).
We will use the results of laboratory testing to help characterize soil-engineering parameters
and to correlate soil design factors such as compressibility, shear strength, and subgrade
modulus. We will retain samples for at least 30 days after we deliver the final report.
5. Perform geotechnical engineering analyses to provide geotechnical design and construction
recommendations for the planned construction. Specifically, we will evaluate the following
geotechnical design areas:
Purpose and scope of the study,
Field conditions and exploration description,
Classification of soils for engineering purposes,
Logs of the borehole explorations showing depths of strata, groundwater
elevations, and other pertinent soil information,
A discussion of general subsurface soil and groundwater conditions,
Laboratory test data,
LPile soil parameters for deep foundation elements (if necessary),
Estimated total and differential settlement of the foundation elements and swell
or heave potential,
Active, at-rest, and passive soil pressure with angle of internal friction of
proposed backfill material,
Building slab subbase preparation, subgrade modulus,
Recommendations for soil subgrade preparations for areas subject to heave,
Recommended construction procedures and quality control measures related to
general earthwork and excavation,
Backfill and compaction recommendations for slab-on-grade, shallow foundation,
and general site grading,
Frost penetration depth.

Groundwater and drainage recommendations, as applicable, and
Engineering analysis and recommendations for conventional shallow foundations
and deep foundations (if necessary),
6. Provide an electronic copy of the geotechnical report that will include a site plan, exploration
logs, laboratory test data, our interpretation of subsurface conditions, geologic setting,
foundation recommendations, and our opinions and recommendations.
PROPOSED SCOPE OF GEOPHYSCIAL SERVICES
The Lower Lower Yard has the potential for undocumented fill depths across the site due to past
human activities. Geophysical data will be collected using seismic (refraction and MASW) and
electrical resistivity methods, with the alignments crossing each other. The methods and
assumptions for the geophysical survey are detailed within this scope.
The two proposed geophysical survey methods are:
• Seismic Refraction and MASW: DOWL will use a seismic source of a sledgehammer
impacting a metal or plastic plate. Geophones will be in an array of equal spacing. DOWL
will analyze compression wave velocities (Vp) and multichannel analysis of surface wave
velocities (MASW) from the data. From the MASW’s Rayleigh surface waves, shear wave
velocity (Vs) profiles will be calculated. The depth of native soils will be estimated from
both the seismic refraction and MASW. Native soils should have a higher seismic velocity
than the overlying undocumented fill. The depth of the groundwater table will also be
estimated from a ratio of seismic refraction and MASW data.
• Electrical Resistivity: DOWL will pound 3/8-inch metal electrodes in an array and inject
a low-voltage direct current. If the conductivity of the native soil and overlying fill soil
contrasts, the electrical method can estimate the depth of the native soil via an electrical
resistivity inversion of the field data. The depth of the groundwater table may also be
estimated from the electrical resistivity.
The intent of the two geophysical methods is to complement each other to reduce uncertainty in
the subsurface interpretation. A geophysical transect consisting of both seismic and electrical
methods and approximately 600 feet long will traverse the site on a west-east axis. A second
transect will be on a north-south axis and be approximately 300 feet long, as shown in Figure 3.
The geophysical data report and 2D subsurface profiles will be incorporated into a geotechnical
engineering technical memorandum that includes the findings and estimated depths of
undocumented fill.
SCHEDULE AND FEES
We anticipate the following timeframe:
1. We anticipate mobilizing equipment to the site during the months of August to October 2026,
or a date chosen by Hennebery Eddy following written notice to proceed. Please note that
adverse weather conditions that preclude site access may delay our exploration. We will notify
you of such conditions to discuss alternative scheduling if required.
2. We estimate the geotechnical field investigation, consisting of 11 boreholes, will take three to
four days to complete.

3. We anticipate we will complete laboratory testing and engineering analyses, which will be
summarized in a geotechnical report within three to four weeks following field work.
The total lump sum fee for these geotechnical services will be $44,250.00. Our fee estimate is
valid for a period of 90 days from the date of this proposal. Should subsurface conditions warrant
a change in scope, i.e., additional services such as more exploration or laboratory testing, we will
request a fee change prior to exceeding the proposed budget.
For the geophysical services at the Lower Lower Yard, DOWL proposes a total lump sum fee of
$10,050.00. Should subsurface conditions warrant a change in scope, i.e., additional services
such as more exploration, we will request a fee change prior to exceeding the proposed budget.
LIMITATIONS
We developed the geotechnical and geophysical scope of services presented above based on
our understanding of the proposed development. The scope of services presented above does
not include obtaining permits, coordinating permission to access sites, traffic control, earthwork
recommendations, retaining system design, stormwater or septic disposal design, slope stability,
structural design, erosion control design, evaluation of hazardous materials, delineation of
wetlands, or any other services not explicitly discussed above. We will endeavor to perform our
evaluation referencing the standard of care, as it exists in Montana at the time of this proposal.
This acknowledgment is in lieu of any express or implied warranties.

Rouse project in Bozeman, Montana. We base this proposal on an email with you dated August
5, 2026. The following text summarizes our understanding of the project, the proposed scope of
services, and the estimated fee.
PROPOSED SCOPE OF SEISMIC GEOPHYSICAL SERVICES
DOWL proposes to perform a seismic geotechnical evaluation at the proposed Bozeman Public
Works – North Rouse using the Multichannel Analysis of Surface Waves (MASW) and
Microtremor Array Measurements (MAM) approaches. The MASW and MAM approaches provide
shear-wave velocity (Vs) from surface waves, yielding a 1D shear-wave profile at the center of
the geophone spread layout. DOWL’s proposed seismic geophysical services are as follows:
1. Collect seismic data within the limits of the proposed project. The seismic transects will be
“field-fit” to maximize data collection while considering the equipment, cable, and geophone
placement efficiency. Based on a review of data quality in the field, DOWL will determine
whether to collect additional data.
2. Survey the seismic transects with Bad Elf survey equipment and obtain elevations.
3. Using the information from the field exploration program, DOWL will evaluate the subsurface
conditions at the site. Engineering analysis will then be performed to determine specific design
criteria for the project. DOWL will prepare a memo with the following information:
Purpose and scope of the study;
Field conditions and exploration description; and
UBC/IBC or ASCE 7-22 Seismic Site Classifications via shear wave profile to a minimum
of 100 feet deep.

ASSUMPTIONS
Hennebery Eddy Architects and the City of Bozeman will allow access to the project area.
DOWL assumes that this data would be collected during the same mobilization of the
geophysical survey for the Lower Yard.
SCHEDULE AND FEES
We anticipate the following timeframe:
1. We anticipate mobilizing the site during the months of August or September 2026,
depending on notice to proceed.
2. We estimate that the field investigation will take a little over half a day to complete.
3. We anticipate completing the geophysical analyses, which will be summarized in a
geophysical report within two weeks following fieldwork.
The total lump sum fee for these services will be $2,000.00. Our fee estimate is valid for a period
of 90 days from the date of this proposal.

Works – City Shops using the Multichannel Analysis of Surface Waves (MASW) and Microtremor
Array Measurements (MAM) approaches. The MASW and MAM approaches provide shear-wave
velocity (Vs) from surface waves, yielding a 1D shear-wave profile at the center of the geophone
spread layout. DOWL’s proposed seismic geophysical services are as follows:
1. Collect seismic data within the limits of the proposed project. The seismic transects will be
“field-fit” to maximize data collection while considering the equipment, cable, and geophone
placement efficiency. Based on a review of data quality in the field, DOWL will determine
whether to collect additional data.
2. Survey the seismic transects with Bad Elf survey equipment and obtain elevations.
3. Using the information from the field exploration program, DOWL will evaluate the subsurface
conditions at the site. Engineering analysis will then be performed to determine specific design
criteria for the project. DOWL will prepare a memo with the following information:
Purpose and scope of the study;
Field conditions and exploration description; and
UBC/IBC or ASCE 7-22 Seismic Site Classifications via shear wave profile to a minimum
of 100 feet deep.

ASSUMPTIONS
Hennebery Eddy Architects and the City of Bozeman will allow access to the project area.
DOWL assumes that this data would be collected during the same mobilization of the
geophysical survey for the Lower Yard.
SCHEDULE AND FEES
We anticipate the following timeframe:
1. We anticipate mobilizing the site during the months of August or September 2026,
depending on notice to proceed.
2. We estimate that the field investigation will take a little over half a day to complete.
3. We anticipate completing the geophysical analyses, which will be summarized in a
geophysical report within two weeks following fieldwork.
The total lump sum fee for these services will be $2,000.00. Our fee estimate is valid for a period
of 90 days from the date of this proposal.

Phase I Environmental Site Assessment
City of Bozeman – North Rouse and City Shops properties
Dear Sarah:
DOWL, LLC (DOWL) prepared this scope of work and cost estimate to conduct Phase I
Environmental Site Assessments (ESAs) on two properties referred to as the North Rouse site
and City Shops site in Bozeman, Montana.
The properties descriptions are as follows with associated figures provided by Hennebery Eddy
Architects (Hennebery Eddy):
North Rouse site - southeast corner of the intersection of North Rouse Avenue and
Griffin Drive (Figure 1) and
City Shops site - southwest corner of the intersection of North Rouse Avenue and East
Tamarack Street (Figure 2).
Provided herein is a summary of the proposed scope of work, DOWL’s assumptions, and cost
estimate and schedule to perform the work.
SCOPE OF WORK
The scope of work includes conducting a Phase I ESA for each property as part of due diligence
being performed for the proposed upgrading activities at each property. The Phase I ESA will be
conducted in accordance with the American Society for Testing and Materials (ASTM) Standard
Practice for Environmental Site Assessments: Phase I Environmental Site Assessment Process
(ASTM E1527-21). Proposed Phase I ESA activities include, but may not be limited to:
Review of readily available historical records and documents.
A site reconnaissance.
Literature research and review.
Interviews with individuals familiar with the properties.
Interviews with local governmental officials (if available); and
Preparation for a Phase I ESA Report.
The Phase I ESAs will be conducted by DOWL environmental professionals (as defined by 40
CFR 312.10). The purpose of Phase I ESA is to identify, as practicable, recognized
environmental conditions at the targeted properties and within the appropriate study area that
have caused and/or may cause an adverse environmental impact. ASTM E1527-21 is intended
to permit a user to satisfy one of the requirements to qualify for protection from potential liability

under the Comprehensive Environmental Response, Compensation, and Liability Act as the
innocent landowner, contiguous property owner, or bona fide prospective purchaser. ASTM
E1527-21 constitutes “all appropriate inquiry” into the previous ownership, uses, and
environmental conditions of a property consistent with good commercial or customary practice,
as defined in Section 9601(35)(B) of Title 42 of the U.S. Code.
The objective of Phase I ESA is to perform an appropriate inquiry into past and present
ownership and uses of the targeted properties, consistent with good commercial and/or
customary practice. This Phase I ESA Report is to be used as a risk management tool to meet
AAI Final Rule requirements and the Comprehensive Environmental Response, Compensation,
and Liability Act liability defense. The Phase I ESAs do not guarantee that there are no impacts
to the targeted properties.
The proposed Phase I ESAs will be prepared for the exclusive use of Hennebery Eddy and the
City of Bozeman. No one other than Hennebery Eddy and the City of Bozeman may rely on this
report unless DOWL agrees in advance to such reliance in writing. Any unauthorized use,
interpretation, or reliance on Phase I ESA is at the sole risk of that party, and DOWL will have
no liability for such unauthorized use, interpretation, or reliance.
COST ESTIMATE AND SCHEDULE
DOWL proposes to perform the work on a lump sum basis for three properties (North Rouse
site, City Shops site, and Lower Lower Yard) for $6,500.00 each or $13,000.00 total. The work
will be performed in accordance with the AIA agreement provided by Hennebery Eddy.
Following notification of authorization to proceed, DOWL will have the reports completed within
4 to 6 weeks.
PROJECT ASSUMPTIONS:
Hennebery Eddy will provide the Gallatin County parcel numbers for the two properties.
Hennebery Eddy will confirm and/or provide readily available information such as prior
Phase I ESA’s, subsurface investigations, compliance audits, historical information, etc.
regarding use of these properties.
Hennebery Eddy will provide the properties contact(s) for DOWL to coordinate with and
perform the site reconnaissance. DOWL will conduct site interview(s) with the properties
owners and/or tenants using the contact information provided by Hennebery Eddy.
In accordance with ASTM E 1527-21 Standard, the User (i.e. Hennebery Eddy) of Phase
I ESA must provide a response to each question included on the User Questionnaire for
each property. DOWL will provide a User Questionnaire to Hennebery Eddy at the
project kick-off.
This scope of work does not include non-scope considerations, as stated in ASTM 1527-21,
such as the following:
Wetland delineation or floodplain mapping
Environmental compliance
Environmental sampling or sample analysis
Presence of Endangered Species Act listed species

Investigation for the presence of radon, mold, lead-based paint, lead in drinking water,
biological pollutants, asbestos-containing materials, or emerging contaminants such

Project Overview This proposal outlines services Sanbell – Rocky Mountain, (hereinafter “Sanbell”) will provide in support of Hennebery Eddy’s (hereinafter “Client”) proposed design of the City of Bozeman’s public works facilities. The Client has recently completed the conceptual design stage, and this next phase of design will build upon those efforts to provide adequate spaces to accommodate the growing organization and community. This proposal includes pre-design services including groundwater monitoring and topographic and boundary survey. Scope of Work 1. Groundwater Monitoring This phase will include conducting groundwater monitoring at the three (3) project sites. Specific tasks in this phase include the following: • Conduct groundwater monitoring o We assume the geotechnical engineer will install the groundwater monitoring pipe when they do their test pit/boring field investigation. o We will provide an exhibit indicating the preferred pipe locations. o Sanbell will conduct weekly manual measurements at up to 10 groundwater monitoring wells through the peak groundwater season (preferred April-June 2027). A couple spot measurements will be taken in the fall of 2026 to get initial documentation of the groundwater level.

2. Topographic and Boundary Survey This phase consists of performing the necessary topographic and boundary survey work required to design the proposed buildings, parking lot, and associated site features. Tasks under this phase include: • Research Gallatin County records for previous surveys and current deeds • Call for Utility Locates • Recovery and field GPS survey of property corners. If existing corner monuments are not found, expand the field survey to adjacent properties as needed. • Topographic and physical survey of surface features within the existing lot and adjacent streets to a minimum distance of 200-feet per City site Plan requirements. This includes asphalt, concrete, full width of the street with curb, gutter, sidewalk, drive approaches, intersections, and street lighting on both sides of the street. The one exception is at the Lower Lower Yards site where we are only surveying the area we think is necessary for the proposed development. See the approximate survey boundary in red in Exhibits A-C below. • Prepare base drawing with existing ground surface & points in CAD .dwg format (.dwg & Civil 3D data 2024 or older)

3. Reimbursable Expenses (T&M)
This phase includes reimbursable expenses for vehicle mileage and office
supplies for reproduction costs. This phase will be invoiced under time and
materials to a maximum amount as shown in the fee table below. Scope of Work Exclusions Any services not discussed in the scope of work section of this proposal are excluded from the contract. The following is a list of services expressly excluded from this proposal: • Construction cost estimation • ProjectDox management involving pre-application, INF/CONR submittals or waivers, and Site Plan Application • Schematic design, design development, and construction documents • Water/Sewer Report • Easement preparation • Geotechnical engineering • Structural engineering • Value engineering plan revisions • Stormwater pollution and prevention plan (SWPPP) • Construction administration including but not limited to inspection, and materials testing. • Water Reclamation Facility (WRF) project site • All fees associated with permitting, applications, and submittals • Traffic impact study Sanbell assumes no responsibility to perform any services not specifically listed in the scope of work. If the Client and Sanbell agree in writing by amendment to this agreement, Sanbell will provide additional services as requested by the Client. The above notwithstanding, Sanbell shall have the right but not the obligation to provide, without advance authorization from the Client, other services made necessary by the default of the contractor or Client, or by deficiencies, delays, or defects in the work provided by the contractor. Sanbell shall provide written notice of the provision of such services as soon as reasonably possible. reasonable allowances for performance of services by Sanbell and by Client’s consultants (those not under contract with Sanbell), review and approval times as required by the Client, and review and approval times required by all public authorities having jurisdiction over the project. This schedule shall be adjusted as the project progresses, allowing for changes in scope, character, or size of the project requested by the Client, or for delays or other causes beyond Sanbell’s reasonable control. Fees and Billing Arrangements Invoice and Billing: Sanbell will bill for its services on a fixed fee basis by phase as described in the table below. Sanbell will begin work once this agreement has been executed by both parties.

Sanbell will submit monthly invoices to the Client for work accomplished during the preceding invoice period. That invoice period will typically be approximately 30 days and will follow a calendar month schedule. For services provided on a fixed fee basis, the amount of each monthly invoice will be determined on the “percentage of completion method” whereby Sanbell will estimate the percentage of the total scope of work accomplished during the invoicing period. Monthly invoices shall include, separately listed, any charges for services for which time charges and/or unit costs shall apply. Such invoices shall also include, separately listed, any charges for consultants retained by Sanbell, and reimbursable costs. Such invoices shall be submitted by Sanbell as soon as possible after the end of the month in which the work was accomplished and shall be due and payable by the Client upon receipt. The Client agrees that the monthly invoice from Sanbell is correct, conclusive, and binding on the Client unless the Client, within 20 working days from the date of receipt of such invoice, notifies Sanbell in writing of alleged inaccuracies, discrepancies, errors in the invoice, or the need for additional backup. Expiration of Proposal: If the Client does not provide Sanbell with a signed copy of this proposal within 30 days from the proposal date on the first page, the offer to perform services as described herein will expire and be revoked. Should that occur, Sanbell will gladly work with the Client to provide a renewed proposal with updated terms, fees, and conditions as required.

INTEREST, SUSPENSION, AND COLLECTION COSTS: Any invoice not paid within 30 days of date of invoice shall bear interest at 1.5 percent per month on the unpaid balance. If CLIENT fails to make payment within 45 days of the date of any invoice, Sanbell - Rocky Mountain shall have the right, but not the obligation, to suspend work and withhold deliverables until payment in full, including interest, is received. Sanbell - Rocky Mountain shall have no liability whatsoever to the CLIENT for any costs or damages as a result of such suspension. If Sanbell - Rocky Mountain resumes services after payment by CLIENT, the time schedule and compensation shall be equitably adjusted to compensate for the period of suspension plus any other reasonable time and expense necessary for Sanbell - Rocky Mountain to resume performance.
If an invoice remains unpaid for more than 90 days, Sanbell - Rocky Mountain shall have the right, but not the obligation, to initiate collection procedures. If the CLIENT fails to make payment when due and Sanbell - Rocky Mountain incurs any costs in order to collect sums from the CLIENT, the CLIENT agrees that all such collection costs incurred shall immediately become due and payable to Sanbell - Rocky Mountain. Collection costs shall include, but are not limited to, legal fees, collection agency fees and expenses, court costs, collection bonds, and reasonable staff costs for Sanbell - Rocky Mountain’s staff for time spent in efforts to collect. This obligation of CLIENT to pay Sanbell - Rocky Mountain’s collection costs shall survive the term of this Agreement or any termination by either party.
It is understood and agreed that Sanbell - Rocky Mountain’s services under this Agreement do not include participation, whatsoever, in any litigation. Should such services be required, a Supplemental Agreement may be negotiated between the CLIENT and Sanbell - Rocky Mountain describing the services desired and providing a basis for compensation to Sanbell - Rocky Mountain.
TERMINATION OF SERVICES FOR NON-PAYMENT: If the CLIENT fails to make payment to Sanbell - Rocky Mountain in accordance with this Agreement, this shall constitute a material breach of this Agreement and shall be cause for termination of this Agreement by Sanbell - Rocky Mountain.
SET-OFFS, BACK CHARGES, AND DISCOUNTS: Payment of invoices shall not be subject to any discounts or set-offs by the CLIENT unless agreed to in writing by Sanbell - Rocky Mountain. Payment to Sanbell - Rocky Mountain for services rendered and expenses incurred shall be due and payable regardless of any subsequent suspension or termination of this Agreement by either party.
INFORMATION PROVIDED BY CLIENT OR OTHERS: CLIENT agrees to provide to Sanbell - Rocky Mountain all available information necessary to perform duties as outlined in the attached scope of services. The CLIENT shall furnish, at CLIENT’S expense, all information, requirements, reports, data, surveys, and instructions required. Sanbell - Rocky Mountain is entitled to rely on the accuracy and completeness of all such information provided.
CLIENT shall furnish right-of-way entry onto the project site for Sanbell - Rocky Mountain to perform necessary field measurements or studies.
OWNERSHIP OF INSTRUMENTS OF SERVICE: All reports, drawings, specifications, computer files, field data, notes, and other documents and instruments prepared by Sanbell - Rocky Mountain as instruments of service shall remain the property of Sanbell - Rocky Mountain. Sanbell - Rocky Mountain retains all common law, statutory and other reserved rights, including the copyright to all instruments of service. If any instruments of service must be filed with governmental agencies, Sanbell - Rocky Mountain will furnish copies to the CLIENT upon request. The CLIENT will not reuse or modify the instruments of service without Sanbell - Rocky Mountain’s prior written authorization. The CLIENT agrees, to the fullest extent permitted by law, to defend, indemnify, and hold harmless Sanbell - Rocky Mountain, its officers, directors, employees, and agents, from and against any and all damages, claims, liabilities, costs, or suits, including reasonable attorney’s fees and defense costs, arising from, allegedly arising from, or in any way connected with, the unauthorized reuse or modification of any instrument of service by any person or entity other than Sanbell - Rocky Mountain.
ELECTRONIC FILES: Sanbell - Rocky Mountain may furnish drawings, reports, or data on electronic media generated and furnished by Sanbell - Rocky Mountain. The CLIENT understands and agrees that all such electronic files are instruments of service of Sanbell - Rocky Mountain, that Sanbell - Rocky Mountain shall be deemed the author, and shall retain all common law, statutory law, and other rights, including copyrights. The CLIENT agrees not to reuse these electronic files, in whole or in part, for any other purpose other than for the project. The CLIENT agrees not to transfer these electronic files to others without the prior written consent of Sanbell - Rocky Mountain. The CLIENT further agrees to waive all claims against Sanbell - Rocky Mountain resulting in any way from any unauthorized changes to or reuse of the electronic files for any other project by anyone other than Sanbell - Rocky Mountain.
The CLIENT is aware that differences may exist between the electronic files delivered and the printed hard-copy construction documents. In the event of a conflict between the signed construction documents prepared by Sanbell - Rocky Mountain and electronic files, the signed or sealed hard-copy construction documents shall govern.
Additionally, the CLIENT agrees, to the fullest extent permitted by law, to defend, indemnify, and hold harmless Sanbell - Rocky Mountain, its officers, directors, employees, and agents, against all damages, liabilities, claims, or suits, including reasonable attorney’s fees and defense costs, arising from any changes made by anyone other than Sanbell - Rocky Mountain, or from any reuse of the electronic files without the prior written consent of Sanbell - Rocky Mountain.
Under no circumstances shall delivery of electronic files for use by the CLIENT be deemed a sale by Sanbell - Rocky Mountain; and Sanbell - Rocky Mountain makes no warrantees, either express or implied, of merchantability or fitness for any particular purpose. Sanbell - Rocky Mountain shall not be liable for indirect or consequential damages as a result of the CLIENT’s use or reuse of electronic files.
OPINIONS OF PROBABLE COST: CLIENT hereby acknowledges that Sanbell - Rocky Mountain cannot warrant that any opinions of probable cost provided by Sanbell - Rocky Mountain will not vary from actual costs incurred by the CLIENT. The CLIENT understands that Sanbell - Rocky Mountain has no control over the cost or availability of labor, equipment, materials, or over market conditions or the Contractor’s method of pricing. Sanbell - Rocky Mountain makes no warranty, express or implied, that the bids or the negotiated cost of the work will

not vary from Sanbell - Rocky Mountain’s opinion of probable cost.
LIMIT OF LIABILITY: In recognition of the relative risks and benefits of the project to both the CLIENT and Sanbell - Rocky Mountain, the risks have been allocated such that the CLIENT agrees to limit the liability of Sanbell - Rocky Mountain to the CLIENT for any and all claims, cause or combination of causes, including attorney’s fees, costs, and expert witness fees so that the total aggregate liability of Sanbell - Rocky Mountain to CLIENT shall not exceed $50,000.00 or Sanbell - Rocky Mountain’s total fees for services on this project, whichever is greater. It is intended that this limitation apply to any and all claims, liability or causes of action, however alleged or arising.
CONSTRUCTION SERVICES: If, under this Agreement, professional services are provided during the construction phase of the project, Sanbell - Rocky Mountain shall not be responsible for or have control over means, methods, techniques, sequences, or procedures, or for safety precautions and programs in connection with the Work; nor shall Sanbell - Rocky Mountain be responsible for the Contractor’s failure to carry out the Work in accordance with the Contract Documents or for the Contractor’s failure to comply with the applicable laws, ordinances, rules, or regulations. These rights and responsibilities are solely those of the Contractor.
Sanbell - Rocky Mountain shall not be responsible for any acts or omissions of the Contractor, subcontractor, or any person or entity performing any portion of the work. Sanbell - Rocky Mountain does not guarantee or warrant the performance of any Contractor and shall not be responsible for the Contractor’s failure to perform its work in accordance with the Contract Documents or any applicable codes, laws, rules or regulations.
JOB SITE SAFETY: Neither the professional activities of Sanbell - Rocky Mountain, nor the presence of Sanbell - Rocky Mountain at the construction/project site, shall relieve the general contractor and all subcontractors of any of their responsibilities and duties to perform the work in accordance with the contract documents and to comply with any health or safety precautions required by any regulatory agencies. Sanbell - Rocky Mountain does not have authority to control any construction contractor or its employees in connection with their work or any health or safety programs or procedures. The CLIENT agrees that the contractor and subcontractors are solely responsible for job site safety and warrants that this intent shall be carried out in the CLIENT’s contract with the general contractor. The CLIENT also agrees that CLIENT and Sanbell - Rocky Mountain shall be indemnified by the general contractor for any such claims, and shall be made additionally insured under the general contractor’s insurance policies.
RECOMMENDATIONS BY Sanbell - Rocky Mountain: Sanbell - Rocky Mountain may provide advice and/or recommendations to the CLIENT during Sanbell - Rocky Mountain’s provision of services for the CLIENT’s project. If the CLIENT declines to follow the advice and/or recommendations provided by Sanbell - Rocky Mountain, the CLIENT agrees that Sanbell - Rocky Mountain shall not have any liability for adverse consequences or damages resulting from the CLIENT’s failure to follow the advice and/or recommendations of Sanbell - Rocky Mountain. Additionally, the parties agree that the CLIENT’s failure to follow advice and/or recommendations of Sanbell - Rocky Mountain may be cause for Sanbell - Rocky Mountain to immediately terminate this Agreement at Sanbell - Rocky Mountain’s sole discretion.
PERMITTING: Sanbell - Rocky Mountain shall assist the CLIENT in applying for permits and approvals where required by law. In cases where the scope of services requires Sanbell - Rocky Mountain to submit, on behalf of the CLIENT, a permit application and/or approval by a third party to this contract, Sanbell - Rocky Mountain does not make any warranties, guarantees, or representations as to the success of Sanbell - Rocky Mountain’s effort on behalf of the CLIENT. Payment for services rendered by Sanbell - Rocky Mountain is not contingent upon the successful acquisition of these permits.
NO ASSIGNMENT WITHOUT CONSENT: Neither party may assign this Agreement without the written agreement of the other party.
TERMINATION: In the event of termination of this Agreement by either party, the CLIENT shall, within 15 days of termination, pay Sanbell - Rocky Mountain for all services rendered and reimbursable costs incurred by Sanbell - Rocky Mountain up to the date of termination.
The CLIENT may terminate this Agreement for convenience and without cause upon 21 calendar days’ written notice. Either party may terminate this Agreement for cause upon 10 calendar days’ written notice for the following reasons:
1. Substantial failure by either party to perform in accordance with this Agreement;
2. Assignment of this agreement without the written consent of the other party;
3. Suspension of the project or Sanbell - Rocky Mountain’s services for more than 60 calendar days, consecutive or aggregate;
4. Material changes in the conditions under which this Agreement was executed, the Scope of Services, the nature of the project, or the failure of the parties to reach an agreement on compensation and/or schedule adjustments necessitated by such changes.
In the event of a termination not the fault of Sanbell - Rocky Mountain, the Client shall pay Sanbell - Rocky Mountain, in addition to payment for services rendered and reimbursable expenses incurred, all expenses incurred by Sanbell - Rocky Mountain in connection with the orderly termination of this Agreement, including, but not limited to, demobilization, reassignment of personnel, associated overhead costs, and all other expenses resulting from the termination.
CONSEQUENTIAL DAMAGES: Notwithstanding any other provision in this Agreement, neither the CLIENT nor Sanbell - Rocky Mountain, their respective officers, directors, shareholders, partners, employees, agents, members, subconsultants, or employees shall be liable to the other or shall make any claim for any incidental, indirect, or consequential damages arising out of or in any way connected to the project or this Agreement. This mutual waiver of consequential damages shall include, but is not limited to, loss of use, loss of profit, loss of business, loss of income, loss of reputation, or any other consequential damages that either party may have incurred from any cause of action.
DISPUTE RESOLUTION, VENUE, AND CHOICE OF LAW: Any claim arising out of or related to this Agreement (except for Collection Procedures employed by Sanbell - Rocky Mountain and those waived or barred as provided elsewhere in this Agreement), shall be subject to mediation as a condition precedent to arbitration or to the institution of legal or equitable proceedings by either party. The parties shall endeavor to resolve their claims by mediation. Either party may file a request for mediation. Mediation shall proceed in advance of legal or equitable proceedings, which shall be stayed pending mediation for a period of sixty (60) days from the date of filing, unless stayed for a longer period by agreement of the parties or by court order. The parties shall share the mediator’s fee and any filing fees equally. The mediation shall be held in Billings, Montana. Any agreements reached in mediation shall be enforceable as settlement agreements by any court having jurisdiction.
Venue for any arbitration or litigation arising out of this Contract shall be in the Thirteenth Judicial District, Yellowstone County, Montana. This Agreement shall be governed by, and interpreted under, the law of the State of Montana.
ENTIRE AGREEMENT: This Agreement is the entire agreement between Sanbell - Rocky Mountain and CLIENT. It supersedes all prior communications, understandings, and agreements, whether oral or written. Any amendment or modification to this Agreement must be written and executed by both Sanbell - Rocky Mountain and CLIENT.
