The next phase of roadway improvements includes the Stucky Road Reconstruction Project, which has many challenges, some common with past projects and others unique to these specific areas. Recognizing that working through these challenges represents the key to success, HDR Engineering has developed an approach that has been successfully utilized on other transportation corridors in Gallatin County. Combined with HDR’s award winning road design team, our approach to this project will provide the following major benefits to the City of Bozeman and the local stakeholders impacted by the project: HDR’s Context Sensitive Solutions (CSS) Approach Maximizes Project Success: Our CSS approach has been successfully utilized on other transportation corridors in Gallatin County. As part of this approach, we will evaluate the functional role of Stucky Road, projected traffic demands, multimodal needs, access management considerations, safety performance, intersection operations, utility requirements, and right-of-way constraints to develop a clear design framework for the corridor. The outcome will be an agreed-upon geometric criteria, operating speed expectations, cross-section elements, multimodal facility requirements, and intersection design assumptions that will guide all subsequent engineering evaluations and alternative development efforts. This will result in the efficient and successful implementation of the project. An Intersection Control Evaluation Provides the Greatest Operational and Safety Benefits: The Intersection Control Evaluation (ICE) evaluation will consider multiple intersection types including a roundabout, a traditional signal if warranted, a continuous green-t (signalized and unsignalized), and other control types. Tier 1 analysis will compare operational results in addition to qualitatively assessing each intersection type for safety, footprint impacts, and cost. We will conduct the Tier 2 analysis concurrently with the concept development and roadway geometric improvements of the corridor and intersections which will allow our design team to complete a quantitative analysis of each intersection type while also setting the footprint of the proposed improvements. The result will be an efficient delivery of a detailed comparison of each potential improvement and its ability to address the safety and capacity needs along the corridor. Thorough Understanding of All Issues Results in Efficient Execution: The Stucky Road Reconstruction project is a complex undertaking with numerous factors that will influence its success. Identifying and understanding these issues during the Pre-Design Phase is critical to delivering an efficient and cost-effective project. Early evaluation helps reduce risk, avoid redesign efforts, align stakeholders, and minimize unforeseen challenges during final design and construction. While the two specific issues discussed above are important, a successful approach must also address broader corridor needs. This includes developing a comprehensive data collection strategy; establishing a typical corridor section that balances the operational requirements of an urban collector roadway with the physical constraints between Fowler Avenue and South 19th Avenue; and evaluating environmental, survey, utility and geotechnical considerations, including high groundwater conditions. Additional key elements include stormwater management, irrigation infrastructure, right-of-way impacts, water system improvements, and proactive public engagement and stakeholder coordination. Our team has carefully considered each of these issues and developed a comprehensive approach detailed throughout this proposal. We believe our understanding of the corridor, collaborative approach, and experience delivering complex urban roadway projects demonstrates our ability to help the City of Bozeman efficiently advance this project from scoping through implementation. Each project description includes a highlight of the project along with a client reference. Most importantly, however, you will note that each of these projects contain many of the same or all of the key elements required to make the Stucky Road project a success. In addition, these projects represent successful partnerships with clients, stakeholders, and contractors – reaching performance goals and delivering within the required budget and schedule. a.a. Experience Whitefish Stage Road Kalispell, MT Montana Department of Transportation Shaun Sampson I 406.444.9413 HDR is leading the design of a corridor reconstruction project along Whitefish Stage Road from north of Reserve Drive to MT 40. The project upgrades an existing rural two-lane roadway to safely accommodate substantial growth while improving mobility and operations. Work includes evaluation and design of multiple intersections along the corridor, including realignment of the Whitefish Stage Road/Hodgson Road intersection to improve safety and traffic flow. The southern portion of the corridor is being upgraded to an urban roadway typical section, including a two-way left-turn lane (TWLTL) through the Rose Crossing area, creating a seamless transition to the recently completed West Reserve Drive while supporting anticipated development-driven growth. HDR also evaluated corridor alternatives, developed context-sensitive design solutions, and coordinated closely with local agencies, Lake County, utility providers, stakeholders, and adjacent property owners throughout the planning and design process. HDR developed improvements for additional turn lanes on E. Valley Center Road and N. 19th Avenue to the eastbound I-90 ramps while coordinating closely with MDT functional units, utility stakeholders, and project partners. Through an accelerated six-week design schedule, HDR advanced practical, context-sensitive solutions that improved traffic operations, safety, multimodal connectivity, and corridor performance. Through alternatives analysis and stakeholder engagement, HDR is developing context- sensitive improvements that reconstruct the corridor to a complete street standard, improve traffic operations and safety, enhance access management, and expand multimodal travel options. HDR is advancing traffic analysis, geotechnical investigations, environmental studies, and right-of-way acquisition support to move the project through design and into construction. A key component of the effort is ongoing coordination with BNSF Railway, utility providers, public agencies, local businesses, and adjacent property owners to address corridor constraints, maintain access, and develop a practical, constructible design that supports the long-term transportation and infrastructure needs of this growing industrial area. The project involves upgrading an aging corridor with roadway and bridge improvements, accommodating multimodal travel through a new shared-use path and wider shoulders, addressing floodplain and irrigation system constraints, evaluating traffic operations and intersection lighting needs, and advancing permitting and right-of-way acquisition to support project delivery. HDR has led extensive coordination with Missoula County, the Frenchtown Irrigation District, adjacent landowners, and other stakeholders to develop context-sensitive solutions that balance transportation needs, environmental considerations, and community goals. The project transformed an aging urban corridor into a safer, multimodal streetscape through extensive public engagement, resulting in a community-supported typical section and proactive coordination with adjacent businesses and property owners during construction. To address pedestrian safety near Whitefish High School and Muldown Elementary, HDR designed a raised intersection with elevated crosswalks at 6th Street and Pine Avenue. Through corridor and intersection alternatives analysis, HDR identified and designed two multilane roundabouts that enhance traffic operations while reducing conflict points and improving safety for all users. The project also advanced pedestrian and bicycle mobility through the addition of a shared- use path, ADA-compliant upgrades at intersections, driveways, and pedestrian crossings, and enhanced corridor lighting and pedestrian signal systems. Through evaluation of traffic operations and corridor needs, HDR developed a roadway configuration that introduced a center turn lane, intersection turn-lane improvements, and traffic calming features to improve safety, access, and overall corridor performance. Additional improvements included corridor lighting upgrades and a new signalized intersection with a right-turn slip lane at Mullowney Lane and Elysian Road, enhancing mobility for both motorists and multimodal users. One of the projects that advanced to final design was the intersection of US-191 and MT-64. As part of this project, an ICE was performed to evaluate traffic safety and operations of this intersection. Existing conditions were modeled and compared against proposed alternatives including various roundabout configurations and a continuous flow intersection (CFI). A microsimulation using VISSIM was used to compare the proposed alternatives and inform the preferred roundabout alternative. WGM/City of Missoula Megan McMeekin I 406.552.6769 Broadway Toole California Intersection, Missoula HDR provided detailed traffic analysis for the Broadway/Toole/ California (BTC) intersection to address safety concerns that exist with the current intersection geometry and operations. HDR, through the ICE analysis, helped identify and screen innovative intersection control options that strive to enhance access to and from the neighborhood for all modes of transportation. In addition, HDR analyzed multiple intersection alternatives using microsimulation analysis to guide the selection of an alternative during Stage 2 ICE analysis. Glenn Highway: Arctic Ave to Palmer-Fishhook Palmer, AK Alaska Department of Transportation & Public Facilities Chris Bentz I 907.707.1912 HDR is evaluating and designing 1.75 miles of improvements along the Glenn Highway to address safety deficiencies, improve operations, and accommodate future growth within the rapidly developing City of Palmer. The project balances increasing transportation demands with the need to minimize impacts to adjacent residences, businesses, farmland, and historic resources through a practical, context-sensitive design approach. HDR is analyzing corridor capacity needs, developing geometric and access improvements, adding turn lanes and a shared-use path, and conducting an ICE analysis at Palmer-Fishhook Road. The ICE evaluated multiple intersection control strategies, including a traffic signal, continuous green-T, and roundabout alternatives, to identify the preferred solution that best improves safety, mobility, and long-term corridor performance while minimizing right-of-way and environmental impacts. Similar Project Elements: •ICE and alternatives analysis •Shared-use path and multimodal improvements •Practical design minimizing right-of-way impacts •Stakeholder and agency coordination HDR is an industry leader for providing innovative intersection alternatives and was recently selected to collaborate with FHWA to revise the Intersection Treatment Manual. 04 City of Bozeman | Stucky Road Reconstruction Marvin Rd Corridor Alternatives Analysis Thurston County, WA Thurston County Matt Unzelman I 306.867.2300 HDR completed a corridor alternatives analysis and ICE for three intersections along the Marvin Road corridor. Working closely with county staff, agency partners, and stakeholders, HDR evaluated multiple intersection and corridor improvement alternatives through detailed traffic operations and safety analyses, balancing multimodal needs, right-of-way impacts, constructability, and cost. Following the concept development, HDR subsequently advanced the preferred alternative to approximately 30% design, developing conceptual layouts and planning- level cost estimates to support future right-of-way acquisition, funding strategies, and project implementation. Our local employees have witnessed the growth that has challenged our local infrastructure and take pride in being part of the solution. A few recent utility projects are highlighted below followed by additional projects that have been successfully delivered over the past two decades. Lyman Transmission Main Condition Assessment HDR performed a condition assessment of 12,870 linear feet (2.4 miles) of the City’s Lyman Transmission Main, which included 18-inch cast iron, 18-inch ductile iron, and 18-inch asbestos cement pipe (ACP). The condition assessment was performed with nonlinear vibroacoustic technology to identify leaks in the pipeline and to assess pipeline condition using external access points such as hydrants, control valves, or temporary potholes (installed via hydro excavation). The condition assessment also included soil corrosivity surveys, and pressure transient monitoring. Valley Center Lift Station & Force Main HDR designed the Valley Center Lift Station and Force Main Project from a preliminary engineering report through final design and construction. The project includes a 12-inch force main (pressure pipe) that is 3,100 linear feet. HDR also developed a hydraulic spreadsheet model of the lift station and force mains to verify system hydraulic sizing and operational requirements prior to final design. The project included final design and construction administration assistance, start-up and SCADA programming of the lift station. He has completed over 200 parcel transactions ranging from primary residences to national retailers, condominiums, HOA’s, schools and universities, mobile home parks, non-profits, land developers, and other public entities, acquiring for road, utility, sidewalks/paths, and development projects. Stahly designed 8 blocks of Stucky Road within SUD. Stahly is currently providing design services for the east-west Arnold Road extension within the SUD Block 3 project, which runs parallel to Stucky Road, directly south of it. This work has included extensive wetland permitting, coordination with regulatory agencies, and collaboration with local irrigation ditch companies to address existing irrigation infrastructure within the project area. Inspired by the Billings Rimrocks, the design incorporated locally sourced stone and granite boulders, low-maintenance planting, and carefully integrated hardscape elements that balanced aesthetics, safety, and long-term maintenance needs. She brings technical expertise, organization, and effective communication to the role. With previous success on similar projects for throughout Montana, she will direct our team’s resources in the production of high quality, well-coordinated deliverables. Lisa will leverage her 22 years of industry experience to mange this multi- discipline team. Similar to previously completed municipal projects, she will focus on early collaboration and streamlined decision making to work efficiently through the Pre-Design portion of the project and set the team up for success for final design and construction of this unique project, transitioning Stucky Rd from a rural to an urban street. The day-to-day management of the design team will be led by Riley Lubbers, HDR’s Highway and Roads Market Sector Lead. Riley’s responsibility will be to bridge the gap between the team, HDR and Bozeman leadership, and project execution. Riley will oversee the design process from concept to delivery and team coordination while providing assurance to the City of Bozeman that the final product meets the overall goals of the project, but more importantly the needs of the public that will utilize this roadway every day. Lisa and Riley will be supported by a proven team of design professionals that have a long history of working together delivering similar projects for clients around Montana. Our team will also be supported by subconsultants assisting with R/W, traffic counts, survey, geotechnical investigations, and landscape architecture. These subconsultants have been an integral part of many of HDR’s past successful roadway projects. Key Personnel Lisa Fischer, PE – Project Manager Located in Bozeman, Lisa is a transportation project manager and brings over 20 years of experience in the transportation industry spanning multiple clients on both urban and rural projects. Her expertise includes roadway design, maintenance of traffic, traffic design, and final design/PS&E preparation. Lisa’s multi-disciplinary approach provides economical solutions that accommodate all users and limit impacts to the surrounding environment and landowners. She understands the importance that public involvement plays, especially in the early stages of a project’s design, to determine key concerns that need to be addressed throughout project development. Serving as HDR’s Montana Transportation Manager, she manages our transportation resources within Montana and coordinates across HDR to deliver projects. Benefit to Bozeman: Lisa has lived in Bozeman for over a decade and will lead this project with a focus on collaboration, flexibility and safety. Qualifications Riley Lubbers, PE – Design Manager Riley has more than 12 years of experience delivering municipal roadway projects across Montana. He has guided transportation project development for communities including Missoula, Polson, Stevensville, and Whitefish, providing strategic direction and technical oversight for roadway reconstruction, intersection improvements, utility coordination, and construction administration. His expertise includes roadway and multi-use path geometrics, traffic signals, street lighting, and signing and striping design. Benefit to Bozeman: Riley brings a unique owner and consultant perspective, combining experience as a former MDT Construction Engineer and current manager of our construction inspection term contract with MDT, this experience provides practical insight into design, constructability, project delivery, and long-term infrastructure performance. Nick Pavia, PE - Road & Intersection Design Nick has over 17 years of experience working for clients across the country managing and delivering urban and rural roadway design projects. He provides our team with a Road and Intersection Design Lead that has a strong engineering and construction background. Nick’s expertise includes roadway and civil design, developing roadway geometrics for interchanges, urban and rural corridors, bicycle and pedestrian improvements, traffic control, signing and striping, utility coordination, PS&E preparation, and construction support. He has successfully written discretionary grants for clients across MDT for over $43.5M in the past 5 years. 09 City of Bozeman | Stucky Road Reconstruction Stucky Road is evolving from a rural roadway into a critical east-west collector corridor that will serve increasing residential, commercial, and regional travel demands across southwest Bozeman. The corridor must safely and efficiently accommodate motorists, pedestrians, bicyclists, adjacent landowners, and utility infrastructure while supporting the City’s long-term transportation objectives. Our approach is centered on establishing corridor-specific design criteria at the onset of the project through a collaborative process involving City staff, technical experts, and key stakeholders. We recognize that the success of this project is dependent on developing criteria that reflect the unique characteristics of the corridor while remaining consistent with the City of Bozeman’s transportation design standards, multimodal goals, and long-range vision. Pre-Design Phase The objective of our Pre-Design Phase will be to evaluate the functional role of Stucky Road, projected traffic demands, multimodal needs, access management considerations, safety performance, intersection operations, utility requirements, and R/W constraints to develop a clear design framework for the corridor. The resulting design memorandum will document agreed-upon geometric criteria, operating speed expectations, cross-section elements, multimodal facility requirements, and intersection design assumptions that will guide all subsequent engineering evaluations and alternative development efforts. This type of corridor planning, pre-design, and alternative analysis is a core strength of our team. We partner with our clients through the critical front-end planning phase where establishing project-specific criteria, evaluating alternatives, identifying fatal flaws, and building stakeholder consensus are essential to project success. By defining project goals, constraints and performance expectations before advancing alternative concepts, we create a reliable framework for comparing alternatives and clearly communicating benefits, tradeoffs, costs, and impacts to stakeholders and the public. This approach minimizes redesign, reduces project risk, and allows the team to focus on identifying the right improvement, in the right location, at the right time. Project Approach Data Collection Our team knows what information is needed and recognizes the importance of capturing key datasets early to avoid missing critical seasonal windows for data collection. Early collection of baseline information reduces project risk, identifies potential constraints before alternatives are developed, and provides key project decisions that are based on accurate and defensible information. This effort will include cadastral and R/W research, topographic, including mature trees, and boundary surveying, utility investigations and early coordination, environmental and wetland delineations, geotechnical exploration, hydraulic and drainage evaluations, traffic counts, speed studies, and safety performance reviews. We will also work closely with City staff, developers, and our teaming partners to understand adjacent development plans and anticipated buildout timelines so future traffic demands can be accurately incorporated into the analysis. By integrating these findings across disciplines early in the project, the team will develop a comprehensive understanding of existing conditions, future growth pressures, and corridor constraints before advancing alternative development. All Traffic Data, will collect traffic counts, turning movement counts, speed studies, and other traffic data to establish a reliable baseline of existing conditions and support development of future traffic forecasts. Proposed Key Design Criteria 10 City of Bozeman | Stucky Road Reconstruction Survey In order to properly identify construction limits and potential impacts, a solid understanding of existing conditions is needed. HDR will reach out to landowners upon NTP to begin working through property access agreements, landscaping, irrigation or other types of infrastructure along this segment of Stucky Road. By leveraging GIS, we can track property status, field notes, landowner comments, or other key information to share with the project team and keep tasks moving forward. Stahly will collaborate with the design team to determine critical survey needs to provide added efficiencies in our field work and preliminary design evaluation. Survey Proof As part of Stahly’s South University District project, the core project team had a collaborative approach to this multi-disciplinary project throughout design development by providing clear communication, consistent project knowledge, and solutions tailored to fit the goals of the project. Stahly was also able to mobilize quickly on the City’s Gooch Hill Lift Station project to provide survey data to the design and keep the project moving forward. Geotechnical As part of the data collection process, SK Geotechnical will complete standard penetration test borings along the existing roadway at 800 to 1000-foot intervals. Additional borings will be needed off the roadway surface to evaluate topsoil thicknesses in widening areas. Two boring will be completed as groundwater monitoring wells instrumented with data loggers to better capture groundwater levels and seasonal variation. The monitoring wells and data loggers will be installed early in the preliminary design to capture a full year of seasonal variation. Recommendations for utility installation, pavement subgrade preparation, culverts, and signals will then be provided along with a benefit cost analysis of preserving the existing road section. The use of high performance geosynthetics will be evaluated if soft, clay subgrades are anticipated. Based on nearby soil boring completed by SK Geotechnical, we anticipate the soil profile in future widened areas will consist of fairly deep topsoil overlying a thin clay layer and then gravel alluvium. Beneath the existing roadway, a buried topsoil layer may be present over the native clays. Shallow groundwater is likely present at a depth of about 5 feet. Appropriate dewatering will be needed for new utilities, removal of deep topsoil and constructing roadways over soft, wet, clay subgrades. Special considerations will be provided for stormwater infiltration facilities due to shallow groundwater conditions. Geotechnical Proof HDR and SK Geotechnical evaluated existing pavement conditions, subsurface soils, drainage features, and corridor constraints to develop context-sensitive roadway widening and reconstruction recommendations on the Whitefish Stage Road Improvements project. Our close integration between roadway and geotechnical disciplines allowed the team to develop a targeted subsurface investigation program focused specifically on groundwater characterization, culvert design, pavement design, and infiltration testing needs, avoiding unnecessary exploration while still obtaining the data required to support critical design decisions. This coordinated approach improved efficiency, reduced investigation costs, accelerated project development, and provided the design team with the information needed to evaluate corridor-specific solutions. The roadway widening recommendations balanced long-term performance, constructability, and life-cycle costs while adapting to changing corridor conditions rather than applying a one-size-fits-all solution. The success of this partnership demonstrated how early collaboration between disciplines can streamline project delivery, reduce risk, and provide owners with a more cost-effective and defensible design process. We will work with the City to finalize the public engagement plan for this specific project, taking into consideration lessons learned and success on past projects in the Bozeman area. HDR’s community engagement efforts will be led by Brittany Cremer, who has extensive experience delivering successful projects across the region, including the MDT N 19th Avenue - Bozeman, US-191/MT-64 Optimization Plan, and the Off-System Bridge Study and Implementation Plan. Britt will partner with Lisa Fischer, our local Project Manager, who will oversee design development and inform the public and stakeholders when key decision points are encountered and help lead engagement activities throughout design development to provide a transparent “you said, we did” feedback loop to show how input influences the design process. Lessons learned from the Engage Bozeman Community Engagement Initiative will guide refinements to our target audiences, messaging, and overall engagement approach. We propose a flexible approach combining online input opportunities, like self-guided virtual meetings with in-person feedback opportunities like onsite walk and talks and open houses. Combining online options with in-person connections provides opportunities to engage in dialog through various mediums and amplifies the likelihood for more diverse participation. Our Engagement Toolbox HDR can employ a range of creative and flexible engagement tools, including virtual and in-person events, interactive online tools, and digital comment options that allow residents to participate when and how it works best for them. Targeted outreach will allow traditionally underrepresented groups, such as low-income households, people with disabilities, minority populations, older adults, and housing-insecure residents, to participate in meaningful conversations. Outreach methods include building partnerships with trusted community organizations, generating accessible and plain language materials, crafting translation- ready content, and offering multiple low-barrier ways to provide input, such as pop-up events and focus groups. Stakeholder Work Groups Conducted to understand opportunities and challenges to multimodal transportation for students, local business owners, homeowner’s associations, employers, and mobility-challenged community members, such as older adults and people using mobility devices. These workgroups bring multiple perspectives to the table, which leads to improved technical quality; faster and better decision-making; stakeholder buy-in and transparency; and efficient information sharing. US-191/MT-64 Community Engagement 11 City of Bozeman | Stucky Road Reconstruction Engagement Flexibility & Adaptability In consideration of the impacts of potential community discourse or unforeseen conflicts in the community, we will remain agile with our engagement strategies to best respond to unexpected events. We have found that remaining flexible and developing multiple communication methods can provide options to people in these circumstances who may be hesitant to participate. As sentiment related to the project begins to develop—then shift— so will our communications and outreach strategy. Talking points, engagement touch points, and messaging will evolve along a parallel path. Progress & Transparency As part of the development of the Public Engagement Plan, we will leverage the Engage Bozeman platform to show areas of focus, communicate important project details and milestones, and gather public feedback. All public-facing materials and final deliverables will meet digital accessibility requirements. HDR is committed to ensuring materials and methodologies of distributing and displaying digital content and all information and communication technology (ICT) is accessible to everyone including individuals who utilize assistive technology. Our recommended outreach and engagement strategies and tactics provide the opportunity for active participation within the public involvement process from individuals with disabilities. Our Section 508 Digital Engagement Task Force is comprised of subject matter experts and document remediations that not only understand the requirements that surround Section 508 and WCAG 2.1 AA, AODA and ADA Standards for Effective Communication, but apply these practices throughout the lifecycle of document creation. HDR utilizes multiple tools to test for document compliance. Electronically, HDR utilizes the PDF Accessibility Checker (PAC) 2024, 2021 and 3, The Adobe Acrobat Accessibility Checker, and NVDA Screen Reader software to test for user experience. Stakeholder and public comments will be logged into a database viewable to the City at any time. Any points of escalation or friction will be raised with the City immediately with an emphasis on timely feedback responses to the public. Public Involvement updates will be provided during routine team project meetings with periodic Public Involvement progress reports provided at the City’s request. Traffic & Safety Analysis The traffic operations and safety analyses will guide intersection and corridor recommendations. HDR will utilize existing traffic counts, turning movement data, speed studies, crash history, applicable traffic impact studies and proposed land developments to develop future traffic forecasts that will establish design year traffic volumes. Potential intersection control types including roundabouts, traffic signals, all-way stop control, and other context-sensitive treatments such as a continuous green tee—will be evaluated to determine their ability to accommodate projected traffic demand and improve overall intersection performance. HDR will review the past five years of crash history along the corridor to identify trends, hot spots, and deficiencies that will be addressed by this project. Safety will be assessed concurrently with operations using Crash Modification Factors (CMFs) and industry-accepted safety performance methodologies. We will use HDR’s crash analysis tool to quantify the expected safety benefits associated with each intersection control-type by estimating changes in crash frequency and severity. HDR’s crash analysis tool reports crash data in a series of formatted tables and charts that can be incorporated into the alternatives analysis to document the safety analysis and expected crash modification rates, streamlining the report development. Concept Development One of the most critical aspects of an alternatives analysis is establishing the project footprint as early as possible and with a high degree of confidence. Decisions regarding R/W acquisition, utility coordination, environmental impacts, and project costs are all dependent upon a realistic understanding of the ultimate footprint of each alternative. Our team has extensive experience developing concept-level designs that accurately define the project limits early in the study process, allowing for comprehensive, reliable evaluation of alternatives. Our team has already started looking at corridor challenges and constraints and identified a few potential solutions for the intersection alternative analysis. The concepts on the following page demonstrate the level of detail required to support stakeholder decision making. Our team’s experience allows us to look for opportunities to maximize the use of existing R/W and reduce project impacts. Where some concepts may be straightforward with predictable impacts, roundabouts require a separate evaluation to identify the preferred location for the roundabout concept, especially on a corridor that accommodates large industrial or oversized agricultural vehicles. HDR’s in-house roundabout design tool is used to evaluate speeds, speed differentials and sight distance requirements, validating the roundabout geometry as the concept is developed. Our approach to concept development reduces uncertainty, improves cost estimating, supports stakeholder discussions, and minimizes the likelihood of significant changes during subsequent project phases. Traffic Analysis & Concept Development Proof As part of the Whitefish Stage Road project, the south 2.5-mile section of the corridor has experienced increased urban development and growth, requiring a different approach than the typical secondary roads project for MDT. Through collaboration and coordination with adjacent developments, Flathead County, MDT and other key stakeholders, HDR has determined a roadway typical section, stormwater facilities, and access control that will help accommodate future expansion in the area and maintaining a focus on safety through concept design and alternative analysis. Traffic/Safety Analysis & Concept Development Identifying the footprint of proposed improvements along Stucky Road is critical to meeting the project schedule. To accelerate the concept designs, HDR will apply the design criteria and begin conceptualizing improvements while completing the existing and future traffic analysis. Stucky Road & Fowler Avenue Intersection HDR’s In-House Roundabout Design Tool 12 R/W Evaluation The Stucky Road corridor presents several Right-of-Way (R/W) challenges that will be identified and addressed early in design to avoid unnecessary property impacts, reduce acquisition risk, and keep the project moving on schedule. Based on our initial review of the corridor, the project includes a mix of ownerships including private rural properties, LLC-owned commercial properties, open space parcels, church property, and property owned by Montana State University (MSU). Several parcels remain within Gallatin County jurisdiction while others are located within the City of Bozeman, requiring coordination with multiple agencies. In addition, several irrigation ditch crossings will require early coordination with the affected ditch companies to identify permit requirements and crossing details. Adjacent development activity and proposed subdivisions will also be evaluated to determine whether proposed public R/W dedications can satisfy portions of the corridor width, reducing acquisition costs and impacts. Clear Route believes the most effective R/W acquisition begins well before final design. During the Pre-Design Phase, we would work closely with the design team to evaluate ownership needs, anticipated private property impacts, irrigation facilities, and development plan constraints while the roadway layout remains flexible. Early involvement gives the design team an opportunity to adjust the alignment before property impacts become difficult or expensive to avoid. We will provide parcel-by-parcel acquisition feasibility reviews, recommend alignment refinements that reduce property impacts while maintaining project objectives, identify opportunities for R/W dedications, coordinate with MSU on specific needs, work with AGAI (The Association of Gallatin Agricultural Irrigators) and local irrigators on needs, and advise the design team on features that may unnecessarily complicate negotiations. Environmental A review of existing information identified several potential emergent wetland areas located adjacent to and paralleling the roadway. Some wetlands appear associated with roadside ditches, and some are associated with intermittent streams, including Baxter Creek, that flow through the project area. The aquatic resources will need to be field verified through a detailed wetland and stream delineation. HDR environmental staff will complete the delineations in accordance with U.S. Army Corps of Engineers (USACE) procedures to support the environmental permitting effort for the project. An important aspect to this effort is providing a preliminary jurisdictional determination of the wetlands potentially impacted by the project because some wetlands may not meet the criteria for USACE jurisdiction as a “waters of the U.S.” per recent regulatory changes. The results of the aquatic resource delineation will be mapped and submitted to the USACE if required for permitting. The aquatic resource information will be brought into our design files to identify potential impacts from the project and implement avoidance and minimization measures into the design. Our field investigation will also include documentation of other sensitive or protected resources that should be considered and avoided during the Pre-Design Phase. If a federal nexus is triggered due to requiring a Section 404 permit, there is a possibility the USACE will require a cultural resources survey for any newly acquired R/W to comply with Section 106 of the National Historic Preservation Act or potentially an evaluation of threatened or endangered species to comply with the Endangered Species Act. HDR has substantial experience in completing these evaluations to comply with federal regulations. Our approach will include holding a pre-application meeting with the USACE to introduce the project and determine the agency requirements well in advance of the permitting phase as to avoid impacts to the schedule. Environmental Proof HDR successfully applied this approach on the City of Billings Monad Road Improvements project and the City of Missoula Downtown Safety, Access, and Mobility Project, where environmental constraints, drainage features, permitting requirements, and urban infrastructure considerations required close coordination between environmental, roadway, utility, and stakeholder teams. On both projects, HDR completed early environmental investigations and resource assessments to identify potential permitting requirements, evaluate project impacts, and guide alternatives development before design decisions were finalized. By incorporating environmental constraints directly into the design process, the team was able to implement avoidance and minimization measures early, reducing project risk, improving permitting predictability, and maintaining project schedules. These projects also demonstrate HDR’s ability to navigate complex regulatory environments through proactive coordination with federal, state, and local resource agencies. Our environmental specialists worked closely with project managers and designers to identify permitting pathways, establish critical impact thresholds, and develop practical solutions that balanced infrastructure needs with environmental stewardship. This collaborative approach allowed environmental considerations to become a design tool rather than a project constraint, helping agencies make informed decisions, avoid unnecessary mitigation costs, and advance projects. HDR has significant experience working with the USACE, DEQ, MTFWP, and local Conservation Districts. We routinely assist MDT and other municipalities in this capacity. We can monitor and report on wetland and vegetation restoration post- construction and are also a term consultant with the City to perform third-party environmental permit reviews on development projects. 13 City of Bozeman | Stucky Road Reconstruction Typical Section Once the design criteria and existing conditions framework have been established, our team will focus on developing a corridor typical section that balances the operational needs of an urban collector with the physical realities of the corridor between Fowler Avenue and South 19th Avenue. Available right-of-way, adjacent development, utility infrastructure, drainage features, environmental constraints, and multimodal objectives will all influence how the roadway ultimately fits within the existing context. Rather than applying a uniform section throughout the corridor, we will evaluate how design speed, lane widths, separated bicycle and pedestrian facilities, boulevard/buffer space, drainage infrastructure, and access management can work together to create a functional and context- sensitive roadway that supports the City’s long-term transportation vision while minimizing impacts to adjacent properties and existing infrastructure. Our team will evaluate the typical section and incorporate complete street features to the extent feasible based on coordinating with the City of Bozeman and the City’s complete street policy. Strategic alignment refinements will be considered where they can reduce right-of-way acquisition, avoid utility conflicts, preserve existing features, improve sight distance, and enhance overall corridor safety. The resulting typical section will provide the foundation for evaluating corridor alternatives and ensuring that future intersection improvements, turn lane needs, access control strategies, and multimodal accommodations are developed within a cohesive and technically defensible corridor vision. Stormwater & Irrigation Alternative Analysis The proposed project has numerous drainage and irrigation challenges that are enhanced by the developing urban-rural interface along Stucky Road. The existing and proposed development along the project corridor will need to be taken into consideration as part of the project drainage design as well as perpetuating the existing irrigation facilities located both parallel and perpendicular to Stucky Road, high local groundwater that may impact stormwater management facility design, and the need to manage increased and channelized stormwater runoff resulting from the project. This includes both stormwater water quantity (peak flow attenuation) and quality (stormwater treatment) mitigation considerations to match or improved pre-development levels and meet MS4 permit requirements. Step 1 Understanding key challenges on an individual basis to better identify risks, constraints, and opportunities. A desktop review of available information will be completed along with field reviews and investigations, including soil and groundwater geotechnical investigations, and communication with key stakeholders such as the Middle Creek Ditch Company, adjacent landowners, and Gallatin County, MDT and developers. This information will be utilized to develop design criteria, constraints, and assumptions for drainage and irrigation design for the project. Potential drainage and irrigation design opportunities will also be evaluated which could include leveraging existing irrigation facilities for managing stormwater runoff, consideration of regional stormwater management facilities and the use of adjacent wetland areas to provide stormwater water quality mitigation. Step 2 Conceptual drainage and irrigation design development in conjunction with roadway design alternatives for alternative analysis and evaluation. Compile existing hydrologic and hydraulic analysis of the project corridor including analyzing different rainfall storm events to help evaluate and inform risk. As part of this effort, it’s recommended that the use of current NOAA Atlas 14 rainfall data be considered in addition to the rainfall data identified in the City of Bozeman Design and Construction Standards. NOAA Atlas identifies 24-hour precipitation depths approximately 20 and 30% higher than current City of Bozeman Design and Construction Standards for the 10- and 100-year storm events, and 5-minute precipitation intensities approximately 20% and 30% higher for the 10- and 100-year storm events, respectively. Conceptual drainage and irrigation designs will be developed to a level of detail consistent with the road design to help identify potential fatal flaws and to compile preliminary construction cost estimates and alternative analysis evaluations. Step 3 Select the preferred alternative through a collaborative process with the City to inform the 30% design. The drainage design may incorporate an open and/ or closed drainage system(s) and stormwater management facilities designed to provide required stormwater water quality and quantity mitigation. A key focus of the proposed drainage design will be to solicit input from the City to develop a design that adequately meets the current and future needs and considers operation and maintenance requirements as well as aesthetics. Soliciting input from existing development and landowners is also recommended but will be evaluated at the City’s discretion. A Stormwater Drainage Plan Report will be developed to document the drainage design, including all design criteria and assumptions, in accordance with City of Bozeman Design and Construction Standards. This is a critical document that will be referenced for future design development. This conceptual streetscape approach could preserve existing mature trees while creating a landscaped boulevard that strengthens the connection to Bozeman’s natural landscape. Sight distance and other safety considerations will need to be vetted when evaluating landscaping options. Water-wise planting strategies could further support a resilient, sustainable corridor. Stahly has extensive experience integrating irrigation infrastructure into transportation and development projects through coordination with ditch companies, landowners, and municipal partners. For projects near Stucky Road, our team has worked with the Middle Creek Ditch Company, City of Bozeman, and adjacent property owners to evaluate impacts, develop relocation strategies, and maintain irrigation operations. Stahly has already completed a conceptual design of over half of the section of Stucky that is being studied—coordinating detention ponds within proposed parks of the adjacent subdivision. Our experience includes piping irrigation laterals, relocating ditches outside City right-of-way, and improving headgates for efficiency. Stahly’s approach emphasizes proactive communication, collaboration, and practical solutions. Aaker Subdivision Master Plan 14 City of Bozeman | Stucky Road Reconstruction Stormwater & Irrigation Proof The Mullowney Lane Reconstruction project in Billings lacked an established outfall to use for a new storm drain system designed for the corridor. HDR coordinated with the local irrigation district and developed a design that integrated existing irrigation facilities for managing stormwater runoff from the project. The design included a new irrigation wasteway structure to offload additional stormwater runoff and route it to an existing stormwater outfall. This innovative design significantly decreased the required new stormwater as well as new outfall permitting requirements. Similarly, the South Avenue project in Missoula entailed roadway reconstruction which included the addition of a shared use path and new curb and gutter that ran parallel to existing irrigation facilities. The proposed design was developed to avoid impacts to existing irrigation facilities to the extent practicable. Irrigation facility relocation was also incorporated within the project limits. Significant up-front coordination with the local irrigation district and field reviews were required as part of this design effort. The MDT West of Missoula – NW and Lockwood Interchange - Billings projects both include drainage designs that are being developed adjacent to significant existing irrigation facilities. Where impacts are unavoidable, irrigation designs are being perpetuated to maintain irrigation operations. Finally, the Mullan BUILD project in Missoula included a creative design that managed stormwater locally due to the lack of existing outfalls. The design also provided stormwater water quality mitigation (stormwater treatment) and managed the 100-year storm event without flooding. The HDR team will leverage this experience to efficiently develop drainage and irrigation designs that effectively meet the current and future needs of the project and the City of Bozeman. Alternative Development & Evaluation Building upon the established design criteria, existing conditions data, and corridor typical sections, HDR will advance into a structured alternatives development and evaluation process focused on identifying a balanced and implementable corridor solution. Consistent with the US-191/MT-64 Feasibility Study, Whitefish Rail Corridor Crossing Study, and other Intersection Control Evaluations (ICE), alternatives will be developed and evaluated using a transparent, data-driven decision-making framework that incorporates engineering requirements, stakeholder values, implementation considerations, and long-term corridor objectives. Rather than evaluating alternatives solely on their ability to fit within the corridor, our team will assess how each option performs relative to corridor mobility, safety, multimodal connectivity, constructability, environmental impacts, utility conflicts, right-of-way requirements, and overall value to the City. The goal is to identify the solution that provides the greatest long-term benefit while balancing cost, impacts, and community expectations. A weighted evaluation matrix will be developed in collaboration with City staff and key stakeholders to measure alternatives against criteria that reflect the project’s goals and priorities. The matrix will serve as a consistent framework for comparing corridor alignments, typical sections, intersection concepts, and multimodal facility configurations. Evaluation criteria will consider factors such as transportation operations, safety performance, multimodal accessibility, consistency with City plans, environmental and wetland impacts, utility relocations, right-of-way acquisition and property impacts, construction complexity, lifecycle costs, and future expandability to provide a transparent and defensible basis for recommending a preferred alternative. Each alternative will be supported by planning-level cost estimates and right-of-way impact assessments to understand both initial investment requirements and long-term implementation feasibility. Working closely with right-of-way specialists, the team will identify property acquisition needs, access impacts, easement requirements, and opportunities to minimize impacts through design refinements. These findings will be compared alongside anticipated utility relocation costs, environmental mitigation requirements, and construction costs to provide the City with a clear understanding of the tradeoffs associated with each alternative. This includes identifying opportunities for phased construction, temporary alignments, utility relocation sequencing, and traffic management strategies ranging from single- lane operations and flagging to localized closures or detours where warranted. Understanding how each alternative can be constructed is particularly important on a corridor that serves growing residential neighborhoods and regional traffic demands. By evaluating construction impacts alongside operational benefits, the project team can identify alternatives that not only perform well in the long term but can also be delivered efficiently with manageable impacts to the traveling public. The final step of the alternative’s evaluation process will focus on implementation planning. Recognizing that corridor needs often exceed available funding, HDR will evaluate opportunities to phase improvements and package projects in a manner that maximizes benefit while maintaining flexibility for future expansion. Potential local, state, federal, and development-related funding sources will be identified and matched with project elements based on eligibility and competitiveness. The team will consider both corridor-wide solutions and targeted improvements that may provide significant operational or safety benefits while positioning the City for future grant opportunities. The result will be a prioritized and defensible set of corridor recommendations, supported by a clear understanding of costs, impacts, constructability, and funding pathways, providing the City with a practical roadmap for implementation over the coming years. Alternative Development Proof HDR recently applied this same Context Sensitive Solutions (CSS) and data-driven evaluation framework during the US 191/MT 64 Optimization Plan in the Big Sky area, where numerous corridor and intersection improvement concepts were screened and prioritized using a collaborative process that balanced traffic operations, safety, multimodal considerations, environmental constraints, stakeholder priorities, funding realities, and implementation feasibility. Through a structured evaluation process involving MDT, local agencies, property owners, community stakeholders, and the public, HDR helped establish consensus around a prioritized set of corridor improvements and implementation strategies, demonstrating our ability to transform complex transportation challenges into practical, defensible, and fundable recommendations. Design Phase With a preferred alternative identified and a clear understanding of corridor needs established during Pre-Design, HDR will transition the project into final design by refining the recommended improvements into a practical, fundable, and constructible solution. The collaborative decision-making process used during alternative development will carry forward into design as we continue working alongside City staff, stakeholders, utility providers, adjacent landowners, and the public to advance the project toward implementation. Throughout this phase, we will focus on maintaining project momentum, resolving remaining corridor constraints, and balancing transportation, utility, right- of-way, and community priorities while preserving the vision established during Pre-Design. As design progresses, our team will evaluate implementation strategies, construction sequencing, funding opportunities, and project phasing considerations to help the City maximize available resources and position the corridor for successful construction. The result will be a set of well-coordinated, construction-ready documents supported by proactive stakeholder coordination, thoughtful risk management, and a clear path toward project delivery. Funding Plan Assistance As the preferred alternative advances into final design, HDR will work with the City to evaluate funding opportunities, project phasing, and implementation strategies that align with available resources and long-term corridor needs. Building on the cost estimates and phasing concepts developed during Pre-Design, we will help identify practical pathways for advancing improvements while maintaining the overall corridor vision. Potential funding mechanisms may include proportional-share agreements, cash-in-lieu contributions, payback districts, special improvement districts, developer participation, and grant funding opportunities. Drawing on our experience with municipal infrastructure programs across Montana, we will work collaboratively with the City to identify eligible improvements, quantify cost participation, and develop a sustainable funding approach for roadway, multimodal, utility, and drainage infrastructure. Tim Erickson and Spencer Dodge will also assist in evaluating potential state and federal funding opportunities. The outcome will be a realistic implementation roadmap that supports phased construction and positions the project to advance efficiently into final design and development of construction-ready plans, specifications, and estimates. Public Engagement We will build on the momentum and relationships generated during the Pre-Design Phase effort and will continue to coordinate with key stakeholders and keep the public informed of the design progress. Effectively communicating the alternative analysis process and how the preferred alternative was selected will be key to aid in building public awareness and education of the project. Our team will compile an analysis of this feedback following Pre-Design to help inform the design phase. If public preferences and recommendations cannot be folded into final design plans, our team will proactively and effectively explain to interested parties and stakeholders why that is the case. Providing a consistent approach from Pre-Design through construction will help define expectations, build consensus among stakeholder groups, and build trust between the public and project team. Design Phase Continue design development of preferred alternative and progress the design from concept-level to final design. Continue public outreach and utility coordination to get input of key design features from the public and key stakeholders. Determine project splits and construction schedule. Task 12: Public Involvement “What we heard/What we did” Report * HDR has also implemented a collaborative 30%, 70% & Final PS&E project delivery schedule for our municipal clients to help streamline design development and the public outreach process. Engagement Activities Open house meeting and/or walking tour, online meetings, pop-ups or other outreach events, City Commission presentation. 19th Avenue Intersection Improvements Intersection improvements at the 19th Avenue intersection will be included as part of the alternative analysis. Traffic operations continues to be a concern at this intersection as traffic on Stucky Road continues to grow due to traffic pattern changes and new developments. Adding a southbound through lane is one opportunity to improve operations but other safety enhancements will also be evaluated while also taking into consideration pedestrian crossing distances, sight distance, driver expectations and other bike/ped connections near MSU, the adjacent church and other destinations in the area. Providing updates to MDT and other key stakeholders throughout the design process will also be part of the public outreach efforts to keep our parters informed of potential improvements and overall project status. 16 City of Bozeman | Stucky Road Reconstruction Utility Coordination As part of the design phase, we will identify potential conflicts, pothole necessary utilities and coordinate with utility owners for any relocations needed. Our team brings a unique advantage through longstanding relationships and trusted partnerships with utility providers across Montana. We provide key team members that have worked both for and alongside Northwestern Energy and other major utility owners, providing firsthand knowledge of utility processes, design standards, scheduling constraints, and relocation requirements. This experience allows us to engage utilities early, establish realistic relocation strategies, develop accurate utility relocation cost estimates, and build rapport with decision-makers before critical project milestones are reached. Rather than reacting to conflicts as they emerge, we proactively facilitate discussions, identify mutually beneficial solutions, and create achievable relocation schedules that support overall project delivery. During the design we will continue to use the Utility Coordination Matrix as a living resource to monitor relocation progress and resolve unforeseen conflicts quickly. Through early engagement, transparent communication, and proven utility coordination expertise, we will help streamline the utility relocation process, reduce project risk, and keep the Stucky Road corridor improvements moving efficiently from design through construction completion. R/W Acquisition Following development of the preferred design, Clear Route will prepare detailed acquisition agreement packages and coordinate all appraisal activities in accordance with applicable local and state requirements. Independent appraisals will likely be required for the more complex acquisitions, while waiver valuations may be appropriate for uncomplicated acquisitions. Particular attention will be given to specialty ownerships, including MSU property, which will require coordination with MSU Office of Facilities Services staff and approval by the Montana Board of Regents before conveyance of property interests can occur. Acquisition of church- owned property will likewise require coordination with church leadership and leadership bodies to provide adequate review and authorization. Throughout the acquisition process, Clear Route will keep the City, design team, and property owners informed as negotiations progress. If issues arise that could affect the project, we’ll identify them early so the team can evaluate alternatives before they become schedule or cost impacts. Our goal is to complete acquisitions through voluntary agreements whenever possible while providing the documentation and support necessary should additional acquisition measures become necessary. Water Main Reconstruction of Stucky Road, from Fowler Avenue to S 19th Avenue, provides the City with an ideal time and opportunity to enhance the City’s water distribution system by extending and looping the 24-inch water main that currently exists along 19th Avenue as well as the smaller distribution water mains just north of West Graf Street. The water main extension, currently proposed to be a 16-inch diameter pipe, will further enhance supply for existing demands, improve system reliability, as well as meet future system demands which will help support planned development within this area. The water main extension is anticipated to begin at the existing 24-inch x 8-inch tee located at the intersection of 19th Avenue and Stucky Road and extend west towards Fowler Avenue. As the roadway’s pre-design and subsequent design alternatives begin to take shape, the design and installation of the water main across this busy intersection will be weaved into any intersection improvements that may be required. However, if no significant intersection improvements are required, the water main can very easily, and with little disturbance to through traffic, be jack and bored underneath 19th Avenue, and the existing tee replaced with a 24-inch x 16-inch x 8-inch cross. As the water main extension expands west, it will be designed and constructed within the City’s R/W to allow for ease of future maintenance. The alignment of the new 16-inch ductile iron water main will be have a polyethylene encasement, unless it is determined that non- corrosive soils exist along the proposed alignment, and designed in accordance with Montana DEQ requirements and City of Bozeman Design and Construction Standards, including horizontal and vertical separation requirements from the existing gravity sewer and other existing utilities, dry or wet, while keeping the location of future utilities in mind from a planning standpoint. Dependent upon the roadway width, the new water main extension will be set back from the R/W lines accordingly and will be installed at a minimum depth of 6 ½’ below final roadway grade. During the water main design, HDR will verify the actual proposed diameter based on the ability to meet Maximum Day Demand (MDD) plus Fire Flow and Peak Hour Demand (PHD) while keeping the working residual pressure above 20 psi under MDD and above 50 psi under PHD. The water main extension will include connections to the Genesis Business Park providing looping for existing water mains that currently serve that area, and new connections to the south along South 27th Avenue (to Bennett Blvd.) and to the south for South 31st Avenue. Water main valves and fittings will be placed to provide adequate isolation, where necessary, and hydrants will be located in areas not to exceed 300-350 feet, but also in key areas to allow for flushing to create high-velocity flows to scour accumulated mineral deposits, sediment, and to maintain the City’s drinking water-quality standard where demand may remain low until development begins. Contingent upon the phasing and roadway reconstruction approach, it is anticipated the water main extension will be installed via open cut excavation concurrent with the roadway work to minimize the disturbance to traffic and the surrounding neighborhoods. Final Design As part of the Final Design phase of the project, HDR will integrate constructability reviews and finalize maintenance of traffic (MOT) for the project. This will also include determining project phasing, if needed, to break out the design packages for bidding based on the City’s current available funding, R/W acquisition status, and any remaining annexation for utility tie-ins. Temporary project connections, or tie-ins will be designed to accommodate interim conditions due to project splits. The following sections help outline the development of these final deliverables. Landscaping/Mature Trees Land Design, Inc. (LDI) will support the design process by incorporating findings from the Pre-Design Phase into landscape architecture and tree preservation strategies that align with project goals and community priorities. LDI will coordinate with HDR, the City, and project stakeholders to develop landscape solutions that preserve existing site character, incorporate climate-adapted planting strategies, and support efficient use of water resources. Through thoughtful plant selection, irrigation considerations, and sustainable landscape practices, LDI will help create functional, maintainable improvements that support the City’s long-term water conservation goals. LDI’s experience with public projects throughout Montana will help the team balance community character, resource stewardship, constructability, and long-term project needs as improvements move forward. Shiloh Road Roundabout Improvements - City of Billings 17 City of Bozeman | Stucky Road Reconstruction Geometrics Once the preferred alternative is selected, HDR will transition the corridor from a planning-level concept into a detailed, construction-ready design. The design criteria established during Pre-Design will provide the framework for refining the roadway, multimodal facilities, intersection improvements, drainage systems, utilities, signing, striping, lighting and electrical, and other corridor enhancements into an integrated solution that balances safety, operations, constructability, and community priorities. During the 30% design phase, the team will focus on translating the preferred concept into a cohesive corridor layout by refining roadway geometry, intersection concepts, multimodal accommodations, and preliminary drainage and utility improvements. Findings from the traffic analysis and ICE will be incorporated to confirm operational needs and establish the geometric foundation of the project. This milestone will also provide an opportunity to validate assumptions developed during the Pre-Design Phase and confirm that the proposed improvements continue to align with project goals, stakeholder input, and corridor constraints. As the project advances to 60% design, the focus will shift toward optimization and coordination. Horizontal and vertical alignments, grading, intersection details, and shared use path design will be further refined while utility conflicts, right-of-way requirements, drainage infrastructure, and irrigation facilities are more fully integrated into the design. Ongoing coordination with utility providers, adjacent property owners, and stakeholders will help resolve conflicts early and support development of a practical construction approach. Throughout this process, HDR will look for opportunities to minimize impacts to adjacent properties, accommodate existing corridor features, and address site-specific considerations such as the MSU property and anticipated development activity. As final design is completed, the corridor will be refined into a fully coordinated set of plans, specifications, and estimates. Geometric elements will be developed in close coordination with drainage, utility, and right-of-way improvements to provide a final design that functions as a complete and constructible system. Construction Phasing Recognizing that project funding, right-of-way acquisition, utility relocations, and adjacent development schedules may influence implementation, HDR will evaluate opportunities to phase construction while preserving the long-term corridor vision established during the Pre-Design Phase. Phasing concepts will be developed in coordination with the City and will consider logical construction limits, utility dependencies, traffic impacts, and available funding sources. Temporary connections and tie-ins will be incorporated where necessary to maintain functionality between construction phases and support future corridor expansion. While initial review suggests portions of the corridor may accommodate phased implementation, limited alternate routes and right-of-way constraints will require careful consideration of how individual phases are packaged and constructed. The result will be a practical implementation strategy that maintains project momentum, maximizes available resources, and provides a clear path toward full corridor buildout. Landowner, R/W, & Utility Coordination Once the detailed design is progressed during final design, any additional coordination with landowners, stakeholders, and the utilities will be completed. R/W negotiations can be continued and ideally will be completed and any areas that required avoidance will be incorporated into the design. Construction Phase As final design progresses, HDR will work closely with the City to develop a construction approach that balances contractor efficiency, public mobility, and project funding objectives. Because Stucky Road serves growing residential neighborhoods, agricultural users, Montana State University traffic, and regional east-west travel demands, maintaining safe and reliable access throughout construction will be a key consideration during design development. HDR is designing the reconstruction of a 5.1-mile section of a rural collector northwest of Missoula. The project includes environmental studies and documentation, public involvement, bridge and roadway design, traffic analysis/ design, a shared-use path, irrigation facility relocation, hydraulic design, floodplain analysis, preparation of R/W plans, and preparation of environmental permits. This project is currently at 90% design. Lisa has helped navigate MDT’s environmental and public involvement process for the project along with roadway, trail and traffic design to provide safety enhancements for the community. As part of this project, Lisa led the design development, which included typical section alternative analysis, extensive slope stabilization along the east side of the highway, new retaining walls along the west side of the highway, new soil nail walls, preparation of environmental documents and permits, drainage improvements, crash analysis, wildlife accommodations analysis and recommendations, roadside barrier replacement, R/W design and acquisition services. MDT, Havre - Northwest Project Manager. HDR led the design and right-of-way acquisition for this roadway reconstruction project near Havre from RP 0.75 (urban limits) to RP 10. The project is currently under construction and will improve the roadway geometrics, pavement condition, drainage and safety. As project manager, Lisa provided technical oversight for the project, public outreach and stakeholder coordination, as well as landowner coordination during acquisition services. Missoula Redevelopment Agency, Front Street/Main Street Two-Way Conversion and Kiwanis Neighborhood Access and Circulation Design Roadway & Traffic Design. HDR provided engineering, design, land use planning, and public information gathering and communication services resulting in final design drawings for conversion of Front and Main Street in Missoula to two-way streets and provided improved access and circulation in the Kiwanis neighborhood. Design was based on HDR’s 2015 Front Street/Main Street Feasibility Study’s preferred alternative. An elevated intersection with pedestrian crossings was designed to minimize pedestrian safety concerns at the 6th Street/Pine Ave intersection due to the location of two schools. The project also included new curb and gutter, drainage improvements, utility upgrades, pavement reconstruction, luminaires, an 8-foot multi-use path and signing and striping. To correct this, a center turn lane was added with single north and southbound lanes, except at two intersections where additional turn lanes were introduced. New curb and gutter with sidewalks and a shared multi-use-path were constructed along with a storm drain system where none existed previously. The storm drain design saved on costs by utilizing an existing irrigation system. Traffic calming islands were put in place to reduce speeding and new lighting was added throughout the corridor. Intersection alternative analysis resulted in the design of two new multi-lane roundabouts to improve safety and mobility of the corridor. Pedestrian facility improvements included the design of a new multi-use path adjacent to Grand Avenue, as well as ADA upgrades at intersections, driveways and designated pedestrian crossings. In addition, street lighting, and pedestrian signals were upgraded throughout the project corridor. Brad supported the intersection alternative analysis process and led the roundabout geometrics design for the project. MDT, MT 3 - Zimmerman Trail Intersection Improvements Roundabout Geometrics & Design Lead. HDR provided preliminary engineering and final design for a roundabout at the MT 3/Zimmerman Trail Intersection. The project addressed operational deficiencies and improved the intersection by reducing high severity accidents and improving the overall safety of the intersection. ADA upgrades and pedestrian crossings were included for the roundabout. New intersection street lighting was designed and upgraded to meet both vehicular and pedestrian standards. Thurston County, Marvin Road/Union Mills Road Corridor Study Project Manager and Roundabout Geometrics & Design. HDR developed alternatives with varying degrees of complex geometry, including continuous-flow green T-intersection designs and hybrid modern roundabout configurations to address the unbalanced flows on Marvin Road and minor cross streets. After the analysis, HDR provided design of a roundabout that increases multimodal safety and capacity, as well as safe pedestrian accessibility by providing a shared-use path and access to schools in the neighborhood. Brad led the corridor analysis that determined intersection alternatives for Union Mills Road, 15th Street, and 19th Street. The analysis identified how feasible alternatives would tie into the existing roundabout at Pacific Avenue to the north and evaluated how operations of each alternative could be coordinated with railroad operations. This area is anticipated to have significant growth over the next 20 years. Roundabouts at 29th Street and 50th Street were designed to accommodate future widening of the corridor. The alternative solutions were analyzed with Synchro to determine fatal flaws with future volumes, and further analyzed with VISSIM to develop micro-simulation models and visualizations to determine the preferred alternative. During the OT phase, our team performed initial project analysis including roadway geometrics, hydraulics, bridge design, right-of-way, utilities survey, and engineering survey to develop the preferred project alternative of interstate widening along I-90, roadway reconstruction along I-90 and US 87, a new diverging diamond interchange, in addition to initial development of the chosen roundabout alternative for the Coburn Road intersection. HDR provided design and construction services for the complete street reconstruction of five urban blocks of 6th Street near downtown Whitefish, as well as 500 feet of sidewalk reconstruction along Pine Ave. The project included a detailed public involvement campaign to select the preferred typical section and prepare adjacent landowners for potential construction impacts during peak tourist season. An elevated intersection with elevated pedestrian crossings was designed to minimize pedestrian safety concerns at the 6th Street/Pine Ave intersection due to the location of two adjacent schools. The project also included new curb and gutter, drainage improvements, utility upgrades, pavement reconstruction, luminaires, an 8-foot multi-use path and signing and striping. Staff reviewed depth and alignment of the sewer force main route with respect to other utilities and surface features, and developed recommendations for proposed installation method at the intersection of Davis Lane and East Valley Center Road. Staff developed a hydraulic system model of the proposed lift station and force main(s) to verify system hydraulic sizing and operational requirements. Jarrett led the preliminary, detailed, and final design, including the hydraulic analysis and all process and pressure pipe design. City of Bozeman, Davis Lane Lift Station & Norton East Ranch Outfall Sewer Project Engineer. HDR designed the Davis Lane lift station, force main, interstate crossing, and Norton East Ranch Sewer Outfall from a preliminary engineering report through final design and construction. The lift station is a custom-built, self-cleaning type wet-well with three submersible non-clog pumps operated from variable frequency drives; the standby generator will be a separate structure. The lift station flows range up to 15 MGD. The project includes a microtunnel crossing design for the water and sewer, as the route crosses both an interstate and a railroad. The water main will provide a looped connection to accommodate an adjacent development. The sewer design will accommodate existing sewer connections and varying sewer pipe depths to provide the required connection for the Billings Clinic and the new high school. HDR also developed a hydraulic spreadsheet model of the lift station and dual force mains to verify system hydraulic sizing and operational requirements prior to final design. The project included final design and construction administration assistance, start-up and SCADA programming of the lift station. Jarrett provided oversight for HDR’s Construction Services throughout construction. The review included evaluation of the past design reports developed for the Norton Ranch Lift Station and comparison of the report to Montana Department of Environmental Quality Circular DEQ 2-Design Standards for Public Sewage Systems. HDR also reviewed calculated peak sewer flows and the Water CADD model and results. Jarrett led the hydraulic analysis and design report, that led into a preliminary design package. City of Bozeman, Lyman Transmission CAP Project Manager. HDR performed an aboveground assessment, condition assessment, and predesign report for the Lyman Transmission Main. Following the assessment, HDR developed a preliminary design report that compiled the condition assessment analysis, evaluation of soil assessments, incorporation of high frequency pressure monitoring data, pipe wall thickness data from test pitting, identification of pipeline sections that are in poor condition, and serviceability for each transmission main. The report included repair, rehabilitation, or replacement recommendations for each transmission main and categorize those recommendations into specific projects, which will include opinions of probable design and construction cost. The report also included a list of permitting and regulatory requirements, applicable constructability requirements and/or limitations, and will also incorporate applicable pipeline management strategies. HDR provided design and construction administration for the Mullowney Lane reconstruction project from Midland Road to Elysian Road. Lane widths and counts were inconsistent throughout the corridor. To correct this, a center turn lane was added with single north and southbound lanes, except at two intersections where additional turn lanes were introduced. New curb and gutter with sidewalks and a shared multi-use-path were constructed along with a storm drain system where none existed previously. The storm drain design saved on costs by utilizing an existing irrigation system. Traffic calming islands were put in place to reduce speeding and new lighting was added throughout the corridor. A new signalized intersection with right turn slip-lane was installed at the Mullowney and Elysian intersection. Teich provided a roadway lighting analysis and layout, electrical and traffic signal design for the corridor. City of Billings, Monad Road - Daniel Street to Moore Lane Electrical & Lighting Design. HDR provided CEI services for Beaver Creek at Saco Bridge project. Given the bridge is within an approximate zoned floodplain, design considerations utilized MDT’s Guidelines as well as those of the federal, state, and local floodplain regulations. The technical analysis included developing and calculating hydrologic characteristics for regression along with independent stream gage analyses of local stream gages; reviewing historical photos and forensic evidence with the results of a calibrated hydraulic model to assist in deciphering numerous split flows within and outside of the analyzed stream reach; provide multiple bridge alternatives to accommodate flood flows while not impacting local infrastructure or increasing the risk to surrounding properties; provide a comprehensive scour and scour mitigation analysis for each alternative; in addition to submitting a report and Bridge Recommendation Memo outlining procedures, results, as well as the recommended bridge alternative to be constructed. Brandon managed the CEI services for this bridge improvement project. Big Sky Resort, Electrical Upgrades Project Manager. Big Sky Resort requested HDR assist with the needed electrical upgrades required for the rebuild of the Swift Current ski lift, new Tram, and Gondola. This included re-designing and upgrading the current electrical infrastructure to help support not only the new lifts, but also future expansion projects. Brandon led the coordination with Big Sky Resort, the lift engineers, building architects, and construction crews were critical to validate placement and sizing of all electrical equipment in extreme terrain that was difficult to access. Montana Dakota Utilities, Lewis and Clark Station Unit 1 Reclaimed Bottom Ash Pond Closure Construction Administration & Observation. HDR provided engineering, construction oversight, and SWPPP Administration services for closure of a retired CCR repository pond. Brandon worked with the contractor to confirm that all work was being performed in conformance with the project design drawings and specifications. He also provided construction oversight and administered the project’s SWPPP. Henderson Chief Executive Officer March 01, 2026 Appendix E: Professional Services Alterations Professional Services Agreement for Stucky Road Reconstruction Project Page 1 of 15 PROFESSIONAL SERVICES AGREEMENT THIS AGREEMENT is made and entered into this day of , 202 (“Effective Date”), by and between the CITY OF BOZEMAN, MONTANA, a self-governing municipal corporation organized and existing under its Charter and the laws of the State of Montana, 121 North Rouse Street, Bozeman, Montana, with a mailing address of PO Box 1230, Bozeman, MT 59771, hereinafter referred to as “City,” and, , hereinafter referred to as “Contractor.” City and Contractor may be referred to individually as “Party” and collectively as “Parties.” In consideration of the mutual covenants and agreements herein contained, the receipt and sufficiency whereof being hereby acknowledged, the Parties to this Agreement agree as follows: 1. Purpose: City agrees to enter this Agreement with Contractor to perform for City services described in the Scope of Services attached hereto as Exhibit A and by this reference made a part hereof. 2. Term/Effective Date: This Agreement is effective upon the Effective Date and will expire on the day of , 20 , unless earlier terminated in accordance with this Agreement. 3. Scope of Services: Contractor will perform the work and provide the services in accordance with the requirements of the Scope of Services. For conflicts between this Agreement and the Scope of Services, unless specifically provided otherwise, the Agreement governs. 4. Payment: City agrees to pay Contractor the amount specified in the Scope of Services. Contractor’s Representations: To induce City to enter into this Agreement, Contractor represents and warrants: a. Contractor has familiarized itself with the nature and extent of this Agreement, the Scope of Services, and with all local conditions and federal, state, and local laws, ordinances, rules, and regulations that in any manner may affect cost, progress, or performance of the Scope of Services. b. Contractor has the experience and ability to perform the services required by this Agreement. c. Contractor will perform the services in a professional, competent, and timely manner and with diligence and skill ordinarily used by members of Contractor’s profession under the same or similar circumstances at the same time and in the same locality. d. Contractor has the power to enter into and perform this Agreement. e. Contractor’s performance of this Agreement must not infringe upon or violate the rights of any third Party, whether rights of copyright, trademark, privacy, publicity, libel, slander, or any other rights of any nature whatsoever, or violate any federal, state, and municipal laws. Contractor agrees City will not determine or exercise control as to general procedures or formats necessary to have these services meet this warranty. 6. Independent Contractor Status: The Parties agree that Contractor is an independent contractor for purposes of this Agreement and is not to be considered an employee of City for any purpose. Contractor is not subject to the terms and provisions of City’s personnel policies handbook and is not considered a City employee for workers’ compensation or any other purpose. Contractor is not authorized to represent City or otherwise bind City in any dealings between Contractor and any third Parties. Contractor must comply with the applicable requirements of the Workers’ Compensation Act, Title 39, Chapter 71, Montana Code Annotated (MCA), and the Occupational Disease Act of Montana, Title 39, Chapter 71, MCA. Contractor must maintain workers’ compensation coverage for all members and employees of Contractor’s business, except for those members who are exempted by law. Contractor must furnish City with copies showing one of the following: (1) a binder for workers’ compensation coverage by an insurer licensed and authorized to provide workers’ compensation insurance in the State of Montana; or (2) proof of exemption from workers’ compensation granted by law for independent contractors. Professional Services Agreement for Stucky Road Reconstruction Project Page 3 of 15 7. Prevailing Wage Requirements a. Montana Resident Preference. The nature of the work performed, or services provided, under this Contract meets the statutory definition of a "public works contract" in 18-2- 401, MCA. Unless superseded by federal law, Montana law requires that contractors and subcontractors give preference to the employment of Montana residents for any public works contract in excess of $25,000 for construction or non-construction services. Contractor must abide by the requirements set out in 18-2-401 through 18-2-432, MCA, and all administrative rules adopted under these statutes. The Commissioner of the Montana Department of Labor and Industry has established the resident requirements in accordance with 18-2-403 and 18-2-409, MCA. Any and all questions concerning prevailing wage and Montana resident issues should be directed to the Montana Department of Labor and Industry. b. Standard Prevailing Rate of Wages. In addition, unless superseded by federal law, all employees working on a public works contract must be paid prevailing wage rates in accordance with 18-2-401 through 18-2-432, MCA, and all associated administrative rules. Montana law requires that all public works contracts, as defined in 18-2-401, MCA, in which the total cost of the contract is greater than $25,000, contain a provision stating for each job classification the standard prevailing wage rate, including fringe benefits, travel, per diem, and zone pay that Contractors, subcontractors, and employers must pay during the public works contract. Wage rate adjustments for multiyear public works contracts are the sole responsibility of the Contractor and must be done in accordance with 18-2-417, MCA. c. Notice of Wages and Benefits. Furthermore, 18-2-406, MCA, requires that all contractors, subcontractors, and employers who are performing work or providing services under a public works contract post in a prominent and accessible site on the project staging area or work area, no later than the first day of work and continuing for the entire duration of the contract, a legible statement of all wages and fringe benefits to be paid to the employees in compliance with 18-2-423, MCA. d. Wage Rates, Pay Schedule, and Records. 18-2-423, MCA, requires that employees receiving an hourly wage must be paid on a weekly basis. Each contractor, subcontractor, and employer must maintain payroll records in a manner readily capable of being certified for Professional Services Agreement for Stucky Road Reconstruction Project Page 4 of 14 submission under 18-2-423, MCA, for not less than three years after Contractor's, subcontractor's, or employer's completion of work on the public works contract. 8. Labor Relations: If any labor problems or disputes arise during this Agreement, which cause any services to cease for any period of time, Contractor agrees to take immediate steps in its discretion, at its own expense and without expectation of reimbursement from City, to alleviate or resolve all such labor problems or disputes. Contractor bears all costs of any related legal action. Contractor must provide immediate relief to City so as to permit the services to continue at no additional cost to City. Contractor acknowledges and agrees that City will not be a Party to any labor disputes between Contractor and any subcontractors or third Parties. 9. Indemnity: For other than professional services rendered, to the fullest extent permitted by law, Contractor agrees to release, defend, indemnify, and hold harmless the City, its agents, representatives, employees, and officers (collectively referred to for purposes of this Section as the City) from and against any and all claims, demands, actions, fees and costs (including reasonable attorney’s fees and the costs and fees of expert witness and consultants), losses, expenses, liabilities (including liability where activity is inherently or intrinsically dangerous) or direct damages of whatever kind or nature connected therewith and without limit and without regard to the cause or causes thereof or the negligence of any Party or Parties that may be asserted against, recovered from or suffered by the City to the extent caused by, occasioned by, growing or arising out of or resulting from or in any way related to: (i) the negligent, reckless, or intentional misconduct of Contractor; or (ii) any negligent, reckless, or intentional misconduct of any of Contractor’s agents. For the professional services rendered, to the fullest extent permitted by law, Contractor agrees to indemnify and hold the City harmless against claims, demands, suits, damages, losses, and expenses, including reasonable defense attorney fees, to the extent caused by the negligence or intentional misconduct of Contractor or Contractor’s agents or employees. For any labor problems or disputes or any delays or stoppages of work associated with such problems or disputes and for any claims regarding underpaid prevailing wages, Contractor must indemnify, defend, and hold the City harmless from any and all claims, demands, costs, expenses, damages, and liabilities arising out of, resulting from, or occurring. Contractor’s obligations in this Section must not be construed to negate, abridge, or reduce other rights or obligations of indemnity that would otherwise exist. The indemnification obligations of this Section must not be construed to negate, abridge, or reduce any common-law or statutory rights of the City as indemnitee(s) which would otherwise exist as to such indemnitee(s). Professional Services Agreement for Stucky Road Reconstruction Project Page 5 of 14 Contractor’s indemnity under this Section must be without regard to and without any right to contribution from any insurance maintained by City. Should the City be required to bring an action against Contractor to assert its right to defense or indemnification under this Agreement or under Contractor’s applicable insurance policies required below, the City must be entitled to recover reasonable costs and attorney fees incurred in asserting its right to indemnification or defense but only if a court of competent jurisdiction determines Contractor was obligated to defend the claim(s) or was obligated to indemnify the City for a claim(s) or any portion(s) thereof. In the event of an action filed against the City resulting from the City’s performance under this Agreement, the City may elect to represent itself and incur all costs and expenses of suit. These obligations must survive termination of this Agreement and the services performed hereunder. 10. Insurance: In addition to and independent from Contractor’s indemnity obligations under Section 9, Contractor must, at Contractor’s expense, secure insurance coverage through an insurance company or companies duly licensed and authorized to conduct insurance business in Montana which insures the liabilities and obligations specifically assumed by Contractor in this Section. The insurance coverage must not contain any exclusion for liabilities specifically assumed by Contractor in Section 9. The insurance must be occurrence-based except where otherwise noted, and cover and apply to all claims, demands, suits, damages, losses, and expenses that may be asserted or claimed against, recovered from, or suffered by City without limit and without regard to the cause. Contractor must furnish to City an accompanying certificate of insurance and accompanying endorsements in amounts not less than as follows:  Workers’ Compensation – statutory;  Employers’ Liability - $1,000,000 per claimoccurrence; $2,000,000 per occurrenceaggregate;  Commercial General Liability - $1,000,000 per occurrenceclaim; $2,000,000 per occurrenceaggregate;  Automobile Liability - $1,000,000 per property damage claim and $1,000,000 per bodily injury claim; $2,000,000 per accident; and  Professional Liability - $1,000,000 per claim; $2,000,000 per occurrenceannual aggregate. Professional Services Agreement for Stucky Road Reconstruction Project Page 6 of 14 With the exception of Professional Liability coverage, tThe above amounts must be exclusive of defense costs. City must be endorsed as an additional insured on a primary non-contributory basis on the Commercial General, Employer’s Liability, and Automobile Liability policies. The insurance and required endorsements must be approved by City and must include no less than a thirty (30) day notice of cancellation or non-renewal. Contractor must notify City within two (2) business days of Contractor’s receipt of notice that any required insurance coverage will be terminated or Contractor’s decision to terminate any required insurance coverage for any reason. City must approve all insurance coverage and endorsements prior to Contractor commencing work. Alternative: Contractor must provide City a certificate of insurance prior to commencing work. City must approve the limits shown on the certificate prior to commencing work. City’s approval of the limits does not relieve Contractor of Contractor’s obligation to ensure the insurance meets the requirements. 11. Waiver of Claims: Contractor also waives any and all claims and recourse against City, including the right of contribution for loss or damage to person or property arising from, growing out of, or in any way connected with or incident to the performance of this Agreement except “responsibility for [City’s] own fraud, for willful injury to the person or property of another, or for violation of law, whether willful or negligent” as per 28-2-702, MCA. 12. Termination for Contractor’s Fault: a. If Contractor refuses or fails to timely do the work, or any part thereof, or fails to perform any of its obligations under this Agreement, or otherwise breaches any terms or conditions of this Agreement, City may, by written notice, terminate this Agreement and Contractor’s right to proceed with all or any part of the work (“Termination Notice Due to Contractor’s Fault”). City may then take over the work and complete it, either with its own resources or by re-letting the contract to any other third Party. Contractor shall have seven (7) days from receipt of written notice in which to cure the basis for termination identified in the notice. b. In the event of a termination pursuant to this Section 12, Contractor must be entitled to payment only for those services Contractor actually rendered. c. Any termination provided for by this Section 12 must be in addition to any other remedies to which City may be entitled under the law or at equity. d. In the event of termination under this Section 12, Contractor must, under no circumstances, be entitled to claim or recover consequential, special, punitive, lost business opportunity, lost productivity, field office overhead, general conditions costs, or lost profits damages of any nature arising, or claimed to have arisen, as a result of the termination. Professional Services Agreement for Stucky Road Reconstruction Project Page 7 of 14 13. Termination for City’s Convenience: a. Should conditions arise which, in the sole opinion and discretion of City, make it advisable to City to cease performance under this Agreement, City may terminate this Agreement by written notice to Contractor (“Notice of Termination for City’s Convenience”). The termination must be effective in the manner specified in the Notice of Termination for City’s Convenience and must be without prejudice to any claims that City may otherwise have against Contractor. b. Upon receipt of the Notice of Termination for City’s Convenience, unless otherwise directed in the Notice, Contractor must immediately cease performance under this Agreement and make every reasonable effort to refrain from continuing work, incurring additional expenses or costs under this Agreement and must immediately cancel all existing orders or contracts upon terms satisfactory to City. Contractor must do only such work as may be necessary to preserve, protect, and maintain work already completed or immediately in progress. c. In the event of a termination pursuant to this Section 13, Contractor is entitled to payment only for those services Contractor actually rendered on or before the receipt of the Notice of Termination for City’s Convenience. d. The compensation described in Section 13(c) is the sole compensation due to Contractor for its performance of this Agreement. Contractor must, under no circumstances, be entitled to claim or recover consequential, special, punitive, lost business opportunity, lost productivity, field office overhead, general conditions costs, or lost profits damages of any nature arising, or claimed to have arisen, as a result of the termination. 14. Intellectual Property and Ownership of Work Product: a. Title and Ownership Rights. Upon Contractor’s receipt of payment by City, City shall obtain retains title to and all ownership rights in all Work Product. “Work Product” includes all materials, tangible or not, created in whatever medium pursuant to this Agreement, including but not limited to publications, promotional or educational materials, reports, manuals, specifications, drawings and sketches, computer programs, software and databases, schematics, marks, logos, graphic designs, notes, data and content, including but not limited to multimedia or images (graphics, audio, and video), matters and any combinations of, and all forms of intellectual property. b. Ownership of Work Product. Contractor must execute any documents or take any other actions as may reasonably be necessary, or as City may reasonably request, to perfect City’s ownership of any Work Product. Contractor must, at no cost to City, deliver to City, upon City request during the term of this Agreement or at its expiration or termination, a current copy of all Work Product in the form and on the media in use as of the date of City’s request, or such expiration or termination. Upon expiration or termination of this Agreement, Contractor agrees to return to City all City property, including but not limited to any and all physical items such as documentation, records, and equipment, which is in Contractor’s possession or under Contractor’s control. Contractor must submit to City a detailed account of all of City’s property in its possession or under Contractor’s control. Contractor must return City’s property in a method acceptable to City within ten (10) working days. Unless otherwise mutually agreed upon by the Parties, at no time must any of City’s property be retained by Contractor upon expiration or termination of this Agreement. d. Return of Data. Upon expiration or termination of this Agreement, Contractor agrees to return to City all City data. Contractor must submit to City a detailed account of all of City’s data in its possession or under Contractor’s control. Contractor must return City’s data in a format acceptable to City within ten (10) working days. At no time must any data or processes that either belong to or are intended for use of City or its officers, agents, or employees, be copied, disclosed, or retained by Contractor upon expiration or termination of this Agreement. e. Destruction of Data. If requested by City, Contractor agrees to destroy all of City’s data in its possession. When requested by City to destroy City’s data, Contractor agrees to permanently delete the data and ensure that it is not recoverable, in accordance with National Institute of Standards and Technology (NIST) SP 800-88 “Media Sanitation Guidelines.” f. Certification. In all cases, Contractor will certify that all of City’s information processed during the performance of the services will be completely purged from all physical and electronic data storage with no output to be retained by Contractor at the time the work is completed, the Agreement is terminated, or upon written request of City. 15. Limitation on Contractor’s Damages; Time for Asserting Claim: a. In the event of a claim for damages by Contractor under this Agreement, excluding damages from third-party tort claims against one or both Parties, Contractor’s damages must be limited to contract damages and both Parties Contractor hereby expressly waives any right to claim or recover consequential, special, punitive, lost business opportunity, lost productivity, field office overhead, general conditions costs, or lost profits damages of any nature or kind. b. In the event Contractor wants to assert a claim for damages of any kind or nature, Contractor must provide City with written notice of its claim, the facts and circumstances surrounding and giving rise to the claim, and the total amount of damages sought by the claim, within thirty (30) days of the facts and circumstances giving rise to the claim. In the event Contractor fails to provide such notice, Contractor must waive all rights to assert such claim. 16. Representatives and Notices: Professional Services Agreement for Stucky Road Reconstruction Project Page 9 of 14 a. City’s Representative: City’s Representative for the purpose of this Agreement must be or such other individual as City must designate in writing. Whenever approval or authorization from or communication or submission to City is required by this Agreement, such communication or submission must be directed to City’s Representative and approvals or authorizations must be issued only by such Representative; provided, however, that in exigent circumstances when City’s Representative is not available, Contractor may direct its communication or submission to other designated City personnel or agents as designated by City in writing and may receive approvals or authorization from such persons. b. Contractor’s Representative: Contractor’s Representative for the purpose of this Agreement must be or such other individual as Contractor must designate in writing. Whenever direction to or communication with Contractor is required by this Agreement, such direction or communication must be directed to Contractor’s Representative; provided, however, that in exigent circumstances when Contractor’s Representative is not available, City may direct its direction or communication to other designated Contractor personnel or agents. c. Notices: All notices required by this Agreement must be in writing and must be provided to the Representatives named in this Section. Notices must be deemed given when delivered, if delivered by courier to Party’s address shown above during normal business hours of the recipient; or when sent, if sent by email or fax (with a successful transmission report) to the email address or fax number provided by the Party’s Representative; or on the fifth business day following mailing, if mailed by ordinary mail to the address shown above, postage prepaid. 17. Permits: Contractor must provide all notices, comply with all applicable laws, ordinances, rules, and regulations, obtain all necessary permits, licenses, including a City of Bozeman business license, and inspections from applicable governmental authorities, and pay all fees and charges in connection therewith. 18. Laws and Regulations: Contractor must comply fully with all applicable state and federal laws, regulations, and municipal ordinances including, but not limited to, all workers’ compensation laws, all environmental laws including, but not limited to, the generation and disposal of hazardous waste, the Occupational Safety and Health Act (OSHA), the safety rules, codes, and provisions of the Montana Safety Act in Title 50, Chapter 71, MCA, all applicable City, County, and State building and electrical codes, the Americans with Disabilities Act, and all non-discrimination, affirmative action, and utilization of minority and small business statutes and regulations. 19. Web Accessibility and the ADA: Title II of the ADA prohibits discrimination against people with disabilities in all services, programs, and activities offered or made available by City. This includes ensuring that City’s communications with people with disabilities are as effective as its Professional Services Agreement for Stucky Road Reconstruction Project Page 10 of 14 communications with others. If Contractor’s Scope of Services includes the production of digital content, documents, or web applications intended to be branded for use by City, Contractor must use the City style guide when creating a design. As per recommendations found in Section 508 of the Rehabilitation Act, all digital content, documents, or web applications must also adhere to level A and AA Success Criteria and Conformance Requirements as defined by the current Web Content Accessibility Guidelines (WCAG). City will not accept digital content that does not comply with WCAG A and AA guidelines. If City refuses digital content because it is non-compliant with the City style guide, Section 508 of the Rehabilitation Act, and/or WCAG, Contractor will be required to make the digital content compliant and redelivered at no additional cost to City. 20. Generative Artificial Intelligence (AI): Contractor must inform the City’s representative of its intention to utilize Generative AI to fulfill the deliverables or services detailed in the Scope of Services. City’s representative may, in their discretion, permit or deny Contractor’s use of Generative AI. If Contractor is permitted to use Generative AI, Contractor agrees to review any work created by Generative AI for accuracy, bias, and copyright infringement. Contractor agrees it will never submit any confidential or personal identifiable information acquired through this Agreement into a Generative AI system. For the purposes of this section, Generative AI is defined as a deep learning model that can generate high quality content such as stories or writings, images, voice replication and music. 21. Nondiscrimination and Equal Pay: Contractor agrees that all hiring by Contractor of persons performing this Agreement must be on the basis of merit and qualifications. Contractor must have a policy to provide equal employment opportunity in accordance with all applicable state and federal anti-discrimination laws, regulations, and contracts. Contractor cannot refuse employment to a person, bar a person from employment, or discriminate against a person in compensation or in a term, condition, or privilege of employment because of race, color, religion, creed, political ideas, sex, age, marital status, national origin, actual or perceived sexual orientation, gender identity, physical or mental disability, except when the reasonable demands of the position require an age, physical or mental disability, marital status or sex distinction. Contractor is subject to and must comply with Title VI of the Civil Rights Act of 1964; Section 140, Title 2, United States Code, and all regulations promulgated thereunder. Professional Services Agreement for Stucky Road Reconstruction Project Page 11 of 14 Contractor represents it is, and for the term of this Agreement will be, in compliance with the requirements of the Equal Pay Act of 1963 and Section 39-3-104, MCA (the Montana Equal Pay Act). Contractor must report to City any violations of the Montana Equal Pay Act that Contractor has been found guilty of within 60 days of such finding for violations occurring during the term of this Agreement. Contractor must require these nondiscrimination terms of its subcontractors providing services under this Agreement. 22. Intoxicants; DOT Drug and Alcohol Regulations/Safety and Training: Contractor must not permit or suffer the introduction or use of any intoxicants, including alcohol or illegal drugs, by any employee or agent engaged in services to City under this Agreement while on City property or in the performance of any activities under this Agreement. Contractor acknowledges it is aware of and must comply with its responsibilities and obligations under the U.S. Department of Transportation (DOT) regulations governing anti-drug and alcohol misuse prevention plans and related testing. City must have the right to request proof of such compliance and Contractor must be obligated to furnish such proof. Contractor must be responsible for instructing and training Contractor's employees and agents in proper and specified work methods and procedures. Contractor must provide continuous inspection and supervision of the work performed. Contractor is responsible for instructing its employees and agents in safe work practices. 23. Modification and Assignability: This Agreement may not be enlarged, modified or altered except by written agreement signed by both Parties. Contractor may not subcontract or assign Contractor’s rights, including the right to compensation or duties arising hereunder, without the prior written consent of City. Any subcontractor or assignee will be bound by all of the terms and conditions of this Agreement. 24. Reports/Accountability/Public Information: Contractor agrees to develop and/or provide documentation as requested by City demonstrating Contractor’s compliance with the requirements of this Agreement. Upon reasonable written notice, Contractor must allow City, its auditors, and other persons authorized by City to inspect and copy its books and records for the purpose of verifying that the reimbursement of monies distributed to Contractor pursuant to this Agreement was used in compliance with this Agreement and all applicable provisions of federal, state, and local law. Contractor cannot issue any statements, releases or information for public dissemination without prior approval of City. Non-Waiver: A waiver by either Party of any default or breach by the other Party of any terms or conditions of this Agreement does not limit the other Party’s right to enforce such term or conditions or to pursue any available legal or equitable rights in the event of any subsequent default or breach. 26. Attorney’s Fees and Costs: In the event it becomes necessary for either Party to retain an attorney to enforce any of the terms or conditions of this Agreement or to give any notice required in this Agreement, the prevailing Party or the Party giving notice is entitled to reasonable attorney's fees and costs, including fees, salary, and costs of in-house counsel including the City Attorney’s Office staff. 27. Taxes: Contractor is obligated to pay all taxes of any kind or nature and make all appropriate employee withholdings. 28. Dispute Resolution: a. Any claim, controversy, or dispute between the Parties, their agents, employees, or representatives must be resolved first by negotiation between senior-level personnel from each Party duly authorized to negotiate settlement agreements. Upon mutual agreement of the Parties, the Parties may invite an independent, disinterested mediator to assist in the negotiated settlement discussions. The Parties must attempt to resolve by negotiation within 90 days after the claim, controversy, or dispute has arisen. b. If the Parties are unable to resolve the dispute pursuant to subsection (a), then such dispute may only be resolved in a court of competent jurisdiction in compliance with the Applicable Law provisions of this Agreement. In such a case, all court actions must be commenced within 1 year after the settlement procedure in subsection (a) has been exhausted. 29. Survival: Contractor’s indemnification must survive the termination or expiration of this Agreement for the maximum period allowed under applicable law. 30. Headings: The headings used in this Agreement are for convenience only and are not to be construed as a part of the Agreement or as a limitation on the scope of the particular paragraphs to which they refer. 31. Severability: If any portion of this Agreement is held to be void or unenforceable, all other provisions of this Agreement must remain in effect. Professional Services Agreement for Stucky Road Reconstruction Project Page 13 of 14 32. Applicable Law: The Parties agree that this Agreement is governed by the laws of the State of Montana. 33. Binding Effect: This Agreement is binding upon and inures to the benefit of the heirs, legal representatives, successors, and assigns of the Parties. 34. No Third-Party Beneficiary: This Agreement is for the exclusive benefit of the Parties, does not constitute a third-Party beneficiary agreement, and may not be relied upon or enforced by a third Party. 35. Counterparts: This Agreement may be executed in counterparts, which together constitute this Agreement. 36. Integration: This Agreement and all Exhibits attached hereto constitute the entire Agreement of the Parties. Covenants or representations not contained herein or made a part thereof by reference, are not binding upon the Parties. There are no understandings between the Parties other than as set forth in this Agreement. All communications, either oral or written, made prior to the date of this Agreement are hereby abrogated and withdrawn unless specifically made a part of this Agreement by reference. 37. Consent to Electronic Signatures: The Parties have consented to execute this Agreement electronically in conformance with the Montana Uniform Electronic Transactions Act, Title 30, Chapter 18, Part 1, MCA. 38. Extensions: This Agreement may, upon mutual agreement, be extended for a period of up to one year at a time by written agreement of the Parties.
