This IrrevocableOffer toDedicate and Declarationof Restrictions(hereinafter"Offer")is
made this %h day of 14po y/2026,by VGW Investments,LLC,a Montana limited
liabilitycompany,with a mailingaddressof 2011 Fairway Drive,Bozeman,MT 59715 (hereinafter
referredto as "Grantor").
WHEREAS,Grantoristhelegalowner insimplefeeinterestofcertainrealpropertieslocated
inthe County of Gallatin,Stateof Montana,and describedas Lot 3 of Tract 6 PlusVacated Single
Tree Court,Gardner Simmental Plaza Subdivision,Section35,Township 2 South,Range 5 East of
P.M.M.,GallatinCounty,Montana,on fileand of recordin theofficeof the Clerk and Recorder of
saidCounty (hereinafterreferredtoasthe "Property")and
WHEREAS,Grantor appliedto the City of Bozeman (the"Municipality")forapprovalto
undertakedevelopment as definedinChapter38.7,BMC withinthe Cityof Bozeman (hereinafterthe
"Permit");and
WHEREAS,approvalof Application#24511 was grantedon October 20th,2025 by the
Municipalityinaccordancewith theprovisionsofTitle38,BMC,hereby incorporatedby reference;
and
WHEREAS,Grantor wishes to meet the requirementsof Title38,BMC,to providepublic
accessand/orallowsimultaneousconstructionof infrastructureand improvements which willlaterbe
grantedtotheMunicipality,with thebuildings,remainingimprovements and landappurtenantthereto
toremain inprivateownership,as authorizedinSection38.270.030.C;and
WHEREAS,thewaterand sewer improvements and streetinfrastructureappurtenanttoand to
be installedor constructedon or under the above describedlands,and infrastructureand/orinterests
thereinareto be dedicatedto the Municipality,freeand clearof allencumbrances,pursuantto said
finalapprovalof thePermit;and,
WHEREAS,itisintendedthatthisOffer isirrevocableand shall,upon writtenacceptanceby
theMunicipalityand finalapprovalof the Permitreferencedherein,grantallrightsof use or access
formaintenance and repairofthesaidimprovements and infrastructureoffered;

NOW THEREFORE,igconsiderationof the grantingof,and conditionedupon,the final
approvalforapplicationno.44-554-theGrantorhereby offerstodedicatetotheMunicipality,thesewer
and water improvements and streetinfrastructureconstructedor be constructedupon therealproperty
as specificallysetforth,describedand identifiedintheplansand specificationsissuedor preparedby
Alpine Surveying and Engineering,Inc,with a mailing addressof 714 StoneridgeDrive,Suite3,
Bozeman,MT,Project ENGINF-11442 dated October 10th,2025 (with subsequent approved
revisions),which areby thisreferenceincorporatedinthisinstrument.

1.Benefit and Burden.This Offer shallrun with and burden the Propertyand all
obligations,terms,conditions,and restrictionshereby imposed shallbe deemed to be covenantsand
restrictionsrunningwiththelandand shallbe,upon theissuanceofthefinalPermitreferenceherein,
be effectivelimitationson the use and accessofthePropertyby Grantor and shallbind the Grantor
and allsuccessorsand assigns.This Offer shallbenefitthe Municipalityonly so long as said
improvements and infrastructuresforsewer and water existon theProperty.
2.Construction and Validity.Ifany provisionof theseRestrictionsisheldtobe
invalidor forany reason becomes unenforceable,no otherprovisionshallbe therebyaffected
or impaired.
3.Successors and Assigns.The terms,covenants,conditions,exceptions,
obligations,and reservationscontainedin thisOffer shallbe binding upon and inureto the
benefitof the successorsand assignsof both the Grantor and the Municipality,whether
voluntaryor involuntary.
4.Limitations.The constructionand otherstandardsadoptedorutilizedby theCity
of Bozeman regardinglegalform,constructionmaterials,warranty,and allotherelements
relatingto improvements or infrastructureconstructedor be constructedpursuanttothePermit
shallbe fullyapplicable.
5.Term.This irrevocableOfferof Dedicationshallbe bindingforthedurationof
FinalSitePlanapprovalprocess.Upon writtenacceptanceofthisOfferby theMunicipality,this
Offerand theterms,conditions,and restrictionshereofshallexistinperpetuity,shallhave the
effectof a grantby Grantor,subjecttotheconditionsstatedherein,and shallrun with the land
and be bindingon the parties,theirheirs,assigns,and successors,PROVIDED,HOWEVER,
thisgrantshallbe nulland void ifthePermitreferencedhereinisnotgrantedand issuedby the
Municipalityon or beforeone yearafterthedateofFinalPlan approvalorextensionsofthedate
of approval.
