present, our workload includes multiple commercial and residential contracts across Gallatin
Valley, including HOAs, retail centers, and multi-family housing developments. While these
projects keep our crews engaged, our staffing model and resource allocation strategies ensure
that key personnel remain available to support new projects of the scale and scope outlined in
this RFP.
We employ a core group of approximately 40 full-time seasonal employees in the summer
months and adjust staffing levels as needed to meet demand. This workforce is supported by

PROFESSIONAL SERVICES AGREEMENT

1. Pur ose: City agrees to enter this Agreement with Contractor to pertonn for City

2.Term/Effective Date:This Agreement is effective upon the Effective Date and will

4. Payment: City agrees to pay Contractor the amount specified in the Scope of
Services. Any alterftion or deviation from the described services that involves additional costs above
the Agreement am9unt will be performed by Contractor after written request by the City, and will
become an additi�f l charge over and above the an1ount listed in the Scope of Se1vices. The City
must agree in wril1g upon any additional charges.

10.Lim ation on Contractor's Dama es· Time for Assertin Claim:
a.In the event of a claim for damages by Contractor under this Agreement,Contractor's damages shall be limited to contract damages and Contractor hereby expressly waives any right to claim or recover consequential, special, punitive, lost business opportunity, lost productivity, field office overhead, general conditions costs, or lost profits damages of ny nature or kind.
b.In the event Contractor wants to assert a claim for damages of any kind ornature, C01 ·actor shall provide City with \Vritten notice of its claim, the facts and circumstanc s sun-ounding and giving rise to the claim, and the total amount of damages sought by t claim, within thirty (30) days of the facts and circumstances giving rise to the event Contractor fails to provide such notice, Contractor shall waive all rights claim.

Whenever approval or authorization from or communication or submission City is required by this Agreement, such communication or submission shall be directed to t e City's Representative and approvals or authorizations shall be issued only by such Repre entative; provided, however, that in exigent circumstances when City's Representaf e is not available, Contractor may direct its communication or submission to other design ted City personnel or agents as designated by the City in writing and may receive approvals o authorization from such persons.
