WHEREAS,itis the intentand purpose of the Obligor to meet the requirements of Commission Resolution#4433 to allow theissuanceof buildingpermit 25-39498 priortopayment of transportationimpact feesrequiredby 2.06.1650 BMC on propertylocatedat306 Gooseberry Drive and legallydescribed as Lot 1,Block 26,Norton East Ranch Subdivision Phase 5B, Bozeman,GallatinCounty,Montana. WHEREAS,itisthe intentof the Obligor to deferpayment of transportationimpact fees untiloccupancy forthe constructionauthorizedunder buildingpermit 25-39498;and WHEREAS,itisthe intentand purpose of both the Obligor and the City to hereby enter into an Agreement which will guarantee the fulland satisfactorycompletion of the required payment;and itistheintentof thisAgreement,and of thepartieshereto,to satisfytherequirements of themunicipal code and Commission Resolution#4433. NOW,THEREFORE,inconsiderationofthemutual covenants and conditionscontained herein,itishereby agreed as follows: 1.Property Description This Agreement pertainsto and includes those propertieswhich are designated and identifiedas 306 Gooseberry Drive and legallydescribedas Lot 1,Block 26,Norton East Ranch Page 1 of 6 2872289 Page 2 of 6 03/13/2026 03:30:49 PM Agreement for Payment of Deferred Impact Fees and Notice of Intent to Lien SubdivisionPhase 5B,Bozeman,GallatinCounty,Montana. 2.Payment of Deferred Impact Fees This Agreement specificallyincludesthe payment of transportationimpact fees calculatedfor buildingpermit 25-39498,inthe amount of $18,082.00 (EighteenThousand Eighty-Two dollars and No cents).Obligor acknowledges thatthe above impact fee must be paid in fullbefore the Certificateof Occupancy may be issued.Obligor agreestopay the above statedfeeinaccordance with thisagreement and Commission Resolution #4433 before the structure(s)identifiedin the buildingpermit referencedabove isoccupied. IfObligor appliesfor an extension of building permit 25-39498,the fee may increase.Upon extensionof the buildingpermit,the fee shallbe recalculatedtoincludeany net increasebetween the feeapplicableatthe time of theapplicationforan extensionof thebuildingpermit and the fee applicableatthe time of the initialbuildingpermit application.In the event the fee applicableat the time of the applicationforan extensionof the buildingpermit islower than thetransportation impact fee calculatedat the time of the initialbuilding permit application,there shallbe no reductionin the amount of impact fees. 3.Guarantee,Time for Completion of Agreement No occupancy of the structure,eithertemporary or permanent,ispermittedpriorto fullpayment of the deferred transportationimpact fee and completion of thisAgreement.This Agreement constitutesa Notice of Intentto Lien againstthepropertyintheevent thatthedeferredimpact fees are not paid.Should the feesnot be paid the City may without furtheractionrecord a lienagainst the property in the fullamount of the deferredfees as statedabove and for costsrequired for collectionof the deferredfee. 4.Inspection Representativesof the City shallhave therightto enterupon the propertyatany reasonabletime inorderto inspectitand to determine ifthe Obligor isincompliance with thisAgreement,and the Obligor shallpermit the City and itsrepresentativesto enterupon and inspectthe propertyatany reasonabletime. 5.Default Time isof the essence forthisAgreement.Ifthe Obligor shalldefaultin or failto fullyperform Page 2 of6 2872289 Page 3 of 6 03/13/2026 03:30:49 PM Agreement for Payment of Deferred Impact Fees and Notice of Intent to Lien any of itsobligationsin conformance with thetime scheduleunder thisAgreement the City may electto enforceany of the followingspecifiedremedies: A)The City may withhold a Certificateof Occupancy and prohibituse oftheproperty. B)The City may,atitsoption,record a lienagainstthe property. C)The City may enforceany otherremedy provided by law orthisagreement. 6.Indemnification The Obligor hereby expressly agrees to indemnify and hold the City,itsofficers,agents,and employees harmless forand againstallsuits,causesof action,claims,costs,expenses and liability of every character,forinjuryor damage receivedor sustainedby any person or entityinconnection with,or on account of the performance ofwork atthe development siteand elsewhere pursuantto thisAgreement,or delaysin the issuanceof a Certificateof Occupancy,includingthe lossof use of property,pursuant to thisAgreement.Obligor's indemnity under thisAgreement shallbe without regardto and without any rightto contributionfrom any insurancemaintained by theCity. Should the City be requiredto bring an actionagainstthe Obligor to assertitsrightto defense or indemnificationunder thisAgreement,the City shallbe entitledto recover reasonable costsof attorneyfees,including the costsand salaryof attorneysemployed by or retainedby the City incurredinassertingitsrightto indemnity or defense,but only ifa courtof competent jurisdiction determinestheObligor was obligatedto defend theclaim(s)orwas obligatedto indemnify theCity fora claim(s)or any portionthereof.Obligor alsowaives any and allclaims and recourseagainst theCity or itsofficers,agents oremployees,includingthe rightof contributionforlossor damage toperson orpropertyarisingfrom,growing out of,or in any way connected with or incidenttothe performance ofthisAgreement.These obligationsshallsurvivetheterminationof thisAgreement. 7.Governing Law and Venue This Agreement shallbe construedunder and governed by the laws of the Stateof Montana.In the event of litigationconcerning thisAgreement,venue is in the Eighteenth JudicialDistrict Court,GallatinCounty,Stateof Montana. 8.Changes in Fee During Deferral Period The feesdue atconclusion of the deferralperiod shallnot change from the amount determined in Section 2,except when Obligor appliesfor an extension of the building permit as provided in Page 3 of6 2872289 Page 4 of 6 03/13/2026 03:30:49 PM Agreement for Payment of Deferred Impact Fees and Notice of Intent to Lien Section 2.In the event of non-payment additionalfees for collectioncosts and other fees as authorized by the Bozeman City Commission will be charged in addition to the deferred transportationimpact fee. 9.Attorney's Fees or Other Fees Inthe event itbecomes necessaryforeitherpartyto thisAgreement toretainan attorneytoenforce any of the terms or conditionsof thisAgreement,then the prevailingparty shallbe entitledto reasonableattorney'sfeesand costs,to includethe salaryand costsofin-housecounsel including City Attorney.Other fees and costs may be incurred as authorized by the Bozeman City Commission relatingto the enforcement of thisAgreement. 10.Modifications or Alterations No modificationsor amendment of thisAgreement shallbe valid,unless agreed to in writingby thepartieshereto. 11.Invalid Provision The invalidityor unenforceabilityof any provisionof thisAgreement shallnot affectthe other provisionshereof,and thisAgreement shallbe construed in allrespectsas if such invalidor unenforceableprovisionwere omitted. 12.No Assignment Itisexpresslyagreed thattheObligor shallnot assignthisAgreement inwhole,or inpart,without priorwrittenconsent of the City. 13.Successors Except as provided inparagraph 10,thisAgreement shallbe bindingupon,enure tothe benefitof, and be enforceableby the partiesheretoand theirrespectiveheirs,successorsand assigns. ####END OF AGREEMENT EXCEPT FOR SIGNATURES #### Page 4 of 6 2872289 Page 5 of 6 03/13/2026 03:30:49 PM Agreement for Payment of Deferred Impact Fees and Notice of Intent to Lien CORPORATION RG Thompson LLC B dic tho son I s:President STATE OF MONTANA ) )ss.
