CONCURRENT CONSTRUCTION OF INFRASTRUCTURE
HOLD HARMLESS AGREEMENT
[BoutiqueHotel CCOA/Site Plan]
Thisagreementismade and enteredintothis-5thday ofJanuary,2026,by and between302 East
Mendenhall Hotel LLC,402 EastMain StreetSuite3,Bozeman MT 59715,hereinafterreferredto as
"Developer"and theCityofBozeman,a MunicipalCorporationoftheStateofMontana operatingpursuant
to itsCharter,hereinaftercalledthe"City."
In considerationof the mutual promises,and other valuableconsideration,the receiptand
sufficiencyof which areherebyacknowledged,includingtheCityapprovingconcurrentconstructionof
certaininfrastructurefortheBoutiqueHotelCCOA/Site PlanpursuanttoChapter38,Bozeman Municipal
Code,theDeveloperherebyagreesas follows:
1.Concurrent Construction Requested/Agreement Required.The Developer submitted
applicationsfor concurrentconstruction24-147 Boutique Hotel Mendenhall SitePlan/CCOA
Applicationand 25-678 BoutiqueHotel INF (ENGINF-16342)and has requestedauthorization
from the City pursuantto Chapter 38,BMC,to constructcertainbuildingsor structures
concurrentlywiththeconstructionofrequiredinfrastructureasindicatedintheapplication(s).The
Developerhas alsoenteredintoan Improvements Agreement withtheCitywhich requiresthe
Developerto completecertainimprovements by a datecertainestablishedintheImprovements N a /c
Agreement and providesecurityto the City to guaranteethe installationofimpro ts(the/
"Improvements Agreement").The Improvements Agreement isdated|7 offaeuary,2026 and
recordedwiththeGallatinCounty Clerkand Recorderas document number 2772577 .
The City has approved applications24-147 &25-678 (ENGINF-16342)subjectto certain
limitationsand conditions,which includetheDeveloperenteringintothisAgreement.Developer
agreestocomply withallsuchconditionsand limitationsas indicatedintheFindingsofFactorthe
Directorof Community Development'sDecisionforthe BoutiqueHotelCCOA/Site Plandated
August 5022025 and known as application24-147 respectivelyand theprovisionsof Chapter38,
BMC.
2.Release/HoldHarmless/Indemnification.

a.Developeragreesto release,indemnifyand hold harmlesstheCity,itsofficers,agents,and
employees(the"indemnitees")from and againstany suit,causeofaction,claim,cost,expenses,
obligation,and liabilityofany character,includingattorney'sfeestoincludecostsand salary
ofattorneysemployed by orretainedby thecity,which arebroughtor assertedforany injury,
death,orphysicaldamage toproperty,costs,damages,and forany otherexpenses,costs,and
feesrelatedtolossofuseofpropertyor othereconomic lossesofany nature,astheabove may
be receivedorsustainedby any person,persons,property,businessorany otherentity,arising
out of or resultingfrom,or in connectionwiththeCity'sdecisionsregardingthe approval,
conditionalapproval,or denialof zoning or buildingpermitsrelatedto theBoutiqueHotel
MendenhallApplicationNumber 24-147.
b.Such obligationsshallnotbe construedtonegate,abridge,orreduceotherrightsorobligations
of indemnitythatwould otherwiseexist.The indemnificationobligationsofthisAgreement
must notbe construedtonegate,abridge,orreduceany common-law or statutoryrightsofthe
indemnitee(s)which would otherwiseexistastosuch indemnitee(s).
c.Developer'sindemnityunderthisAgreement shallbe withoutregardtoand withoutany right
tocontributionfrom any insurancemaintainedby City.
d.ShouldtheCitybe requiredtobringanactionagainsttheDevelopertoassertitsrighttodefense
orindemnificationunderthisAgreement theCityshallbe entitledtorecoverreasonablecosts
and attorneyfees,includingcostsand salaryofattorneysemployed by orretainedby theCity
incurredinassertingitsrightto indemnificationor defense,butonly ifa courtof competent
jurisdictiondeterminestheDeveloperwas obligatedtodefendtheclaim(s)orwas obligatedto
indemnifytheCityfora claim(s)orany portion(s)thereof.
e.Developeralsowaivesany and allclaimsand recourseagainsttheCityor itsofficers,agents
or employees,includingthe rightof contributionforlossor damage topersonor property
arisingfrom,growing outof,or inany way connectedwithor incidenttotheperformanceof
thisAgreement and thelimitationsand requirementsof concurrentconstruction.
f.These obligationsshallsurviveterminationof thisAgreement and the servicesperformed
hereunder.
3.Remedies.Inadditiontoany otherremedy availabletotheCityatlaw orequity,Developeragrees
thatshouldthe Developer not completethe improvements requiredby the Findingsof Fact or
DirectorofCommunity Development'sDecisionand theImprovements Agreement referencedin
Section1 the City may,for any of the realpropertysubjectto the concurrentconstruction
requirementand withoutnotice:(i)issuean orderstoppingwork on theongoingconstructionof
any buildingor structure;and/or(ii)deny theissuanceof any pendingapplicationfora building
permit.Inaddition,theDeveloperherebygrantstheCitytheauthorityto,withoutnotice,revoke
approvalforconcurrentconstructionby recordinga document withtheGallatinCounty Clerkand
Recorder.

4.Miscellaneous.
a.Successorsand Assigns.The terms,covenantsand conditionsofthisAgreement shallrunwith
thelandand be bindingupon,and shallinureto thebenefitof,the partiesheretoand their
respectivesuccessorsand assigns.
b.GoverningLaw.ThisAgreement isexecutedand deliveredand istobe performedin,and shall
be governedby and construedinaccordancewith,thelawsoftheStateofMontana.
c.EntireAgreement.ThisAgreement expresslyterminatingallpreviousagreementsamong the
partiesrelatedtotheproperty,and constitutesand containstheentireagreementbetweenCity
and Developerand supersedesany and allpriornegotiations,correspondence,understandings
and agreements between the partiesrespectingthe subjectmatter hereof,except the
Improvements Agreement.
