SUBJECT to alleasements of recordor apparentfrom visualinspectionof theproperty. All as depictedon the 5532 Fowler Lane Annexation Map. WHEREAS,the Landowner petitionedthe City for annexationto the City of the 5532 FOWLER LANE ANNEXATION;and WHEREAS,the5532 FOWLER LANE ANNEXATION isnotwithinthecorporatelimits of the City or othermunicipalityand may thereforebe annexed totheCity in accordancewith the provisionsof thisAgreement and Title7,Chapter 2,Part46,Mont.Code Ann.;and WHEREAS,the partiesrecognize the annexation of the 5532 FOWLER LANE ANNEXATION pursuant to Section 7-2-4601,et seq.,Mont.Code Ann.willallow the 5532 FOWLER LANE ANNEXATION to connect to and utilizeCity services,includingmunicipal waterand sewer service,parksand recreation,fireand policeservices,and theCity'stransportation system;and 5532 Fowler Lane Annexation Agreement,Application#24-492 2 2860183 Page 3 of 24 09/16/2025 04:05:28 PM WHEREAS,Section 7-2-4610,Mont.Code Ann.provides that a municipalityand landowner can agreetotheprovisionsof servicestotheareatobe annexed;and WHEREAS,the parties recognize development on the 5532 FOWLER LANE ANNEXATION willimpact areaparks,recreation,transportation,police,and fireservices,and thatfuturedevelopment may requireadditionalpublic infrastructure,includingtransportation, capacityformunicipalwater and sewer services,parks,recreation,police,and fireservices;and WHEREAS,the Landowner findsthisAgreement willprovide for themost satisfactory and dependable water supply and sewer supply or service,and provide transportation,parks, recreation,policeand fireservicefordevelopment ofthe5532 FOWLER LANE ANNEXATION; and WHEREAS,the partieshave determined thatitis in the best interestsof the City and Landowner,and in furtheranceof thepublichealth,safetyand welfareof the community to enter intoand implement thisAgreement. WITNESSETH: IN CONSIDERATION of the mutual covenants and agreements herein contained,the partiesheretoagreeas follows: 1.Recitals The above recitalsaretrueand correctand arehereby incorporatedintothisAgreement. 2.Annexation The Landowner filed an applicationfor annexation of the 5532 FOWLER LANE ANNEXATION with the Cityon September 11,2024.By executionofthisAgreement,theCity manifestsitsintenttoannex the5532 FOWLER LANE ANNEXATION tractpursuanttotheterms and conditionsof thisAgreement.Subjecttotheprovisionsof Title7,Chapter 2,Part46,Mont. 5532 Fowler Lane Annexation Agreement,Application#24-492 3 2860183 Page 4 of 24 09/16/2025 04:05:28 PM Code Ann.theCity shall,contemporaneous with executionofthisAgreement,adopt a Resolution ofAnnexation ofthe5532 FOWLER LANE ANNEXATION.Further,upon theexecutionofthis Agreement,theLandowner shalldo allthingsrequiredby thisAgreement and allthingsnecessary and proper to aid and assistthe City in carryingout the terms,conditionsand provisionsof this Agreement and toeffecttheannexationof the5532 FOWLER LANE ANNEXATION. 3.ServicesProvided The City will,upon annexation,make available to the 5532 FOWLER LANE ANNEXATION existingCityservicesonly totheextentcurrentlyavailable,or asprovidedinthis Agreement. 4.Municipal Water ServiceDefined The term "municipalwater service"asused inthisagreement istheservicesuppliedby the City in accordancewith Chapter 40,Article2,Bozeman Municipal Code,as amended,as well as any otherterms and conditionswhich applytotheCity'sprovisionofmunicipalwater service,but does not includethe extensionof linesor constructionof necessaryimprovements atany costto theCityfordeliveryofwater to and withinthe5532 FOWLER LANE ANNEXATION.Nothing in this Agreement shallobligatethe City to pay for right-of-wayacquisition,engineering, construction,and othercostsfor the deliveryof water to or within the 5532 FOWLER LANE ANNEXATION including,but not limited to,any impact fees,hook-up,connection,or development chargeswhich have been ormay be establishedby theCity. 5.Municipal Sewer ServiceDefined The term "municipal sewer service"as used inthisAgreement isthe servicesuppliedby the Cityinaccordancewith Chapter 40,Article3,Bozeman Municipal Code,asamended,aswell as any otherterms and conditionswhich applytotheCity'sprovisionof thisservice,but does not 5532 Fowler Lane Annexation Agreement,Application#24-492 4 2860183 Page 5 of 24 09/16/2025 04:05:28 PM includethe extensionof linesor constructionof necessaryimprovements atany costtothe City forcollectionof sewage at and within the 5532 FOWLER LANE ANNEXATION.Nothing in this Agreement shall obligate the City to pay for right-of-way acquisition,engineering, construction,and othercostsforthecollectionofsewage servicestoorwithinthe5532 FOWLER LANE ANNEXATION including,but not limitedto,any impact fees,hookup,connection,or development chargeswhich may be establishedby the City.The Landowner recognizesand agrees thatsewer capacityisallocatedon a firstcome firstservebasisand isnotentitleduntilpreliminary plator siteplan approval. 6.Water Rights The Landowner specificallyrecognizesand agreestheLandowner must satisfythe City's water adequacy code upon furtherdevelopment or subdivisionof thepropertyinaccordancewith Section38.410.130,Bozeman Municipal Code.The Citywillcalculatethetotalamount of water thatmust be offsetin accordance with 38.410.130 BMC at the time of furtherdevelopment or subdivisionof theproperty.The Landowner must transferany usefulwater rightsdeemed useful by the City thatexistforthepropertyto theCitypriortodevelopment. The City has determined thatthe followingwater rightsthatexistforthispropertyare usefulfortheCityand shallbe transferredto theCityupon furtherdevelopment or subdivisionof theproperty: 1)Any corporatesharesintheMiddle Creek Ditch Company. 2)Any corporatesharesintheWest GallatinCanal Company. The amount ofthecalculateddemand offsetby thetransferof theseusefulwaterrightswill be determined by the City at the time of futuredevelopment.Ifthe calculateddemand isnot completely offsetby the transferof these usefulwater rights,the Landowner must offsetthe 5532 Fowler Lane Annexation Agreement,Application#24-492 5 2860183 Page 6 of 24 09/16/2025 04:05:28 PM remaining calculateddemand in accordancewith 38.410.130 BMC priorto development.Ifcash in lieuof water rightsare used to offsetany portionof the calculateddemand,the Landowner acknowledges thattheratesforcash in-lieuof water rightsmay increaseover time as established by Resolutionof theCityCommission. 7.Water and Sewer Connections Landowner understandsand agreesthatnot laterthan 60 days afterCity water and sewer serviceshave been extendedby futuredevelopment orsuch thatconnectionisreadilyavailable,as determined by the City,isadjacentto the lot,the existingresidenceon the propertymust be connected to City water and sewer utilities.Water and sewer servicesmust be constructedin accordance with design and specificationsapproved by the City priorto the installationof the water and sewer lines.Landowner must contacttheCityWater and Sewer Divisiontoobtaindetails of constructionrequirements.Landowner must notifytheCityWater and Sewer Superintendenta minimum of48 hours priorto constructionofthe servicesand disconnectionofthewell and septic system abandonment. Landowner furtherunderstandsand agreesthatpriorto connectionto the City water and sewer system,theexistingon-sitesewage treatmentsystem must be properlyabandoned and certification provided to the City Water and Sewer Divisionthattheabandonment occurred.The Landowner must reportthe abandonment to the GallatinCity County Health Department.In additionto abandonment of theseptictank and leachfield,the applicantmust demonstratethatthe sanitary sewer linefrom the house to the septictank has been completely disconnectedfrom the existing septicsystem priortotheLandowner connectingthe sanitarysewer linecoming from thehouse to the City sanitarysewer system. Any wells presentlyused for domestic purposes may be retainedfor irrigationonly,with no 5532 Fowler Lane Annexation Agreement,Application#24-492 6 2860183 Page 7 of 24 09/16/2025 04:05:28 PM physicalconnectionto domestic water piping.Certificationthatthereisno physicalconnection between an on-sitewell and the domestic water linecoming from the City'swater supply to the house must be provided.The City Water and Sewer Divisionmay perform an inspectionof the propertytoconfirmthatthedisconnectionofthewelland septicsystem abandonment areproperly completed.Landowner understandsand agreesthatifLandowner failsto properlyabandon the existingsepticsystem or failsto disconnectthe existingwell from the domestic water pipingas requiredherein,the City may,upon ten day's writtennoticeto the Landowner,terminatewater and/orsewer servicesto theproperty.The costof alldisconnectsand subsequentreconnectsshall be borne by Landowner. 8.Comprehensive Water and Water Design Report Priorto futuredevelopment of the propertythe City may requirethe Landowner to have prepared by a ProfessionalEngineer,atLandowner's soleexpense,a comprehensive designreport evaluatingexistingcapacityof sewer and water utilitiesin the area.The reportmust include hydraulicevaluationsof each utilityforboth existingand post-development demands,and the reportfindingsmust demonstrate adequate capacityto servethe fulldevelopment of the land.If adequate infrastructurecapacityisnot availableforthe proposed development,the reportmust identifywater or wastewater system improvements necessaryforthe proposed development.If improvements tothiswater or wastewater system arenecessary,theLandowner agreesthatwithin 60 days of water and sewer servicesbeing extended to the adjacentright-of-waytothewest or priortoredevelopment of the 5532 FOWLER LANE ANNEXATION,whichever comes first,to complete,at Landowner's expense,the necessary system improvements to serve the proposed development. 5532 Fowler provide full municipal servicesto thepropertyin accordancewith the City'sInfrastructureMaster Plans and allCity regulations,policiesand guidelinesthatmay be in effectat the time of any future development.Landowner understands and agrees Landowner has no right,eithergranted or implied,foritto furtherdevelop any of the 5532 FOWLER LANE ANNEXATION untilitis verifiedby theCitythatthenecessarymunicipal services,includingbutnot limitedtopoliceand fireprotection,parksand recreation,transportation,and sewer and water capacity,areavailableto allor the relevantportionof the 5532 FOWLER LANE ANNEXATION to servethe proposed development.Notice ishereby providedtotheLandowner thatpriortoadditionaldevelopment of theproperty,theLandowner willbe solelyresponsibleforinstalling,atLandowner's soleexpense, any facilitiesor infrastructurerequiredto provide fullmunicipal servicesto the 5532 FOWLER LANE ANNEXATION in accordance with the City's infrastructureplans,adopted Growth Policies/Community Plans,and allothercityregulations,policiesand guidelinesthatmay be in effectatthetime of development. 10.Stormwater Master Plan Landowner understandsand agrees a Stormwater Master Plan for the 5532 FOWLER LANE ANNEXATION fora system designedto remove solids,oils,grease,and otherpollutants from therunofffrom publicstreetsand otherimpermeable surfacesmay be requiredtobe provided to and approved by the City Engineer at the time of any futuredevelopment.The plan must demonstratethatadequatetreatmentofrunofffrom publicstreets,otherimpermeable surfaces,and allfuturelotswillbe achieved by providing spot elevations,flow directionarrows,detention and/orretentionbasindetails(includingbasinsizingcalculationsand basintypicalsections),outlet 5532 Fowler Lane Annexation Agreement,Application#24-492 8 2860183 Page 9 of 24 09/16/2025 04:05:28 PM structuredetails,and culvertcapacity calculations.The plan must also locateand provide easements for adequate drainage ways within the 5532 FOWLER LANE ANNEXATION to transporttreatedrunofftothe stormwater receivingchannel.The plan shallincludesitegrading and elevationinformation,typicalstormwater detention/retentionbasin and dischargestructure details,basin sizingcalculations,and stormwater maintenance plan.Landowner recognizesthe Citymay requiresuch Stormwater Master Plan tobe implemented intotalor inpartasa condition of approvalof development of the5532 FOWLER LANE ANNEXATION. 11.Waiver of Right-to-ProtestSpecialDistricts A.Landowner shallexecute a Waiver of Right to Protestthe Creation of Special Districtsor SpecialImprovement Districts(SID)for infrastructureimprovements to streetsand transportationsystems includingdesign and engineering,paving and subsurfaceimprovements, curb and gutter,sidewalkand stormwaterdrainagefacilities,and fiberopticconduitfor: a)Streetimprovements to Fowler Lane between Blackwood Road and Stucky Road, includinglighting,signalization,paving,curb/gutter,sidewalk,and storm drainage. b)Streetimprovements to Blackwood Road between Fowler Lane and South 19th Avenue, includinglighting,signalization,paving,curb/gutter,sidewalk,and storm drainage. and signalizationimprovements forthefollowingintersections: a)Intersectionimprovements at Blackwood Road and Fowler Lane,includinglighting, signalization/channelization,paving,curb/gutter,sidewalk,and storm drainage. b)Intersectionimprovements atBlackwood Road and South 27th Avenue,includinglighting, signalization/channelization,paving,curb/gutter,sidewalk,and storm drainage. c)Intersectionimprovements at Fowler Lane and West Graf Street,includinglighting, setforthinExhibits"A"and "B".The Landowner agreessuch SID willprovide a mechanism for the fair and equitable assessment of constructionand maintenance costs for such improvements.These waivers are attachedhereto as Exhibits"A"and "B"and are hereby incorporatedintoand made a partof thisAgreement. B.Landowner agreesthatintheeventa specialdistrictoran SID isnot utilizedforthe completion of these improvements as describedin subsectionA above,the Landowner shall participatein an alternativefinancingmethod forthe completion of the improvements on a fair share,proportionatebasisas determinedby theCityon thebasisofthesquarefootageofproperty, taxablevaluationof the property,trafficcontributionfrom the development or a combination thereof. C.Landowner understandsand agreesthatthe City willchoose creationof a SID or specialdistrictoran alternativefinancingmethod forthecompletionoftheimprovements and may use eitherfinancingoptionatany time. 12.Payback Districts The 5532 FOWLER LANE ANNEXATION iswithinan infrastructurepayback districts. Landowner agreestopay thefollowingpaybacks atthe time of furthersitedevelopment. a.Meadow Creek Subdivision Sewer Payback,to be assessed at the time of future development and paid atthetime of plan approval. 13.Public Streetand UtilityEasement The Landowner understandsand agreesthata publicstreetand utilityeasement must be provided forFowler Lane,a minor arterialroad with a minimum right-of-waywidth of 100 feet, of which thispropertywilldedicateitsrespective50 feetto the eastfrom the centerlineof the existingright-of-wayas a public streetand utilityeasement,along the entireportionof this 5532 Fowler Lane Annexation Agreement,Application#24-492 10 2860183 Page 11 of 24 09/16/2025 04:05:28 PM propertywhich iscontiguouswith Fowler Lane.The Landowner,atitssoleexpense,has created such an easement in a locationand form agreeabletotheCity and theeasement willbe filedatthe GallatinCounty Clerk and Recorder'sOffice.The Landowner furtherunderstandsand agreesthat additionalpublicstreetand utilityeasements may be requiredfordeliveryof municipal services with futuredevelopment and such easement shallbe providedattheLandowner's soleexpense. 14.StreetImprovements The Landowner understandsand agreesthatatthetime of futuredevelopment theportion of Fowler Lane and itsrelatedtransportationinfrastructurefrontingthe 5532 FOWLER LANE ANNEXATION thispropertymust be improved to a CitystandardatLandowner's expense. 15.Impact Fees Landowner acknowledges thatannexationand development of theirpropertywillimpact theCity'sexistingstreet,water and sewer infrastructure,and theCity'sfireservice.As approved by the City,theLandowner and itssuccessorsmust pay: A)Fire impact fees equal to the amount per Chpt.2,Art.6.Div.9 BMC,or as amended,attime of issuanceof a buildingpermit. B)Transportationimpact feesequal to the amount per Chpt.2,Art.6.Div.9 BMC, or as amended,attime of issuanceof etbuildingpermit. C)Water impact feesas requiredby Chpt.2,Art.6.Div.9 BMC,or as amended,at thetime of connectionto citywater services. D)Sewer impact feesas requiredby Chpt.2,Art.6.Div.9 BMC,or as amended,at thetime of connectionto citysewer services. The amount of impact feetheLandowner or itssuccessorspay forconnectiontotheCity's water and sewer services,ifany,shallbe calculatedbased on the provisionsof the Bozeman Municipal Code,as amended,in effectat the time of applicationfora permit to connect.The amount of streetor fireimpact feestobe paid,ifany,shallbe calculatedbased on theprovisions 5532 Fowler Lane Annexation Agreement,Application#24-492 11 2860183 Page 12 of 24 09/16/2025 04:05:28 PM of the Bozeman Municipal Code,as amended,in effectat the time an applicationforbuilding permitissubmitted. Landowner furtherunderstandsand agreesthatany improvements,eitheron-siteor off- site,necessaryto provide connection of the 5532 FOWLER LANE ANNEXATION municipal servicesand which arewholly attributableto thepropertyas determined exclusivelyby the City are considered"projectrelatedimprovements"as defined in Chapter 2,Article6,Division 9, Bozeman Municipal Code,as amended,and as such,arenot eligibleforimpact feecredits. IfLandowner defaultson thisconditionatthetime such isto be performed,and should defaultnot be remedied or correctedwithin thirty(30)days afterwrittennoticeby City to the Landowner and Landowner/Developer of such default,theCitymay,atitsoption: A)Declare the amounts owing for impact feesimmediately due and payable and City shallhave the rightand privilegeto take legalactionagainst Landowners for the collectionof such sum,includingthe entry of any judgment.In addition,theCitymay,atitsoption,enforcepayment ofsuch amount by levyingan assessmenton theproperty. B)Elect any otherremedy availableto City under the laws of the Stateof Montana. 16.Charges and Assessments Landowner understands and agrees that afterthis Agreement is recorded the 5532 FOWLER LANE ANNEXATION willbe subjectto City assessmentsfor arterialand collector streets,streetmaintenance,and treemaintenance on the same basisas allotherpropertiesin the City. 17.Additional Terms The partiesrecognizethesedocuments must be filedand ofrecordwith theGallatinCounty Clerk and Recorder prior to the sale of any land within the 5532 FOWLER LANE ANNEXATION.The partiesfurtheragreethatthe City may filethesedocuments atany time. 5532 Fowler Lane Annexation Agreement,Application#24-492 12 2860183 Page 13 of 24 09/16/2025 04:05:28 PM 18.Governing Law and Venue This agreement shallbe construedunder and governed by thelaws ofthe StateofMontana. In the event of litigation,venue isinthe EighteenthJudicialDistrictCourt,in and forCounty of Gallatin,StateofMontana. 19.Attorney's Fees In the event itbecomes necessaryforeitherpartyto thisAgreement toretainan attorney to enforceany of theterms or conditionsof thisAgreement or togiveany noticerequiredherein, then theprevailingpartyor the partygivingnoticeshallbe entitledtoreasonableattorney'sfees and costs,includingfees,salaryand costsof in-housecounselincludingCityAttorney. 20.Waiver A waiver by eitherpartyofany defaultorbreach by theotherpartyofany term orcondition of thisAgreement does not limitthe otherparty'srightto enforcesuch term or conditionor to pursue any availablelegalor equitablerightsintheeventof any subsequentdefaultorbreach.No covenant,term or agreement shallbe deemed waived by eitherpartyunlesswaived inwriting. 21.InvalidProvision The invalidityor unenforceabilityof any provisionof thisagreement shallnot affectthe other provisionshereof,and thisAgreement shallbe construed in allrespectsas ifsuch invalidor unenforceableprovisionwere omitted.22.Modifications or Alterations No modificationsor amendment of thisAgreement arevalidunlessevidencedby a writing signedby thepartieshereto. 23.No Assignment Itisexpresslyagreed thattheLandowner shallnot assignthisAgreement in whole or in partwithoutpriorwrittenconsentof the City. 5532 Fowler Lane Annexation Agreement,Application#24-492 13 2860183 Page 14 of 24 09/16/2025 04:05:28 PM 24.Successors This Agreement shallbe bindingupon,inureto the benefitof and be enforceableby the partiesheretoand theirrespectiveheirs,successorsand assignsand specificallytoany subsequent purchaserofthe annexed property. 25.Covenants toRun with the Land The partiesintendthatthetermsof thisAgreement shallbenefitthe5532 FOWLER LANE ANNEXATION and shallbe covenants runningwith the landand shallnot expireattheirdeaths orupon transferof ownership oftheproperty.
