INDEMNIFICATION AND HOLD HARMLESS AGREEMENT
SRX IISUBDIVISION
This Indemnificationand Hold HannlessAgreement for the SRX IISubdivision ismade and
entered into21 day of January,2026,by and SRX IILLC.with a mailingaddressof 1450
Twin Lakes Ave.,Ste.201,Bozeman,MT,59718,hereinafterreferredto as "Subdivider",
and the City of Bozeman,a municipal corporationoperatingpursuant to the laws of the
State of Montana and itsCharter,with a mailing address of 121 North Rouse Avenue,
Bozeman,Montana 59771,hereinafterreferredto as "City."
RECITALS
WHEREAS,SRX H,LLC owns thefollowingdescribedrealproperty:
Lot 1,Block 1 ofMinor Subdivision494,containing15.069acres,locatedinthe
SW¼NW¼of Section24,Township 2 South,Range 5 East.P.M.M.,Cityof
Bozeman,GallatinCounty,Montana.
Lot 2,Block 1 ofMinor Subdivision494,Common Open Space,containing1.826
acres,locatedintheSW¼NW¼of Section24,Township 2 South,Range 5 East,
P.M.M.,Cityof Bozeman,GallatinCounty,Montana.
Lot 3,Block 1 ofMinor Subdivision494,containing7.644 acres,locatedinthe
SW¼NW¼of Section24,Township 2 South,Range 5 East.P.M.M.,Cityof
Bozeman,GallatinCounty,Montana.
Lot 4,Block 1 of Minor Subdivision494,containing10.519acres,locatedinthe
SW¼NW¼of Section24,Township 2 South,Range 5 East.P.M.M.,Cityof
Bozenian,GallatinCounty,Montana.
The above-describedtractof landishereby referredtoas "Property".
WHEREAS,thedevelopment isknown asthe SRX IISubdivisionPreliminaryPlat,
ApplicationNo.24112 (the"Subdivision").The Citygrantedpreliminaryplatapprovalfor
theSubdivisionon October 7,2025 and the Subdivider now wishes tomeet itsobligations
relatedtothe Subdivisionso itcan seek fmal platapprovalfrom the City.

WHEREAS,Middle Creek Ditch Company operatesirrigationditches(the"Ditchor
"Ditches")locatedupon and burdeningthePropertywhich conveys waterto Middle Creek
Ditch Company's shareholders.Middle Creek Ditch Company astheoperatorof the
irrigationditchisreferredto as the"Ditch Owner".
WHEREAS,the Subdivider infulfillmentof the Subdivisionwishes to encroachupon a 75-
linearfootportionof theexistingSouth 19thAvenue Ditch,which runssouthtonorth,by
constructinga culvertimmediately castof South 19thAvenue tocontaintheDitch inthis
location.The north-southculventisnecessarytoconstructStaudaherStreetand connect
water and sewer mains totheexistingSouth 19thAvenue City right-of-way.The culvertwill
be locatedwithinthefutureStaudaherStreetCity right-of-way.
WHEREAS,theSubdivider infulfillmentof the Subdivisionalsowishes toencroach
upon an 8-footlinearportionof theexistingDitch locatedimmediately south of future
Arnold Streetand on the eastsideof futureSouth 15th Streetwithin existingCity right-
of-way.The east-westculvertisnecessary to constructa temporary 6-footwide gravel
finespath to connect to the existingcityparkland immediately north of Arnold Street
with thefirstphase of development of the Subdivision.
WHEREAS,the Subdivider and the Ditch Owner entered into the Ditch Encroachment
Agreement forthe S.19thditchencroachment on the 14thday ofAugust,2025,recordedwith
theGallatinCounty Clerk and Recorder as Document 2863713,(the"StaudaherStreetDitch
Encroachment Agreement")to setforththe rightsand responsibilitiesofthe Subdividerand
Ditch Owner forencroachingupon theS.19thDitchand foraddressingimpactstotheS.19th
Ditch asitislocatedintheSubdivision.
WHEREAS,theSubdividerand the DitchOwner enteredintoa separateagreement known as
theDitch Encroachment Agreement foran encroachment fora temporarygravelfinespathon
the 14thday of November,2025,(the"Arnold StreetDitchAgreement")tosetforththerights
and responsibilitiesof the Subdivider and Ditch Owner for encroaching upon the future
existingArnold Streetright-of-wayand foraddressingimpactsto theDitch as itislocatedin
the Subdivision.
WHEREAS,theStaudaherStreetDitchAgreement and theAmold StreetDitchAgreement are
collectivelyreferredto as the"DitchEncroachment Agreements".
WHEREAS,theSubdividerwishes toenterintothisAgreement with theCity to memorialize
the Subdivider'sdesireto ensurethe City isnot responsibleforand willbe indemnifiedand
heldharmlessfrom any of theduties,obligations,and responsibilitiesand any claimsassumed
by theSubdividerintheDitch Encroachment Agreements.

In considerationof the mutual promises,and othervaluableconsideration,the receiptand
sufficiencyof which arehereby acknowledged,includingthe City acceptingSubdivider's
professionalengineer'scertificationprovided pursuant to 38.410.060.D.3,BMC,relating
to agriculturalwater userfacilitiesrelatedtothe Subdivision,theSubdivider and theCity
hereby agree as follows:
1.Release/Hold Harmless/Indemnification.The Subdivider,on behalf of themselves
and theirassignsand successors,hereby release,indemnify,and hold the City,its
officials,agents,and employees (the"Indemnitees")harmless from and againstany
suit,cause of action,claim,cost,expense,obligation,and liabilityof any character,
includingattomey'sfees (toincludecostsand salaryof attorneysemployed by or
retainedby theCity),which arebroughtor assertedby any person orentity,including
but not limitedtotheDitchOwner,relatedto the Subdivider'sdutiesand obligations
described in the Ditch Encroachment Agreements,and any subsequent or future
amendments thereto,or inany way relatedto theDitchesor the obligationscontained
in the Ditch Encroachment Agreements,and any subsequent or futureamendments
thereto,relatedtotheDitchesas theyarelocatedon theProperty.
In addition,the Subdivider,on behalf of theirsuccessorsand assigns,waives all
claimsagainstthe Indemniteesand theiragents,insurers,and consultants.including
all claims for contributionor entitlementto special,incidental,indirect,or
consequentialdamages arisingout of,resultingfrom,or in any way relatedto the
dutiesand obligationsdescribedin the Ditch Encroachment Agreements,and any
subsequentor futureamendments thereto,or relatedto the relocatedDitches or the
obligationscontainedin theDitch Encroachment Agreements,and any subsequentor
futureamendments thereto,relatedtotheditchtheyarelocatedon theProperty.
Such indemnityobligationsshallnotbe construedto negate,abridge,orreduceother
rightsor obligationsof indemnity thatwould otherwise exist.The indemnification
obligationscontained in thisAgreement may not be construed to negate,abridge,
or reduce any common-law or statutoryrightsof the City which would otherwise
exist.The Subdivider's indemnity under thisAgreement shallbe without regardto,
and withoutany rightto,contributionfrom any insurancemaintained by City.
Should the City be requiredto bringan actionagainstthe Subdivider,itssuccessors
or assignsto assertitsrightto defense or indemnificationunder thisAgreement,
the City shallbe entitledto recover reasonable costsand attorneyfees from the
Subdivider,its successors or assigns,including costs and salary of attorneys
employed by or retained by the City,incurred in asserting its right to
indemnificationor defense,but only ifa courtof competent jurisdictiondetermines
the Subdivider was obligatedtodefend the claim(s)or was obligatedto indemnify
theCity fora claim(s)or any portion(s)thereof.

Intheevent of an actionfiledagainstthe Cityresultingfrom or in any way relatedto
the City'sperformance or failureto perform obligationsof the Subdivider its
successors or assigns contained in the Ditch Encroachment Agreements,and any
subsequentor futureamendments thereto,the City may electto representitselfand
incurallcostsand expenses of suit.
Notwithstandingthe above,the Subdivider,itssuccessorsand assignsrecognizesa
futuresubdivisionapplicationfortherestricteddevelopment loton thenorthernhalfof
the SRX II Subdivisionmust satisfythe parkland requirementsfor thatrestricted
development lotatthetime ofthefuturedevelopment application.Upon dedicationof
any futureparklandtotheCity,theSubdivider,itssuccessorsor assigns,shallremain
responsible for fulfillingthe duties and obligationscontained in the Ditch
Encroachment Agreements and any subsequentor futureamendments thereto.The City
shallnot,as a successor in interestto futureparkland,be responsiblefor the
Subdivider's obligationsunder the Ditch Encroachment Agreements,and any
subsequentor futureamendments thereto,inso farasthe City becomes a successorin
interestto futureparkland.The Subdivider'sdutiesand obligationscontainedin the
Ditch Encroachment Agreements,and any subsequentor futureamendments thereto,
shallnot be bindingon the City even consideringthe City acceptsthe dedicationof
futureparkland.
2.Miscellaneous.
a.Successors and Assigns.The terms,covenants,and conditions of this
Agreement shallrun with the land and be binding upon,and shallinureto
thebenefitof,the partiesheretoand theirrespectivesuccessorsand assigns
to includea property owners associationand any subsequent purchaser of a
subdividedparcellocatedon the Property.
b.Attorney'sFeesandCosts.That intheevent itbecomes necessary foreither
party of thisAgreement to retainan attorneytoenforceany of theterms or
conditions of this Agreement,the prevailingparty shall be entitledto
reasonable attorney'sfees and costs,including fees,salary,and costs
includingthoseattorneysemployed by or retainedby theCity.
c.Governing Law.This Agreement shallbe governed by and construed in
accordance with thelaws of the Stateof Montana.
d.Notice.Any notices,requests,consents,claims.demands,waivers,summons,
or otherlegalprocess,or similartypes of communication hereunder(each a
"Notice")must be in writingand addressed to the relevantparty at the
addressesseton the firstpage of thisAgreement,or to such otheraddressthat
may be designatedby thereceivingpartyfrom time totime.AllNoticesmust

be deliveredby personaldelivery,nationallyrecognizedovernightcourier(fees
pre-paid),or certifiedor registeredmail (returnreceiptrequested,postage
prepaid).A Noticeiseffectiveon receiptby thereceivingpartyand iftheparty
givingNotice complied with thissection.
e.Counterparts.This Agreement may be executedincounterparts,each ofwhich
isdeemed an original,but allofwhich constituteone and thesame agreement.
f.Headings.The headingsused inthisAgreement areforconvenience only and
arenottobe construedas a partoftheAgreement orasa limitationon thescope
of theparticularparagraphstowhich theyrefer.
g.Severability.If any portion of this Agreement is held to be void or
unenforceable,allotherprovisionsof thisAgreement shallremain ineffect.
h.No Third-PartyBeneficiary.This Agreement isfortheexclusivebenefitofthe
parties,does notconstitutea third-partybeneficiaryagreement,and may notbe
reliedupon or enforcedby a thirdparty.
i.Consent to ElectronicSignatures.The Partieshave consentedto executethis
Agreement electronicallyinconformance withtheMontana Uniform Electronic
TransactionsAct,Title30,Chapter 18,Part1,MCA.
j.Integration.This Agreement constitutethe entireAgreement of the parties.
Covenants or representationsnot containedhereinor made a partthereofby
reference,are not binding upon the parties.There are no understandings
between the partiesother than as set forth in this Agreement.All
communications,eitheroralorwritten,made priortothedateof thisAgreement
are hereby abrogated and withdrawn unlessspecificallymade a partof this
Agreement by reference.
