INDEMNIFICATION AND HOLD HARMLESS AGREEMENT
This Indemnificationand Hold HanulessAgreement("Agreement")ismade and entered
into day of e(M ,2025,by EricMortenson and JeriMortenson,with a mailing
addressof 1887 SpringView Court,Bozeman MT 59718,hereinafterreferredtoas"Owners,"
and the City of Bozeman,a Municipal Corporation of the Stateof Montana operating
pursuant to itsCharter,with a mailing address of 121 North Rouse Avenue,Bozeman,
Montana 59715,hereinafterreferredto as"City."
RECITALS
A.WHEREAS,EricMortenson and JeriMortenson,aretheOwners oftheparcelofland
withintheboundary ofBozeman Citylimits,includingthefollowingdescribedreal
property,which isreferredtointhisAgreement as"theServientTenement":
Lot 3,Block 1 ofWest Winds SubdivisionPhase 8,locatedintheNW 1/4
Section2,Township 2 South,Range 5 East,P.M.M.,CityofBozeman,Gallatin
County,Montana,accordingtotheofficialplatthereofon fileand ofrecordinthe
officeoftheCounty Clerkand Recorderof GallatinCounty,Montana.
B.WHEREAS,CityofBozeman istheGranteeand Dominant Tenement pursuanttoa
Sewer PipelineEasement.The Cityistheowner and operatorofa sewerpipelinelocated
withinthisEasement and burdeningtheServientTenement,which conveys sewage to
providewastewaterservicetoCityofBozeman residents.
C.WHEREAS,theCityholdsa perpetual30 footwide sewer pipelineeasementtolay,
constructand maintaina sewer pipelinewiththeusualservices,valves,connections,
accessoriesand appurtenancesforthepurposeof transmittingsewage in,through,and
acrosstheServientTenement.
D.WHEREAS,theEasement providesthattheGrantorof theServientTenement willnot
build,construct,erectormaintainany permanent structurewithintheboundariesof said

easementwithoutthepriorwrittenconsentofGRANTEE.
E.WHEREAS,theOwners inadvertentlyencroachedupon thesewerpipelineeasementby
buildinga concretedrivewayand otherhardscapeappurtenancesovertheeasement.
F.WHEREAS,theOwners acceptthatunplanned and plannedrepairs,maintenance,or
replacementofsewerpipelinewillimpacttheOwners'operationsor any otherfuture
useswithintheeasement.
G.WHEREAS,theCityisnotresponsibleforimpactstoOwners'operationsor any other
futureuseson thesiterelatedtoCityconstructionactivitiestorepair,maintainorreplace
thesewerpipeline.
AGREEMENT
In considerationof the mutual promises,and othervaluableconsideration,the receiptand
sufficiencyof which are hereby acknowledged,the Owners and City hereby agree as
follows:
Encroachment on theEasement.The Owners inadvertentlyencroachedon the
Easement by buildinga concretedriveway and otherhardscapeappurtenanceswithinthe
Easement.The Owners understandthattheCitywillcontinuetoaccesstheServient
Tenement and utilizetheEasement.The Citymaintainsallofitsrightsacrossthe
ServientTenement and totheEasement.The Cityisnotrequiredtoprovidepriornotice
totheOwners ofitsintenttoutilizetheEasement.
However,priortoconductingany plannedrepairs,maintenance,orreplacementwithin
the30 feetwide sewer pipelineeasement,which isnotimmediatelyrequired,theCity
shallgivetheOwners 30 days minimum advance writtennoticeof therepair,
maintenance,or replacementrequired.
Use oftheEasement,includingbutnotlimitedtosewer pipelinerepairs,maintenance,or
replacementwithintheEasement,may requireshuttingdown thedrivewayand other
areaswithintheeasement,and causeadditionalimpactstoOwners'operationsand any
otherfutureoperationsforan unknown periodoftime.The Citymay requiretheOwners,
attheOwners'expense,torelocateOwners'privateutilitiesand appurtenanceslocated
withinthe30 feetwide sewer pipelineeasement.
1.Release/HoldHarmless/Indemnification.
a.The Owners agreeto release,indemnify and hold harmlessthe City,itsofficers,
agents,and employees (the"Indemnitees")from and againstany suit,cause of
action,claim,cost,expenses,obligation,and liabilityof any character,including
attorney'sfeesto includecostsand salaryofattorneysemployed by or retainedby
theCity,which arebroughtor assertedforany injury,death,orphysicaldamage to
property,costs,damages,and forany otherexpenses,costs,and feesrelatedtoloss
of use of propertyor othereconomic lossesof any nature,as the above may be
receivedorsustainedby any person,persons,property,businessor any otherentity,

arisingoutoforresultingfrom,orinconnectionwiththeCity'sdecisionsregarding
theuse of theEasement or relatingto the Easement,includingbut not limitedto
dischargesof sewage,constructionactivities,and damage to or removal of
infrastructure,improvements,orappurtenances.
To the fullestextentpermitted by law,the Owners waive allclaims against
Indemniteesand theiragents,insurers,and consultants,includingany and allclaims
foror entitlementto special,incidental,indirect,or consequentialdamages arising
outof,resultingfrom,orinany way relatedtouse oftheEasement.
b.Such obligationsshallnotbe construedtonegate,abridge,orreduceotherrightsor
obligationsof indemnity that would otherwise exist.The indemnification
obligationsof thisAgreement must notbe construedtonegate,abridge,orreduce
any common-law or statutoryrightsoftheCitywhich would otherwiseexist.
c.The Owners'indemnityunderthisAgreement shallbe withoutregardto,andwithout
any rightto,contributionfrom any insurancemaintainedby City.
d.Should the City be requiredto bring an actionagainstthe Owners to assertits
rightto defense or indemnificationunder thisAgreement,the City shallbe
entitledto recoverreasonablecostsand attorneyfees,includingcostsand salary
of attorneysemployed by or retainedby theCityincurredinassertingitsrightto
indemnificationor defense.
e.An Indemnitee seeking indemnificationunder thisAgreement shallgive the
Owners:(i)prompt Notice,as defined in Section 3(e)below,of the relevant
claim;providedhowever,thatfailuretoprovide such noticeshallnot relievethe
Owners from itsliabilityor obligationhereunder except to the extentof any
material prejudice directlyresultingfrom such failure;and (ii)reasonable
cooperationindefenseofsuch claim.
f.In theeventof an actionfiledagainsttheCityresultingfrom theCity'sperformance
under thisAgreement,theCitymay electtorepresentitselfand incurallcostsand
expenses of suit.
g.These obligationsshallsurviveterminationof thisAgreement,and the services
performed hereunder.
2.Miscellaneous.
a.Successorsand Assigns.The terms,covenants,and conditionsof thisAgreement
shallrun with the land and be bindingupon,and shallinuretothebenefitof,the
partiesheretoand theirrespectivesuccessorsand assigns.
b.Attorney'sFees and Costs.That intheeventitbecomes necessaryforeitherparty
of thisAgreement to retainan attorneytoenforceany oftheterms or conditions

ofthisAgreement ortogiveany noticerequiredherein,thentheprevailingpartyor
theparty giving noticeshallbe entitledto reasonable attorney'sfeesand costs,
including fees,salary,and costs including those attorneysemployed by or
retainedby the City.
c.GoverningLaw.This Agreement isexecuted and deliveredand isto be performed
in and shallbe governed by and construed in accordance with,the laws of the
Stateof Montana.
d.Notice.Any notices,requests,consents,claims,demands,waivers,summons,orother
legalprocess,or similartypesof communication hereunder(eacha "Notice")must
be inwritingand addressedtotherelevantpartyattheaddressesseton thefirstpage
of thisAgreement,orto such otheraddressthatmay be designatedby thereceiving
party from time to time.All Notices must be deliveredby personal delivery,
nationallyrecognizedovernightcourier(feespre-paid),or certifiedor registeredmail
(returnreceiptrequested,postageprepaid).A Notice iseffectiveon receiptby the
receivingpartyand ifthepartygivingNotice complied with thissection.
e.Counterparts.This Agreement may be executed in counterparts,each of which is
deemed an original,butallofwhich constituteone and thesame agreement.
