ANDACCESSEASEMENTANDAGREEMENT
CITY OF BOZEMAN,a Municipal corporation of the State of Montana,of P.O.Box 1230,
Bozeman,MT 59715 ("GRANTOR"),inconsiderationof Seven Thousand Four Hundred Four &
10/100 Dollars($7,404.10)and othergood and valuableconsideration,inhand paid,the receiptof
which isacknowledged,grantstoNORTHWESTERN CORPORATION,a Delaware corporation,
d/b/aNORTHWESTERN ENERGY,of11 East Park,Butte,MT 59701-1711 ("GRANTEE"),and to
itssuccessors,assigns and apportionees,an easement ten (10)feet in width,upon which to
construct,operate,maintain,replace,upgrade,and remove a naturalgas pipeline,an underground
electricpowerline,communications system,and necessaryappurtenances,over,under,alongand
acrossa stripofCityofBozeman parklandsituatedinGallatinCounty,Montana,to be locatedon
thefollowingdescribedrealproperty:
Parcel3:Park,ofMinor SubdivisionNo.154A,beingan Amended Platof Lot 1 of Minor
SubdivisionNo.154,situatedintheSW¼ofSection31,Township 1 South,Range 6 East,
P.M.M.,CityofBozeman,GallatinCounty,Montana,accordingtotheofficialplatthereofon
fileand ofrecordintheofficetheCounty Clerkand Recorder ofGallatinCounty,Montana.
(the"RealProperty")
For an illustrationofthe approximate locationof the easement area,see Exhibit"A"
attachedheretoand by thisreferencemade a parthereof.
This grantincludesthe rightofthe GRANTEE,itssuccessors,permittees,licensees,and assigns
and itsand theiragents and employees,to enterat alltimes upon the Real Propertyby using
existingroads or trailsor otherwiseby a routecausing the leastdamage and inconvenienceto
the GRANTOR inordertosurvey and establishthe routeand locationoftheutilityeasement and
underground electricpowerlineand pipelineand to:
(1)Construct,operate,patrol,repair,substitute,remove,enlarge,replace,and maintainthe
underground electricpowerline,pipeline,services,connections,accessoriesand appurtenances;
THE GRANTEE AGREES:
(1)That,in connectionwith the construction,operating,patrolling,repairing,substituting,
removing,enlarging,replacing,and maintainingof said underground electricpowerline and
pipeline,itwillrepairor replace,atitssole expense,or pay to GRANTOR the reasonablevalue
ofany damages togrowing crops,existingfences,ditchesand otherappurtenances ofsaid land
thatmay be disturbedby itsoperation,as determinedby the GRANTOR,ina timelymanner when
weather conditionsare conducive.
(2)That theGRANTEE willnotifytheCityofBozeman Parks and RecreationDepartment prior
toany actionsthatcouldinterferewitheventsorseasonal maintenance plannedforthe park area.

(3)That,duringoperationsinvolvingexcavation,itwillremove thetopsoilfrom the excavated
area toa depth ofone foot,ortothefulldepth ofthetopsoil,whichever isless,and stockpilesaid
topsoilforreplacement over the excavated area.Itwillremove from the siteany largerocks or
surplusexcavatingmaterialor any debristhatmay have been exposed by the excavationand
remains afterbackfillingiscompleted.And,itwillleave the finishedsurfaceinsubstantiallythe
same conditionas existedpriortothe beginningofoperationsexceptthatthesurfaceofbackfilled
areas may be mounded sufficientlytopreventtheformationofdepressionsafterfinalsettlement
has taken place.
(4)That itwillmonitorthe disturbedarea forweed emergence fora periodof5 years afterthe
initialinstallationand shallperform at itssoleexpense,or pay GRANTOR the reasonablevalue
for,weed mitigationnecessitatedinthearea ofdisturbance.
(5)That the powerlineand pipelinewillbe installedata depth no greaterthan fourfeetbelow
the surfaceofthe existingterraintoavoid conflictswithotherpublicutilitiesinthe parkland.
(6)That,priorto construction,itwillpay the GRANTEE Seven Thousand Four hundred Four
&10/100 Dollars($7,404.10)forthe Two Thousand Seven Hundred Ninety Four (2,794.00)
square footarea of the easement,which isbased on the Cityof Bozeman adopted appraised
valueforparkland,ata rateof$2.65 per square foot,withthe dimensions ofthe easement being
ten (10)feetwide,by roughlyTwo Hundred Seventy Nine &40/100 (279.40)feetinlength.
THE GRANTORAGREES:
(1)At no timewillthe GRANTOR build,construct,erector maintainany permanent structure
withinthe boundariesofsaideasement withoutthe priorwrittenconsent of the GRANTEE.
(2)At no time willitmodify the finishedgrade of the land over the underground electric
powerline and pipelineby removal of existingsoilor by placement of fillmaterialwithinthe
boundariesofsaideasement withoutthe priorwrittenconsent ofthe GRANTEE.
(3)The GRANTOR warrants thatitislawfullyseized and possessed of the Real Property
describedabove,thatithas a lawfulrighttoconvey the property,or any partof it,and thatitwill
foreverdefend the titletothispropertyagainstthe claimsofallpersons.
(4)The GRANTEE may peaceably hold and enjoy the rightsand privilegeshereingranted
withoutany interruptionby theGRANTOR.The terms,covenants and provisionsofthiseasement
and agreement shallextend toand be bindingupon theheirs,executors,administrators,personal
representatives,successorsand assignsofthe partieshereto.
