The Easement is more particularly described on Attached Exhibit A annexed hereto.
The GRANTOR warrants that,subject to easements on the ground and all matters of
record,it is lawfully seized and possessed of the Property described above.
The GRANTOR further agrees that the GRANTEE may peaceably hold and enjoy the
rights and privileges herein granted without any interruption by the GRANTORS.
The terms,covenants and provisions of this Easement shall extend to and be binding
upon the heirs,executors,administrators,personal representatives,successors and assigns of the
parties hereto.
Additional terms and conditions:
(1)GRANTEE agrees to protect,defend,indemnify,and hold GRANTOR,its officers,
agents,contractors and employees(collectively,the"Grantor Parties"),harmless from

(1)GRANTEE agrees to protect,defend,indemnify,and hold(_YRANTOR,its officers,
agents,contractors and employees(collectively,the"Grantor Parties"),harmless from
and against all claims,liabilities,demands,causes of action,and judgments t
(including the cos t of defense and reasonable attorney fees)arising in favor of or
asserted by the Grantor Parties or third parties on account of personal or bodily
injury,death or damage to properly,arising out of the acts or omissions of the
GRANTEE,its agents,or sub-contractors,or caused or claimed to be caused by the
existence of the Easement and the exercise of GRANTEE's rights Ender this
Agreement,except for the negligence of GRANTOR.
(2)GRANTEE hereby represents,warrants and agrees that GRANTEE will be engaging
a contractor or contractors(the"CONTRACTORS")to construct the trail upon and
over the Easement area and to maintain it. GRANTEE shall be responsible for any
and all mechanics'and other liens and encumbrances filed by any person claiming by,
through or under GRANTEE,or performing work on behalf of GRANTEE,
including,without limitation,the CONTRACTORS,and GRANTEE will be
responsible for all costs,expenses,losses and liabilities(including reasonable
attorneys'fees)incurred by GRANTOR in connection with any such lien or
encumbrance or any action or proceeding brought thereon that is a result of this
Easement. GRANTEE at its expense shall procure the discharge of record of all such
liens and encumbrances within.thirty(30)days after notice thereof.
(3)Prior to any entry onto the Property by the CONTRACTORS,GRANTEE shall
ensure that all CONTRACTORS provide GRANTOR with evidence of instumwe by
way of appropriate and sufficient certificates of insurance and applicable
endorsements,iucluding the following coverages:
(i) Comprehensive Automobile and Vehicle Liability insurance("Auto Liability")
covering claims for injuries to property of others arising from the use of motor
vehicles,including offite and offsite operations,and owned and non-owned or hired
vehicles,with$2,000,000 combined single limits;and
(ii) Commercial General Liability insurance("General Liability")covering
claims for injuries to members of the public or damage to property arising out of
any covered negligent act or omission of CONTRACTORS and any of their
employees,agents,or subcontractors with$3,000,000 per occurrence and in the
aggregate.
(iii) CONTRACTORS shall maintain,Workers'Compensation and
Employers'Liability insurance as required by the state of Montana.
GRANTEE hereby agrees that it shall ensure that GRANTOR is named as an
additional insured on all Auto Liability and General Liability policies carried by

CONTRACTORS by appropriate endorsement thereof and with respect to
Workers'Compensation and Employers'Liability insurance,GRANTEE shall
ensure that all rights of subrogation have been waived by CONTRACTORS'
carriers against GRANTOR.
(4) GRANTEE shall minimize any disruption to GRANTOR'S business operations
occasioned by GRANTEE'S use of the Easement Area. Installation shall be
accomplished in an expeditious manner.GRANTEE shall maintain comprehensive
general liability insurance during the duration of construction of the GRANTEE'S
construction project naming GRANTOR,United Parcel Service,Inc.,a Delaware
corporation,and its officers,directors,employees,agents,and invitees as an
additional insured under the GRANTEE'S general liability insurance.Prior to any
entry upon the Easement Area and from time to time,GRANTEE shall provide a
certificate of insurance to GRANTOR evidencing that such insurance is in ful L force
and effect and upon the execution of the Easement.
(5)GRANTEE,upon conclusion of any activity upon said Easement,shall cause all
debris and materials incident to such activity to be removed from GRANTOR'S
property and to the extent reasonably possible,shall restore the property to its pre-
existing state.
(6)GRANTEE shall not use the surface of the Easement Area for any purpose and in any
manner not specifically authorized herein.
(7)GRANTEE shall comply with all Local,State and Federal environmental laws,rules,
codes and regulations in connection with its activities on GRANTOR'S premises and
in the Easement Area. GRANTEE shall indemnify,defend and hold GRANTOR
harmless from any breach of the foregoing covenant.
(8)The Easement shall not be effective until GRANTOR and GRANTEE have executed
this Easement.
