THIS AGREEMENT made and enteredintothis 22 day of FE8 ,2024,
by and between the CITY OF BOZEMAN,a self-governingmunicipal corporationorganized and
existingunder itsCharter and the laws of the Stateof Montana with officesat 121 N.Rouse Avenue,
Bozeman,Montana 59771-0640,hereinafterreferredto as "City",and William Thompson,414 South
9thAvenue,Bozeman,MT 59715,hereinafterreferredto as "Landowner".
W IT N E S S E T H:
WHEREAS,Landowner isowner infee of a tractof certainrealproperty,hereinafterreferred
to as the WALKER PROPERTY LOT 5,BLOCK 1 ANNEXATION situatedin GallatinCounty,
Montana,and more particularlydescribedas follows:
An areaof land comprised describedas follows:
A parcelofland inthe Walker PropertySubdivision,being Lot 5,Block 1,and theadjacent
60 footRight-Of-Way of Campbell Road,locatedin the Southwest Quarter of Section25,
and the SoutheastQuarter of Section26,Township 1 South,Range 5 East of thePrincipal
Meridian of Montana,GallatinCounty,Montana,being furtherdescribedas follows:
Beginning atthe Southeast Corner of saidLot 5,Block 1,Walker Property Subdivision.
Thence South 65°03'49"West,a distanceof 60.00 feetto a point on the southwest right-
of-way lineof Campbell Road.Thence North 24°56'11"West,a distanceof 139.23 feet

Said parcelof land being 111,184 square feet(2.552 acres),along with and subjectto all
existingeasements of record or apparent on the ground.

WHEREAS,the Landowner petitionedthe City for annexation to the City of the WALKER
SUBDIVISION ANNEXATION;and
WHEREAS,the WALKER SUBDIVISION ANNEXATION isnot withinthe corporatelimits
of the City or other municipality and may thereforebe annexed to the City in accordance with the
provisionsof thisAgreement and Title7,Chapter 2,Part46,Mont.Code Ann.;and
WHEREAS,all parties recognize the annexation of the WALKER SUBDIVISION
ANNEXATION pursuant to Section 7-2-4601,et seq.,Mont.Code Ann.will allow the WALKER
PROPERTY LOT 5,BLOCK 1 ANNEXATION to connect to and utilizeCity services,including
municipal water and sewer service,parks and recreation,fireand police services,and the City's
transportationsystem;and
WHEREAS,Section 7-2-4610,Mont.Code Ann.provides thata municipalityand landowner
can agree tothe provisionsof servicesto the area to be annexed;and
WHEREAS,the partiesrecognizeadditionaldevelopment on the WALKER PROPERTY LOT
5,BLOCK 1 ANNEXATION willimpact areaparks,recreation,transportation,police,and fireservices,
WALKER PROPERTIES,LOT 5,BLOCK 1,SUBDIVISION Annexation Agreement 2
and thatfutureimprovements may requireadditionalpublicinfrastructurestreetimprovements including
transportationfortrafficcirculationand theprovisionsofparks,recreation,police,and fireservices;and
WHEREAS,the Landowner findsthisAgreement willprovide for the most satisfactoryand
dependable water supply and sewer supply or service,and provide transportation,parks,recreation,
police and fire service for development of the WALKER PROPERTY LOT 5,BLOCK 1
ANNEXATION;and
WHEREAS,thepartieshave determined thatitisinthebestinterestsoftheCityand Landowner,
and infurtheranceof thepublichealth,safetyand welfareofthecommunity toenterintoand implement
thisAgreement.
W IT NE S S E T H:
IN CONSIDERATION of the mutual covenants and agreements herein contained,the parties
heretoagree as follows:
1.Recitals
The above recitalsaretrueand correct.
2.Annexation
The Landowner filedan applicationfor annexation of the WALKER PROPERTY LOT 5,
BLOCK 1 ANNEXATION with the City on March 28,2022.By executionof thisAgreement,theCity
manifests itsintentto annex the WALKER PROPERTY LOT 5,BLOCK 1 ANNEXATION tract
pursuant totheterms and conditionsof thisAgreement.Subjectto the provisionsof Title7,Chapter 2,
Part 46,Mont.Code Ann.the City shall,upon execution of thisAgreement,adopt a Resolution of
Annexation of the WALKER PROPERTY LOT 5,BLOCK 1 ANNEXATION.Further,upon the
WALKER PROPERTIES,LOT 5,BLOCK 1,SUBDIVISION Annexation Agreement 3
executionofthisAgreement,theLandowner shalldo allthingsrequiredby thisAgreement and allthings
necessary and proper to aid and assistthe City in carryingout the terms,conditionsand provisionsof
this Agreement and to effectthe annexation of the WALKER PROPERTY LOT 5,BLOCK 1
ANNEXATION.
3.Services Provided
The City will,upon annexation,make availableto the WALKER PROPERTY LOT 5,BLOCK
1 ANNEXATION existingCity servicesonly to the extentcurrentlyavailable,or as provided in this
Agreement.
4.Municipal Water Service Defined
The term "municipal water service"as isused in thisagreement shallbe the servicewhich is
suppliedby the City in accordance with Chapter 40,Article2,Bozeman Municipal Code,as amended,
as well as any otherterms and conditionswhich apply tothe City'sprovisionof municipal water service
but does not includethe extensionof linesor constructionof necessary improvements atany costto the
City fordeliveryof water to and withinthe WALKER PROPERTY LOT 5,BLOCK 1 ANNEXATION.
Nothing in thisAgreement shallobligatethe City to pay for right-of-wayacquisition,engineering,
construction,and othercostsforthe deliveryof water to or withinthe WALKER PROPERTY LOT 5,
BLOCK 1 ANNEXATION to include,but not limitedto,any impact fees,hook-up,connection,or
development chargeswhich have been or may be establishedby the City.
5.Municipal Sewer Service Defined
The term "municipal sewer service"as isused in thisAgreement shallbe the servicewhich is
suppliedby the City in accordance with Chapter 40,Article3,Bozeman Municipal Code,as amended,
as well as any otherterms and conditionswhich apply to theCity'sprovisionofthisservicebut does not
include the extensionof linesor constructionof necessary improvements at any cost to the City for
WALKER PROPERTIES,LOT 5,BLOCK 1,SUBDIVISION Annexation Agreement 4
collectionof sewage at and within the WALKER PROPERTY LOT 5,BLOCK 1 ANNEXATION.
Nothing in thisAgreement shallobligatethe City to pay for right-of-wayacquisition,engineering,
construction,and other costs for the collectionof sewage servicesto or within the WALKER
PROPERTY LOT 5,BLOCK 1 ANNEXATION to include,but not limitedto,any impact fees,hookup,
connection,or development charges which may be establishedby the City.
6.Water and Sewer Connections
Landowner understands and agrees that water and sewer servicesmust be constructed in
accordance with design and specificationsapproved by the Citypriortotheinstallationof the water and
sewer lines.Landowner must contactthe City Water and Sewer Divisionto obtaindetailsofconstruction
requirements.
Any wells presentlyused for domestic purposes may be retainedfor irrigationonly,with no
physical connection to municipal domestic water piping.Certificationthat there is no physical
connection between any on-sitewell and a domestic water linecoming from the City'swater supply
must be provided.Costs of alldisconnectsand/or subsequent reconnectsshallbe borne by Landowner.
7.Water Rights
The Landowner specificallyrecognizesand agrees the Landowner must provide water rightsor
cash in-lieuofwater rightsupon furtherdevelopment or subdivisionof the propertyin accordance with
Section 38.410.130,Bozeman Municipal Code.The City willcalculatethe amount of water rightsor
cash-in-lieuthereofdue atthe time of furtherdevelopment or subdivisionof the propertybased on the
annual demand forvolume of water the development willrequiremultipliedby themost currentannual
unitpricein effecton the datethe water rightsare transferredorpayment-in-lieuof water rightsistobe
made to the City.As such,the Landowner acknowledges thatthe ratesforcash in-lieuof water rights
may increase over time as establishedby Resolution of the City Commission.The applicantmust

perform a water rightssearchto determine ifany existforthisproperty.The Landowner must transfer
any water rightsthatexistforthispropertyto the City of Bozeman priorto development thatthe City of
Bozeman determinesareusefulforCity purposes.Ifinsufficientwater rightsexist,the Landowner must
pay cash inlieuof water rights,in an amount determined by the Water Adequacy code requirement,per
BMC 38.410.130,priorto development.
8.Comprehensive Water and Water Design Report
Priortofuturedevelopment of thepropertytheCitymay requirethe Landowner tohave prepared
by a ProfessionalEngineer,at Landowner's sole expense,a comprehensive design reportevaluating
existingcapacityof sewer and water utilitiesinthe area.The reportmust includehydraulicevaluations
ofeach utilityforboth existingand post-development demands,and thereportfindingsmust demonstrate
adequate capacityto servethe fulldevelopment of the land.Ifadequate infrastructurecapacityisnot
available for the proposed development,the report must identifywater or wastewater system
improvements necessary forthe proposed development.Ifimprovements to thiswater or wastewater
system are necessary,the Landowner agrees priorto development of the WALKER PROPERTY LOT
5,BLOCK 1 ANNEXATION tocomplete,atLandowner's expense,thenecessarysystem improvements
to servethe proposed development.
9.Future Development Limitations
The Landowner shallbe responsibleforinstallingallfacilitiesrequiredtoprovide fullmunicipal
servicestothepropertyinaccordance with the City'sInfrastructureMaster Plans and allCity regulations,
policiesand guidelinesthatmay be in effectatthe time of any futuredevelopment.Thus,Landowner
understands and agreesLandowner has no right,eithergranted or implied,foritto furtherdevelop any
oftheWALKER PROPERTY LOT 5,BLOCK 1 ANNEXATION untilitisverifiedby the City thatthe
necessarymunicipal services,includingbutnot limitedtopoliceand fireprotection,parksand recreation,
WALKER PROPERTIES,LOT 5,BLOCK 1,SUBDIVISION Annexation Agreement 6
transportation,and sewer and water capacity,are availableto all or a portion of the WALKER
PROPERTY LOT 5,BLOCK 1 ANNEXATION.Notice isthus provided tothe Landowner thatprior
to additionaldevelopment of the property,the Landowner willbe solelyresponsiblefor installing,at
Landowner's soleexpense,any facilitiesor infrastructurerequiredto provide fullmunicipal servicesto
the WALKER PROPERTY LOT 5,BLOCK 1 ANNEXATION in accordance with the City's
infrastructureplans,adopted Growth Policies/Community Plans,and allothercityregulations,policies
and guidelinesthatmay be in effectatthetime of development.
10.Stormwater Master Plan
Landowner understands and agrees a Stormwater Master Plan forthe WALKER PROPERTY
LOT 5,BLOCK 1 ANNEXATION for a system designed to remove solids,oils,grease,and other
pollutantsfrom the runoff from public streetsand other impermeable surfacesmay be requiredto be
provided to and approved by the City Engineer atthe time of any futuredevelopment.The plan must
demonstrate thatadequate treatmentof runofffrom public streets,otherimpermeable surfaces,and all
future lotswill be achieved by providing spot elevations,flow directionarrows,detentionand/or
retentionbasin details(includingbasin sizingcalculationsand basin typicalsections),outletstructure
details,and culvertcapacitycalculations.The plan must alsolocateand provide easements foradequate
drainageways withintheWALKER PROPERTY LOT 5,BLOCK 1ANNEXATION totransporttreated
runofftothestormwater receivingchannel.The plan shallincludesitegradingand elevationinformation,
typicalstormwater detention/retentionbasin and dischargestructuredetails,basin sizingcalculations,
and stormwater maintenance plan.Landowner recognizesthe Citymay requiresuch Stormwater Master
Plan to be implemented in allor part as a condition of approval of development of the WALKER
PROPERTY LOT 5,BLOCK 1 ANNEXATION.

11.Waiver of Right-to-ProtestSpecial Districts
A.Landowner shallexecute a Waiver of Right-to-ProtestCreationof SpecialDistricts(SID)
or Special Improvement Districtsfor streetand transportationimprovements including design and
engineering,paving and subsurfaceimprovements,curb and gutter,sidewalk and stormwater drainage
facilities,and fiberopticconduitforCampbell Road and intersectionimprovements forCampbell Road
and SpringhillRoad includinglighting,signalization/channelization,paving,curb/gutter,sidewalk,and
storm drainageas setforthin Exhibit"A".The Landowner agrees such SID willprovide a mechanism
forthe fairand equitableassessment of constructionand maintenance costsforsuch improvements.The
waiver isattachedheretoas Exhibit"A"and ishereby incorporatedin and made a partofthisAgreement.
B.Landowner agrees thatin the event a specialdistrictor an SID is not utilizedfor the
completion of theseimprovements as describedin subsectionA above,the Landowner shallparticipate
inan alternativefinancingmethod forthecompletion of the improvements on a fairshare,proportionate
basisas determined by the City on thebasisof the square footage of property,taxablevaluationof the
property,trafficcontributionfrom the development or a combination thereof.
C.Landowner understandsand agreesthatthe City willchoose creationof a SID or special
districtor an alternativefinancingmethod forthe completion of the improvements and may use either
financingoption atany time.
12.Public Streetand UtilityEasement
The Landowner understands and agrees thata utilityeasement must provide a 10 foot utility
easement along thepropertyfrontagedirectlyabuttingtheCampbell Road fortheextensionof dry utility
to and through the property priorto the adoption of Resolution of Annexation.The Landowner,at its
soleexpense,has createdsuch easements in a locationand form agreeableto the City and the easement
willbe filedatthe GallatinCounty Clerk and Recorder's Office.

The Landowner furtherunderstandsand agreesthatadditionalpublicstreetand utilityeasements
may be requiredfordeliveryof municipal serviceswith futuredevelopment and such easement shallbe
provided atthe Landowner's soleexpense.
13.StreetImprovements
The Landowner understands and agreesthatatthe time of futuredevelopment theportionof the
WALKER PROPERTY LOT 5,BLOCK 1 ANNEXATION and itsrelatedtransportationinfrastructure
frontingthe WALKER PROPERTY LOT 5,BLOCK 1 ANNEXATION thispropertymust be improved
to a City standardatLandowner's expense.
14.Impact Fees
Landowner acknowledges thatannexation and development of theirproperty will impact the
City'sexistingstreet,water and sewer infrastructure,and the City'sfireservice.As approved by the
City,theLandowner and itssuccessorsmust pay:
A)Fireimpact feesequalto the amount per Chpt.2,Art.6.Div.9 BMC,or as amended,at
time of issuanceof a buildingpermit.
B)Transportationimpact feesequal to the amount per Chpt.2,Art.6.Div.9 BMC,or as
amended,attime of issuanceof a buildingpermit.
C)Water impact feesasrequiredby Chpt.2,Art.6.Div.9 BMC,or as amended,atthetime
of connection tocitywater services.
D)Sewer impact feesas requiredby Chpt.2,Art.6.Div.9 BMC,or as amended,atthetime
of connection to citysewer services.
The amount of impact feethe Landowner or itssuccessorspay forconnection to the city'swater
and sewer services,ifany,shallbe calculatedbased on theprovisionsof the Bozeman Municipal Code,
as amended,in effectat the time of applicationfora permit to connect.The amount of streetor fire
impact feesto be paid,ifany,shallbe calculatedbased on the provisionsof the Bozeman Municipal
Code,as amended,in effectatthe time an applicationforbuildingpermit issubmitted.
Landowner furtherunderstands and agrees that any improvements,eitheron-siteor off-site,
necessary to provide connection of the WALKER PROPERTY LOT 5,BLOCK 1 ANNEXATION
WALKER PROPERTIES,LOT 5,BLOCK 1,SUBDIVISION Annexation Agreement 9
municipal servicesand which arewholly attributableto the property as determined exclusivelyby the
City are considered "projectrelatedimprovements"as defined in Chapter 2,Article6,Division 9,
Bozeman Municipal Code,as amended,and as such,arenot eligibleforimpact fee credits.
IfLandowner defaultson thisconditionatthe time such isto be performed,and should default
not be remedied or correctedwithin thirty(30)days afterwrittennoticeby City to the Landowner and
Landowner/Developer of such default,City may atitsoption:
A)Declare the amounts owing for impact feesimmediately due and payable and City
shallhave the rightand privilegeto take legalactionagainstLandowners for the
collectionof such sum,includingthe entry of any judgment.In addition,the City
may,at itsoption,enforcepayment of such amount by levyingan assessment on the
property.
B)Electany otherremedy availableto City under the laws of the Stateof Montana.
15.Assessments
Landowner understandsand agreesthatafterthisAgreement isrecorded the WALKER
PROPERTY LOT 5,BLOCK 1 ANNEXATION willbe subjectto City assessmentsforarterialand
collectorstreets,streetmaintenance,and treemaintenance on the same basisas allotherpropertiesin
the City.
16.Additional Terms
The partiesrecognizethesedocuments must be filedand ofrecordwith theGallatinCounty Clerk
and Recorder prior to the sale of any land within the WALKER PROPERTY LOT 5,BLOCK 1
ANNEXATION.The partiesfurtheragree thatthe Citymay filethesedocuments atany time.
17.Governing Law and Venue
This agreement shallbe construed under and governed by the laws of the stateof Montana.In
the event of litigation,venue isin the Eighteenth JudicialDistrictCourt,in and forCounty of Gallatin,
Stateof Montana.

18.Attorney's Fees
In the event itbecomes necessary for eitherparty to thisAgreement to retainan attorneyto
enforceany of the terms or conditionsof thisAgreement,then the prevailingparty shallbe entitledto
reasonableattorney'sfeesand costs,to includethe salaryand costsof in-house counsel includingCity
Attorney.
19.Waiver
No waiver by eitherparty of any breach of any term,covenant or agreement shallbe deemed a
waiver of the same or any subsequent breach of thissame or any otherterm,covenant or agreement.No
covenant,term or agreement shallbe deemed waived by eitherpartyunlesswaived inwriting.
20.Invalid Provision
The invalidityor unenforceabilityof any provisionof thisagreement shallnot affectthe other
provisions hereof,and this Agreement shall be construed in all respects as if such invalid or
unenforceableprovisionwere omitted.
21.Modifications or Alterations
No modificationsor amendment of thisAgreement shallbe validunlessevidenced by a writing
signed by thepartieshereto.
22.No Assignment
It is expressly agreed thatthe Landowner and/or Landowner/Developer shallnot assign this
Agreement inwhole or inpartwithout priorwrittenconsentof the City.
23.Successors
This Agreement shallbe binding upon,inureto the benefitof and be enforceableby the parties
heretoand theirrespectiveheirs,successorsand assignsand specificallyto any subsequent purchaserof
the annexed property.

24.Covenants to Run with the Land
The partiesintendthattheterms ofthisAgreement shallbenefitthe WALKER PROPERTY LOT
5,BLOCK 1 ANNEXATION and shallbe covenants running with theland and shallnot expireattheir
deathsorupon transferof ownership of theproperty.
The undersigned Landowner affirmsthatthey have authoritytoenterintothisAgreement and to
bind themselves tothisAgreement.

opticconduit,curb/gutter,sidewalk,storm drainagefacilitiesfor:
A)Campbell Road
B)Intersectionimprovements forCampbell Road and SpringhillRoad
Landowner agrees the City has the sole rightto controlthe design and constructionof such
improvements and may include any of the above components and others necessary to ensure such
improvements comply with all adopted City infrastructureplans and requirements.Further,the
Landowner waives itsrightor to make any writtenprotestagainstthe sizeor area or creationof the
districtbe assessed in response to a duly passed resolutionof intentionto createone or more special
improvement districtswhich would includetheabove-describedproperty.
In the event a specialdistrictor specialimprovement districtisnot utilizedforthe completion of
these improvements,the developer agrees to participatein an alternatefinancing method for the
completion of said improvements on a fairshare,proportionatebasisas determined by the City on the
basisof the square footage of property,taxablevaluationof the property,trafficcontributionfrom the
development or a combination thereof.Landowner understands and agreesthatthe City willchoose
creationof a SID or specialdistrictor an alternativefinancing method for the completion of the
improvements and may use eitherfinancingoptionatany time.
This waiver ismade forthe benefitof thepropertydescribedhereinshallbe a covenant running
