ANNEXATION AGREEMENT
THIS AGREEMENT made and enteredintothis \]day of ,
2023,by and between the CITY OF BOZEMAN,a self-governingmunicipal corporation
organized and existingunder itsCharter and the laws of the Stateof Montana with officesat 121
N.Rouse Avenue,Bozeman,Montana 59771-0640,hereinafterreferredto as "City",and True
North Partners,LLC,60 Aajker Creek,Bozeman,MT 59901,hereinafterreferred to as
"Landowner".
WITNESSETH:
WHEREAS,Landowner is owner in fee of a tractof certainrealproperty,hereinafter
referredto as the BAXTER 80 ANNEXATION situatedin GallatinCounty,Montana,and more
particularlydescribedas follows:
An area of land comprised describedas follows:
Tract4 of Certificateof Survey 2552,locatedin theNorthwest Quarter of Section
4,Township 2 South,Range 5 East,and the South 50 feetof Tract4 of Certificate
of Survey 2672A,being the north 50 feetof the Baxter Lane right-of-way,located
in the Southwest Quarter of Section33,Township 1 South,Range 5 East,Principal
Meridian,Montana,Gallatin County,Montana,more particularlydescribed as
follows:

section33,township 1 south,range 5 east,monumented with an aluminum cap on
a S/8-inchrebarin the centerlineof the 100-footright-of-wayof Baxter Lane;
thence S0°39'55"W 2640.33 feetalong the eastlineof tract4 of Certificateof
Survey 2552 and the centerlineof the 90-footwide right-of-wayof laurelparkway
to the southeastcornerof saidtract4 inthe centerlineofthe 125-footright-of-way
of West Oak Street;
thence S89°18'29"W 1332.34 feetalong the northlineof Laurel Glen Subdivision
Phase 2 and the centerlineof West Oak Streettothe southeastcornerof Tract3 of
saidCOS 2552;

thence S0°39'55"W 50.00 feetalong saideastlineto thepoint of beginning,
containing82.042 acres.
SUBJECT to alleasements of recordor apparentfrom visualinspectionof the
property.
All as depictedon the BAXTER 80 Annexation Map.
WHEREAS,theLandowner petitionedthe CityforannexationtotheCity of theBAXTER
80 ANNEXATION;and
WHEREAS,the BAXTER 80 ANNEXATION isnot within the corporatelimitsof the
City or other municipality and may thereforebe annexed to the City in accordance with the
provisionsofthisAgreement and Title7,Chapter 2,Part46,Mont.Code Ann.;and
WBEREAS,allpartiesrecognize the annexation of the BAXTER 80 ANNEXATION
pursuant to Section 7-2-4601,et seq.,Mont.Code Ann.will allow the BAXTER 80
BAXTER 80 Annexation Agreement,Application23208 2
ANNEXATION to connect to and utilizeCity services,including municipal water and sewer
service,parks and recreation,fireand policeservices,and the City'stransportationsystem;and
WHEREAS,Section 7-2-4610,Mont.Code Ann.provides that a municipality and
landowner can agreetothe provisionsof servicesto the areato be annexed;and
WHEREAS,the parties recognize additional development on the BAXTER 80
ANNEXATION willimpact areaparks,recreation,transportation,police,and fireservices,and
that future improvements may require additionalpublic infrastructurestreetimprovements
includingtransportationfortrafficcirculationand the provisionsof parks,recreation,police,and
fireservices;and
WHEREAS,the Landowner findsthisAgreement willprovide forthe most satisfactory
and dependable water supply and sewer supply or service,and provide transportation,parks,
recreation,policeand fireservicefordevelopment oftheBAXTER 80 ANNEXATION;and
WHEREAS,the partieshave determined thatitis in the best interestsof the City and
Landowner,and in furtheranceof the publichealth,safetyand welfare of the community to enter
intoand implement thisAgreement.

IN CONSIDERATION of the mutual covenants and agreements herein contained,the
partiesheretoagree as follows:
1.Recitals
The above recitalsaretrueand correct.

2.Annexation
The Landowner filedan applicationfor annexation of the BAXTER 80 ANNEXATION
with the City on February 27,2024.By executionofthisAgreement,the Citymanifestsitsintent
to annex the BAXTER 80 ANNEXATION tractpursuant to the terms and conditionsof this
Agreement.Subjectto the provisionsof Title7,Chapter 2,Part 46,Mont.Code Ann.the City
shall,upon execution of thisAgreement,adopt a Resolution of Annexation of the BAXTER 80
ANNEXATION.Further,upon the executionofthisAgreement,theLandowner shalldo allthings
requiredby thisAgreement and allthingsnecessaryand propertoaidand assisttheCityincarrying
out the terms,conditionsand provisionsof thisAgreement and to effectthe annexation of the
BAXTER 80 ANNEXATION.
3.Services Provided
The City will,upon annexation,make availableto the BAXTER 80 ANNEXATION
existingCity servicesonly to the extentcurrentlyavailable,or as provided inthisAgreement.
4.Municipal Water Service Defined
The term "municipalwater service"as isused in thisagreement shallbe the servicewhich
is suppliedby the City in accordance with Chapter 40,Article2,Bozeman Municipal Code,as
amended,as well as any other terms and conditionswhich apply to the City'sprovision of
municipal water servicebut does not includethe extensionof linesor constructionof necessary
improvements at any cost to the City for deliveryof water to and within the BAXTER 80
ANNEXATION.Nothing in this Agreement shallobligatethe City to pay for right-of-way
acquisition,engineering,construction,and other costsfor the deliveryof water to or within the
BAXTER 80 ANNEXATION to include,but not limitedto,any impact fees,hook-up,connection,
or development charges which have been or may be establishedby the City.

5.Municipal Sewer Service Defined
The term "municipal sewer service"asisused inthisAgreement shallbe the servicewhich
is suppliedby the City in accordance with Chapter 40,Article3,Bozeman Municipal Code,as
amended,as well as any other terms and conditionswhich apply to the City'sprovision of this
servicebut does not includethe extensionof linesor constructionof necessary improvements at
any cost to the City for collectionof sewage at and within the BAXTER 80 ANNEXATION.
Nothing in thisAgreement shallobligatethe Citytopay forright-of-wayacquisition,engineering,
construction,and othercostsforthe collectionof sewage servicesto or within the BAXTER 80
ANNEXATION to include,but not limited to,any impact fees,hookup,connection,or
development chargeswhich may be establishedby the City.
6.Water Rights
The Landowner specificallyrecognizes and agrees the Landowner must provide water
rightsor cash in-lieuof water rightsupon furtherdevelopment or subdivisionof the propertyin
accordance with Section 38.410.130,Bozeman Municipal Code.The City will calculatethe
amount ofwater rightsor cash-in-lieuthereofdue atthetime of furtherdevelopment or subdivision
of the propertybased on the annual demand for volume of water the development willrequire
multipliedby themost currentannual unitpriceineffecton the datethewater rightsaretransferred
orpayment-in-lieuofwater rightsistobe made tothe City.As such,theLandowner acknowledges
thatthe ratesfor cash in-lieuof water rightsmay increaseover time as establishedby Resolution
ofthe City Commission.The applicantmust perform a water rightssearchto determine ifany exist
forthisproperty.The Landowner must transferany water rightsthatexistforthispropertyto the
City of Bozeman priorto development thatthe City of Bozeman determines areusefulfor City

purposes.Ifinsufficientwater rightsexist,theLandowner must pay cash inlieuofwater rights,in
an amount determined by theDirectorof Public Utilities,priorto development.
7.Comprehensive Water and Wastewater Design Report
Priorto futuredevelopment of the propertythe City may requirethe Landowner to have
preparedby a ProfessionalEngineer,atLandowner's soleexpense,a comprehensive designreport
evaluatingexistingcapacity of sewer and water utilitiesin the area.The reportmust include
hydraulic evaluationsof each utilityfor both existingand post-development demands,and the
reportfindingsmust demonstrate adequate capacityto servethe fulldevelopment of the land.If
adequate infrastructurecapacity is not availablefor the proposed development,the reportmust
identifywater or wastewater system improvements necessaryforthe proposed development.If
improvements to thiswater or wastewater system are necessary,the Landowner agrees priorto
development of the BAXTER 80 ANNEXATION to complete,at Landowner's expense,the
necessary system improvements to servethe proposed development.
8.Future Development Limitations
The Landowner shallbe responsiblefor installingallfacilitiesrequiredto provide full
municipal servicesto the property in accordance with the City'sInfrastructureMaster Plans and
all City regulations,policiesand guidelinesthat may be in effectat the time of any future
development.Thus,Landowner understands and agreesLandowner has no right,eithergrantedor
implied,foritto furtherdevelop any of the BAXTER 80 ANNEXATION untilitisverifiedby the
City thatthe necessarymunicipal services,includingbut not limitedto policeand fireprotection,
parks and recreation,transportation,and sewer and water capacity,areavailabletoallor a portion
of the BAXTER 80 ANNEXATION.Notice is thus provided to the Landowner thatpriorto
additionaldevelopment of the property,theLandowner willbe solelyresponsibleforinstalling,at

Landowner's sole expense,any facilitiesor infrastructurerequired to provide fullmunicipal
servicesto the BAXTER 80 ANNEXATION in accordance with the City'sinfrastructureplans,
adopted Growth Policies/Community Plans,and allothercityregulations,policiesand guidelines
thatmay be in effectatthe time of development.
9.Stormwater Master Plan
Landowner understands and agrees a Stormwater Master Plan for the BAXTER 80
ANNEXATION for a system designed to remove solids,oils,grease,and otherpollutantsfrom
the runofffrom publicstreetsand otherimpermeable surfacesmay be requiredto be provided to
and approved by the City Engineer at the time of any future development.The plan must
demonstrate thatadequatetreatmentof runofffrom publicstreets,otherimpermeable surfaces,and
allfuture lotswill be achieved by providing spot elevations,flow directionarrows,detention
and/orretentionbasindetails(includingbasin sizingcalculationsand basintypicalsections),outlet
structuredetails,and culvertcapacity calculations.The plan must also locate and provide
easements for adequate drainage ways within the BAXTER 80 ANNEXATION to transport
treated runoff to the stormwater receiving channel.The plan shallinclude sitegrading and
elevationinformation,typicalstormwater detention/retentionbasin and dischargestructuredetails,
basin sizingcalculations,and stormwater maintenance plan.Landowner recognizesthe City may
requiresuch Stormwater Master Plan to be implemented in allor partas a conditionof approval
of development ofthe BAXTER 80 ANNEXATION.
10.Waiver of Right-to-ProtestSpecialDistricts
A.Landowner shallexecute a Waiver of Right-to-ProtestCreationof SpecialDistricts
(SID)or Special Improvement Districtsfor streetand transportationimprovements including
design and engineering,paving and subsurface improvements,curb and gutter,sidewalk and

stormwater drainage facilities,and fiberopticconduit for the following streetsidentifiedby the
Development Review Committee for:
a.Streetimprovements to Baxter Lane from Rosa Way to Gooch HillRd including
lighting,signalization,paving,curb/gutter,sidewalk,and storm drainage.
b.Streetimprovements to Laurel Parkway from Baxter Lane to W Oak St including
lighting,signalization,paving,curb/gutter,sidewalk,and storm drainage.
c.Streetimprovements to Gooch HillRd from Baxter Lane to W Oak St including
lighting,signalization,paving,curb/gutter,sidewalk,and storm drainage.
d.Streetimprovements to W Oak Streetfrom Gooch HillRd toRosa Way including
lighting,signalization,paving,curb/gutter,sidewalk,and storm drainage.
The Landowner agrees such SID willprovide a mechanism forthe fairand equitableassessment
of constructionand maintenance costsfor such improvements.The waiver isattachedhereto as
Exhibit"A"and ishereby incorporatedin and made a partof thisAgreement.
B.Landowner has executed a Waiver ofRight-to-ProtestCreationof SpecialImprovement
Districts("SID")or SpecialDistrictsforthefollowingIntersectionimprovements identifiedby the
Development Review Committee including lighting,signalizationand channelization,paving,
curb/gutter,sidewalk,and storm drainagefor:
a.Intersectionimprovements at Gooch HillRd and Baxter Lane includinglighting,
signalization/channelization,paving,curb/gutter,sidewalk,and storm drainage.
b.Intersectionimprovements atBaxter Lane and Laurel Parkway includinglighting,
signalization/channelization,paving,curb/gutter,sidewalk,and storm drainage.
c.Intersectionimprovements atW Oak Streetand Gooch HillRd includinglighting,
signalization/channelization,paving,curb/gutter,sidewalk,and storm drainage.
d.Intersectionimprovements at W Oak St and Laurel Parkway including lighting,
signalization/channelization,paving,curb/gutter,sidewalk,and storm drainage.
The Landowner agrees such SID willprovide a mechanism for thefairand equitableassessment
of constructionand maintenance costsfor such improvements.The waiver isattachedheretoas
Exhibit"B"and ishereby incorporatedin and made a partof thisAgreement.

The Landowner agrees such SID or specialdistrictswill provide a mechanism for the fairand
equitableassessment of constructionand maintenance costsforsuch improvements.
C.Landowner agreesthatinthe eventa specialdistrictor an SID isnot utilizedforthe
completion of these improvements as described in subsection A above,the Landowner shall
participatein an alternativefinancingmethod forthe completion of the improvements on a fair
share,proportionatebasisas determined by the City on thebasisofthe squarefootageofproperty,
taxable valuationof the property,trafficcontributionfrom the development or a combination
thereof.
D.Landowner understands and agreesthatthe City will choose creationof a SID or
specialdistrictor an alternativefinancingmethod forthecompletion oftheimprovements and may
use eitherfinancingoptionatany time.
11.Public Streetand UtilityEasement
The Landowner understands and agrees thata public streetand utilityeasement must be
provided for deliveryof municipal servicewith futuredevelopment and such easement shallbe
provided attheLandowner's soleexpense.
A rightofway forLaurel Parkway,classifiedas a CollectorintheBozeman Transportation
Master Plan (TMP),has a minimum right-of-wayROW width of 90 feet.The applicantmust
provide theirrespectiveLaurel Parkway ROW where Laurel parkway isadjacenttoor crossesthe
property priorto the adoption of Resolution of Annexation.The Landowner understands and
agreesthata public streetand utilityeasement must be provided concurrentwith signatureofthis
agreement for Laurel Parkway is adjacentto or crosses the BAXTER 80 ANNEXATION to
include half of the 90-foot required rightof way for a collectoradjacent to the BAXTER 80
ANNEXATION.The Landowner,atitssoleexpense,has createdsuch easements in a locationand

form agreeable to the City and the easement will be filedat the GallatinCounty Clerk and
Recorder's Office.A publicstreetand utilityeasement must be provided priorto the adoption of
Resolution of Annexation.
A right of way for West Oak Street,classifiedas a Minor Arterialin the Bozeman
TransportationMaster Plan (TMP),has a minimum right-of-wayROW width of 100 feet.The
applicantmust provide theirrespectiveLaurel Parkway ROW where Laurel parkway isadjacent
to or crossesthe property priorto the adoption of Resolution of Annexation.The Landowner
understands and agreesthata publicstreetand utilityeasement must be provided concurrentwith

The Landowner,atitssole expense,has created such easements in a locationand form
agreeableto the City and the easements willbe filedatthe GallatinCounty Clerk and Recorder's
Office.The Landowner furtherunderstands and agrees that additionalpublic streetand utility
easements may be requiredfor deliveryof municipal serviceswith futuredevelopment,and in
such event,the easement shallbe provided attheLandowner's soleexpense.

12.StreetImprovements
The Landowner understands and agreesthatatthe time of futuredevelopment theportion
of the BAXTER 80 ANNEXATION and itsrelatedtransportationinfrastructurefrontingthe
BAXTER 80 ANNEXATION thispropertymust be improved to a City standardatLandowner's
expense.
13.Impact Fees
Landowner acknowledges thatannexation and development of theirpropertywillimpact
the City'sexistingstreet,water and sewer infrastructure,and the City'sfireservice.As approved
by the City,the Landowner and itssuccessorsmust pay:
A)Fire impact fees equal to the amount per Chpt.2,Art.6.Div.9 BMC,or as
amended,attime of issuanceof a buildingpermit.
B)Transportationimpact fees equal to the amount per Chpt.2,Art.6.Div.9 BMC,
or as amended,attime of issuanceof a buildingpermit.
C)Water impact fees as requiredby Chpt.2,Art.6.Div.9 BMC,or as amended,at
thetime of connection to citywater services.
D)Sewer impact fees as requiredby Chpt.2,Art.6.Div.9 BMC,or as amended,at
thetime of connection to citysewer services.
The amount of impact fee theLandowner oritssuccessorspay forconnectiontothe city's
water and sewer services,if any,shallbe calculatedbased on the provisionsof the Bozeman
Municipal Code,as amended,in effectat the time of applicationfor a permit to connect.The
amount of streetor fireimpact feestobe paid,ifany,shallbe calculatedbased on the provisions
of the Bozeman Municipal Code,as amended,in effectatthe time an applicationfor building
permit issubmitted.
Landowner furtherunderstands and agrees thatany improvements,eitheron-siteor off-
site,necessaryto provide connection of theBAXTER 80 ANNEXATION municipal servicesand
which arewholly attributabletothepropertyas determined exclusivelyby theCity areconsidered
BAXTER 80 Annexation Agreement,Application23208 11
"projectrelatedimprovements"as definedinChapter 2,Article6,Division9,Bozeman Municipal
Code,as amended,and as such,are not eligibleforimpact fee credits.
IfLandowner defaultson thisconditionat the time such is to be performed,and should
defaultnot be remedied or correctedwithin thirty(30)days afterwrittennoticeby City to the
Landowner and Landowner/Developer of such default,City may atitsoption:
A)Declare the amounts owing for impact fees immediately due and payable
and City shallhave the rightand privilegeto take legal action against
Landowners for the collectionof such sum,including the entry of any
judgment.In addition,the City may,atitsoption,enforcepayment of such
amount by levying an assessment on the property.
B)Elect any other remedy availableto City under the laws of the Stateof
Montana.
14.Charges and Assessments
Landowner understands and agreesthatafterthisAgreement isrecorded the BAXTER 80
ANNEXATION will be subject to City assessments for arterialand collectorstreets,street
maintenance,and treemaintenance on the same basisas allotherpropertiesin the City.
15.Additional Terms
The partiesrecognizethesedocuments must be filedand ofrecordwith theGallatinCounty
Clerk and Recorder priorto the saleof any land within the BAXTER 80 ANNEXATION.The
partiesfurtheragree thatthe Citymay filethesedocuments atany time.
16.Governing Law and Venue
This agreement shallbe construedunder and governed by thelaws ofthe stateofMontana.
In the event of litigation,venue isin the Eighteenth JudicialDistrictCourt,in and forCounty of
Gallatin,StateofMontana.
17.Attorney's Fees

In the event itbecomes necessary foreitherpartyto thisAgreement to retainan attorney
to enforce any of the terms or conditionsof thisAgreement,then the prevailingparty shallbe
entitledtoreasonableattorney'sfeesand costs,toincludethe salaryand costsofin-house counsel
includingCity Attorney.
18.Waiver
No waiver by eitherparty of any breach of any term,covenant or agreement shallbe
deemed a waiver of the same or any subsequent breach of thissame or any otherterm,covenant
or agreement.No covenant,term or agreement shallbe deemed waived by eitherparty unless
waived in writing.
19.Invalid Provision
The invalidityor unenforceabilityof any provisionof thisagreement shallnot affectthe
otherprovisionshereof,and thisAgreement shallbe construedin allrespectsas ifsuch invalidor
unenforceableprovisionwere omitted.
20.Modifications or Alterations
No modificationsor amendment of thisAgreement shallbe validunless evidenced by a
writingsignedby the partieshereto.
21.No Assignment
Itisexpresslyagreed thatthe Landowner and/or Landowner/Developer shallnot assign
thisAgreement inwhole or in partwithout priorwrittenconsent ofthe City.
22.Successors
This Agreement shallbe binding upon,inureto the benefitof and be enforceableby the
partieshereto and theirrespectiveheirs,successorsand assignsand specificallytoany subsequent
purchaserof the annexed property.

23.Covenants to Run with the Land
The partiesintend that the terms of this Agreement shallbenefit the BAXTER 80
ANNEXATION and shallbe covenants running with the land and shallnot expireattheirdeaths
or upon transferof ownership of the property.
The undersigned Landowner affirmsthatthey have authorityto enterintothisAgreement
and to bind themselves tothisAgreement.

The undersigned owner of the realpropertysituatedinthe County of Gallatin,StateofMontana,
and more particularlydescribedas follows:
Tract 4 of Certificateof Survey 2552,located in the Northwest Quarter of Section 4,
Township 2 South,Range 5 East,and the South 50 feetof Tract4 of Certificateof Survey
2672A,being the north 50 feetof the Baxter Lane right-of-way,locatedin the Southwest
Quarter of Section 33,Township 1 South,Range 5 East,PrincipalMeridian,Montana,
GallatinCounty,Montana.
IN CONSIDERATION of receivingapproval for annexation of the subjectproperty from the
City of Bozeman,along with accompanying rights and privilegesand for other and valuable
consideration,the receiptof which ishereby acknowledged,and in recognitionof the transportation
impacts to:
a.Streetimprovements toBaxter Lane from Rosa Way to Gooch HillRd includinglighting,
signalization,paving,curb/gutter,sidewalk,and storm drainage.
b.Streetimprovements toLaurel Parkway from Baxter Lane to W Oak St including
lighting,signalization,paving,curb/gutter,sidewalk,and storm drainage.
c.Streetimprovements to Gooch HillRd from Baxter Lane toW Oak St includinglighting,
signalization,paving,curb/gutter,sidewalk,and storm drainage.
d.Streetimprovements to W Oak Streetfrom Gooch HillRd to Rosa Way including
lighting,signalization,paving,curb/gutter,sidewalk,and storm drainage.
For improvement districtsfor the design and engineering,constructionand maintenance of
followingimprovements:forstreetand transportationimprovements includingdesign and engineering,
paving and subsurface improvements,curb and gutter,sidewalk,stormwater drainage facilities,
broadband,and other dry utilitiesfor the aforementioned streetimprovements.
Landowner agrees the City has the sole rightto controlthe design and constructionof such
improvements and may include any of the above components and others necessary to ensure such

improvements comply with all adopted City infrastructureplans and requirements.Further,the
Landowner waives itsrightor to make any writtenprotestagainstthe sizeor area or creationof the
districtbe assessed in response to a duly passed resolutionof intentionto createone or more special
improvement districtswhich would includetheabove-describedproperty.
In the event a specialdistrictor specialimprovement districtisnot utilizedforthe completion of
these improvements,the developer agrees to participatein an alternatefinancing method for the
completion of saidimprovements on a fairshare,proportionatebasisas determined by the City on the
basisof the square footage of property,taxablevaluationof the property,trafficcontributionfrom the
development or a combination thereof.Landowner understands and agrees thatthe City will choose
creationof a SID or specialdistrictor an alternativefinancing method for the completion of the
improvements and may use eitherfinancingoptionatany time.
This waiver ismade forthe benefitof the propertydescribedhereinshallbe a covenant running
with the land.
The terms,covenants and provisionsof thiswaiver shallextend to,and be binding upon the
successors-in-interestand assignsof theLandowner.
