WITNESSETH: WHEREAS,Landowner isowner in feeof a tractof certainrealproperty,hereinafterreferred to as the 1001 THOMAS DRIVE ANNEXATION or "Property"situatedin GallatinCounty,Montana, and more particularlydescribedas follows: An area of landcomprised describedas follows: The tractof land described in Film 3,Page 49 on fileand of recordatthe GallatinCounty Clerk &Recorders Office,being theNorth Half of theNortheastQuarterof the Southwest Quarter,and 1001 THOMAS DRIVE AnnexationAgreement the North Half of the South Half of the North Half of the Northeast Quarter of the Southwest Quarter,allinSection35,Township 1 South,Range 5 East,P.M.M.,GallatinCounty Montana, more particularlydescribedas follows; BEGINNING atthe CW 1/16thcorner of SaidSection35,a blank 1 ½"Alum.Cap; thence N 89°39'00"E,a distanceof 1325.02 feetto the calculatedCenter 1/4 corner of said Section 35; thence S 00°14'21"W,a distanceof 496.91 feetto the calculated1/1024thcorneron the Center of Sectionline; thence S 89°38'23"W,a distanceof 1324.56 feetto a C&H yellow plasticcap; thence N 00°1 l'12"E,a distanceof 497.15 feetto the PointOf Beginning. Said area containing658,428 Square Feet,15.115 Acres more or less,with and subjectto all easements of record. All as depictedon the 1001 THOMAS DRIVE ANNEXATION Map. WHEREAS,theLandowner petitionedthe City forannexation tothe City of saidtractof land; and WHEREAS,the 1001 THOMAS DRIVE isnot within the corporatelimitsof the City or other municipality and may thereforebe annexed to the City in accordance with the provisionsof this Agreement and Title7,Chapter 2,Part46,Mont.Code Ann.;and WHEREAS,all parties recognize the annexation of the 1001 THOMAS DRIVE ANNEXATION pursuant to Section7-2-4601,etseq.,Mont.Code Ann.willallow the 1001 THOMAS DRIVE ANNEXATION to connect to and utilizeCity services,includingmunicipal water and sewer service,parks and recreation,fireand policeservices,and the City'stransportationsystem;and WHEREAS,Section7-2-4610,Mont.Code Ann.provides thata municipalityand landowner can agree totheprovisionsof servicesto the area to be annexed;and WHEREAS,the partiesrecognize additionaldevelopment on the 1001 THOMAS DRIVE ANNEXATION will impact area parks,recreation,transportation,police,and fireservices,and that future improvements may require additionalpublic infrastructurestreetimprovements including transportationfortrafficcirculationand theprovisionsofparks,recreation,police,and fireservices;and 1001 THOMAS DRIVE AnnexationAgreement 2 WHEREAS,the Landowner finds thisAgreement willprovide for the most satisfactoryand dependable water supply and sewer supply or service,and provide transportation,parks,recreation, policeand fireservicefordevelopment of the 1001 THOMAS DRIVE ANNEXATION;and WHEREAS,thepartieshave determined thatitisinthebestinterestsoftheCityand Landowner, and in furtheranceof thepublichealth,safetyand welfareof thecommunity to enterintoand implement thisAgreement. W IT N ES S E T H: IN CONSIDERATION of the mutual covenants and agreements herein contained,the parties heretoagree as follows: 1.Recitals The above recitalsare trueand correct. 2.Annexation The Landowner fileda complete applicationfor annexation of the 1001 THOMAS DRIVE ANNEXATION with theCityon February 15,2022.By executionof thisAgreement,theCitymanifests itsintenttoannex the 1001 THOMAS DRIVE ANNEXATION tractpursuanttotheterms and conditions of thisAgreement.Subject to the provisionsof Title7,Chapter 2,Part46,Mont.Code Ann.the City shall,upon execution of thisAgreement,adopt a Resolution of Annexation of the 1001 THOMAS DRIVE ANNEXATION.Further,upon the execution of thisAgreement,the Landowner shalldo all things required by thisAgreement and allthings necessary and proper to aid and assistthe City in carryingout the terms,conditionsand provisionsof thisAgreement and to effectthe annexation of the 1001 THOMAS DRIVE ANNEXATION. 3.Services Provided 1001 THOMAS DRIVE AnnexationAgreement 3 The City will,upon annexation,make availabletothe 1001 THOMAS DRIVE ANNEXATION existingCity servicesonly to the extentcurrentlyavailable,or as provided inthisAgreement. 4.Municipal Water Service Defined The term "municipal water service"as isused in thisAgreement shallbe the servicewhich is suppliedby the City in accordance with Chapter 40,Article2,Bozeman Municipal Code,as amended, aswell as any otherterms and conditionswhich apply tothe City'sprovisionof municipal water service but does not includethe extensionof linesor constructionof necessary improvements atany costto the City fordeliveryof water to and within the 1001 THOMAS DRIVE ANNEXATION.Nothing inthis Agreement shallobligatethe City to pay forright-of-wayacquisition,engineering,construction,and othercostsforthedeliveryofwater to orwithinthe 1001 THOMAS DRIVE ANNEXATION toinclude, but not limitedto,any impact fees,hook-up,connection,or development charges which have been or may be establishedby the City. 5.Municipal Sewer Service Defined The term "municipal sewer service"as isused in thisAgreement shallbe the servicewhich is suppliedby theCity in accordance with Chapter 40,Article3,Bozeman Municipal Code,as amended, as well as any otherterms and conditionswhich apply to theCity'sprovisionof thisservicebutdoes not include the extension of linesor constructionof necessary improvements at any costto the City for collectionof sewage at and within the 1001 THOMAS DRIVE ANNEXATION.Nothing in this Agreement shallobligatethe City to pay forright-of-wayacquisition,engineering,construction,and other costs for the collection of sewage services to or within the 1001 THOMAS DRIVE ANNEXATION to include,but not limitedto,any impact fees,hookup,connection,or development charges which may be establishedby the City. 6.Water and Sewer Connections Landowner understands and agrees that water and sewer services must be constructed in 1001 THOMAS DRIVE AnnexationAgreement 4 accordance with designand specificationsapproved by theCitypriorto the installationof the water and sewer lines.Landowner must contactthe City Water and Sewer Divisiontoobtaindetailsofconstruction requirements.Landowner furtherunderstandsand agreesthatpriorto connectionto the City water and sewer system,any existing on-site sewage treatment system must be properly abandoned and certificationprovided to the City Water and Sewer Division thatthe abandonment occurred.The Landowner must reporttheabandonment tothe GallatinCity County Health Department.In additionto abandonment of the septictank and leach field,the applicantmust demonstrate thatany sanitarysewer line has been completely disconnected from any existing septicsystem prior to the Landowner connecting the to the City sanitarysewer system. Any wells presentlyused for domestic purposes may be retainedfor irrigationonly,with no physical connection to municipal domestic water piping.Certificationthat there is no physical connection between any on-sitewell and a domestic water linecoming from the City'swater supply must be provided.The City Water and Sewer Divisionmay perform an inspectionof theproperty and certifythatthe disconnection of the well and septicsystem abandonment are properly completed. Landowner understands and agrees that ifLandowner failsto properly abandon any existingseptic system and/orfailstodisconnectany existingwell from thedomestic water pipingasrequiredhereinthe City may upon ten day's writtennoticeto the Landowner terminatewater and/or sewer servicesto the property.Costs of alldisconnectsand/orsubsequent reconnectsshallbe borne by Landowner. 7.Water Rights The Landowner specificallyrecognizesand agreesthatprovisionsforwater rightsor cash in-lieu of water rightsshallbe provided upon furtherdevelopment or subdivisionof thepropertyinaccordance with Section38.410.130,Bozeman Municipal Code and asmay be amended.The amount ofwater rights or cash-in-lieuthereofdue at the time of furtherdevelopment or subdivisionof the property willbe calculatedbased on theannual demand forvolume of water the development willrequiremultipliedby 1001 THOMAS DRIVE AnnexationAgreement 5 themost currentannual unitpriceineffecton thedatethewater rightsaretransferredorpayment-in-lieu of water rightsisto be made to the City.As such,theLandowner acknowledges thattheratesforcash in-lieuof water rightsmay increaseover time as establishedby Resolutionof theCityCommission.The Landowner must perform a water rightssearchtodetermine ifany existforthisproperty.The Landowner must transferany water rightsthatexistforthispropertyto the City of Bozeman priorto development thatthe City of Bozeman determines areusefulforcitypurposes.Ifinsufficientwater rightsexist,the Landowner must pay cash in lieuof water rights,in an amount determined by the Directorof Utilities, priorto development. 8.Comprehensive Water and Water Design Report Priortofuturedevelopment ofthepropertytheCity may requirethe Landowner tohave prepared by a ProfessionalEngineer,at Landowner's sole expense,a comprehensive design reportevaluating existingcapacityof sewer and water utilitiesin the area.The reportmust includehydraulicevaluations of each utilityforboth existingand post-development demands,and thereportfindingsmust demonstrate adequate capacityto serve the fulldevelopment of the land.Ifadequate infrastructurecapacityisnot availableforthe proposed development,the reportmust identifynecessary water or wastewater system improvements necessary for the proposed development.Ifimprovements to thiswater or wastewater system are necessary,the Landowner agrees prior to development of the 1001 THOMAS DRIVE ANNEXATION tocomplete,atLandowner's expense,the necessary system improvements to servethe proposed development. 9.Future Development Limitations The Landowner shallbe responsibleforinstallingallfacilitiesrequiredtoprovide fullmunicipal servicestothepropertyinaccordance with theCity'sInfrastructureMaster Plansand allCityregulations, policiesand guidelinesthatmay be in effectat the time of any futuredevelopment.Thus,Landowner understands and agreesLandowner has no right,eithergranted or implied,for itto furtherdevelop any 1001 THOMAS DRIVE AnnexationAgreement 6 of the 1001 THOMAS DRIVE untilitisverifiedby the City thatthe necessary municipal services, includingbut not limitedto policeand fireprotection,parks and recreation,transportation,and sewer and water capacity,are availableto allor a portion of the 1001 THOMAS DRIVE ANNEXATION. Notice isthus provided to the Landowner thatpriorto additionaldevelopment of the property,the Landowner will be solely responsiblefor installing,at Landowner's sole expense,any facilitiesor infrastructurerequiredtoprovide fullmunicipal servicestothe 1001 THOMAS DRIVE ANNEXATION in accordance with the City'sinfrastructureplans,adopted Growth Policies/Community Plans,and all othercityregulations,policiesand guidelinesthatmay be in effectatthetime of development. 10.Stormwater Master Plan Landowner understands and agrees a Stormwater Master Plan for the 1001 THOMAS DRIVE ANNEXATION fora system designed toremove solids,oils,grease,and otherpollutantsfrom therunoff from public streetsand otherimpermeable surfacesmay be requiredto be provided to and approved by the City Engineer at the time of any futuredevelopment in accordance with Chapter 40,Article3, Bozeman Municipal Code,as amended,as well as any otherterms and conditionswhich apply to the City'sprovisionofthisservice.The planmust demonstrate thatadequate treatmentof runofffrom public streets,other impermeable surfaces,and allfuturelotswillbe achieved by providing spot elevations, flow directionarrows,detentionand/or retentionbasin details(includingbasin sizingcalculationsand basin typicalsections),outletstructuredetails,and culvertcapacity calculations.The plan must also locate and provide easements for adequate drainage ways within the 1001 THOMAS DRIVE ANNEXATION to transporttreatedrunoff tothe stormwater receivingchannel.The plan shallinclude sitegrading and elevationinformation,typicalstormwater detention/retentionbasin and discharge structuredetails,basin sizingcalculations,and stormwater maintenance plan.Landowner recognizesthe Citymay requiresuch Stormwater Master Plan tobe implemented inallorpartasa conditionofapproval of development of the 1001 THOMAS DRIVE ANNEXATION. 1001 THOMAS DRIVE AnnexationAgreement 7 11.Waiver of Right-to-ProtestSpecial Districts A.Landowner has executed a Waiver of Right-to-ProtestCreationof SpecialImprovement Districtsor Special Districtsfor streetand transportationimprovements including design and engineering,paving and subsurface improvements,curb and gutter,sidewalk,stormwater drainage facilitiesfor: a.Streetimprovements toNorth 27th Avenue (Thomas Drive)between Baxter Lane and Catamount Streetincludinglighting,signalization,paving,curb/gutter,sidewalk,and storm drainage. b.Streetimprovements to Davis Lane between Baxter Lane and CattailStreetincludinglighting, signalization,paving,curb/gutter,sidewalk,and storm drainage. c.Streetimprovements toHunters Way (BlackbirdDrive)between Baxter Lane and CattailStreet includinglighting,signalization,paving,curb/gutter,sidewalk,and storm drainage. d.Streetimprovements to Windward Way (Park Creek Avenue)between Baxter Lane and Cattail Streetincludinglighting,signalization,paving,curb/gutter,sidewalk,and storm drainage. e.Streetimprovements to Equestrian Lane (SartainStreet)between Davis Lane and North 19th Avenue includinglighting,signalization,paving,curb/gutter,sidewalk,and storm drainage. f.Streetimprovements to Rawhide Ridge between North 19thAvenue and Hunters Way including lighting,signalization,paving,curb/gutter,sidewalk,and storm drainage. g.Streetimprovements to Kimberwicke between Davis Lane and North 19th Avenue including lighting,signalization,paving,curb/gutter,sidewalk,and storm drainage. h.Streetimprovements to CattailStreetbetween Davis Lane and North 19th Avenue including lighting,signalization,paving,curb/gutter,sidewalk,and storm drainage. i.Streetimprovements to Hoover Way between Georgia Marlie Lane and the subjectproperty includinglighting,signalization,paving,curb/gutter,sidewalk,and storm drainage. j.Streetimprovements to Renee Way between Georgia Marlie Lane and the subjectproperty includinglighting,signalization,paving,curb/gutter,sidewalk,and storm drainage. The Landowner agreessuch SID or specialdistrictswillprovide a mechanism forthe fairand equitable assessment of constructionand maintenance costs for such improvements.The waiver was recorded with the GallatinCounty Clerk and Recorder on June 7,2022 as Document No.2777757. 1001 THOMAS DRIVE AnnexationAgreement 8 B.Landowner has executed a Waiver of Right-to-ProtestCreation of Special Improvement Districts("SID")or SpecialDistrictsforIntersectionimprovements includinglighting,signalizationand channelization,paving,curb/gutter,sidewalk,and storm drainage for: a.Intersectionimprovements at Cattail Street and North 27th Avenue including lighting, signalization/channelization,paving,curb/gutter,sidewalk,and storm drainage. b.Intersection improvements at Cattail Street and Davis Lane including lighting, signalization/channelization,paving,curb/gutter,sidewalk,and storm drainage. c.Intersectionimprovements at Cattail Street and North 19th Avenue including lighting, signalization/channelization,paving,curb/gutter,sidewalk,and storm drainage. d.Intersection improvements at Baxter Lane and Davis Lane including lighting, signalization/channelization,paving,curb/gutter,sidewalk,and storm drainage. e.Intersectionimprovements at North 27th Avenue and Baxter Lane including lighting, signalization/channelization,paving,curb/gutter,sidewalk,and storm drainage. The Landowner agreessuch SID or specialdistrictswillprovide a mechanism forthefairand equitable assessment of constructionand maintenance costsfor such improvements.The waiver was recorded with the GallatinCounty Clerk and Recorder on June 7,2022 as Document No.2777757. C.Landowner agrees thatin the event an SID isnot utilizedfor the completion of these improvements as described in subsectionsA and B above,the Landowner shallparticipatein an alternativefinancingmethod forthecompletion ofsaidimprovements on a fairshare,proportionatebasis asdetermined by theCityon thebasisofthe squarefootageof property,taxablevaluationof theproperty, trafficcontributionfrom the development or a combination thereof. 12.Public Streetand UtilityEasements The Landowner understands and agreesthata publicstreetand utilityeasement must be provided atthe time Landowner returnsthe signed annexation agreement for the portionof North 27'Avenue (Thomas Drive)that is adjacent to itsProperty,which is classifiedas a Collectorin the Bozeman TransportationMaster Plan (TMP),which has a minimum right-of-way("ROW")width of ninety (90) feet. 1001 THOMAS DRIVE AnnexationAgreement 9 The Landowner must provide itsrespectiveThomas Drive ROW sectionfrom the centerlineof the existingROW orthe entiresection(ifthe streetsectionresideswithintheproposed annexation area) as a public streetand utilityeasement where Thomas Drive isadjacentto the Property. The Landowner,atitssoleexpense,has createdsuch easements in a locationand form agreeable to the City and the easements willbe filedat the GallatinCounty Clerk and Recorder's Office.The Landowner furtherunderstands and agrees thatadditionalpublic streetand utilityeasements may be required for deliveryof municipal serviceswith futuredevelopment,and in such event,the easement shallbe provided atthe Landowner's soleexpense. 13.Street Improvements The Landowner understands and agrees thatat the time of futuredevelopment the portionof North 27th Avenue (Thomas Drive)and itsrelatedtransportationinfrastructurefrontingthe 1001 THOMAS DRIVE ANNEXATION must be improved to a City standard.The City may allow phasing of streetimprovements coordinatedwith development areas. 14.Impact Fees Landowner acknowledges thatannexation and development of theirproperty willimpact the City'sexistingstreet,water and sewer infrastructure,and the City'sfireservice.As approved by the City,the Landowner and itssuccessorsmust pay: A)Fireimpact feesequal tothe amount per Chpt.2,Art.6.Div.9 BMC,or as amended,at time of issuanceof a buildingpermit. B)Transportationimpact feesequal to the amount per Chpt.2,Art.6.Div.9 BMC,or as amended,attime of issuanceof a buildingpermit. C)Water impact feesasrequiredby Chpt.2,Art.6.Div.9 BMC,or as amended,atthetime of connectiontocitywater services. D)Sewer impact feesas requiredby Chpt.2,Art.6.Div.9 BMC,or as amended,atthetime of connection to citysewer services. The amount ofimpact feethe Landowner or itssuccessorspay forconnectiontothe city'swater and sewer services,ifany,shallbe calculatedbased on the provisionsof the Bozeman Municipal Code, 1001 THOMAS DRIVE AnnexationAgreernent 10 as amended,in effectatthe time of applicationfor a permit to connect.The amount of streetor fire impact fees to be paid,ifany,shallbe calculatedbased on the provisionsof the Bozeman Municipal Code,as amended,ineffectatthe time an applicationforbuildingpennit issubmitted. Nothing in thisAgreement shallbe construed to abridgeLandowner's rights,under Chapter 2, Article6,Division 9 of the Bozeman Municipal Code,to apply for,claim or assertcredits,exemptions or refunds from the impositionof impact fees. Landowner furtherunderstands and agrees that any improvements,eitheron-siteor off-site, necessary toprovide connection of the 1001 THOMAS DRIVE ANNEXATION to municipal services and which are wholly attributableto the Property as determined exclusivelyby the cityare considered "projectrelatedimprovements"as definedinChapter 2,Article6,Division9,Bozeman Municipal Code, as amended,and as such,arenot eligibleforimpact fee credits. IfLandowner defaultson thisconditionatthe time such isto be performed,and should default not be remedied or correctedwithin thirty(30)days afterwrittennoticeby City to the Landowner and Landowner/Developer of such default,City may atitsoption: A)Declare theamounts owing forimpact feesimmediately due and payable and City shallhave therightand privilegeto take legalactionagainstLandowners forthe collectionof such sum,includingtheentryof any judgment.Inaddition,the City may,atitsoption,enforcepayment of such amount by levyingan assessment on theproperty. B)Electany otherremedy availableto City under thelaws of the Stateof Montana. 15.Charges and Assessments Landowner understands and agrees thatafterthisAgreement isrecorded the 1001 THOMAS DRIVE ANNEXATION willbe subjecttoCity chargesand assessments forarterialand collectorstreets, streetmaintenance,and treemaintenance on the same basisas allotherpropertiesinthe City. 16.Additional Terms 1001 THOMAS DRIVE AnnexationAgreement 11 The partiesrecognizethesedocuments must be filedand ofrecordwith theGallatinCounty Clerk and Recorder priorto the saleof any land within the 1001 THOMAS DRIVE ANNEXATION.The partiesfurtheragree thatthe Citymay filethesedocuments atany time. 17.Governing Law and Venue This agreement shallbe construed under and governed by the laws of the stateof Montana.In the event of litigation,venue isinthe EighteenthJudicialDistrictCourt,in and forCounty of Gallatin, Stateof Montana. 18.Attorney's Fees In the event itbecomes necessary for eitherparty to thisAgreement to retainan attorneyto enforce any of the terms or conditionsof thisAgreement,then the prevailingpartyshallbe entitledto reasonableattorney'sfees and costs,to includethe salaryand costsof in-house counsel includingCity Attorney. 19.Waiver No waiver by eitherparty of any breach of any term,covenant or agreement shallbe deemed a waiver of the same or any subsequent breach of thissame orany otherterm,covenant or agreement.No covenant,term or agreement shallbe deemed waived by eitherpartyunlesswaived inwriting. 20.Invalid Provision The invalidityor unenforceabilityof any provisionof thisagreement shallnot affectthe other provisions hereof,and this Agreement shall be construed in all respects as if such invalid or unenforceableprovisionwere omitted. 21.Modifications or Alterations No modificationsor amendment of thisAgreement shallbe validunless evidenced by a writing signedby thepartieshereto. 22.No Assignment 1001 THOMAS DRIVE AnnexationAgreement 12 It is expressly agreed thatthe Landowner and/or Landowner/Developer shallnot assign this Agreement inwhole or inpartwithout priorwrittenconsent of the City. 23.Successors This Agreement shallbe bindingupon,inureto the beneßt of and be enforceableby the parties heretoand theirrespectiveheirs,successorsand assignsand specificallytoany subsequentpurchaserof theannexed property. 24.Covenants to Run with the Land The partiesintend thatthe terms of thisAgreement shallbenefitthe 1001 THOMAS DRIVE ANNEXATION and shallbe covenants running with theland and shallnot expireattheirdeathsor upon transferof ownership of theproperty.
